ADDENDUM

-This Addendum is atcached lo and made a part of that certain Vacant Land/Fann and
Ranch Contract to Buy and Sell Real Estate, dated January 29, 1998, pertaining to
approximately four acres of real property located in Garfield County, Colorado. In
the evenL of any conflict between the terms of the preprinted form of this Contract
and this Addendum, the provisions of this Addendum shall prevail and control.
1 . The Purchase Price referred to in Paragraph 3 of the preprinted form of this
Contract shall be increased on tile basis or $56,250 per acre ($1.2913 per square
foot) to the extent the Property exceeds four( 4) acres in size robe determined by
survey once the exact location of the Property is determined as provided in
Pa·ragraph 5 of t"his Addendum. The Earnest Money Promissory Note referred to in
Paragraph 3(a) of the preprinted form of this Contract shall be due and payable and
redeemed for cash at the closing of this transaction. .
2. The closing of this transaction shall occur no lacer than thirty days after the
decision of·the Garfield County Commissioners to approve the prelin1inary plat of
the buyers proposed P.U.D. on 1hc Mumbcrt Cerise Family Co. and ·Denise Cerise
Prnperty. However, in any event this closing shall not occur later lhan Sepremher
21, 1999. As conditionH to the obliga1ion of Buyer to close under this Co11tract. (i) ·
the Property must have been legally subdivided inlo a separace lot or must have ·
been approved by Garfield County as exempt frum subdivision proc.essing
require1nencs .. and (ii) tbe District must have agreed in writing to .accept the real

Lreatme11t faci'lily ( .. fo"'acility") being cc:.uasf.ructed by or for Lhe benefit of MiJ Valley
Metro Districc ("District"). The "Facilily is to be a mechanical plant with all parts to
be self-contained. Seller reserves the right to approve architectural and landscaping
plans related to the Facility, which approval shall not be unreasonably withheld or
delayed. Further, Seller hereby agrees to grant to Buyer and/or the District, an
easement for the main sewer line from the Facility and for other utilities required lo
service the Facility ("Facilicy Easement"). which Fucility Easement shall be of
sufficient width and configu.-.. tion lo meet !he needs of lhe Facility and shall be
. g..-.. ntcd together 'Mith a temporary construction easement sufficienl to allow the
Facility Easement to be built. Seller hereby agrees co provide Buyer with land of

the.Facility of sufficient width and configuration to meet che needs or roe Facility,

Line to be built. The land for Lhe Outtlow Line shall either be grnnten in the form of
