Box 2254 Glenwood Springs, CO 81602-2254 Dear Mr. Lloyd: I am very sorry Mr. Wert's letter of September 27 offended you. That was certainly not our intent. I would like to review the procedures we that our contractors and subcontractors regulations: have used to insure comply with your 1.) We advised our contractors of the requirements for permits and sent them copies of the county's special use permit require- ments. 2.) Our field representative, Warren Little, discussed permit requirements with contractors and subcontractors and required permits from them when moving permit sized loads on or off site. 3.) As you had advised me in our phone conversations that loads may not have been properly permitted, we made it a further requirement of our contractors to supply us with permit copies before we will release final payment to them. It was in the context of this last requirement that Mr. Wert' s letter was sent. We were seeking confirmation that the permit copies forwarded to us meet your requirements. I regret that Mr. Wert's letter was not clear on this point, or strayed from our objective. We have made every effort to comply with your requirements and in the future will require that contractors provide permit copies before moving any loads on or off site. Greg Twanbley of Bonneville Fuels, we are writ- ing this response to item l'b. 8 of the conditions for the Special USe Permit for Bonneville Fuels. Item l\'b. B specifically requested Bonne- ville Fuels to sul::rnit information "certifying that the well site and associated structures will be elevated one foot (1') above the 100-year floodplain, identified on the Preliminary Floodplain Mapping done by the Army Corps of Engineers, as provided by the Colorado Water Conser- vation Board, and that a statement from a registered engineer be sub- mitted certifying that such fill will not adversly affect any upstream or downstream properties". We have reviewed the above-mentioned mapping as it relates to the pro- posed well site. We have found that the prop:ised well site lies within the floodway fringe of the 100-year floodplain: therefore, the proposed fill (by definition of floodway and floodway fringe) will not increase the 100-year floodplain by more than one foot ( 1 ' ) • 'Ihro1JC1h calcula- tion, we have determined that the impact created by the inclusion of the fill within the 100-year floodplain will increase the water surface an infinitesimal amount. As can be seen on the mapping, the floodplain in this area is approximately 2800 feet wide. '!he proposed well site pad is only going to encroach the floodplain by 60 feet. '!his en- croachment is more than 1200 feet from the floodway/floodway fringe boundary of the Colorado P.iver. Based upon the Floodpain Mai:ping, it appears that the flood depths adjacent to the proposed well site are on the order of tl'.Q feet ( 2'). Bonneville Fuels is prop::>sing to provide fill with an average depth of 4.73 feet. 'Ihis amount of fill will pro- vide a platform which is rore than 2-1/? feet higher than the adjacent floodplain. Based upon our information, the amount of fill needed for the platform would be approximately three feet. With three feet of fill, the platform \<Kluld be one foot above the 100-year floodplain. In sUJmlary, we feel that the prop:ised well site will not adversely affect any upstream or downstream properties. B. No construction materials will be taken from Federal lands. c. Native surface soil materials for construction of access roads are sufficient. D. Exhibits #3 and #4 show access roads. No Federal or Indian Land is involved. 7. METHODS OF HANDLING WASTE DISPOSAL: A. Cuttings not retained for evaluation purposes will be exhausted into the reserve pit (see Exhibit #5 for location). B. Drilling fluids will be contained in steel mud tanks. The reserve pit will contain any excess flow from the well during drilling, cementing, and completion operations. The reserve pit will be an earthen pit, approximately 80' x 30' x 10'. c. Produced water if any, will be disposed into a reserve pit or a tank (depending on the rates). Produced oil if any, will be collected in tanks or disposed into the reserve pit, depending on the volume and frequency of occurance. If the volume of oil is sufficient, it will be trucked from the location. Water will be disposed of in the reserve pit. D. A portable chemical toilet will be provided on the location for human waste. E. Garbage and trash produced during drilling or testing will be handled in a trash cage. This garbage will be hauled to a dump after drilling is completed. Water and tailings will be disposed into the reserve pit. No toxic waste/chemicals will be produced by this proposed operation. If a trash cage is not available, a trash/burn pit will be constructed and fenced with woven wire. F. After the rig moves out, all materials will be cleaned up and no adverse materials will be left on location. Any dangerous open pit will be fenced during drilling and kept closed until the pit has dried. All pits will be filled and the well site will be leveled and reseeded, this will occur when pits are dry enough to fill and as weather permits. Only that part of the pad required for producing facilities will be kept in use. In the event of a dryhole, only a dryhole marker will remain. 1 ) 8. ANCILLARY FACILITIES: No air strip, campsite or other facilities will be built during drilling and completion operations of this well. 9. WELL SITE LAYOUT: A. Refer to Exhibits #5 for the Drill Pad layout as staked, with elevations by Energy Surveys & Engineering Corp., Grand Junction, Colorado. Cuts and fills have been indicated to show the planned cut across the proposed location. Topsoil will be stockpiled. B. Refer to Exhibit #5 for a planned location diagram of the proposed rig and drilling equipment, reserve pit, and pipe racks. No permanent living facilities are planned. There may be a trailer on site. c. The rig orientation, turn-around area, parking area, and access roads are shown in Exhibit #5. D. The reserve pit will not be lined. 10. PLANS FOR RESTORATION OF SURFACE: A. Upon completion of the proposed operations, and if the well is to be abandoned, the location will be backfilled, leveled, and contoured to as near the original topography as is feasible as soon as the pits have dried enough to support earth moving equipment. The location will be reseeded. All spoils materials will be hauled to a dump upon completion of the drilling operation. B. Revegetation and rehabilitation will be achieved by reseeding utilizing the contour method with a seed misture of n~tive grasses. c. Prior to rig release, the reserve pit will be fenced to prevent livestock or wildlife from being entrapped. The fencing will be maintained until leveling and the clean- up accomplished. D. If any oil is on the pits and cannot be immediately removed after operations cease, the pit containing the oil or other adverse substances will be overhead flagged and fenced. The entire location will be inspected for trash and other refuse, and additional clean-up will be done as deemed necessary. E. Time to complete rehabilitation depends upon the time for pits to dry. Wellsite access roads are located on the floor of the river valley. The soil is sandy loam. Vegetation consists of sage brush and range grasses .. The existing roads are a county road, a privately controlled road and state highway. c. Intermittent streams (i.e. flow during wet seasons of the year) do exist in the area. D. All lease and/or unit operations are to be conducted in such a manner that full compliance is made with the applicable laws, regulations (43 CFR 3100), and the approved plan of operations. If operations are to be suspended for more than 30 days, prior approval of this office must be obtained and notification given before resumption of operations. In the event abandonment of the hole is desired, an oral request may be granted by the area manager but must be timely followed within 15 days with a "'Notice of Intention to Abandon," form 3160-5 (formerly 9-331). 4. The spud date will be reported orally to the area manager within 48 hours after spudding. If the spudding occurs on a weekend or holiday, wait until the following regular workday to make this report. In accordance with 43 CFR 3162.4-3, this well must be reported on form 3160-6, "Monthly Report of Operations,•• starting with the month in which operations commence and continue each month until the well is physically plugged and abandoned, This report should be filed with the Grand Junction District Office, 764 Horizon Drive, Grand Junction, Colorado 81506. Any change in the program must be approved by the area manager. "'Sundry Notices and Reports on Wells,"' form 3160-5, must be filed for all changes of plans and other operations in accordance with 43 CFR 3162.3. Emergency approval may be obtained orally, but such approval does not waive the written report requirement. One copy of all logs run, drilling and cementing reports, core descriptions, core analyses, well test data obtained and compiled during the drilling, workover, and/or completion operations should be filed with the Grand Junction Resource Area office, 764 Horizon Drive, Grand Junction, Colorado· 81506. Samples (cuttings, fluid, and/or gas) will be submitted only when requested by this office. 6. Pursuant to NTL-28 requirements regarding disposal facilities for new wells, this permit allows unlined pit disposal of the water produced from this well for a period of 90 days from the date of initial production for sales purposes. During this period, an application for approval of the permanent disposal method must be submitted for approval. 7. This application for permit to drill is valid for a period of one year from the date of approval. Any requests for extensions must be submitted prior to the end of the one year period. If the application terminates, any surface disturbance created under the application must be rehabilitated in accordance with the approved plan within 90 days of termination, unless otherwise approved. If a tank battery is constructed on this lease, it must be surrounded by a fire wall of sufficient capacity to adequately contain the storage capacity_of the battery. In accordance 11ith 43 CFR 3162.7-4(d), a site facility diagram must be submitted within30 days after installation. Preventers will be pressure tested at the time of installation, prior to drilling out each casing shoe, and at lease every 30 days. Pipe rams and the annulus-type preventer must be activated at least once each 24 hours and the blind rams each time the drill pipe is out of the hole. All BOP pressure tests must be recorded on the daily drilling report. In accordance with API Standards, ram-type preventers must be equipped with extension handwheels or hydraulic locks. I l ~ I . 11. All casing strings must be pressure tested to 1,000 psi or 0.2 psi per foot, whichever is greater, prior to drilling the plug after cementing. Test procedures must not exceed 70 percent of the minimum internal yield· pressure of the casing. A leak is indicated if the pressure drop exceeds 10 percent in 30 minutes, which must be corrected. 12. If air drilling, the operator shall control blooie line discharge dust by use of water injection or any other acceptable method. The blooie line discharge shall be a minimum of 125 feet from the well head and be directed into the blooie pit in such a manner as to allow containment of drill bit cuttings and waste in blooie pit. 13. If any additives, other than those approved, are used in the proposed circulating medium, please notify this office of the types and amounts of additives to be used. Upon completion of drilling, if the fluids are hauled away, this office must be notified of when and where the fluids will be disposed. 14. Any flaring or venting of gas is subject to NTL-4A. 15. Section 102(bJ(3) of the Federal Oil and Gas Royalty Management Act of 1982, as implemented by the applicable provisions of the operating regulations at Title 43 CFR 3162.4-l(c), requires that "not later than the 5th business day after any well begins production on which royalty is due anywhere on a lease site or allocated to a lease site, or resumes production in the case of a well which has been off production for more than 90 days, the operator shall notify the authorized officer by letter or sundry notice, Form 3160-5, or orally to be followed by a letter or sundry notice, of the date on which such production has begun or resumed." The date on which production is commenced or resumed will be construed for oil wells as the date on which liquid hydrocarbons are first sold or shipped from a temporary storage facility, such as a test tank, and for which a run ticket is required to be generated or, the date on which liquid hydrocarbons are first produced into a permanent storage facility, whichever first occurs; and, for gas wells as the date on which associated liquid hydrocarbons are first sold or shipped from a temporary storage facility, such as a test tank, and for which a run ticket is required to be generated or, the date on which gas is first measured through permanent metering facilities, whichever first occurs." 16. If at any time the facilities located on public lands authorized by the terms of the lease are no longer included in the lease (due to a contraction in the unit or other lease or unit boundary change) the BLM will process a change in authorization to the appropriate rental, or other financial obligation determined by the authorized officer. 17. Contact the Glenwood Springs Resource Area Manager at least 48 hours prior to commencing drilling operations, 2. The operator will immediately bring to the attention of the Glenwood Springs Resource Area Manager any and all antiquities or other objects of historic or scientific interest including, but not limited to, historic or prehistoric ruins, artifacts, or fossils discovered as a result of operations under this permit. The operator will immediately suspend all activities in the area of the object and will leave such discoveries intact until told to proceed by the Area Manager. Notice to proceed will be based upon evaluation of the cultural significance of the object. Evaluation will be by a qualified professional selected by the Area Manager from a Federal agency insofar as practical. When not practical, the operator will follow the mitigation requirements set forth by the Area Manager concerning protection, preservation, or disposition of any sites or material discovered. In those situations where the Area Manager determines that data recovery and/or salvage excavations are necessary, the operator will bear the cost of such data recovery and/or salvage operations. 3. The reserve pit will be fenced on three sides prior to drilling activity and closed off on the fourth side after drilling is finished, Fencing will be four strands of barbed wire or 48-inch woven wire. All corners will be braced with a wooden H-type brace. The fence construction will be on cut or undisturbed surface. 4. Trash will be handled as per the approved APD except that it will be hauled to an approved sanitary landfill_. 5. According to the landowner requirements to the company the location was constructed over the abandoned Havermeyer ditch as shown on Plat ' No. 2 (Pit and Pad Layout), 6. If the well is abandoned/dry hole: Restore the access road and location to blend with the adjacent terrain. During reclamation of the site, push the fill material into cuts and up over the backslope. Leave no depressions that will trap water or form ponds. Distribute topsoil (if available) evenly over the location and seed according to the above seed mixture. The access road and location will be ripped or disked prior to seeding, The area will be considered to be satisfactorily reclaimed when: A. Item ~o. R specifically requested Bonne- ville Fuels to submit information "certifying that the well site and associated structures will be elevated one foot (1') above the 100-year floodplain, identified on the Preliminary Floodplain Mapping done by the Army Corps of Engineers, as provided by the Colorado Water Conser- vation Board, and that a statement from a registered engineer be sub- mitted certify ing that such fill will not adversly affect any upstream or downstream properties". We have reviewed the above-mentioned mapping as it relates to the pro- posed well site . We have found that the proposed well site lies within the floodway fringe of the 100-year floodplain; therefore, the proposed fill (by definition of floodway and floodway fringe) will not increase the 100-year floodplain by more than one foot ( 1 '). Throuqh cal cula- tion, we have determined that the impact created by the inclusion of the fill within the 100-year floodplain will increase the water s urface an infinitesimal amount. As can be seen on the mapping, the floodplain in this area is approximately 2800 feet wide. 'Ihe prop:>sed well site pad is only go ing to encroach the floodplain by 60 feet . 'Ihis en- croachment is rrore than 1200 feet from the floodway/floodway fringe boundary of the Colorado Piver. Based upon the Floodpain Mapping, it appears that the flood depths aajacent to the proposed well site are on the order of two feet ( 2') • Bonneville Fuels is proposing to provide fill with an avera~e depth of 4.73 feet. This amount of fill will pro- vide a platform which i s more than 2-1//, feet higher than the adjacent floodplain. Based upon our information, the amount of fill needed for the platform would be approximately three feet . With three feet of fill, the platform would be one foot above the 100-year floodplain . In summary , we feel that the proposed well s ite will not adverse ly affect any upstream or downstream properties. In addition , since Bonneville Fuels is prop:>sing an average fill depth of 4. 73 feet, we deem this adequate to elevate the site rrore than one foot above the 100 -year floodplain . Grantee shall notify Granter prior to its initial entry upon the surface estate of Granter, and Granter and Grantee shall mutually agree upon the location of all roads, pipelines, wellsites, tank batteries and any and all other facilities to be located upon the surface estate of Granter. Grantee shall not corrunence any operation until Granter has approved the location of all such improvements, however, such approval shall not be unreasonably withheld. 4. Grantee agrees to use the access roads, pipelines, wellsite, and related facilities hereon in conformance with acceptable and prudent oilfield standards and practices. Grantee agrees to tender to Granter in advance of operations a one-time payment of Fifteen Hundred ($ 1500.00 ) for the wellsite location and right-of-way over and across the access roads during the drilling, completing, equipping and production operation of the subject well. Grantee agrees to line all pits and to pay for any and all damages to growing crops, livestock, and fences caused by any and all of its operations on said land. Grantee further agrees to install culverts at water crossings and gates according to Granter's specifications. Grantee also agrees to relocate and reconstruct those portions of Grantor's irrigation ditches that interfere with Grantee's operations, in accordance with Grantor's specifications. 5. This Agreement shall remain in full force and effect from the date hereof, and so long thereafter as the subject well is in production, and/or the oil and gas lease incident thereto and under which the subject well was drilled remains valid. 6. Any new road constructed to permit access to the wellsite location and related facilities will not exceed a total surface width of twenty ( 20) feet. Grantee shall at all times maintain said roads in good condition and acceptable repair, all at the sole cost and expense of Grantee. 7. In the event that the subject well does not result in the discovery of oil, gas, or other hydrocarbon-s in paying quantities, then Grantee agrees to plug and abandon said well in accordance with all laws and regulation of the State of Colorado. If the subject well is plugged and abandoned, Grantee agrees that within a reasonable period it will restore and re-seed the Granter's surface estate to as near its original condition as practicable. Grantee shall have the right upon termination of its operations hereunder to remove or have removed all of the equipment and materials at its sole cast, risk, and expense. 8. The terms, convenants, and provisions hereof shall be binding upon and inure to the benefit of the parties hereto, their successors, and assigns and the rights and easements herein granted shall be assignable together or separately, wholly or in part. Should Granter use the rights-of-way or easement of Grantee herein, Granter agrees to indemnify and hold Grantee harmless from and against all claims, demands and causes of action including reasonable attorney's fee, for personal injury, death or property damage arising out of or attributable to Grantor's willful or negligent act or omission while using said right-of-way or easement of Grantee. 3. Grantee shall notify Granter prior to its initial entry upon the surface estate of Granter, and Granter and Grantee shall mutually agree upon the location of all roads, pipelines, wellsites, tank batteries and any and all other facilities to be located upon the surface estate of Granter. Grantee shall not commence any operation until Grantor has approved the location of all such improvements, however, such approval shall not be unreasonably withheld. 4. Grantee agrees to use the access roads, pipelines, wellsite, and related facilities hereon in conformance with acceptable and prudent oilfield standards and practices. Grantee agrees to tender to Granter in advance of operations a one-time payment of fifteen hundred ($1,500.00) for the wellsite location and right-of-way over and across the access roads during the drilling, completing, equipping and production operation of the subject well. Grantee agrees to line all pits and to pay for any and all damages to growing crops, livestock, and fences caused by any and all of its operations on said land. Grantee further agrees to install culverts at water crossings and gates according to Granter's specifications. Grantee also agrees to relocate and reconstruct those portions of Grantor's irrigation ditches that interfere with Grantee's operations, in accordance with Grantor's specifications. 5. This Agreement shall remain in full force and effect from the date hereof, and so long thereafter as the subject well is in production, and/or the oil and gas lease incident thereto and under which the subject well was drilled remains valid. 6. Any new road constructed to permit access to the wellsite location and related facilities will not exceed a total surface width of twenty ( 20) feet. Grantee shall at all times maintain said roads in good condition and acceptable repair, all at the sole cost and expense of Grantee. 7. In the event that the subject well does not result in the discovery of oil, gas, or other hydrocarbons in paying quantities, then Grantee agrees to plug and abandon said well in accordance with all laws and regulation of the State of Colorado. If the subject well is plugged and abandoned, Grantee agrees that within a reasonable period it will restore and re-seed the Grantor 1 s surface estate to as near its original condition as practicable. Grantee shall have the right upon termination of its operations hereunder to remove or have removed all of the equipment and materials at its sole cast, risk, and expense. 8. The terms, convenants, and provisions hereof shall be binding upon and inure to the benefit of the parties hereto, their successors, and assigns and the rights and easements herein granted shall be assignable together or separately, wholly or in part. Powers & Co., As Lessor and Bonneville Fuels Corporation, As Lessee The above described lease, to which this Addendwri "A" is attached is hereby amended and supplemented as follows: Lessor and Lessee agree to enter into negotiations for and to execute a Right-of-Way and Surface Damages Agreement prior to Lessee conducting any operations on the surface of the leased premises, except for the testing of the *20-2 Powers well as provided in that certain letter agreement dated January 22, 1988 between Lessor and Lessee. The Right-of-Way and Surface Damages Agreement referred to above shall, at a minimum, provide that Lessee shall notify Lessor in advance, of its intentions to conduct operations on said premises and Lessor and Lessee shall mutually agree as to the location of all improvements contemplated by Lessee, including the location of wellsi tes, access roads thereto and pipelines related thereto. The Board accepted the Gates affidavit into the record 13 as Exhibit "A", a copy of the Warranty Deed to the Bayouds as Exhibit "B 11 and 14 the special Deed frO\[l Payne and Johnson to Ming Properties, Inc. as Exhibit 15 "C". 16 Corrmissioner Smith made a motion that the Board approve and the Chairman be 17 authorized to sign the abatement for George F. and Joan Bayoud for an assessed 18 valuation of $432,500 with the figure of the abatement to be added when the 19 Assessor's office finished figuring it. Corrmissioner Schmueser seconded the 20 motion; carried. 21 INDEMNITY AGREEMENT WITH BONNEVILLE FUELS CORPORATION 22 Commissioner Schmueser declared a conflict of interest and was excused. Greg 23 Twomley, Bonneville Fuels Corporation, 1600 Broadway, Suite 1123, Denver, was 24 present to represent Bonneville Fuels Corporation. Attorney Don DeFord was on 25 vacation and Assistant Attorney Sherry Caloia was in court so there was no 26 county attorney present. However, Chairman Richardson had conversed with Don 27 DeFord regarding this issue and Don had stated it was the Board's choice but it 28 was his preference for security to be a bond. His second choice would be a 29 letter of credit and third choice an indemnity agreement which is what was 30 before the Board at present. Don had investigated the financial capabilities 31 of Bonneville Fuels Corporation and had found them to have a gross profit of 32 $12 million rough profit of $5 million. This was verified as the profits of 33 Bonneville Pacific which Bonneville Fuels is a subsidiary of. After further 34 discussion regarding the Board's obligation to grant the same request to other 35 firms which would, in essence, be reducing the bond requirements, Commissioner 36 Smith made a notion that the Board deny the Indemnity Agreement of Bonneville 37 Fuels Corporation and accept only the bond agreement. Chairman Richardson 38 stepped down to second the motion; carried. 39 JACK'S POCKET VILLAGE, FILING #5, PHASE I, RESUBDIVISION, WCATED WITHIN 40 BATTLEMENT MESA POD: APPLICANT, BATTLEMENT MESA, INC. 41 Jim Langford, 2764 Compass Drive, Grand Junction clarified that Gary Lestor and 42 not Battlement Mesa was the applicant. Gary Lestor, of Gary Lestor Homes, Box 43 6190, Battlement Mesa was also present. Mark Bean, Director of Building, 44 Planning and Sanitation, reviewed the staff ccmnents explaining this was a 45 request to redivide property previously reviewed by the Board with the 46 Preliminary Plan dividing the property into 100 townhouses which is less in 4 7 size than what was approved. Mark read the conditions of approval i:nto the 48 record and stated that condition number three had been met and could be 49 deleted. After discussion regarding the staff recommendations, Commissioner 50 Smith made a rrotion that the resubdivision of Jack's Pocket Village, Filing #5, 51 Phase I, be approved with the conditions #1, 2, 4 and 5 included in the staff 52 corrments dated June 13, 1988 and that the Chairman be authorized to sign the 53 Final Plat of the Mesa Ridge after review by the County Attorney and which 54 includes the formation of a homeowners association. Corrmissioner Schmueser 55 seconded the motion; carried. 56 WILLIAMS TRUST SPECIAL USE PERMIT 57 Greg McKennis, 1270 co Rd 240, Glenwood Springs, represented the Williams Trust 58 and Courtney Antrim and he discussed their proposal to develop a sporting clays 59 range on a piece of their property. Corrrnissioner Schmueser made a motion that 60 the application be set for Public Hearing without referral to the Planning 61 Conmission. Commissioner Smith seconded the motion; carried. 62 SWEE!WATER LAKE RESORT SPECIAL USE PERMIT 63 Present for discussion regarding the Sweetwater Lake Resort Special Use Permit 64 were Dean Gordon, of Schmueser, Gordon and Meyer, 1512 Grand Ave., Glenwood 65 Springs and Dwight Young, Southwestern Land Managerrent, Inc. 3406 Sweetwater 66 Road, Gypsum. Mark Bean, Director of Building, Planning and Sanitation, 67 explained that the permit was to expand their existing resort and to formalize 68 the recreational vehicle area. They are willing to limit, if necessary, the 69 permit to December 31, 1988 with a more formal application for more 70 alterations. JO• HO $H T or RIGHT-OF-WAY AND SURFACE DAMAGES AGREEMENT STATE OF COLORADO )s COUNTY OF GARFIELD )s THIS AGREEMENT is effective the }/ r• day of J1-x ' 1988' by and between David Youberg, 900 Elwood Court, sac City, Iowa 50583, hereinafter referred to as 11 GRANTOR 11 and Bonneville Fuels Corporation, 1600 Broadway, Suite 1123, Denver, Colorado 80202, hereinafter referred to as "GRANTEE". WITNESSETH: in consideration and other good set forth, Granter For and conditions, hereinafter follows: of and and the convenants, terms, valuable considerations Grantee hereby agree as Grantee intends to drill a well for oil and/or gas, said well to be known as the 23-24 Youberg well hereinafter referred to as 11 the subject well11 , to be located in the SE/4SW/4, Section 23, T6S, R94W, Garfield County, Colorado. Gran tor does hereby convey to Grantee, its successors and assigns, a right-of-way upon and across the above described land and premises, together with the right so long as said right-of- way is used for the purposes herein granted, to enter upon and across the surface estate of Granter, to construct, maintain, repair and use limited access roads, together with all necessary bridges for access to the subject well location; and, to construct a wellsite, tank batteries, electrical lineE!, pipelines, and all such other related facilities as are necessary for Grantee to properly drill, equip, complete for production, produce and/or plug and abandon the subject well. Granter hereby reserves unto itself, its successors and assigns, all surface, water and mineral uses and the right to grant additional and successive rights-of-way which are not inconsistent with the rights granted to Grantee at all times that this right-of-way is in effect. Entry upon the heretofore referenced surface estate and right-of-way for use of the access roads, wellsite, pipelines and all other related facilities are hereby granted upon the following express conditions: 1. Grantee, its agents, successors and assigns, will save and hold Gran tor harmless from and against any and all claims, demands and causes of action including reasonable expenses, attorney fees and court costs, arising from or in connection with any claim for damages to persons or property caused by the willful or negligent act or omissions of Grantee in the installation, construction, repair, maintenance and all operations involved with the drilling, completion, production and/or plugging and abandoning the subject well, but not otherwise. 2. Should Granter or any third party use the rights-of-way or easement of Gran tor herein, said parties agree to indemnify and hold Grantee harmless from and against all claims, demands and causes of action including reasonable attorney's fee, for personal injury, death or property damage arising out of or attributable to Grantor's or third party's willful or negligent act or omission while using said right-of-way or easement of Grantee. 3. Grantee shall notify Granter prior to its initial entry upon the surface estate of Granter, an"d Granter and Grantee shall mutually agree upon the location of all roads, pipelines, wellsites, tank batteries and any and all other facilities to be located upon the surface estate of Gran tor. Grantee shall not commence any operation until Granter has approved the location of all such improvements, however, such approval shall not be unreasonably withheld. 4. Grantee agrees to use the access roads, pipelines, wellsite, and related facilities hereon in conformance with acceptable and prudent oilfield standards and practices. Grantee agrees to tender to Granter in advance of operations a one-time payment of Fifteen Hundred ( $ 1500.00 ) for the wellsite location and right-of-way over and across the access roads during the drilling, completing, equipping and production operation of the subject well. Grantee agrees to line all pits and to pay for any and all damages to growing crops, livestock, and fences caused by any and all of its operations on said land. Grantee further agrees to install culverts at water crossings and gates according to Grantor's specifications. Grantee also agrees to reloCate and reconstruct those portions of Grantor's irrigation ditches that interfere with Grantee's operations, in accordance with Grantor's specifications. 5. This Agreement shall remain in full force and effect from the date hereof, and so long thereafter as the subject well is in production, and/or the oil and gas lease incident thereto and under which the subject well was drilled remains valid. 6. Any new road constructed to permit access to the wellsite location and related facilities will not exceed a total surface width of twenty ( 20) feet. Grantee shall at all times maintain said roads in good condition and acceptable repair, all at the sole cost and expense of Grantee. 7. In the event that the subject well does not result in the discovery of oil, gas, or other hydrocarbons in paying quantities, then Grantee agrees to plug and abandon said well in accordance with all laws and regulation of the State of Colorado. If the subject well is plugged and abandoned, Grantee agrees that within a reasonable period it will restore and re-seed the Grantor's surface estate to as near its original condition as practicable. Grantee shall have the right upon termination of its operations hereunder to remove or have removed all of the equipment and materials at its sole cast, risk, and expense. 8. The terms, convenants, and provisions hereof shall be binding upon and inure to the benefit of the parties hereto, their successors, and assigns and the rights and easements herein granted shall be assignable together or separately, wholly or in part. We feel that such an installation would be in violation of the covenants described in Resolution No. 80-90 of the Board of County Commissioners of Garfield County, Colorado, as Reception No. 309740 in Book 560 at Page 749. We as property owners signed agreements to abide by these covenants, restrictions, conditions, and obligations. These covenants were declared, established and agreed upon for the purpose of enhancing the value, desirability and attractive- ness of the subdivision property. Activities such as drilling a well would be considered noxious and offensive to the present owners. Continued development and maintenance,.noise and road damage attendant upon the establishment of a gas well would constitute a considerable nuisance for the homeowners. Our covenants further state that "no land within the subject property shall be occupied or used for any commercial or business purposes." The road access to the proposed well site is private and owned jointly by the property owners of the entire subdivision. We object to the use of the road for the purpose of drilling and maintaining a gas well. We all have considerable financial investment in our property, and we have selected these homesites because of the peaceful atmosphere, the views, and the solitude afforded by this location. A residential subdivision is not an appropriate location for drilling a gas well. There are many alternatives available to the gas company; we have already established our homes here!
