interest, claim and demand whatsoever of the said party of the
first part, either in law or equity, of, in and to the above
bargained premises, with the hereditaments and appurtenances.
TO HAVE AND TO HOLD the same premises above bargained
and described, with the appurtenances, unto the said party of
the second part, its successors and assigns forever. And the
said party of the first part~ for itself, its heirs, executors,
administrators, successors and assigns, does covenant, grant,
bargain and agree to and with the said party of the second part,
its successors and assigns, ~hat at the time the ensealing and
delivery of these presents, it was well seized of the premises
above conveyed, as of good, sure, perfect, absolute a"nd in-

AGREEMENT AND PLAN OF MERGER
This AGREEMENT AND PLAN OF MBllG.ER. (this" Agreementj, dated as of April
29, 2002, by and amoog Chevron U.S.A Inc., aPeimsylvania corporation ("CUSA''), and
Chevron Shale Oil Company, a Califomia corporation ("CSOC").
WITNESSETH:
WHEREAS, CUSA is a c:cuporation duly organized and existing Ullder the laws of the
Commonwealth of Penosylvania; and
WHEREAS, CSOC is a corporation duly otgallizcd and mtisting under the laws of the
State of Califumia; and
WHEREAS, the Board of Directors of each ofCUSA and CSOC deems it desirable, upon
the tenns and subject to the conditions S1ated herein, that CSOC be merged with and into CUSA,
and that CUSA be the swvivins corporation (the "Mmgm");
NOW, THEREFORE, it is agreed as follows:
SECTION I
Mager; Effects
1.1 At the Effective Time (as hereiJJafter defined), CSOC sh& be merged with and
into CUSA, with CUSA as the sole suMving corporation (the "Surviving Corporationj.
1.2 AttheEffectiveTime:
(a) Each then-outstandinsahlreofQpitalstoc.k ofCUSA shall, byvirlueofthe
Merger and without any ai:tion on the put of the holder thereof, remain U11changed and continue
to remain outstanding as one shan: of capital stock of the Surviving Corporation.
(b) Each then-outstandins share of capital Stock of CSOC shall, by virtue of the
Merger and without any action on the put of the holder thereof. be canceled and no
consideration shall be issued in respect thereo£
SECTION2
Effective Time
2.1 If this Agreement is duly adopted by the stockholders of each ofCUSA and
CSOC and is not tenninated in accordance with Section S hereof, a certificate of merger

reflecting this Agreement (the "Certificate ofMe!Jer") shall be filed with the Secretary of State
of the State of California and articl1111 of merger reflecting this Agreement (the "Articles of
Merger") shall be filed with the SecretaI}' of State of Pe1111Sy!vania.
2.2 The Merger shall become dfective (the "Effective Time'') at the time of the filing
of the Articles of Mager with the Secretary of State of Pe1111Sylvania (or such laier time as may
be specified 1hetein}.
SECTIONJ
Certificate oflncorporation and Bylaws
3.1 At.the Effective Time, the Amended and Restated Articles of Incorporation of
CUSA, as amended through the Effective TlDle, shall be the Amended and Restated Articles of
Jncorpomtion of the SutViving Cocporation.
3.2 At the Effective Time, the By-Laws ofCUSA, as amended through the Effective
Time, shall be the By-Laws of the Surviving Corporation.
SECTION4
Directrirs and Officm
4.1 The directors and officers of CUSA immediately prior to the Etrective Time of
the Merger shall be the dircc!ool and officers, 1 espectivcly, of the Surviving Corporation.
SECTIONS
Amendment and Tmination
S.1 At any time prior to the F.ffcelive Time, notwithstanding appmval of this
Agreement by the stockholders of CUSA and/or CSOC, this Agreement may be amended, to the
fullest extent permitled by applicable law, by an agreement in writing duly approved by each of
CUSA and CSOC.
5.2 At any time prior to the Effective Time, notwithstanding approval of this
Agreement by the stockholden of CUSA and CSOC, this Agr=ment may be terminated and
abandoned by CUSA.
