1. We plan to move our shop and office from the Town of Silt into the County.
The steel buildings will be new.
We anticipate a shop building 16'X. 2X :°and a shed type building
16'X'X ;b'
Parking and storage will be graveled and asphalt paved.
The roadside will be fenced.
We have 6 dump trucks and 6 to 8 pickups and cars going in and out during
our busy season.
Harness Lane is used heavily by trucks, especially logging trucks.
Our impact will be minimal.
2. Water will be from an existing well on our adjoining property. Septic systems
will be used for sewer.
3. We'll use an existing driveway.
4. and 5. We own all of the mineral rights.
6. We are submitting a plat with the legal.
7. Kelly or Michael Lyon are the agents and owners.
8. (1) We have a water well, septic tank will be used, electricity is available on Harness
Lane.
(2) Our traffic will be minimal, site distance in each direction is excellent.

c. The site shall be posted such that the notice is clearly and conspicuously visible
from a public right-of-way, with notice signs provided by the Planning Department.
The posting must take place at least thirty (30) but not more than sixty (60) days
prior to the hearing date and is the sole responsibility of the applicant to post the
notice, and ensure that it remains posted until and during the date of the hearing.
4. The Applicant is required to appear before the Board of County Commissioners at the time
and date of the public hearing at which time the Board will consider the request. In addition,
the Applicant shall provide proof, at the hearing, that proper notice was provided.
5. Once the Board makes a decision regarding the Special Use request, Staff will provide the
Applicant with a signed resolution memorializing the action taken by the Board. Following
the Board's approval, this office will issue the Special Use Permit to the applicant. If the
Board's approval includes specific conditions of approval to be met, this office will not issue
the Official Special Use Permit certificate until the applicant has satisfied all conditions of
approval. The Special Use Permit approval is not finalized until this office has issued the
Official Special Use Permit certificate signed by the Chairman of the Board of County
Commissioners.

1. APPLJCANT has submitted to COUNTY an application for60 A /

2. APPLICANT understands and agrees that Garfield County Resolution No. 98-09, as amended,
establishes a fee schedule for each type of subdivision or land use review applications, and the guidelines for the
administration of the fee structure.
3. APPLICANT and COUNTY agree that because of the size, nature or scope of the proposed
project, it is not possible at this time to ascertain. the full extent of the costs involved in processing the
application. APPLICANT agrees to make payment of the Base Fee, established for the PROJECT, and to
thereafter permit additional costs to be billed to APPLICANT. APPLICANT agrees to make additional
payments upon notification by the COUNTY when they are necessary as costs are incurred.
4. The Base Fee shall be in addition to and exclusive of any cost for publication or cost of
consulting service determin.cd necessary by the Board of County Commissioners for the consideration of an
application or additional COUNTY staff time or expense not covered by the Base Foe. If actual recorded costs
exceed the initial Base Fec, APPLICANT shall pay additional billings to COUNTY to reimburse the COUNTY
for the processing of the PROJECT mentioned above. APPLICANT acknowledges that all billing shall be paid
prior to the final consideration by the COUNTY of any land use permit, zoning amendment, or subdivision plan.

ADDENDUM TO CONTRACT TO BUY AND SELL REAL ESTATE
DATED SEPTEMBER 3, 1999

KELLY AND MICHAEL LYON FAMILY LTD. LIABILITY COMPANY,
Purchaser
PROPERTY: 154 acres, +/-, of land known as 0187 Co. Rd. 263,
Silt, Garfield County, Colorado
Subsequent to signing the Contract, the parties determined to
change two paragraphs therein to more accurately reflect their
agreement. In consideration of the purchase price and respective
covenants and agreements set forth in the Contract, the parties
agree that paragraphs 11 and 17 are amended to read as follows:
11. Title shall be good and merchantable in Seller, except as
otherwise stated in this Contract. Subject to payment or tender
as above provided and compliance by Purchaser with the other
terms and provisions hereof, Seller shall execute and deliver a
good and sufficient general warranty deed to Purchaser on the
closing date, conveying the Property (except the water rights and
any not previously excepted or reserved oil, gas or minerals,
which shall be conveyed by quit claim only) free and clear of any
leases except for any outstanding oil, gas or mineral lease
pertaining to the premises and except for the rights of Seller's
agricultural tenant to growing and stored crops until March 1,
2000 [see paragraph 14 below] ; free and clear and of all taxes
and assessments, except the general property taxes for 1999,
which shall be apportioned between the parties at closing and
which Purchaser shall pay when due [see paragraph 13 below]; and
subject to the following: U.S. patent reservations and
exceptions; all recorded or apparent rights of way and easements
for roads, utilities, ditches or otherwise; plat notes, easements
and rights of way, encroachments, and any other items disclosed
by any survey Purchaser may choose to perform on the Property;
building, zoning and subdivision regulations and all other
governmental laws, regulations, resolutions and restrictions
whether a matter of public record or not; prior reservations and
exceptions, if any, of oil, gas or other minerals in, on, or
under the Property; and any portion of the Property which may lie
outside of existing fence lines. All closing costs and any other
encumbrance required to be paid at or before closing, may be paid
at the time of closing from the proceeds of this transaction or
from any other source.

17. Possession of the Property shall be delivered to Purchaser
upon closing, subject to the rights of Seller and Seller's
agricultural tenant as herein set forth. Prior to closing and up
to and including the date of November 1, 1999, Purchaser may also
conduct at Purchaser's sole cost and expense further inspections
or tests of the Property, and may cause to be prepared any survey
of the Property. Purchaser shall have access to the Property for
such purposes AT THE SOLE RISK AND LIABILITY OF PURCHASER AND
THOSE ACCESSING THE PROPERTY FOR OR AT THE BEHEST OF PURCHASER.
Purchaser indemnifies and holds Seller harmless from all claims,
demands, liens, injuries, death, damages and amounts resulting
from such inspections, tests, or surveys. If Purchaser is not
satisfied as to the Property based on such inspections, tests or
surveys, and provided Purchaser so notifies Seller in writing by
the inspection, testing and survey deadline of November 1, 1999
then this Contract shall be deemed of no further force and
effect, in which case all payments received hereunder by Seller,
without interest or other charge, shall be immediately returned
to Purchaser. If Seller and Seller's attorney do not receive
Purchaser's written notice on or before November 1, 1999,
Purchaser is deemed to have accepted the Property. Purchaser
shall furnish to Seller and Seller's attorney within five (5)
days of being made available to Purchaser, copies of all written
inspection, testing and survey work and results thereof including
legal description and survey plat. Purchaser hereby authorizes
Seller to obtain copies or results from such inspection, testing
and survey work conducted in behalf of Purchaser directly from
those conducting or performing the same.
Except as set forth herein, the parties ratify and confirm the
Contract between them dated September 3, 1999.

WARRANTY DEED
This Deed is made this 30th day of November, 1999, between JOE
ANN NICHOLS, GRANTOR, and LYON LAND AND CATTLE, LLC, a Colorado
Limited Liability Company whose legal address is c/o Kelly Lyon,
Manager, P.O. Box 110, Silt, Colorado 81652, GRANTEE, WITNESSETH:
GRANTOR, for the sum of eight hundred eighty thousand and
no/100 dollars, the receipt and sufficiency of which is hereby
acknowledged, has granted, bargained, sold and conveyed, and by
these presents does grant, bargain, sell, convey and confirm unto
GRANTEE, its successors and assigns forever, that tract of land
located in Garfield County, Colorado and described on EXHIBIT "A"
[2 pages] attached hereto and incorporated herein by reference.
Together with all improvements thereon, known as 0187 Co Rd 263
(Harness Lane), Silt, Colorado 81652. Hereinafter called the
"Property".
TO HAVE AND TO HOLD THE PROPERTY, together with all easements
and rights of way appurtenant thereto and all and singular the
hereditaments and appurtenances thereunto belonging, or in anywise
appertaining and the reversion and reversions, remainder and
remainders, rents, issues and profits thereof; and all the estate,
right, title, interest, claim and demand whatsoever of the GRANTOR
in and to the above bargained premises, unto GRANTEE, its
successors and assigns forever.
TOGETHER WITH all of Grantor's right, title and interest in
and to all ditch and water rights appurtenant to or used upon or in
connection with the Property, including 90 acre feet of water from
Silt Water Conservancy District appurtenant to the Property, and
existing domestic water well on the Property, all of which are
conveyed without any covenants of warranty.
TOGETHER WITH all of Grantors' right, title and interest in
and to any oil, gas and minerals in, on or under the Property and
not heretofore reserved or excepted, and any outstanding leases
thereof.
GRANTOR covenants and agrees with GRANTEE, that at the time of
the execution and delivery of this DEED, GRANTOR is well seized of
the Property; has good, sure, absolute and indefeasible estate of
inheritance, in law, in fee simple; has good right, full power and
lawful authority to grant, bargain, sell and convey the same in
this manner; and that the same are free and clear from all other
grants, bargains, sales, leases, liens, taxes, assessments,
encumbrances and restrictions of whatever kind or nature, except
and subject only to: verbal agricultural lease with Larry Antonelli
through March 1, 2000; any outstanding oil or gas lease; the
general property taxes for 1999, which have been apportioned
between the parties to date hereof and which Grantee shall pay in
full when due; U.S. patent reservations and exceptions; all

recorded or existing rights of way and easements for any purpose
encumbering the Property; surveyor's notes, easements and rights of
way, restrictions, reservations, covenants, limitations, overlaps
and fence line encroachments, and any other items disclosed by the
Monumented Land Survey plat of the Property prepared by SurvCo,
Inc., professional land surveying services, dated October 12, 1999
and last revised November 19, 1999; and building and zoning,
wetlands, land use and subdivision regulations and all other
governmental laws, regulations, resolutions and restrictions of any
kind at any governmental level and whether a matter of public
record or not.
Except as to the matters set forth in the preceding paragraph,
and except as to any portions of the Property lying outside of
existing boundary fencelines, GRANTOR shall WARRANT AND FOREVER
DEFEND the Property in the quiet and peaceable possession of
GRANTEE against all and every person or persons lawfully claiming
the whole or any part thereof.
