Re: Subdivision Exemption
Dear Bob,
Two years &go, Chevron Shale OiI Company and
Atlantic Richfield Company executed an Option to
Purchase by which Chevron optioned the right to
buy a L3.76-acre parcel on the north shore of the
Colorado River in the vicinity of Grand Va11ey
( note attachment ) .
This June, Chevron elected to exercise the option.
As of this date, the only remaining obstacle to
closi-ng the transaction is for Atlantic to obtain
an exemptj-on from the County's subdivision require-
ments. Chevron intends to use the parcel to build
a pumping station for water if and when it decides
to proceed with the constructlon of a shale oil
production facility. There are no plans to use
the site for residential purposes.
Last Friday, I reviewed the situation with Gerry
Hartert. He suggested that I send the request for
the exempti-on to your office for review prior to
submission to the county commissioners. Gerry in-
dicated further that there was a good possibility
that under the circumstances the exemption could
be granted at the commissioners' meeting of Sep-
tember 26. Atlantic and Chevron understand that
the subdivision exemption, if granted, wj-1I have
no effect on the zoni-ng restrictions currently ap-
plicable to the tract.

Pl-ease refer to subject Option to Purchase dated July 30, 1975 between Atlantic
Richfield Company and Chevron Shale Oi1- Company covering a 13.76 acre parcel.
Exhibit rrArr to subject Option has as an attachment a survey plat of the 13.76
acre parcel which was prepared by Scatrow and Walker, Inc., Surveyors, Glenwood
Springs, Colorado, by date of July 17, L975.
I'Ie have just received from Searrow and Walker a revi.sed survey plat of the tract
dated October 16, L975, copies attached. The revised p1at, as you will note, is
identleal to the July 17, L97'5 plat as to bearings and distances along the outside
dinensions of the tract. Data added to the revlsed p1at, as.circled ln red on
one of the attached copies, shows that rebar and cap points on 1ine, witness
corners and a bearing showing the Top Edge of Slope to River have been added.
Please attaeh the revised plat of survey to your executed copy of the Option to
Purchase for future reference. We will do the same.

4. llithin forty-five (45) days after ATLAI(TIC RICIIFIELDTs receipr of CIIEVROI{rs
notice of election to exercise the option hereby granted, ATLAI,ITIC RICHFIELD sha11
nake available to CHEVRON abstracts of title prepared by a licensed abstractor
covering the Option Land from the inception of the records to date of delivery.
CHEVRON sha1l have thirty (30) days after receipt of. such abstraets within wirich to
examine title to the Option Land and to accept or reject the same. If CIIEVROII has
obJections to the title it nay so advise ATLA*\TIC RICHFIET.D of acceptance of ritle
subJect to the satisfaction of its requlrements, and ATLALTTIC RICIIFIELD, at its
option and expenser lray elect to neet such requirenents within a thirty (30) day
?eriod. At CEE\EONIs option, CHEtrEON may waive any objection to titLe it may have
uade and accePt the title wlthout the requirenent or requireuents having been
satisfied
5. Upon CHE\RON!s acceptance and approval of title to the Option Land, CHEVROI.I
sha1l so notify ATLAI'ITIC RICHFIELD of such acceptance and approval and ATLAu\TIC
RICIIFIEL; shall then promptly execute and deliver to CHEVRoN a Special Warranty Deed
properly acknowledged and recordable substantially in the forur attached hereto as
Exhibit "A" and upon the delivery of said Special Warranty Deed to ci{EtrRoN, cHEyRoN
sha1I pay to ATLANTIC RICIIFIELD the balance due on rhe purchase price of the oprion
Land. CIIEVRON sha1l then be entltled to imedlate possession of the Optlon Land.
6. It Ls agreed durlng the optlon perlod that CIIEVRON sha1l have the rlght
at any tlme to enter upon the Optlon Land for the purpose of surveylng and fenclng
saoe and constructlng such general access roads thereupon as may bc requlrr:d, and
for such Purposes, shaIl havc the rlght of free lngress and egress to and from saLd
Optlon Land, wlth such pcrsons, tools, nachlnery aud equLpmcnt as CIIEVRON or lts
reprcsentatlves nray deem ncccs:sary ln the conduct of such purposes. In thc event

7, As a precondltlon to CHEVROI'IIs right to exercise the optlon to purchase the
optlon Land, cHEvRoN shaLl convey to Garfield County, Colorado or such other appro-
prlate entity which nay be formed responsible for the construction and operatlou of
any generaL access road in Parachute Creek Va1-1ey, the necessary rights of rTay or
easements across Lands omed by CHEVRON not to exceed 150 feet in width to be userl

8. ATLAI{TIC RIC}IFIELD sha11 pay all general or speciaL taxes levied or
assessed against the 0ption Land during the tern of the option period and prior to

9. subject to the prior written consent of ATLANTTC RTCHFTELD, cHxvp.oN sha11
have the right to assign this option to purchase and upon the assignment thereof,
all of the rights and liabilities of CHETrP.ON sha11 become rhose of the assignee and'
assignor sha11 then be relieved and dlscharged of further liability as of the date
of such assignment.

and shalL be binding upon and inure to the benefit of the partles hereto, their
