Pursuant to C.R.S. (1973) Section 30-28-101 (10) (a) - (d) as amended, and
the Subdivision Regulations of Garfield County, Colorado, adopted January 2, 1979
Section 2.02.01 (d) and 3.02.01 the undersigned

respectfully petitioners the
Board of County Conknissioners of Garfield County, Colorado, to exempt by resolu-
tion the division of 14.58 acre tract of land into 2tracts of
approximately �AJ-�y 3.8_ 5�20
"subdivision" andacres each, more or less, from the difinitions of
"subdivided land" as the terms are used and defined in C.R.S.
(1973) Section 30-28-101 (10) (a) -(d) and the Garfield County Subdivision Regulations,
for the reasons stated below:
1) The proposed parcel split is divided by County Road 245;.
The proposed tracts were created When Elk Creek Subdivision was formed.
in 1969. Ownership has remained in the Dietz family since 1964.

Dear Mr. Dawson:
In response to your question regarding the 5.38 acre land
parcel south of Elk Creek Subdivision, be advised the
minimum horizontal distance from any well and an individual
sewage disposal system leach field serving a three bedroom
single family dwelling is one hundred feet, provided suitable
soil is available.
As a general policy, this office recommends a distance greater
than one hundred feet when a public water supply well is in the
proximity of a septic system. This is recommended as an extra
margin of safety only.

A parcel of land in the N.E.} of Section 25, T.5 S., R.91 W. of the 6th Principal
Meridian in Garfield County, Colorado and being more particularly described as
follows:
Beginning at the center 1 Corner of said Section 25; thence N.00°07'59"E. a distance
of 435.67 feet to a point on the Southwesterly right-of-way line of County Road No. 245;
thence Southeasterly following a curve to the left along said right-of-way line whose
radius is 639.81 feet and whose central ingle is 38'09'07" for an arc length distance
of 426.03 feet and whose chord bears 5.62°09'05"E. 418.21 feet; thence continuing along

MEMORANDUM AGREEMENT
PARTIES
The parties to this agreement are:
1. The ELK CREEK HOMEOWNERS ASSOCIATION, a Colorado
Non -Profit Corporation, hereinafter referred to as "Homeowners",
and
"Dietz".
2. HENRY W. DIETZ, IV, hereinafter referred to as
RECITALS
1. Homeowners is a legal entity having authority to
enforce restrictive covenants pertaining to the Elk Creek
Development, a legal subdivision situate in Garfield County,
Colorado, and having authority to impose assessments on its
members for the purpose of financing maintenance and construction
of roadways serving the Elk Creek Development.
2. Dietz owns real property situate between the Elk
Creek Development and County Road 245 which Dietz is presently
attempting to divide into four (4) parcels pursuant to the Senate
Bill 35 Exemption Regulations of Garfield County.
3. Homeowners and Dietz wish to provide for the
imposition of certain covenants and obligations to run with the
ownership of the four (4) parcels created by Dietz upon approval
of the Senate 'Bill 35 Exemption by the Garfield County
Commissioners.

5. Dietz agrees to impose covenants upon the four (4)
parcels of land to require future owners of the parcels to
participate, on an equitable basis, with the Elk Creek Homeowners
Association or the owners of the individual lots in the Elk Creek
Development in providing for the costs of any improvements made to
the roadway situate within the sixty (60) foot easement to be

granted by Dietz. Further, such covenants shall ---provide . th.at,_the

6. Dietz and Homeowners agree that the Homeowners may
create a special class of members, including the owners of lots in
the Elk Creek Development and the owners of the parcels to be
created by Dietz for the purpose of assessing to such members the
costs of improving and maintaining the roadway and other
improvements, such as pedestrian walkways, to be situate within
the sixty (60) foot easement granted by Dietz; and Dietz agrees to
subject his parcels to membership in the Homeowners Association
within such special class of members if deemed appropriate by the
Homeowners Association. ft is intended that the provisions of thr
-Iomeowners Association governing such assessments shall include

nterest on -Overdue assessments, and to collect from the
ion -prevailing party, the reasonable attorney's fees- and costs

7. Dietz agrees, for himself and his assigns, that the
Homeowners, by entering into this agreement, are not assuming any
obligation to Dietz or his assigns to maintain or improve the
roadway situate within the sixty (60) foot easement. Any such
obligation shall be governed by the common law of Colorado

pertaining to maintenance of easements, unless subsequently
modified by action of the Homeowners including the owners of the
parcels to be created by Dietz as a special class of members in
the Homeowners Association.
Dietz further agrees, for himself and the
respective future assigns of each of his lots, to indemnify and
hold harmless the Homeowners of any claims arising out of
defective design, construction or maintenance of the respective
driveways Viand--turn-out areas serving any of the four lots
belonging to Dietz or his respective future assigns and to pay„ the
seasonable attorney's fees incurred by the Homeowners in the
Iefense of any such, claims.
8. Dietz agrees, that upon sale of the first of the
parcels created by him to third parties, Dietz will cause the
roadway situate within the easement to be improved by installation
of appropriate culverts for the driveways serving Dietz's parcels
and construction of pull -off areas for each parcel at the point of
driveway access in order that access may be had to each of Dietz's
parcels without interfering with the pre-existing use of the
roadway by the owners of lots within the Elk Creek Subdivision.
Such culverts and pull -off areas shall be sized, designed and
constructed in a workmanlike manner, meeting good engineering and
road safety standards, so that the use and condition of the
roadway within the easement shall not suffer any ignificant,
adverse effects.
9. The parties recognize that in order to implement
the foregoing covenants and agreements it may be necessary to make
amendments to the Articles of Incorporation of the Elk Creek
Homeowners Association and to enter into additional agreements to
carry out the intent of the parties. Dietz agrees to have such
documents prepared at his expense, and to pay the cost of filing
such documents with the appropriate authorities.

10. This agreement shall be binding upon the parties,
their heirs, successors and assigns.

WARRANTY EASEMENT DEED

tween Henry W. Dietz, IV, whose address is P. O. Box 138,
Diamond City, Arkansas 72644, of the first part and the Elk
Creek Homeowners Association, a Colorado non-profit corporation,
whose address is New Castle, Colorado 81647, of the second part:
WITNESSETH that the said party of the first part, for and in
consideration of Ten Dollars and other good and valuable con-
sideration to the said party of the first part in hand paid by
the said party of the second part, the receipt whereof is hereby
confessed and acknowledged, has granted, sold and conveyed and
by these presents does grant, sell, and convey unto the said
party of the second part, its heirs and assigns forever, for the
purposes herein stated, the following described real property
situate, lying, and being in the County of Garfield, State of.
Colorado, to wit:
An easement on, under, over, through and across a parcel of
land owned by the Grantor and described on Exhibits A, B, and C,
attached hereto and incorporated herein by this reference for
the purposes of constructing, operating, maintaining, repairing,
installing, replacing, enlarging, improving, and removing water
wells, storage tanks, pumps, treatment facilities, waterlines,
and all other facilities appurtenant thereto or necessary for
the operation thereof, or as may be necessary, useful, or proper
to the transportation, use and distribution of water by the
Grantee, together with a non-exclusive easement for reasonable
access to said Easements over, through, and across the property
owned by the Grantor described in Exhibits A and D, attached
hereto and incorporated herein by this reference, such access to
be for use by employees and authorized agents of the Grantee for
. the purpose of reasonable ingress and egress by vehicle, motor
vehicle, footor horseback in constructing, operating, main-
taining, repairing, installing, replacing, enlarging, improving
and removing said water wells, pumps, treatment facilities,
waterlines and other facilities.
The easements herein conveyed shall be for the benefit of
and appurtenant to the water system of the grantee and the real
property used in connection with said system.
The Grantee may erect fences or other devices to restrict
access to the wellsite easement or the storage tank easement.
Provided Grantor does not interfere with the Grantee's acti-
vities in the operation of its water system, Grantor may use in
common with the Grantee the access and waterline easement herein
conveyed as described in Exhibit A.
In the event of construction or repair work within said
easements by the Grantee, the Grantee shall restore the site
upon completion of construction to its previous condition to the
extent feasible. The Grantee shall not store any materials
within the easements herein conveyed, which materials are not
reasonably needed for the water system of the Grantee.
TOGETHER WITH all and singular the herediments and appur-
tenances thereto belonging or in any wise appertaining, and the
reversion and reversions, remainder and remainders, rents,
issues and profits thereof and all the estate right, title, and
interest, claim, and demand whatsoever of the said party of the
first part either in law or in equity of, in and to the above -
bargained premises with the herediments and appurtenances.
TO HAVE AND TO HOLD the said premises above -bargained and
described with the appurtenances unto the said party of the
second part, its heirs and assigns forever, and that said party

of the first part for its heirs, executors, or administrators
does covenant, grant, bargain, and agree to and with the said
party of the second part and its heirs and assigns that at the
time of the ensealing and delivery of these presents, is well
seized of the premises above -conveyed as of good, sure, perfect,

simple and has good right, full power and authority to grant,
