LAPPALA and vrRGrNrA D. r.APPAr,A (hereinafter referred to as "Lappala") and RAy R. FENDER (hereinafter referred to as "Fender"), WITNESSETH: WHEREAS, Lappara is the owner of certain rear property situate in Garfierd county, cororado, which property adjoins certain real property which Pender lias contracted to purchasei and WHEREAS, Fender desires an easement and right of way over and across the Lappala property to the Fender property, and the parties have reached.an agreement regarding the granting of such easement and the construction of a roadway thereon. NOW, THEREFORE, for and in consideration of the promises and agreements herein contained the parties hereto hereby agree as follows: 1. Lappala Property. That real o which is the subject of property") is described this agreement on Exhibit ,Arr property owned by Lappala (hereinafter the "Lappala attached hereto and incorporatec herein by this reference. 2. Fender Property.That real property owned by Fender which is the subject of this agreement (hereinafter the "Fender property') is described on Exhibit r'Bx attached hereto and incorporatec herein by this reference. 3. Road Easement. In consideration of Fenderts ful1 performance of the terms of this agreement, Lappala hereby,.agrees to grant and convey to Fender an easement and right of vray over and across the Lappala property for purposes of access to the Fender property. Said easement and right of way shaIl be thirty (30) feet in width and shall extend along and fifteen (15) feet on either side of a line extending from a point on County Road No. 107 located northerly of the Fender property, over and across the Lappala o \ property, to a point located in the northerly 23I.55 feet of the easterry boundary of the pender property. The exact location of said easement and right of way shall be determined by mutual agreement of the parties hereto and said easement and right of way shaIl be conveyed by a surveyed legal description of the constructed roadway as hereinafter provided. 4. Road Construction.Eender may, at his sole cost and exPense, construct a roadway on said easementr ds aligned by mutual agreement of the parties. The roadway as constructe<l shall not exceed thirty (30) feet in width. 5. Survey of Easement.Upon the completion of construction of said roadway, Fender shall, at his sore cost and expense, obtain a centerline survey of said roadway as constructed, ancl shall provide Lappara a copy of said surveyed description. 6. Pa ment for Easement.Fender shall pay to Lappala a total sum of $1,500.00 for said road easement and right of way, which sum shall be payable as follows: $500.00 upon conunencing construction of said roadway and the balance in the sum of 91r000.00 uPon Lappala executing and delivering to Fender a quit claim deed conveying said easement and right of way by the surveyed legal description, which deed sha1l be prepared at Fender's expense. 7. Grant of Easement.Lappala hereby agrees to grant and convey to Fender, by quit claim deed, said easement and right of way as described by the surveyed legal description of the roadway as constructed by Fender Dursuant to paragraph 4 above, which easement and right of way shall be for purposes of access to the Fender property 8. Use and Maintenance.Lappala, or his successors in interest, shal1 be entitled to utilize said roadway, if constructed, for purposes of access to one single family residence situate on the Lappala property; provided that the expenses for maintaining said roadway shall be proportionately shared by the users thereof as determined on the basis of the total number of residences served by said roadway o -2- o o \ 9. Continqencies. This agreement is expressly contingent upon Fender closing his purchase of the Pender property, and in the event Fender fails to complete said closing on or before June 1, 1980, this agreement shaIl te deemed null and void. It is further understood and agreed that Fender shall have the option of electing to waive his rights to said easement and right of way as set forth herein and thereby terminate this agreement; provided that if Fender elects to acquire an-d utilize said easement and right of way he shall pay Lappala said $500.00 and commence construction of said roadway on or before June 15, 1980 and shall obtain said surveyed legaI description and present Lappala the quit claim deed for conveyance thereof on or before July 15, 1980. Upon Fenderrs failure to complete such performance on or before said dates this contract may declared terminated. I0. Binding Effect.This agreement shall inure to the benefit of and be binding upon the parties hereto, their heirs, personal representatives successors and assigns.
