WHEREAS Biebl and the District have previously entered into a Master Agreement to facilitate a boundary line adjustment dated & recorded at , all the recitals of which are true and fully incorporated by reference into this Road Sharing Agreement; and WHEREAS, in the short-term, Diehl desires a right to use the existing road which crosses over the District property to conveniently access that District property recently conveyed to Biebl pursuant to that Master Agreement; and, WHEREAS the District has determined that such a license would not interfere with its use and enjoyment of the District property, nor will the limited interest conveyed herein be needed by the District within the foreseeable future; and WHEREAS, in the long-term, the Parties wish to retain flexibility regarding agreements they may choose to enter into to access their respective properties, including, but not limited to, shared use of the existing road and sharing the costs of improving and maintaining the same, or shared use of a fatu.te road which may access the frontage road at a different point located on either one of their properties, or between their properties, and sharing the costs of improving and maintaining the same, or some other arrangement not yet known; NOW, THEREFORE, for and in consideration of the mutual promises and covenants expressed herein and other consideration, receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: AGREEMENTS 1. Grant of License: The District hereby grants to Biebl a revocable, nonexclusive license to use the existing road that crosses the District property as of the date of this Agreement (the "License Parcel"), running roughly north to south along the eastern flank of the District property and as approximately depicted on Exhibit F attached to this agreement, for such proposes and subject to terms, conditions, limitations and reservations as follow. 2. Use of License Parcel: The License Parcel may be used for vehicular and pedestrian ingress and egress to and from Biebl's property by the owners and tenants of RE-1-Aiebl-Ex.J-Road Sharing Agreement 7.19.07 FN -23 8650-696-0L6 1.1d8l•:i L002 TO 2n8 Master Agreennent– :..item —. Liability Insurance: At all times while this Agreement and the license herein granted are in effect, Biebi shall maintain public liability insurance covering the License Parcel, which insurance shall have a coverage limit of not less that one million dollars ($1,000,000) and shall name the District as an additional insured thereon. Biebl shall provide the District of proof of such insurance within fifteen (15) days of the District's requests therefor. 4. lndernnification: To the fullest extent permitted by law, Biebl shall defend, indemnify and hold the District harmless from any and all liability, claims and actions of any nature arising out of the use of the License Parcel by Biebl and/or the owners and tenants of the Biebl's Property, their employees, agents, customers, business invitees, vendors and suppliers. 5. Revocation/Termination: The District may revoke the license herein granted and terminate this Agreement at any time by giving Biebl written notice of such revocation and terinination, provided that the effective date of such revocation and termination shall not be sooner than six months after the District's notice is delivered to Biebl, and in no event shall said termination occur within one year of the execution of this agreement. After the effective date of any such revocation and/or termination as above provided, the Parties shall have no further rights or obligations under this Agreement. Biebl acknowledges that the license granted herein is revocable at any time and in the sole discretion of the District upon notice as above provided, and that such revocation may cause Biebl to incur significant cost and expense as a result of such revocation. Under no circumstances shall the District be liable for any costs cr expenses incurred by Biebl as a result of its proper revocation of this license. 6. Agreement to Allow for Future, Mutual Use of Shared Access Road: a. If Biebl or his successors shall seek in the fixture to create a new access point to Old Highway 82 and to build an alternative driveway to service his property, then the District shall have the right to share such access point and the northerly 450 feet of such driveway ("Shared Driveway") by payment to Biebl of 50% of the costs actually incurred by him in seeking approval for and constructing the sante, including, without limitation, surveying, engineering, and constructions costs, materials costs, administrative and permit fees (if any) and attorney's fees. Said payment may be made simultaneously with the application for and construction of the Shared Driveway, or at any time after its completion. b. RE -I Page 3 of 5 shall require to complete its own access driveway to its property, separate from that used by Biebl, if any. Said easement shall be for vehicular and pedestrian ingress and egress purposes. The easement shall be twenty (20) feet in width or of sufficient width to meet Garfield County, its successors and assigns, requirements for residential driveway access, whichever is greater at the time of the grant of the easement In the event the District needs additional width to meet Garfield County, its successors and assigns, requirements for this Shared Driveway to be the vale legal access to its parcel, such additional width shall be located on the District's parcel and an easement therefore granted to Biebl. Upon execution and grant of such easement, the District will in tum provide assurances of indemnity and carry insurance provisions substantially similar to the provisions of paragraphs 3 and 4, above. The Shared Driveway shall be located parallel and adjacent to the common boundary between the Distiiet and Biebl Parcels as shown on Exhibit 1 attached to this Agreement. 7. Agreement to Share Costs for any Shared Access Points: Should one come to exist, the responsibility for improvement, Maintenance and repair of any portions of the Shared Driveway shall be mutually shared by Biebl and the District as follows: a. All costs for improvement, maintenance, and repair of the Shared Driveway shall be shared equally by Biebl and the District. Maintenance of the Shared Driveway shall include, but is not limited to, grading, filling potholes, replacing gravel, maintaining and/or replacing any entrance gate. b. Before any such work is commenced, Biebl and the District shall first agree upon plans and specifications for such work and the individual or entity that will perform the work. Biebl and the District may also agree upon a maximum cost for such work. All costs shall be shared equally, although the Parties may agree upon an alternative distribution of costs in a writing signed by both Biebl and the District in advance of such costs being incurred. c. In the event that Biebl and the District are unable to agree upon the elements set forth in subparagraph a. above, either individual owner may undertake improvements to the Shared Driveway and shall be solely responsible for the costs thereof, except that neither owner may cause the road to be paved without the written consent of the other. d. The provisions for sharing costs provided in this paragraph 7 shall not apply to the License Parcel described above, until and unless said License remains in effect for more than two years following its grant, in which case the provisions of this paragraph shall apply in full. 8. Agreements herein not Exclusive: Nothing herein shall prevent future licenses, easements and shared maintenance agreements from being created by the mutual consent of the Parties.
