EXHIBIT "A"
Source of domestic water is to be a well. Said well has been verbally
approved giving 10 acre feet of water per year . Well will be shared
by four parcels.
Sewerage disposal shall be accomplished by separate areated systems
constructed by the future owners. Said systems will have to comply to
county specifications.

GLENWOOD SPRING S -H OO PES AGREEMENT
THE CITY OF GLEN\vOOD SPRINGS, COLORADO, INC. , hereinafter
sometimes ref erred to as "City" :and E. S. HOOPES, JR. , d/b/ a
HOOPES ASSOCIATES, hereinafter some tim es referred to as "HOOPE S "
hereby agree as follows, effective a s o f April -17, 1980, reg a rd-
less of the date on which the par ti e s actually affix their sig-
natures.
1. Recitals.
For the purposes of interpr e ting and giving effect to
this Agreement, the parties agree to the truth and accur-
acy of the following:
a) Hoopes wishes to receive services and benefits from
the City in the form of the use of a right-of-way
for vehicular and pedestrian traffic as stated in
Exhibit "B" attached hereto.
b) Hoopes and the City desire that th e property describ e d
in Exhibit "A" attached hereto and incorporated here-
in by this reference shall be annexed to the City when
said annexation become~ lawful pursuant to C.R.S. 1973,
13-12-101 et.seq.
c) Hoopes desires to dedicate those easements depicted in
Exhibits 11 C11 and "D", but desires to allow the City to
close these easeme nts to the public;
d) Exhibits "A" throug h 11 D" inclusive are incorporat e d
herein by reference.
2. Services and Right-of-Way.
The City shall permit a rig ht-of-way to the general public
for access on that existing road described in Exhibit "B".
Such access shall be for the purpose of ingress and engress
to the property described in Exhibit 11 A11
• The City shall
not pi:-e form road graclin3 or snow removal on Exhibit "B", and
nothing herein shall require the City at any time to pave,
install curbs and gutters, or otherwise improve the property
shown on Exhibit 11 B". The City shall not be required to

provide police protection or oth~r services as to
the property shown on Exhibit 11 B", and shall not be
liable for dama g es, death, or injury occuring on or
in connection with Exhibit "B 11
• No improvements shall
be made on Exhibit 11 B11 without the prior written consent
of the City.
3. Dedication by Hoopes.
A. For the consideration of $10.00 and other good and
valuable consideration, in hand paid, Hoopes hereby
dedicates and quit claims to the City the following
real property as described in Exhibits "C" and "D"
attached hrerto and incorporated herein by this
reference-----
1) Roadway/Utility Easement .
An easement and right-of-way as described on Exhibit "C"
for vehicular and pedestrian traffic for the general
public as access to and through and egress through
and from tha t property m.med by Hoopes and described
more particularly in Exhibit 11 A", and for the construction,
maintenance, repair, install ation, replacement, enlarge-
ment, improvement, and removal of utilities above and
beneath the real property described in Exhibit "C".
2) Utility Easements.
Easements and rights-ci f -way for the construction,
maintenance, repair, installation, replacement, en-
largement, improvement, and removal of the underground
electrical, telephone, and television lines and cables,
water and sewer lines together with nec es sary and
required above ground ap purten a nces and fixtures,
over, under, and throug h that property described more
particularly in Exhibit 11 D" attached here to and incor-
porated herein by this refer ence.
B. Hoopes agrees that as a condition precedent to the City's
supplying that right-of-way describ ed in Exhibit "B 11
,
which Hoopes agrees to be the 1 'providing of services"
within the comtemplation of C .R.S. 1973, 31-12-121,
Hoopes shall apply for and consent to the annexation

of that propert y d e scrib e d in Exhibi t "A" to the C i t y at
such future da t e as the p rop e rt y o r a ny p o rtion t h e r e of
become s eligibl e f or ann exa tion pursua nt t o the
provi s ions of C.R.S . 197 3 , 31 -1 2 -1 21 . The par ti es
furthe r agre e that thi s Ag re eme nt to a nnex s h a ll b e
enforceable b y an action for spec ific pe r fo r man ce an d
that a me morandum o f thi s Ag re eme nt set tin g for th
the names o f the owners in fee o f the r ea l prop e rty
described above shall b e recor de d in the Off ice of the
Clerk and Recorder of Garfield County on o r before 90
days after t his Agreement is fully executed and shall
constitute constructive notice of such Agreement to
all persons not partie s hereto. The parties agree
that if said memorandum is not filed with the Office
of th.e Clerk and Recorder of Ga rfield County wi t hin
90 days of the date of e xe ctuion of this Agreement tha t
this Agreement shall be null and void and neither of the
parties bound by any of the terms or condition s con-
tained herein.
4. Annexation.
Hoopws sha ll apply fo r a nd c on sent to th e anne x ation
fo the property describ e d in Ex hibit "A" to the City
at such future date as the pr ope rty o r any portion th e re-
of becomes eligible for annex a tion pu rs u a nt to the pro-
visions of C.R.S. 1973 , 31-12-121. Pursuant to said
statutory provision s Hoopes states a s follow s :
a) The name of the sol e owner in fee of the real pro-
perty to be annexed to the City pursuant to C .R.S.
1973, 31-12-121 is E.S. Hoop e s, Jr.
b) The legal description of the property contemplated
for annexation within the term s of 31-11-121 is
contained in Exhibit "A" attached h e r e to a nd incor-
porated by this reference.
5. Recording.
This Agreement sha ll b e record e d with th e Cle r k and Re-
cord e r of Ga rfield Co u nty, Co lor a do, within 90 days of
the execution of the parties.
6. Annexation Agreement.
Hoopes agrees that contemporaneously with the annexa-
tion to the City as contempl a ted by this Agreement,
Hoopes shall enter into an agreement with th e City
concerning, by way of example but not by way of limita-
tion, land use, development, dedication of land, and
donations to schools, parks, and other municipal
service, the terms and conditions of which shall be
controlled by and suitable t o the City.
7. Waiver of Defects.
By executing this Agreement, the landowners waive all
rights they may have concerning defects, if any, of
form and substance of this Agreement in the formalities
whereby it is executed, concerning the power of the City
to impose conditions on Hoopes as set forth herein, and
concerning the procedures, substance and form of the
ordinanc es or resolutions adopting this Agreement.
IN WITNESS WHEREOF, the parties have hereunto set their
hands and seals the day and year set opposite the name of each.
