ACKNOWLEDGEMENT OF PARTIAL SATISFACTION
SUBDIVISION IMPROVEMENTS AGREEMENT
KNOW ALL MEN BY THESE PRESENTS that:
WHEREAS, Norman Clasen and Spring Creek Land Company (hereinafter "Spring Creek"),
entered into a Subdivision Improvements Agreement, secured by a Disbursement Agreement, with
the Board of County Commissioners of Garfield County, Colorado, (hereinafter "Board") dated July
24, 1996, recorded in Book 986, at Page 496, as Reception No. 496233 of the Garfield County
records on July 24, 1996, for the improvements of the Cedar Hills Ranch Subdivision; and
WHEREAS, Spring Creek has requested the release of $107,358, based on a statement from
High Country Engineering that the attached improvements have been completed in compliance with
Garfield County regulations. (See attached Exhibit A for description of completed improvements.)
NOW THEREFORE, at the request of Spring Creek and in consideration of the premises and
prior. agreements; the Board hereby acknowledges the partial' satisfaction of-ttie Subdivision
Improvements Agreement entered into by Spring Creek and the Board, for the Cedar Hills Ranch
Subdivision, and recommends release of $107,358 of the amount secured by the Disbursement
Agreement.

improvements listed in the above referenced Pay Request for the Subdivision have been completed
in compliance with the Subdivision's improvement Agreement, approved construction documents,
and Garfield County Regulations. This statement of completion shall in no way relieve any other
party from meeting requirements imposed by contract or other means, including commonly
accepted industry practices. On the owner's behalf, we are requesting the release of the collateral
being held by the county for the completed construction.
