. This correspondence is addressed to the above Notices of Default under the above
referenced Subdivision Improvements Agreement (SIA) served upon LB Rose Ranch LLC
and dated May L8, 2009 and ]une L6,'respectively. Summafrzed, the defaults listed therein
pertained to the following two matters which I would submit have been cured as follows:
1,. The failure of LB Rose Ranch LLC to convey to the appropriate entities (the
Ironbridge Property Owners Association and the Roaring Fork Water and Sanitation
District) the "improvements, water rights, easements, and rights of way necessary
to operate and maintain the sewer system, the domestic water system and irrigation
system for Phase L."
Response. The required documents of conaeyance are prouided herewith collectiaely as
Exhibit A. I would note, as is relanant to the request for collateral release set forth
hereinbelow, that said documents address both Phase l, as secured under the aboae identified
SIA and the entirety of Phase lI, Filings 1-,2 and 3.

2. The failure of LB Rose Ranch LLC to complete construction of the Phase I
sidewalks.
Response. Construction of said sidrusalks was deleted from the SIA under the recently
approaed Amendment to Subdiaision lmprouements Agreement proaided hereusith as Exhibit
B,
In the course of reviewing the above matters , County Planning and Legal staff also
noted that LB Rose Ranch LLC was in violation of its PUD zoning for failure to maintain a
ten percent (10%) ratio of available affordable housing units to market units. In this regard,
reference should be made to the memos drafted by Deborah Quinn instant to the BOCC
hearings of October 5, 2009 and June 21,, 2OlO. As is reflected in the documentation
submitted herein as Exhibit C and was confirmed at the hearingof luneZ-1,,
At present, one hundred sixty-nine restricted lots haae houses with certificates of occupancy
issued. Thus there is no current requirement for any funding to be held in escrow, (Quinn
memorandum of lune 21,, 2010, Page 1,)
At present, the Phase II improvements (construction thereof) are secured under that
Disbursement Agreement executed by LB Rose Ranch LLC and the County, Reception No.
71.6930. An outstanding balance being retained by the County Treasurer under this
agreement is $481,2?A.Vl. LB Rose Ranch LLC would again by this correspondence request
that this full amount be released on the basis that all required improvements under the
Phase II SIA have been completed as has been confirmed by the earlier correspondence of
Scott Gregory, High Country Engineering, Inc., of October 1, 2008, a copy of which is
provided herewith as Exhibit D. I have also provided herewith, in support of the above,
the as-built drawings for said improvements (Exhibit E) and Steve Anthony's confirmation
of reclamation and revegetation (Exhibit F).

An undivided 8.8% interest in the senior historic consumptive use credits from the water and water
rights and ditch and ditch rights dqscribed in Exhibit B, which is incorporated herein by this reference.
Said consumptive use credits were decreed available for augmentation dive rsions from the Posey Pump
andPipeline, Robertson Ditch RoseEnlargemenl RoseRanch PondNos. I through 10, and theO'Neill
Reservoir First Enlargement in Case No .97cW236,and which are subject to the terms and conditions
of the Decrees in Case Nos. 97CW236 and @CW0l9;
TOGETHER WITH a pro-rata interest in the plan for augmentation including exchange and subject to
the limitations described in the Decrees in Case Nos. 97CW236 and 00CW019; and
WITH THE EXCEPTION ttrat no more than a cumulative maximum amount of 2.0 c.f.s. of the water
rights described in Exhibit A may be diverted at any given time; and
WITH THE EXCEPTION that the water rights described in Exhibit A may only be used for in-house
domestic, fire protection and incidental lawn and garden irrigation uses within the Rose Ranch
development and those uses are defined and limited by the Decree in Case No. 97CW236; and
RESERVING to Grantor and its assigns all other water and water rights, ditch and ditch rights,
reservoirs and reservoir rights, springs and spring rights, wells and ground water rights described in the
attached Exhibits A and B, and all other historic consumptive use credits and appropriate rights of
exchange decreed in Case Nos. 97CW236 and 00CW019, Water Division 5, Colorado.
TO HAVE AND TO HOLD the same, together with all and singular the appurtenances and privileges
thereunto belonging or in anyway appurtenant thereto, and all the estate, right, title, interest and claim whatsoever,
of the Grantor, eitherin law or equity, to the only properuse, benefit andbehoof of the Grantee, its successors and
assigns forever.

AND GRANT OF EASEMENT

RANCH LLC, a Delaware Limited Liability Company,address is 430 Ironbridge Drive,
Glenwood Springs, CO 81601 (hereinafter "Grantor"), and ROARING FORI( WATER &
SANITATION DISTRICT, a special district organized and existingunder the laws of the State of
Colorado whose address is 9929 Highway 82, Carbondale, CO 81623 (hereinafter "Grantee").
RECITALS
L. Grantor is the owner and/or developer of certain lands located in Garfield County,
Colorado, now known as the Ironbridge Planned Unit Development, Phase I and Phase II, Filings 1,
2 and 3 (formerly the "Rose Ranch Planned Unit Development" and hereinafter "Ironbridge"), as
approved and described in the Final Plats therefore filed in the records of the Clerk and Recorder for
Garfield County, Colorado, June 16, 2OO4 as Reception No. 654210 and on JuIy L9, 2006 as
Reception No.702420, respectively (hereinafter collectively "Final Plat").
2. Grantee is a Colorado Special District organized and existing under the laws of the
State of Colorado as created by Order of the District Court in and for Garfield County entered on
May 5, 7994, in Case No. 94CV29 as amended on March 20,2003, in Case No. 94CV29.
3. Pursuant to Case No. 94CV29, the real property encompassing all of the residential
development within Ironbridge was included within Grantee=s service area subject to the terms and
conditions of the following entitled agreements (hereinafter collectively, "Pre-Inclusion
Agreements") executed by Grantee, Grantor and Grantor's predecessor in interest, Roaring Fork
Investments, LLC, to wit:
A. ROARING FORKWATER & SANITATION DISTRICT/ROARINGFORK
INVESTMENTS, LLC PRE-INCLUSION AGREEMENT; and
b. ROARING FORK WATER & SANITATION DISTRICTILB ROSE RANCH
LLC PRE-INCLUSION AGREEMENT (Domestic Water).
4. Under the Pre-Inclusion Agreements, Grantor is required to construct within
Ironbridge all facilities necessary for the provision by Grantee of domestic water and sanitation
service therein, and upon completion of construction of such facilities to dedicate and convey the

same together with all required easements to Grantee, all as is more particularly provided in the Pre-
Inclusion Agreements.
5. The Resolution, Service Plan and Pre-Inclusion Agreements require that Grantor
construct water and wastewater utility facilities as detailed therein, and upon completion of such
facilities to dedicate and convey the same to the Grantee, all as more particularly described therein
by Certifications of Dedication and Ownership set forth upon the Final Plat.
6. Grantor has now substantially completed construction of those portions of the
wastewater collection system and water delivery system necessary to serve those properties contained
within the Final Plat and desires to execute and deliver this deed pursuant to the terms of the
Inclusion Agreements.
Now, TrmReroRE, Grantor, for and in consideration of the sum of Ten Dollars ($10.00) in
hand paid to it and for other good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents does
grant, bargain, sell, convey and confirm unto Grantee and its successors and assigns forever, all of
the real property, together with the improvements thereon, if any,lying and being in the County of
Garfield, State of Colorado, more particularly described as follows, to-wit:
A perpetual, non-exclusive easement over all portions of the Final Plat which are
identified and depicted thereon as utility easements or water or sewer facilities
easements, for the purposes of construction, maintenance, operation, repair and
replacement of water and sewer utility facilities, and access thereto; provided,
however, that the easements conveyed hereby are subject to the following covenants
and restrictions for the benefit of Ironbridge and all owners of property therein, which
covenants and restrictions shall constitute covenants running with the land:
All such easements are non-exclusive and may be shared by
other appropriate utility companies, Grantor, or the Ironbridge
Property Owners Association (hereinafter, "Homeowners
Association"), their respective successors and assigns, for
utility, irrigation or drainage purposes.
1l That to the greatest extent practicable all water and sewer
utility facilities shall be placed underground and in the limited
circumstances where above ground structures are necessary,
all such structures shall comply with the applicable provisions
of the Restated Declaration of Covenants, Conditions,
Restrictions and Easements for Ironbridge recorded in the
records of the Clerk and Recorder for Garfield County,
Colorado March 18,2003, as Reception No. 623133.

Except in emergency situations, Grantee shall provide Grantor
and the Homeowners Association seventy-two (72) hours
advance notice of any activity (other than routine repair and
routine maintenance) by Grantee within the easements that
would interfere with the use of the surface of such easements
by Grantor or the Homeowners Association, or their
respective successors and assigns. In all situations Grantor
and Grantee shall fully cooperate and coordinate their
activities so that Grantee=s work within the easements will
minimize the disruption to Grantor=s use and enjoyment of
the encumbered property.
IV In the event Grantee is required to excavate in any portion of
any of the easements granted hereby that are not within a
street or right-of-way therefor for the purposes of
maintenance, repair or replacement of any of Grantee=s utility
lines, Grantee shall restore any such excavation to rough-
grade, but shall not be obligated to restore the surface of the
ground, which obligation shall be assumed by the Grantor or
the Homeowners Association or their respective successors in
interest. Grantee will remove any construction debris
resulting from such work and shall use reasonable efforts to
minimize damage to the surface. Upon any excavation by
Grantee within any easement that is located within a street or
right-of-way therefor for the purposes of maintenance, repair
or replacement of any of Grantee=s utility lines, Grantee shall
restore the surface of such street or roadway to its condition
immediately prior to the excavation.
Together with that parcel of real property identified within the Final Plat as the
Sanitation District Parcel.
And reserving, however, to the Grantor and to the Homeowners= Association, and
their respective successors and assigns, the perpetual right to make such use of the
surface of said easements as is reasonably necessary to further the purposes and
objectives of Ironbridge in such a manner so as not to unreasonably interfere with the
use of the easements by Grantee for the purposes herein set forth.

THIS AMENDMENT TO SUBDIVISION IMPROVEMENTS AGREEMENT
("Amendment") is made and entered into this Wt day of S.alt,-tr,u , 2010, by
and between LB RosE RANCH LLC ( owner;) *a-i[. BOARD oF coLINTy
coMMIssIoNERs oF GARFIELD couNTY, coLoRADo, acring for the county of
Garfield, State of Colorado, as a body politic and corporate, directly or through its authorized
representatives and agents ("BOCC') and hereby amends the Subdivision lmprovements
Agreement for the Ironbridge Planned Unit Development, Phase I as is hereinafter set forth.
WHEREAS, Owner is the owner and developer of that real property located within
Garfield County, Colorado heretofore subdivided into lots and blocks under the Amended and
Restated Final PIat, Ironbridge Planned Unit Development, Phase I recorded in the records of the
Clerk and Recorder for Garfield County, Colorado on June 16,2004, as Reception No. 654210
("Phase I Property");
WHEREAS, the Phase I Property is subject to the terms, conditions and provisions of
that Subdivision Improvements Agreement recorded in the records of the Clerk and Recorder as
Reception No. 569190 and amendments thereto subsequently recorded as Reception Nos.
569191, 569192, 597597598280 and 654211 (collectively the "Phase I Subdivision
Improvements Agreement");
WHEREAS, under the Phase I Subdivision Improvements Agreement, Owner was
required to constuct within the Phase I Property concrete sidewalk pedestrian ways
("Sidewalks"), as are more particularly described within the engineered specifications therefore
which were identified within the Phase I SLA and incorporated therein as Rose Ranch P.U.D.
Miscellaneous Detail Sheet, Sheet 67 of 77, High Country Engineering, Inc. (Project No.
97042.04);
WHEREAS, due to drainage issues, Owner was unable to construct the above identified
sidewalk pedestrian ways and in lieu thereof constructed an asphalt pedestrian path ("Pedestrian
Path"). The general location of the pedestrian path, as existing and in place, is set forth within
Exhibit A hereto and the specifications to which it was constructed is set forth within the revised
engineered specifications attached hereto as Exhibit B;
WHEREAS, Owner, in accordance with the administrative review procedures set forth
within Section 4-104 of the Garfield Land Use Resolution of 2008, as amended, has obtained
amendments to the Planned Unit Development zoning and Final Plat for the Phase I Property
allowing substitution of Pedeshian Path for the Sidewalk above described, which amendments
are conJirmed in the decision of the Garfieid County Building and Planning Director entered on
August 24,2010 and incorporated herein by this reference; and

WHEREAS, Owner and the BOCC wish to amend the Phase 1 Subdivision
lmprovements Agreement to conform to the above described amendments to the planned Unit
Development zoning and Final Plat for the phase I property.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, Owner and the BOCC agree as follow.s:
1. All requirements heretofore addressed within the Phase 1 Subdivision
Improvements Agreement and pertaining to the location and construction of the sidewalk
pedestrian ways are hereby deleted in consideration and substitution for the location and
construction of the pedestrian path hereinabove described.
2. Rose Ranch P.U.D. Miscellaneous Detail Sheet, Sheet 67 of 77, High Country
Engineering, Inc. (Project No. 97042.M> heretofore incorporated within thi phase i
Subdivision Improvements Agreement is hereby replaced with Exhibit B hereto.
3- Except as so amended, the Subdivision Improvements Agreement remains in full
force and effect.

Through October 1,2008, based on periodic observations of the construction in progress, the road,
earthwork and utility improvements listed in the Engineer's Estimate of Probable Construction Cost
have been completed in compliance with the Subdivision's Improvement Agreement, approved
construction documents, and Garfield County Regulations. We are requesting that this be a full
release of the cunent LOC.
Please see the enclosed summaries of the costs being requested on the three areas (filings) of the
project. We are requesting the funds in the amount of $259,278.73 be released and considered
complete. This leaves $0.00 of collateral on this project. This projec! considering all associated
infrastructure and development improvements is complete.
This statement of completion shall in no way relieve any other party from meeting requirements
imposed by contract or other means, including commonly accepted industry practices. On the
owner's behal{ we are requesting the release of collateral for road and earthwork and utility
improvements.

Dear John:
Included along with this acceptance letter are the record (as-built) drawings that reflect all of the
surveyed locations of the water and sewer facilities. The dates of survey were between February of
2007 andAugust2008.
The record drawings show that the finished product reflects the original construction drawings. There
v/as a minor modification made to the subdivision in the form of an adjustment to the building
envelopes on lots 77 and.78. A separate amended plat was filed for this change. Excepting the above
noted change, the road locations, lot lines, easements, and building envelopes have been completed
and adhere to the intent of the approved subdivision design construction documents.
This statement of completion shall in no way relieve any other party from meeting requirements
imposed by contract or other means, including commonly accepted industry practices.
