Please note we have deleted the funding request for the Project Engineer, the Surveyor and the company providing construction cleaning services, as these were not included in the original cost estimate for the project. In response to the County's concerns regarding the project budget, Indian River Bend Construction Company ("IRBCC"j, the General Contractor, and High Country Engineering spent significant time reviewing the first draw request submitted by Ground Zero Engineering to determine the accuracy of the line item allocations in relation to the approximate percentage completeness of the project and the original project budget. In accordance with the terms of the Deposit Agreement, dated June 30, 2000, by and between the Company and the board of County Commissioners of Garfield County, each request for disbursement of funds must be signed by the Project Engineer, and shall certify that: 1. All costs for which the draw is being requested have been incurred in connection with the construction of the Improvements; 2. All work performed and materials supplied are in accordance with the plans and specifications; 3. All work has been performed in a workmanlike manner; 4. No funds are being requested for work not completed, or for materials not installed or stored on site; and 5. The Project Engineer has inspected and approved the Improvements for which payment is requested and has certified that all such improvements have been constructed in accordance with the plans and specifications. Please consider this letter certification by the Project Engineer, High Country Engineering, Inc. Our review was based on submittals dated February 9, 2006 through September 26, 2006. Our review was performed in accordance with Article 1.11.2 of the Colorado Primary Drinking Water Regulations, using the State of Colorado Design Criteria for Potable Water Systems (DCPWS). The design is hereby approved. The approval is for the following: 1. A Public Water System consisting of two wells, a treatment building with treatment consisting of hypochlorination injection, a chlorine contact chamber, a 300,000 gallon welded steel above ground storage tank and a distribution system. The chlorine contact chamber consists of 60 lineal feet of 24 inch PVC which provides 1409 gallons of contact volume. There is an additional 835 lineal feet of 8 inch water main before the first user, which provides an additional 2175 gallons of contact volume, for a total of 3584 gallons of contact volume. Because some of the contact time is achieved in the main, no additional taps may be created before the existing first user. Please note that the recently promulgated Ground Water Rule may have additional technical, managerial and financial requirements for this system. J. Colodny ("Guarantor") is to evidence the intent of the parties to restructure the Loan in a way that will provide assurances to the Board of County Commissioners of Garfield County, State of Colorado (the "County") on generally the terns and conditions outlined below. Lender, Borrower and Guarantor are collectively referred to as the "Parties" and singularly as a "Party". De osit A eement: Borrower shall cooperate to release all funds held under that certain Deposit Agreement between Borrower and the County to the control of Lender within. four (4) business days of posting the LOC or Lender's agent for disbursement to contractors and other creditors of Borrower on the Project in a timely manner 3. Deed in Lieu of Foreclosure: Borrower shall execute documents (the "Transfer Documents'") transferring the Project and all related interests to Lender which will be held in escrow (the "Escrow") pursuant to the terms of the Agreement. 4_ Term: The term of the Agreement shall be ninety (90) days and if Borrower has not satisfied all of its obligations under the Agreement within that time frame, Lender shall be entitled to withdraw the Transfer Documents from the Escrow to record such documents, take control of the Project and exercise such other rights and remedies as are provided in the Agreement_ 5. Obligations of Borrower: The obligations of the Borrower to be spelled out in the Agreement shall include: a. to bring interest payments current and cure any other defaults under the Loan, b. delivery to Lender of a comprehensive marketing plan for the Project within thirty (30) days of the mutual execution of the Agreement which shall be subject to Lender's reasonable approval, and c. engagement of an engineering firm selected by Lender to supervise the construction of roads, the sewer lines, and any other uncompleted utilities related to the Project. 6. Restrictive Covenant: Borrower agrees to execute a restrictive covenant against the Project in a form reasonably acceptable to the County and Lender in a time frame to record the restrictive covenant on or before March 12, 2001. 7. The following Transfers shall be excluded from the scope of this Covenant: (i) Transfers consented to, in writing, by the County; (ii) a Transfer of the entirety of the Property resulting from the exercise of rights by MidFirst under the Deed of Trust, including but not limited to the appointment of a receiver for the Property, the conveyance of title pursuant to a foreclosure or the transfer of title in lieu of foreclosure; (iii) a bulk sale of the entirety of the Property; (iv) the Transfer of a security interest in the entirety of the Property and Transfers resulting from the exercise of such security interest against the entirety of the Property. Notwithstanding a Transfer permitted by the terms of this paragraph 2, the Property shall continue to be subject to this Covenant in the hands of the transferee. 3. This Covenant shall run with the Property and will be binding upon FMRD and its successors and assigns for the benefit of the County for a period of twenty years, unless sooner terminated in accordance with the provisions of paragraph 5 of this Covenant. 4. No provision of this Covenant may be waived or modified except in a writing duly executed by the County and recorded in the office of the Garfield County Clerk and Recorder. The failure to enforce this Covenant on one or more occasions shall not act as a waiver or release of any provision hereof, nor shall it act as an estoppel against or other impediment to the enforcement of this Covenant against the continuance of a violation or any subsequent violation. 5. Notwithstanding any provision of this Covenant to the contrary, this Covenant shall be terminated, released and of no further force or effect upon the first to occur of the following: (i) upon FMRD's cure of its default under the SIA; (ii) upon the revocation of the Final Plat pursuant to enforcement proceedings conducted by the County on or after April 2, 2001; (iii) upon the approval by the County and the recording of a final plat for the Property that supercedes the Final Plat; (iv) upon the vacation of the Final Plat for any other reason with the approval of the County; or (v) with the written consent of the County. The recording in the office of the Garfield County Clerk and Recorder of an instrument executed by the County that acknowledges the termination of this Covenant shall constitute conclusive evidence of the termination and release of this Covenant. 6. This affidavit detailed certain damage caused to my property during work previously done on County Road 1 1 7 and the failure to rectify that damage by the previous owner and developer of the Four Mile Ranch Subdivision, Lester Colodny. Immediately after the new owner of the Four Mile Ranch subdivision, MidFirst Bank, became aware of my problems, Guy Harrell, who represents MidFirst Bank, visited me. Guv assured me that all of my problems would be rectified to my satisfaction. We both agreed that it would be best to address my damages after all construction was completed on County Road 117 and all construction crews had vacated the area. I received a copy of a letter to you from Guv dated June 28, 2001 confirming those assurances and timing. To date some of the problems have been rectified and MidFirst Bank has contracted to take care of the remaining issues. I have every confidence that my concerns will be taken care of to my complete satisfaction.
