"applicant" hereby applies to the West Divide Water ConservancyDistrict, a political subdivision of the State of Colorado,organized pursuant to and existing by virtue of C.R.S. 1973,
37'45-1.01, et s€9. r (hereinafter referred to as the trDistrict')
for an allotment contract to beneficially and perpetually usewater or water rights owned, ]easedr or hereafter acquired by theDistrict. By execution of this application, Applicant hereby
agrees to the following terms and conditions:
1.the point of
waters Leased herein.
2. Quantitv: Water in the quantity applied for by theapplicanE in the amount set forth above shaIl be diverted atApplicantrs point of diversion from the District's direct flowwater rights and, when water is unavailable for diversion pursuantto administration by the Colorado State Engineer during periods
when the beforementioned direct fLow water right is not inpriority, the District shaIl release for the use of applicant upto said quantity in aere-feet per year of storage water for theApplicant owned or controlled by the District. ft is understoodthat any quantity allotted from direct flow, storage or otherwise,to the Applicant by the District pursuanE to its direct flow waterright will be limited by the priority of the District's decrees,
and that any quantity allotted will only be provided so long asthe Applicant fully complies with all of the terms and conditionsof this contract. The District and the Applicant recognize thatthe Districtrs decrees are in the name of the Colorado River WaterConservation District, and the ability of the Distrlct to allot a
comparable direct flow decree to the Applicant may be dependent onthe consent of the Colorado River Water Conservation District. Inthe event such consent is not forthcoming when the water is neededby the Applicant, the Applicant shall be responsible for obtainingother comparable direct flow water rightsr and, in such event, theDistrict shaII release up to the above mentioned acre-feet peryear of storage water for the Applicant owned or controlled by theDistrict during times when said water right is not in priority.At such time as the District does acquire the ability to allot itsdirect flow rights as herein provided, such allotment shall be

Irrespective of the amount for wateractually transferred to the Applicant's polnt of diversion, theApplicant shall make annual payments to the District based uponthe amount of water allotted under this agreement.
6. Annual pavment: Annuar payment for the waterservice described herein shall be determined annually by the Boardof Directors of the District at a per acre-foot rate. 10.^ Op.eratlon ancl- Maintenanee Aqreement: Applicantshall enter into an nOperation emenl; withttre Distr ict under terms and cond i ti ons determined -by the Board ofDirectors of the District if and when the Board of said Distrlctdetermines in its sole discret,ion that such an agreement isrequired by reason of additional or special services ieguested bythe Applicant and provided by the District or by reason of thedelivery or use of water bY the Applicant for more than one of theclasses of service which are defined in the rules and regulationsof the Board of Directors of the District. Said agreement maycontain, but shall not be limited Eo, a provision within the termsof standard allotment contracts of the District; additlonal annualmonetary consideration for extension of DisEricE delivery 6ervicesand for additional administration, operation and maintenancecostsi or for other costs to the District which may arlse throughservices made available to t.he AppIicant..
11. Chanqe of Use: The District reserves the exclusiveright to review, reapprove or disapprove any proposed change inuse of the water aJlott.ed hereunder to the ext,ent such change lnuse and/ot change ln land use would requlre approval of locit orstate governmental authorlties pursuant to land use laws now orhereafter in existence.
