shall be subject to the following restrictive covenants and from
date of recording hereof shall be deemed and construed as covenants
running with the land (hcrei,.after referred to as "subject land"),
to -wit:

1. There is hereby dedicated to public use for roadways
and utility right of ways and easements the outermost 60 feet of
the Northeast and South boundaries and the outermost 30 feet of the
West boundary of the property hereinabove described.
2. The subject land shall be used only for hotels, lodges,
apartment houses, restaurants, retail shops, service shops,
professional offices and medical clinics, and automobile service
stations.
3. It is the intent of these restrictive covenants to guide the
development of the subject :and and to this end there is hereby
created the "Planning and Architectual Control Committee" hereinafter
referred to as the Committee which shall consist of Howard U. Motz,
and Albert DeMaestri and such other persons as they shall from time
to time appoint to the Committee. The Committee shall review, study
and approve or reject proposed improvements within the subject land.
No building, outbuilding, fence, wall or other improvement shall be
constructed, erected or maintained on any portion of the subject land,
nor shall any addition thereto, or alteration therein be made until
plans and specifications showing the color, location, materials,
landscaping and such other information relating to such improvement
as the Committee may reasonably require shall have been submitted
to and approved by the Committee in writing. In passing upon such
plans and specifications the Committee shall consider:
(a) The suitability of the improvement and materials
of which it is to be constructed to the site upon which it is
to be located.
(b) The nature of adjacent and neighboring improvements.
(c) The quality of the materials to be utilized in any
proposed improvement.
(d) The affect of any proposed improvement on the outlook
of any adjacent or neighboring property.
(e) It shall be an objective of the Committee to make
certain that no improvement will be so similar or.so dissimilar
to others in the vicinity that economic or estheti.e values will
be impaired.
In the event the Committee fails to approve or disapprove plans
and specifications submitted to it within 60 days of submission,
approval shall not be required and the related covenants shall be
determined to have been fully complied with.
4. Ali owners of the sul.ject land shall consent to and offer all
assistance and cooperation possible toward the creation of a water
and/or sanitation district at such time as requested to do so by
the owners of at least 75% of the lands which are the subject of
the within warranty deed.

5. No sign shall be exhibited within the boundaries of the '
subject land until written consent and approval of the Committee
is first obtained.
6. No trash, ashes or other refuse may be thrown or dumped on
any portion of the subject land; no indoor or outdoor incinerator
or other device for the burning of refuse shall be installed or
used except as approved by the Committee; and each owner or Lessee
shall provide suitable receptacles for the collection of refuse
which shall be screened from public view and protected from
disturbance.
7. No livestock or other animals shall be kept, raised cr bred
on the subject land.
8. There shall be no general requirement for the location of
improvements with relation to property lines, but the location of
each improvement must be approved in advance by the Committee.
In determining the proper location for each improvement the
Committee shall consider the location of existing and future
improvements on adjacent property, the wishes of adjacent property
owners and such other monetary or asthetic considerations as it may
deem appropriate.
9. All structures commenced on the subject land shall be prosecuted
diligently to completion and shall be completed within six months of
commencement.
10. No noxious or offense activities shall be carried on, nor
shall anything be done or permitted which may constitute a public
nuisance.
11. The restrictive covenants herein contained may be waived,
abandoned, terminated, modified or altered as to the whole of the
subject lands or any portion thereof by a properly recorded document
executed by all of those persons who own and lease 75% of the subject
land.
12. Invalidation of any of these restrictions by judgment or •
Court order shall in nowise affect any of the other provisions which
shall remain in full force and effect.
13. If any owner of property affected, or any person claiming by,
through or under him shall at any time violate any of the restrictions
herein contained, it shall be lawful for any person owning any portion
of the subject land to institute and prosecute proceedings at law or
in equity to prevent, abate or terminate such improper use and to
recover damages or -obtain such other relief as may be by law provided.
14. The provisions hereof shall be in effect for a period of 25

In the matter of the Life Estate of Ruth J. Ellis,
Huntington T. Walker of 600 17th Street, Suite 2620-5, Denver,
Colorado 80202, being first duly sworn upon oath, deposes and
says, that he is of legal age and has personal knowledge of the
fact that Ruth J. Ellis is one and the same person referred to in
that certain death certificate attached hereto as Exhibit "A".
That said Ruth J. Ellis reserved a life estate in that
certain Special Warranty Deed dated June 15, 1967, by and between
Frank Williams and Ruth J. Ellis, formerly Ruth J. Wyatt,
Grantor, and Albert DeMaestri and Cathryn DeMaestri, Grantee,
recorded in Book 388, Page 200 of the Garfield County records,
underlying the lands described on Exhibit "B", attached hereto
and made a part hereof.
That said Ruth J. Ellis died in the County of Garfield, the

any accretions to such property that may have occurred as a result of changes in the
course of the Colorado River, and together with all its appurtenances (the
"Property").
RESERVING UNTO GRANTOR an undivided twenty percent (20%) interest in the
Property.
By Special Warranty Deed from Grantor to Grantee, recorded in Book 1341 at Page 609 of the
records of Garfield County, Colorado, Grantor intended to convey an undivided sixtypercent interest
in the Property to Grantee, and to retain an undivided twenty percent interest in the Property.
However, questions have arisen as to whether the Special Warranty Deed accomplished this intent.
This Bargain and Sale Deed is intended to convey to Grantee an undivided sixty percent interest in
any portion of the Property that was not conveyed by the Special Warranty Deed. The intent of
Grantor and Grantee is that after the conveyance made by this Bargain and Sale Deed, Grantor shall
own an undivided twenty percent (20%) interest in the Property, and Grantee shall own an undivided
sixty percent (60%) interest in the Property. The remaining undivided twenty percent (20%) interest
in the Property is owned by third parties.
