Dear Madam or Sir:
This letter certifies as follows:
1. Colorado Rocky Mountain School, Inc., a Colorado non-profit corporation, is the owner
of the property which is more particularly described in the legal description attached hereto as Exhibit A;
2. That in accordance with the Statement of Authority attached hereto as Exhibit B, the
undersigned has the authority to sign documents and act on behalf of and bind Colorado Rocky Mountain
School, Inc.; and
3. That Colorado Rocky Mountain School, Inc. hereby grants authority to our attorneys,
Lawrence R. Green and Chad J. Lee of Balcomb & Green, P.C., Glenwood Springs, Colorado, to submit,
prosecute through decision, attend all meetings and speak on behalf of the owner, on all matters related to
the Land Use Change Permit Application for the Vacation of a Portion of County Road 106 on the subject
property which is being submitted simultaneously herewith, and to submit any further documents or
information as may be necessary to bring such application to a decision.

SECOND AMENDED STATEMENT OF AUTHORITY
OF
COLORADO ROCKY MOUNTAIN SCHOOL, INC.
THIS SECOND AMENDED STATEMENT OF AUTHORITY OF COLORADO ROCKY
MOUNTAIN SCHOOL, INC. amends and supersedes the Amended Statement of Authority recorded in
Garfield County on September 1, 2010 as Reception No. 790842 ("Second SOA"). The authority granted
by the Second SOA is hereby revoked and replaced by this Second Amended Statement of Authority.
Pursuant to C.R.S. § 38-30-172, the undersigned executes this Second Amended Statement of
Authority on behalf of Colorado Rocky Mountain School, Inc., a Colorado non-profit corporation, an
entity other than an individual capable of holding title to real property (the "Entity"), and states as
follows:
The name of the Entity is Colorado Rocky Mountain School, Inc., and is formed under the laws
of Colorado.
The mailing address for the Entity is 1493 County Road 106, Carbondale, Colorado 81623.
The name and position of the person authorized to execute instruments conveying, encumbering,
or otherwise affecting title to real property on behalf of the Entity is Michael McCoy as President.
There are no limitations upon the authority of the person named above or holding the position
described above to bind the Entity.
