This Application is submitted by N.S.K.F. Corporation, a
Colorado corporation, pursuant to agreement with the property
owners, Norman R. Overacker and E1aine J. Overacker. This
Application reguests the Board of County Commissioners of
clitiefa County, Colorado, to exempt from subdivision regulations
the division of a tract of land containing approximately 5.84
acres into three tracts of approximately L, l-.8 and 3 acres each.
The land is located near and to the northeast of the intersection
of Highway 82 and Cattle Creek Road, between Glenwood Springs and
Carbondale. The property is more partJ-cularly shown and
described on the documents being submitted with this application.
N.S.K.F. has contracted to purchase proposed Lot 3 as
depicted on the map attached to this application, subject to
approval of division of the property as a whole into three
separate and distinct lots, obtaining assurance that the property
may continue to be used as it has historically been used, and
other matters. Mr. and Mrs. overacker consent to and support
this Application.
BACKGROUND
The property was previously owned by Pat Groom, who conveyed
the same to Mr. and Mrs. overacker by warranty deed dated JuIy 9,
1990, recorded in the office of the Garfield County Clerk and
Recorder on the same date in Book 783 at Page L55, Reception No.
4L4387.
During the term of Mr. Groom's ownership, by Resolution No.
8L-324, adopted Octobet 9, l-981, the Board of County
Commissioners previously approved a Special Use Permit for a
commercial park with eight uses. Pursuant to that Special Use
Permit, the property has continuously been operated as a
commercial park for approximately ten years.
The Special Use Permit expressly authorized propane storage,
among other authorized uses. Such storage presently exists on
the portion of the property which would become Lot 3 under the
proposed subdivision exemption. N.S.K.F. has contracted to
purchase Lot 3, and file this Application, upon the understanding
and condition that propane storage is an existing authorized use
which may be continued.
DISCUSSION
The requested division of property seeks to divide the
property in-a manner entirely consistent with pre-existing use.
t'tr. and Mrs. Overacker intend to continue operation of the
commercial park presently situated on the portion of property
which would become Lot L, and N.S.K.F. or its assigns would
operate a propane storage business and associated authorized
businesses where propane storage is currently being undertaken,
on Lot 3. Lot 2, which is physically distinct from Lots L and 3,
would be retained by Mr. and Mrs. Overacker for future use and
development, subjecl to applicable Garfield County regulations.
The apptication complies with the provisions and spirit of
the subdivision regulations. No legitimate public interest would
be adversely affected by the granting of the application.
Appticant and Mr. and Mrs. Overacker are prepared to provide
clarification or further information as may be reasonably
required or requested.

Dear Mark.
Regardingr the N.S.K.F. appl ication for exemption from sub-
division for the property located at. 7860 Hwy 82. in Garfield
County, and r-rsed as an LPG bulk storage facility. Currently theproperty houses a 30,000 gallon LPG permanent tank.
On l/6/91 Roy Schr-rltz of N.S.K.FCorp. met with me to explainhis company's plan for the above mentioned property. There are
basically 2plans. Plan A calls forthe existing 30,000 gallon tank
t-o be removedand replaced by another tank of up to 30,000 gallons
and pc,ssibty relocat.ed on the property to lot 3. Plan B calls for
N.S.K.F. to utilize theexisting 30.000 gaIIon tank init's present
location. Either pIan would be acceptable to the district.
The Carbondale & Rur-a I Fire Protect ion District wi I I provide
serviceto the installation. Response timefrom the Carbondale firestation is approximately 15-20 minutes.
In either of the above mentioned plans the installation will
be required to be in conformance with NFPA 58 and be inspected by
the State of Colorado Fuel Inspector's office.
It should tre noted that there is currently inadequete water
supply in the areato adequetely protect the installation.The firedistrict does have contingency plans to pump water out of Cattle
Creek in the event of an emergency in the area.

to make it effective. Any vacancy occurring in the board of
directors may be filled by the affirmative vote of a majority
of the remaining directors although less than a guonrm. A
director elected to fiII a vacancy shall be elected for the
unexpired term of his predecessor in office. Any directorship
to be filled by reason of an increase in ttre number of directors
shall be filled by the affirmative vote of a majority of the

by the board of directors. One person may hold IIDre than one
office except the offices of president and secretary. In all
cases where the duties of any officer, agent or employee are
not prescribed by the by-laws or by the board of directors,
such officer, agent or employee shall follow the orders and
instructions of the president.
Section 2. n@.. Any of f icer or agent may be removed
by the board of directors whenever in its judgment the best
lnterests of the corporation wlll be served thereby, but such
removal shall be wlthout preJudice to the contract rights,
if anyr of the person so removed. Election or apPointment
of an officer or agent shall not in itself create contract
rights.
Section 3. Vacancies.A vacancy in any office, however

officer of the corporation and shall have the care and custody
of aII funds, securities, evidences of indebtedness, and other
personal property of the corporation and shall deposit, invest
and discharge the same ln accordance with the instruction of

and acquittances for moneys paid in on account of the corporation,
and shall pay out of the funds on hand aII bills, and other
Lawful debts of the corporation of whatever nature uPon maturity

He shall also be the principal accounting officer of the

maintain an adequate system of internal bookkeeping controls,
and prepare or cause to be prepared and furnish to the president
and the board of directors statements of account showing ttte
financial position of the corporation and the results of its
operations. He shall have such other powers and perform such
other duties as may be prescribed by the board of directors.

and a record of the number of shares of stock registered in
the name of each member. He sha]l attend to the giving of
notices of meetings to the members and directors, and to other
notices required by l-aw or by these by-Iaws. He shall have
custody of the seal of the corporation and shall affix such
ceel to deeds, contracta and other wrltten instrunentc when
authorized by the board of directors. He shall have charge
of the membership book, minute book and such other books and
papers as the board may direct, and he shall perform aII other
duties normally incident to the office of secretary. AIl books
and records may be inspected by any member, or his attorney,
at any reasonable time.

consolidate or dissolve upon the vote of five-sixttrs of such

Section 5. FiscaL Year. The fiscal year of the corporation

Section 1. Property Riqhts In Menloerships. A member
may not se}l, assign or otherwise transfer his shares in the
corporation, unless aII, or some portionr of the real estate
owned by the member upon which the corporationrs water is,
has been or may be used, and to which such memberts shares
are appurtenantl is transferred el,multaneously; provided, ttrat
any member may sell, transfer or assign his shares in the corporation
to another member with or without a transfer of any such real
estate. No transfer of shares shall be recognized by the corPoration
for any purpose unless the same is registered on the books
of the corporation. No shares shall be sold, assigned or transferred
separately from the real estate to which the same is appurtenant,
except to another member.

SectLon 2. Earnings Or Profl.ts. No part of the net earnir-,g",
if any, of the corporation shall inure to the benefit of any
member, except that members may be comPensated for services
actually rendered or for fulL and adequate consideration given,

ARTICLE VIII.
I,IEMBERSHIP CERTIE'ICATES .
Section l. Certificates. Memberships shalL be represented
by consecutively numbered certifLcates signed in the name of
the corporation by its president or vice president and the
Eecretary or treasurer, and shall be sealed with the seal of

shall be in such form consistent with Law as shall be prescribed
by the board of directors. On each membership certificate
shall be printed the following statement: "Any transfer or
assignment of this certificate is subject to the Articles of
Incorporation and by-laws of the Cattle Creek Water Association,
which impose l,imitations upon the alienability of memberships.'l
Section 2. Lost Certificates. In the case of any alleged
or actual loss, destruction or mutilation of a certificate,
the board of directors may direct the issuance of a neh, certificate
in lieu thereof uPon such terms and conditions in conformity
with law as it may prescribe.
ARTICIJE IX.
ASSESSMENTS.
Section I. Lewing Of AssessmP.ntg. The board of dj.rectors
shall determine the amount of such annuaL or sPecial assessments
and tap fees as may be required for the ordinary and necessary
expenses incurredr oE to be incurred, in connection with the
operation and maintenance of the corporationrs water system,
or for such capital expenditures as may be necessary to acguire
any water or water rights, ditches or ditch rightsr or for

estate shall be liable for the payment of alr assessments in
arrears, which shall be paid before any such membership sharl
be transferred on the books of the corporation, and before
any water service shalr be furnished, to any such grantee or
transferee.
ARTICLE X.
AII{ENDMENTS.

meeting called for such propose, provided, that if the members
after the date of these by-raws shall make, amend or repear

amend and repeal the by-laws of the corporation at any annuar

We have reviewed the above referenced proposal to subdivide a 5.84 acre tract into tluee
lots in an existing commercial park area. No information was submitted on projected water
requirements, however the water supplier is to be the Cattle Creek Water Association and the
apilication materials included certificates for three shares in the association. We understand each
sirire provides one 3/4 nchtap from the supply system. We have no objection to the proposal and
recommend approval contingent upon the applicants providing to the County documentation of the
long term commitrnent of the shares to the three respective lots.

RESOLUTION NO. 79.72
WHEREAS, Harold R. Lyons has petitioned the Board of County Commissioners
of Garfield County, Colorado, for an exemption from the definition of the terms
"subdivision" and "subdivided land" under C.R.S. .l973, 30-28-10.| (.I0) (a)-(d),
as amended, and the Subdivision Regulations of Garfield County, Colorado, adopted
January 2,1979,Sections2.02.21 (d) and 3.02.01 for the division of a 7.84
acre tract described as follows: that tract of land as described in Document
No. 268489 as filed in the 0ffice of the Clerk and Recorder of Garfield County,
Colorado into 2 tracts of approximately 5.84 and 2.00 acres each, more or less,
which proposed divided tracts are more part'icular'ly described as follows: -
Tract A: A parce'l of land situate in Lot 15 of Section 7,
Township 7 South, Range 88 West of the 6th Principal Meridian
being more particular'ly described as follows:
Beginning at a point on the souther'ly boundary line of a tract
of land described in Document No. 260508 of the records of the
Clerk and Recorder of Garfield County, Colorado, said po'int also
being on the westerly right-of-way line of a county road asbuilt
and in p'lace whence the southeast corner of said Seetion 7 bears

WHEREAS, the Petitioner has demonstrated to the satisfaction of the Board
of County Corrmissioners of Garfield County, Colorado, that the pronosed division
does not fall within the purposes of Part l, Article 28, Title 30, Colorado
Revised Statutes 1973, as anended, for the reason that the impact created is
not large enough to proceed through fu]1 subdivision review; and,
IIHEREAS, the Petit'ioner has demonstrated to the satisfaction of the Board
of County Conrmissioners of Garfield County, Colorado, that there is a reasonable
probability of locating domestic water on each of said tracts, that there is
adequate ingress and egress to said tracts, that the location of septic tanks
will be permitted by the Colorado Department of Health, that the requested
divis'ion is not part of an existing or larqer development and does not fall
within the general purposes and intent of the subdivision regu'lations of the
State of Colorado and the County of Garfield, and should, therefore, be exempted
from

N0W, THEREF0RE, upon the motion of Larry Vel asquez , seconded
by R.C. Jolley , and carried, the division of the above described
tracts "A" and "B" from the above described 7.84 acre tract is hereby exempted
from such definitions and said tract nny be divided into tracts "A" and "B", all
as is more fully described above, and said divided tract may be conveyed in the
form of such snaller tracts without further compliance with the aforesaid sub-
division statutes and regu]ations; provided, however, that this exemption is
granted on the condition and with the express understanding and agreement of the
Petitioner that no further exemptions be allowed on said tracts "A" and "B", and
that one share of the Cattle Creek l^later Association be conveyed with each tract,
and that a copy of the instrument or instruments of conveyance when recorded
shall be filed with this Resolution.

_ WHEREAS, the Board of County Commissioners of Garfield Countyhas been requested to vacate porLions of a dedicated public rightlof-way as such lies adjacent to their property and t6 County fr,oad110; and
WHEREAS, those portions of the right-of-way as set forth beloware no longer needed for a public right-of-\ilay; and
WHEREAS, the Board of County Commissioners is entitled tovacate a road r^igtrt_-of-way by resolution pursuant to the provisionsof Section 43-2-303(1) (b), C.R.S., as amLnded; and
WHEREAS, lo public hearing was conducted by the Board ofCounty Commissioners concerning the need and appiopriateness ofvacating saj-d public right-of-wayr as it is eviaLnt that allaffected property owners have participated in this request tovacate.

manner set forth in Section 43-2-30L, et seq., C.R.S., as amended.
3. The foregoing vacation does not leave any propertyadjoining said public right-of-way without an established public
road connecting said Iand with another established public road.
4. This vacation does not leave any public land without
access to a public road.
5. That the public right-of-way hereby vacated contains norights-of-way or easements for sewer, 9ds, water, ditch, canal,electric, telephone or other such utility purposes, and, to theextent such easement existed, they continue to be rese:rred for usefor utility purposes.
