The following items are required by Garfield County for a final Inspection: 1) A final Electrical Inspection from the Colorado State Electrical Inspector. 2) Permanent address assigned by Garfield County Building Department and posted at the structure and where readily visible from access road. 3) A finished roof; a lockable building; completed exterior siding; exterior doors and windows installed; a complete kitchen with cabinets, sink with hot & cold running water, non-absorbent kitchen floor covering, counter tops and finished walls, ready for stove and refrigerator; all necessary plumbing. 4) All bathrooms must be complete, with washbowl, tub or shower, toilet, hot and cold running water, non-absorbent floors, walls finished, and privacy door. 5) Steps over three (3) risers, outside or inside must be must have handrails. Balconies and decks over 30" high must be constructed to all!BC and IRC requirements including guardrails. 6) Outside grading completed so that water slopes away from the building; 7) Exceptions to the outside steps, decks, grading may be made upon the demonstration of extenuating circumstances., i.e. weather. A floor framing plan, a roofing framing plan, roof must be designed to withstand a 40 pound per square foot up to 7,000 feet in elevation, a 90 M.P.H. windspeed, wind exposure B or C, and a 36 inch frost depth. Any equipment used in construction or operation of a pipeline must comply with the Colorado Oil and Gas Conservation Commission Rules and Regulations, Section 802, Noise Abatement. Additionally, all power sources used in pipeline operations shall have electric motors or muffled internal combustion engines. 2. Pipeline operations shal/ be located in a manner to minimize their visual impact and disturbance of the land surface. Facilities shall be painted in a uniform, non-contrasting, non-reflective color, to blend with the adjacent landscape. Right-of-way shall be located in existing disturbed areas unless safety or visual concerns or other adverse surface impacts clearly dictate otherwise. 3. All access and oversize or overweight vehicle permits shall be obtained from the County Road & Bridge Department prior to beginning operation. Any new roads or intensified driveway accesses created as a result of the pipeline construction, intended to be permanent for maintenance and repair operations shall be placed behind a locked gate or other barriers preventing use by recreational vehicles. Any gates or barriers need to be consistent with the surface owner's preferences. 4. All vehicles working within Garfield County Right of Ways will be licensed and registered in the State of Colorado. AI/ vehicles hauling equipment and materials for the pipeline construction will abide by Garfield County Road & Bridge Departments oversize/overweight regulations. All vehicles requiring an oversize/overweight permit will send a letter showing proof that they can operate under a known bond holder on file with Garfield County Road & Bridge Deparlment before a permit will be issued. 5. The Applicant shall provide the County with a digital alignment of the pipeline once constructed in a format readable to the County Geographic Information System (GIS) analyst. 6. In no case shall an operator engage in activities which impact Federal or State threatened and endangered species. 7. Air contaminant emissions shall be in compliance with the applicable permit and control provisions of the Colorado Air Quality Control Program, Title 25, Resolution 7, C.R. S. 8. Any proposed waste disposal or treatment facilities shall comply with all requirements of the County Individual Sewage Disposal System Regulations. 10. Should an abandoned pipeline be removed, it will be subject to the original revegetation and weed management requirements in the original application. 11. There will be no entrances to any County roads for the project and the only impact to the County road system will be during the construction of the pipeline project. 12. Any portable toilet to be used on site at the compressor station shall not be visible from any public right-of-way. 13. That the Applicant satisfy the comments from the County Vegetation Director as follows: A. Regarding noxious weeds: A survey and weed management plan has been provided. The applicant's consultant has recommended that weed control be performed prior to ground disturbing activities. Staff agrees with this and would like to see treatment application records provided before construction starts, weather permitting. B. Regarding revegetation, the revegetation plan and site reclamation plan are acceptable. Staff does request that the applicant make the seed tags available to Garfield County upon completion of the reseeding efforts. Staff recommends a revegetation security. The applicant needs to quantify the amount of surface disturbance for both the compressor station and the lateral pipeline located on private lands. Once this information is provided an amount for the security will be established. This may be in the form of a letter of credit, if deemed appropriate by the County Attorney's Office, or the funds by may be deposited with the County Treasurer. The security shall be held by Garfield County until vegetation has been successfully reestablished according to the Reclamation Standards in the Garfield County Weed Management Plan. 14. That the Applicant satisfies the Mountain Cross Engineering comments as follows; C. It is the responsibility of the applicant to contact the County, upon successful revegetation establishment, to request an inspection for bond release consideration. D. The applicant proposes that the low pressure pipelines will not be pressure tested, stating that, "These pipelines will be run at low pressures well below the bursting pressures and yield strengths of the pipelines." More justification needs to be provided by the applicant showing that leaking pipelines will have no adverse effects or these fines should also be pressure tested. E. The compressor pad shows an office building. The application does not discuss the office or any provisions necessary for sewer and water facilities. F. The grading plan shows the compressor at the bottom of a drainage with a ditch along the west side. This ditch and the culvert beneath the entrance should be engineered to verify adequate capacity. G. Permitting is in various stages of completion. Copies of permits should be provided to Garfield County as they are obtained. H. The proposed pipeline crosses various drainage ways shown on the USGS map provided. These streams are proposed to be crossed under a Nationwide permit. Only one of these is discussed within the application, " ... a small dry drainage located on Richard Gieske's property ... " The cumulative total disturbance of crossing these other drainages, and possibly wetlands, may require permitting with the US Army Corp of Engineers. The applicant should verify that these other crossings will not require permitting. /. Whether or not any of the jurisdictional drainages also have mapped floodplains is not discussed. Garfield County flood plain permits may be required. 15. That only 6 compressors shall be allowed to be installed at the compressor station. 16. That the Applicant obtains and provides the County with the BLM 299 permit for the 321 foot section of pipeline corridor. Compressor Site and Produced Water Surface Use Agreement This Agreement is entered into and effective this 2.0 day of, 1:/v , 2007, by and between Silt Valley Enterprises, Inc., P.O. Box 660 Silt, CO 81652, ("Sil{Valley") and Bill B(ll'rett Coq)oration, 1099 18111 St., Suite 2300, Denver, CO 80202, ("BBC"), collectively hereinafter referred to as the ("Parties"). WITNESSETH, That Silt Valley, for and in consideration of the covenants and agreements hereinafter contained, the receipt and sufficiency of which are hereby acknowledged, has granted, demised, leased and let, and by these presents does grant, demise, lease and let exclusively unto the said BBC, the land hereinafter described, ("Leased Land"), with the exclusive right for the purpose of a compressor site station and produced water off-loading site, all that certain tract of land situated in the County of GARFIELD , State of COLORADO described as follows, to-wit; Township 6 South, Range 92 West, 61h P.M. Section 22: That part of Lot 3 of the Sierra Vista Subdivision as identified on the attached Exhibit "A", made a part hereof and incorporated herein. 1. Term. This Agreement shall be for a primary term of ten (1 0) years ("Primary Term") from the Effective Date stated above, with BBC having the continuous option to renew annually ("Secondary Term") for as long as the Leased Lands are used for the purposes granted in this agreement. The option to renew the term of this Agreement for each additional annual period shall be exercisable by BBC delivering written notice to Silt Valley, at its address set out above (or any subsequent address furnished BBC by Silt Valley), thirty (30) days before the expiration of each extended annual period. BBC agrees to furnish Silt Valley a recordable release of the rights granted by this Agreement at the termination of this Agreement. 2., ·consideration. 2.a. Compressor Site. Prior to actual construction on the Leased Land for the compressor site, 2007, BBC will commence monthly payments to Silt Valley in the amount of $2,000.00 during the Primary Term. During the Secondary Term and upon BBC's election to renew this agreement for each additional annual period, the monthly payment will be adjusted based on the increase or decrease of the Consumer Price Index. Each adjustment will be based on a monthly payment made in the previous year multiplied by the increase or decrease of the Consumer Price In(!ex in the previous calendar year and will apply to all monthly payments made during that additional annual period. All payments made during the Primary and Secondary terms will cover all rentals due in connection with the compressor site for that particular month with each following month's rental due on the 1" of each month. 2.b. Produced Water Offloading Site. Prior to actual construction on the Leased Land for the produced water off-loading site BBC will commence monthly payments to Silt Valley in the amount of$1,000.00. Said payments will cover all rentals due in connection with the produced water off-loading site for that particular month with each following month's rental due on the 1" of each month. 2.c. As part of the consideration for this Agreement, BBC agrees to hold Silt Valley harmless from any and all claims, damages, suits, or obligations claimed or asserted against Silt Valley by reason of BBC's operation or business on the Leased Lands and against any and all parties asse1ting such claims, and to defend Silt Valley in any and all suits brought against Silt Valley by reason of BBC's operations on the Leased Lands, all at BBC's expense. Lessee shall pay any taxes which may be levied upon or assessed against structures, fixtures, or other equipment which may be built or installed on the Lands by Lessee. Except for cases of unreasonable surface use and/or negligence by BBC, Silt Valley, for itself and its successors and assigns, does hereby, in 'consideration of the amounts to be paid, release, relinquish and discharge BBC, its affiliates, successors and assigns fi:om all claims, demands, damages and causes of action that Silt Valley may have by reason of the construction and maintenance of the compressor site, produced water off-loading site and all other rights granted pursuant to this Agreement and Silt Valley accepts the consideration to be paid as full compensation therefor. 3. Use of Lands. This is a surface lease only and shall not be construed to limit BBC's rights as the owner of minerals in and under the Leased Lands. Without restricting or limiting the general and exclusive rights, privileges, powers, purposes, and uses granted to BBC by the enumeration of the matters set out below, it is specifically agreed that the Leased Lands leased pursuant to this Agreement may be used, occupied, and enjoyed by BBC for the following purposes: Constructing, erecting, installing, operating, maintaining, inspecting, using, replacing, repairing, moving on, and removing from the Leased Lands a compressor station and/or gasoline plant and/or gas purifying, dehydrating, treating and cleaning plant, produced water off-loading site and all buildings, warehouses, garages, storage facilities and structures of whatever kind, together with any machinery, engines, pumps, equipment, appliances, facilities, meters, pipes, regulators, fittings, gate valves, blow off valves, gate boxes, boilers, stills, heaters, drip or cooling towers, pipelines, telephone lines, electric transmission lines, and any other structure as may be necessary, convenient, or desirable to BBC in its operations in carrying on its business in which it is now engaged or may later be engaged. BBC is granted the right to build roads, lay, repair, and remove lines of pipe for water, gas, or oil over adjacent lands of Silt Valley, and erect and maintain telephone and electric transmission lines, with the right of ingress and egress for such use and purposes at all times. BBC shall have the right to do and perform any act on Silt Valley's adjacent lands as may become necessary to protect BBC' s property in case of flood or fire, and to prevent the spread and loss of oil and other liquids. 4. BBC's Obligations. BBC covenants and agrees that it will comply with any and all laws, ordinances, orders, rules, regulations, standards, and licensing requirements of any state, federal, municipal, or local authority or agency, now in force and effect or which may be passed, enacted, issued, revised, required, or later promulgated, incident to or arising out of or in any way connected with BBC's utilization of the Leased Lands or any activity conducted under, pursuant to or by virtue of this Agreement. Except for number 7 below BBC agrees that it will not discharge, dump, bury, or store for purposes of disposal, pollutants of any kind on the Leased Lands or into or on any water on, adjacent to, or in the area of the Leased Lands, including, but not limited to, pollutants such as oil, chemicals, toxic substances or materials, hazardous wastes or hazardous substances, including pollutants as the same may be defined in any federal, state, or municipal laws, rules, regulations or ordinances. BBC specifically agrees to fully indemnify and hold Silt Valley harmless from and against all claims, demands, losses, costs, removal and/or clean up of pollutants, judgments, causes of actions, fines, penalties, costs, including, but not limited to, attorney's fees and costs of court, arising out of or connected with BBC's noncompliance with the terms of this Agreement. 5. Removal of Equipment and Fixtures on Expiration of Agreement. On the expiration of this Agreement, and any extensions, BBC shall have six (6) months after that date to remove any and all buildings, fixtures, structures, and equipment placed on the Leased Lands, provided all rentals have been paid. BBC agrees that upon the termination of this Agreement for any reason, it will, if requested by Silt Valley, remove any or all structures and level the surface of the Leased Lands at BBC's sole cost and expense. 6. Notice and Cure. In the event that either BBC or Silt Valley defaults under this Agreement, the defaulting party shall be notified in writing of the facts relied upon as constituting a breach thereof, and that party, if in default, shall within sixty (60) days after receipt of such notice, commence the compliance with the obligations imposed by virtue of this Agreement. In the event the defaulting party does not commence compliance with the obligations imposed by virtue of this Agreement within said sixty (60) day period, the non- defaulting party shall have the right to take such action as will cure the default and invoice the defaulting party for the reasonable costs incurred in curing the default, and/or may require specific performance of the defaulting party's obligations under this Agreement. The defaulting part,Y agrees to pay any and all reasonable attorney's fees of the other party incurred as a result of a breach of this Agreement. 7. Produced Water Injection Well. BBC is hereby given the option to drill and operate a produced water injection well ("Injection Well") at a mutually acceptable location on lands owned by Silt Valley. Upon notification by BBC the Parties will execute a Produced Water Disposal Agreement, which is attached hereto and marked Exhibit "B". Said Agreement shall provide for, among other things, consideration of $25,000.00 for surface damage of the drilling of the well and $1,000.00 per month for continued use of the land. 8. Confidentiality. The parties hereto agree that the specific terms and conditions of this agreement are strictly confidential and shall not be disclosed except per court order, tax purposes or as necessary to effectuate the provisions herein. The parties shall execute a Memorandum of Compressor Site and Produced Water Surface Use Agreement and BBC shall place same of record in Garfield County, Colorado to provide notice of the existence of this Agreement to subsequent purchasers of any portion of the property. 9. Binding Agreement. This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective heirs, representatives, successors, agents, and assigns. 10. Arms Length Transaction. The Parties hereto agree that the terms and conditions of this agreement have been negotiated and entered into in good faith and at arms length.
