exe,cution of this AEreement, Hite, on behal,f of the Subdividers,
has tendered an irrevocable Letter of Credit to the County for the
compJ.etion of the Road, the oo6t of which is agreed to be
919;7oo.oo based upon ttre representation of Peter Belau, P-E-, in
his letter dated February 24, 1992, and estimate of Welch Trucking
and Excavating. (See Eeti-mate, attached as Exhibit 'r8".) The Roadehall be completed pursuant to t,lle Countyts surrent Etandards for
a ttPrirnitive Residential,fi road. (See Road Profile, attached aB

3. Hohqo1 Iuptet Feee. The Subdividers shal} pay the County
$ZOO.00 per lot for Lots 2, 3r + & 5 for school impact fees Priorto recordation of the Final PIat. The Courrty has granted an
exemption of the schoo] lnpact fee for L,,ot 1" '
4. rndenility. To the extent allowed by }aw, the Subdividers
agree to indemnify and hold harrnless the County for claius which
may ar5,se ar a result of Hite I s j.nstallation of the Road pursuant
to- this Agreement. However, the Suhdividers do not indemnify the
County for claimE made asserting that etandards imposed by the
County on the Subdiviclers are iurproper or the cause of the injury
asEerted. The County shall be requlred to notify the SrftdlvlderE
of receipt of a Notice of cLalm or Notice of rntent to Sue and
shall afford Hite the option of defending any such claim or action.
Failure to notify and provide such option to Hite shall extingulshthe County,s rights under this paraqraph. Nothing herein shall beinterpreted to require Hite to indemnlfy the County for claims
whlch may arise from the negligent acts or oniesions of the County.

5. *gpfls. Googe Creek Lane, which accesses Lots 2, 3, 4 and
E, shall be a private roadway, for the benefit of only the owners
of LotE 2, 3, 4 and 5. Each }ot owner wiII have a non-exolueive
acces6 and utillty easement on thiE road running with their
property. Approval and aceeptanqe of any roads wlthin Googe Creelc
bubdivlsion ehall not designate such roadE as county roads.
6. Bater Auqrg"JlF+tiou. At the time of recording of the
Final Plat, the Subdividers, speclfically Kent ilonea, wi}l asslgn
the Baealt water conservancy District Allotment Contract Number
3.3.5.L36 for l-,ots 2, 3, 4 and 5 to Henry Hite, the contractingparty and owner of L,ota 2, 3t 4 and 5, who wiII sccept responsibll-
lty for the perfonnanoe of the aforementloned contraot. Hite shall
then record Ehis contract in the records of the Clerk and Recorder
of Garf ield County, Colorado, to run with the title to Lot,s 2, 3,
4 and 5, an{l to give notj.ce to any future purghaserE of Lots 2, 3,
4 and 5 as to the obligation of thiE contsract. Lot 1 does not need
r,'rater augrmentation as it has an existlng Colorado pernitted well

As requested, I have reviewed and approved the engineering design of the access
road for the Goose Creek Subdivision. The road design is in confonnance with the
Garfield County Road Design Standards for a "Primitive Residential" Road. The
desigu capacity of the roadrray is 40 vehictes per day (VPD), based upon a traffrc
generation rate of 10 VPD for each of the four lots that the road serves. The design
speed of the roadway is 15 mph.
I have also reviewed your oost estimate for the constnrction of the proposed
roadway. The total estimated cost of $19,700 for the construction of tle roadway
improvements is a reasonable estimate; 'his amount should be sufEcient to
complete the proposed roadnray construction

KNOW ALL MEN By THESE PRESENT that:
WHEREAS, Henry Harris Hite, Vincent Gulino, Kent Jones and priscilla prohl (alsoknown as "subdividers"), entered into a Subdivisioa Improvements Agreement with the Board
of County Commissiqners of Garfield County, ColoraJo (hereinafter ,,Board,,) dated June 30,1992, tec'orded in Book 835, at Page 892 as Reception No. 4314s4of the Garfield Countyrecords on July 6, I 992, for the improvements of the Goose Creek Subdivision Subd.ivision; and
WHEREAS, the obligations of the subclividers have been satisfied, as verified in astatement from High country Engineering, [nc. dated october 27, lgg3.
Now THEREFORE, at the request of the subdividers and in of thepremises and prior agreements, the Board hereby acknowledges the satisfaction of theSubdivisioa rmprovements Agreement entered into by the subdividers and the Board for theGoose Creek Suddivision, and releases the letter or ciedit from First Security Bank (Ogden,
