THIS BIG R COMMERCIAL PARK SUBDMSION ("SuMivision') SIJBDMSION
IMPROVEMENTS AGREEMENT ('SlA') is made and entered into this lta^V "f

BOARD OF COIJNTY COMMISSIONERS OF GARFIELD COI.'NTY, COLORADO, ACtiNg fOT
the County of Garfiel4 State of Colorado, as a body politic and corporatg directly or through its
authorized representatives and agents ('BOCC').
WHEREAS, Owner is the ouner and developer of the SuMivision, which property is
depicted on the Final Plat of Big R Commercial Park Subdivision C'Final Plat" or *Final Plat of the
Subdivision"); and
yHEREAS, on April 2,2007, the BOCC, by Resolution No.2007-32, approved a
preliminary plan for the Subdivision which, among otlrcrthings, would create ten commercial lots
('Preliminary Plan Approval"); and
WHEREAS, as acondition ofapproval oftheFinal Ptat submittedtotbe BOCC, asrequired
by th" l"*.r of thg State of Colorado, Oqmer wishes to enter into this SIA with the BOCC; and
WUpRgiS,,Owner has agreed to q(ecute and delivEr a specific form of collateral o the
BOCC to secure and guarantee Ovrner's performance under this SIA and has agreed to certain
restictions and conditions regarding the sale of properties and issuance of building pemmis and

NOW, THEREFORE, in consideration of the mutual covenants and promises cor(ained
herein, the BOCC and Owner ('parties') agr€e as follows:

Subdivision (Tinal Plat Approval"). Reeording of the Final Plat shall be in accordance with this
SIA and at the time prescribed herein.
2. OWIYER'S PERFORMANCE AS TO SUBDTVISION IMPROVEMENTS.
u, Completion Date/Substantial Comoliance. Owner shall cause to be
constnrcted and installed other zubdivision improvements, identified in the Exhibits defined
in subparagraph 2.a, below (suMivision knprovements') d Qwner's expense, including
payment of fees required by Garfield County and/or ottrer governmental and quasi-
governmental entities withjurisdiction The Subdivision Improvernents shall be completed
on or before the end of the first full year following execution of this SIA ('Completion
Date'), in substantial compliance with the following:
i. Plans marked "Approved for Constnrction" for all SuHivision
lmprovements prepared by Colorado River Engineering Inc. and submitted to tbe
BOCC on September l2,2OO7 ,such plans being summarized in the list of drawingg
attached to and made a part ofthis SIA by reference as Exhibit "A"; the estimate of
cost of completion, certified by and bearing the stamp of Owner's professional
enginepr licensed in the State of Colorado ('Owner's Engineer'), attached to and
made a part of this SIA by reference as Exhibit "8"; and all other documentation
required to be submitted along with the Final Plat under pertinent sections of the
Garfield Counf suMivision and zoning regulations ('Final Plat Documurts').

Improvements, as detailed in paragraph 3(e), below; and all other requirements of this SIA
then the Owner shall be deemd to have satisfied all terms ind conditions of the Preliminary
Plan Approval, the Final Plat Documents and the Carfield County zoning and subdivisiou
rcgulations, with respect to the installation of Subdivision Improvements
3. SECURITYFORSUBDTVISIONIMPRO\MMENTS.
Subdivision Improvements trtter Of Credit and Substitute Collateral. As security
for Owner's obligation to complete the SuMivision Improvements, Ownershall delivcrto
the BOCC, on or before the date of recording of the Final Plat of the SuMivisiorl rLgfrer
of Credit in the form agreed to be accrcptable to ttre BOCC, attached to and incorporarcd in
this SIA by reference as Exhibit 'C'(*LOC"). The LOC shall be in the amormt of
$409,906.56, representing the full estimated cost of completing the SuMivision
Improvements with a sufficient contingency to cover cost changes, unforseen cosB and other
variables (not less than 10% of the estimated cost and as approved by the BOCC), to
guarantee completion ofthe remaining Subdivision Improvements. The LOC shall be valid
for a minimum of six (6) montbs beyond.the Completion Date for the Subdivision
Improvements set forth in Paragraph 2.a., above. The BOCC, at its sole option, may P€rrrit

a. LOC Requirements and Plat Recording. The L@ required by this SLA shall
be issued by a state or national banking institution acceptable to the BOCC. Ifthe institution
issuing the LOC is not licensed in the State of Colorado and transacting business within the
. State of Colorado, the [,oC shatl be "coDfimed" within the meaning of the Uniform
Commercial Code, l.etters of Credit, $4-5-101, et seq.,C.R.S., as amended by abankthat
is licensed to do business in the State of Coiorado, doing business in Colorado, and
acceptable to the BOCC. The LOC rslalt rO," that prcsenAtiou of drafts dranm under the
LOC shall be at an office of the issuer or confirmer located in the State of Colorado. The
Final Plat ofthe Subdivision shall not be recorded until the security, described in this
paragaph 3 has been received and approved by the BOCC.
b. Extension of LOC Expiration Datg. If the Completion Date, identified in
paragraph 2.a., above, is extended by a written arnendment to this SIA, thetime perioil for
the validity of the LOC shall be similarly exteirded by the Oumer. Fo: each six (6) month
extensiorL at the sole option of the BOCC, the face amount of the LOC shall be subject to
re-ceiification by Owner's Engineer of the cost of completion and review by the BOCC-
c. Unenforceable LOC. Should the LOC oec-ome void or unenforceable for any
reason, including bankruptry of the Owner or the financial instihrtion issring or confirming
the LOC, priorto the BOCC's approvat of Owner's Engineer's certification of completion

d. partial Releases of Securitv. Owner may request partial releases ofthe LOC,
and shall do so by meansofsubmissiontothe BuildingandPlanningDepartmentofawritten
request for partial release of LOC, accompanied by the Owner's Engineer's stamped
certificate ofpartial completion ofimprovements. The Owner's Engineer's seal shall certify
that the Subdivision Improvements have been constnrcted in accorrdance with the
requirememts of this SIA, including all Final Plat Documents and the Preliminary Plan
Approval. Ownermay also request release for a portion of the secgrity upon proof that l)
owner has a valid contract with a public utility company regulated by the colorado Public
utilities commission obligating such company to install certain utilitylines; and 2) owner
has paid to the utility company the cost of insrallation as required by tre contract. The
BOCC shall authorize successive releases of portions of the face anrount of the IOC as
portions of the Subdivision Improvements, dealt with in this Paragraph 3, are certified as

complete to the BOCC by the Owner's Engineer and said certification is approved by the
BOCC.
BOCC's Investigation. Notwithstanding the foregoing, upon zubmission of
the Owner's written request for partial release of tOC, along with Owneros Engineer's
certificate of partial comptetion of improvements, the BOCC may review the certification
and nnay inspect anC review the Subdivision Lmprovernents certified as complete to
determine whether or not they have been construcGd in compliance with relevant
specifications, as follows:
If no letter ofpotential deficiency is fumished to Owner by the BOCC
within fifteen (15)businessdays ofzubmission ofOwner's writtenrequestforpartial

of the Subdivision Improvements certified as complete are not in compliance with

request for partial release of LOC, accompanied by Owner's Engineer's certificate
of partial completion of improvements.
iii. If a letter of potential deficiency is issued identifying a portion of the
oertified Subdivision Improvements as potentially deficient, then all Subdivision
Lnprovements not identified as potentially deficient shall be deemed approved by the
BOCC, and the BOCC shall authorize release of the amount of secruity related to the .
Subdivision Improvements certified as complete and not identified as potentially
deficient.
iy. With respect to SuMivision Improvements identified as potentially
deficientinaletterofpotential deficiency, theBOCC shall havethirty(30) daysfrom
the date ofttre letterto complete the initial investigation, begunmder subparagraph
3.f.ii., above, and provide written confirmation ofthe deficiency(ies) to the Owner.
v. If the BOCC finds that the Subdivision lmprovements are complete,
in compliance with the relevant specifications, then the appropriaie amount of
security shatl be authorized forrelease withinten (10) business days aftercompletion
ofsuch investigation.
f. BOCC Complelion of Imorovements and Other Remedies. If the BOCC
finds, within the thirty (30) day period of timg defined in subparagraPh 3.f.iv. above' that
the Su6ivision Improvements are not bomplefe, or ifthe BOCC determines that the Owner
will not or cannot construct any or all of the Subdivision Improvements, whether or not
Ou6er has submi1ed a written request for release of LOC, the BOCC may withdraw and
employ from the LOC such firnds as may be nooessary to construct the Subdivision
Improvements in accordance with the specifications, up to the face amount or rcmaining face
ariount of the LOC. In zuch event, the BOCC shall make a written finding rcgarding
Owner's failure to compty with this SIA priorto requesting payment from the LOC. In lieu
of or in addition to drawing on the LOC, the BOCC may bring an action for injunctive relief
or damages for the Owner's failr:re to adhere to the provisions of this SLA regarding
SubdMsion Improvements. The BOCC shall provide tlre Owner a reasonable time to cure
any identified deficiency(ies) prior to requesting payme,lrt from the LOC or filing a civil
action.
g Final Release of Secqritv. Upon completion ofall SuMivisionlmprovements'
Owner shall srbmit to the BOCC, through the Building and Planning Department 1) record
drawings bearing the stamp of Ov.,ner's Engineer certising that dl Subdivision
Improvements have been constructed in accordance with the requirements of this SIA,
including all Final Plat Documents and the Preliminary Plan Approval, in hard copy and
digital format acceptable to the BOCC; 2) copies of instruments conveying real property and
other intereys which Onmer is obligafed to convey to the Homeowner's Assooiation of the
Subdivision at the time of Final Plat Approval; and 3) a written rcquest for final release of
LOC, along with Owner's Engineer's stamp and c€rtificate of final completion of

i. The Bocc shall authorize t frnal release of the Loc after the
Subdivision Improvements are certified as final to the BOCC by the Owner's
Engineer and said final certification is approved by the BOCC. Ifthe BOCC finds
that the Subdivision Improvements 4re complete, in accordance with ttre relevant
specifications, the BOCC shall authorize release of the final amouDt of security,
within ten (10) business days following submission of the Owner's written request
for final release of LOC, accompanied by the other documents required by this
paragraph 3.h.
ii. Notwittrstanding the foregoing upon Owner's writh request for final
release of LOC, accompanied by Owner's Engineer's cefiificate of final completion
ofimprolements,'the BOCC may inspect and reviewthe Subdivisionlmprovements
certified as complete. Ifthe BOCC does so review and inspect, the prooess contained
in paragraph 3.f.,above, shall be followed'
iii. If the BOCC finds that the Subdivision Improvements are complete,
in accordance with the relevant specifications, the BOCC strall autlrorize final release
of security withinten (10) days after completion of such investigtion.
iv. If the Bocc finds that the subdivision Improvements are not
complete, in accordance with the relevant specifications, the BOCC may complete
remaining Subdivision Improvements, or institute court action in accordance with the
prooess outlined in paragraph 3.9., above'
4, flRE PROTECTION SYSTEM. Owner shall install the fire protection system in
accordance with plans and specifications zubmitted by Colorado River Engineering, Inc- All

easements and rights of way necessary for installation, operation, service and maintenance of such
fire protection system shall be estabtished as shown on the frnal plat for Big R Commercial Park'
Owner shall deposit with the Garfield County Clerk and Recorder executed originals of the
instlments of conveyance for easements appurtenant to the fire protection system, for recordation
following recording of the Final Plat and this SIA Once completed and ccltified by Owner's
Engineer, all facilities ant equipment contained within ttre fire protection system shall be tansferred
by Owner to the lotowner's Association of the Subdivision by bill of sale. Operation of ttre fire
protection system shall be as set forth in the Declaration of Coverunts, Conditions and Restrictions
for Big R Commercial Park
S. CDOT PERMITS. CDOT Permit Nos. 39901 9 and 399020 shall be assigned by the
Onmer to the Lotownet's Association. The Lotowners's Association shall be responsible for
monitoring compliance with the terms of the permits and obtaining new or amended permits if and
when necessary as set forth below. Prior to the submission of an application for a new building
perrrit on any of the [.ots, the Intowner's Association shall obtain a trip generation estimate from
. a registered professional engineer using methods approved by lnstitute ofTransportation Engineers
for the new building and its proposed use. A fip generation estimate and the most rpcent up-todate
count of the actual average dailytrip analysis shall be supplied to Garfield County with any building
permit applicatioa If the addition of the trip generation estimate to the actual average daily trips
exceeds Z0% ofthe permitted average daily trips for the access undet the then-existing
permit, the totowner's Association shall obtain a traffic study from a registered professional

permit is an umbrella permit for general commercial operations at the Subdivision. Individual uses
on the Suffiivision lots witl require a letter of comptiance from the City of Rifle or a separate
waterstred permit depending on use.
1. PUBLICROADS. AllroadswithintheSubdivisionshallbededicatedbytheOwner
to the public as pubic rights-of-way and shall be accepted bythe BOCC, on behalf ofthe public, on
the face of the Final Plat. The Intowner's Association ofthe Subdivision shall be sotely responsible
for the maintenancg re,pair and lpkeep of said rights-of-way, including the traveled strface of the
roadwal,s and portions ofthe rights-of-way outside ofthc traveled surface. The BOCC shall not be
obligated to maintain any road rights-of-way within the Subdivision.
B. PUBLIC UTILITY RIGIITS-OF-WAY. Whether or not utility easements exist
elsewhere in the Subdivision, all road rights-of-way within the Subdivision shall contain rights-of-
way for installation and maintenance of utilities. Public utility easemeuts shall be dedicated by the
Owner to the pubtic utilities on the face of the Final Plat, subject to ttre Garfield County Road and
Right-of-Way Use Regulations, recorded as Reception No.643477, in Book 1548, at Page 918 and
as amended.. The Lotowner's Association of the SuMivision sball be solely responsible for the
maintenance, repair and upkeep of said public utility easements, unless othenvise ageed to with the
public utility company(ies). The BOCC shall not be obligated for the maintenance, repair and
upkeep of any utility easement within the Subdivision. In the event a utility company, whether
publiclyorprivatelyowned requires conveyance ofthe easementsdedicated onthe face ofthe Final
plat by separate document Ov,rner shall execute and record the required conveyance documents-

. 10. BUTLDING PERMITS AI\D CERTIFICATES OF OCCUPANCY. AS ONC
remedy for breach of this SIA, the BOCC may withhold issuance of building permits for any
residence or other habitable structure to be constnrcted within the Subdivision. Further, no building
permit shall be issued unless the Owner demoustrates to the satisfaction ofttre Rifle Fire Protection
pistict ('District'), if the Fire District has so required, that there is adequate water available to the
construction site for ttre District's purposes and all applicable District fees have been paid to the
District. No new certificates of occupancy shall issue for any habitable building or structurc within
the Suffiivision until all Su$ivision Improvements have been completed and are operational as
requfued by this SLA.
11. CONSENT TO VACATE PLAT. In the event the Owner fails to comply with the
terms of this SL{, the BOCC shall have the ability to vacate the Final Plat as it pertains to any lots
for which building permis have not ben issued. As to lots for which building permits have been
issue4 the Plat shall not be vacated and shall rernain valid. In such event, the Owner shallprovide
the BOCC a plat, zuitable for recording showing the location by surveyed legal descripion of any
portion ofthe Final Plat so vaoated by action ofthe BOCC. If such a Plat is not siped by the BOCC
and recorded, orif such Plat is not provided by the Owner, the BOCC may vacate ths Final Plat, or
portions thereo{, by resolution
lZ. ENFORCEMENT. In addition to any rights provided by Colorado statute; the
wittrtrolding of building permits and certificates ofoccupmcy, provided for in paragraph 10, above;
the provisions for release ofsecurity, detailed in paragraph 3, above; and the provisions for plat
vacation, detailed in paragraph 11, above, it is mutually ageed by the BOCC and the Owaer, ttrat
the BOCC, without making an election of remedies, and any pr:rchaser of any lot within Ore
Subdivision shatl have the authority to bring an action in the Garfield County Distict Court to

BOCC to bring an action for enforcement or to withhold permits or certificates or to withdraw

provision ofthis SIA be interpreted to perrnit the purchaser ofa Iot to file an action against the
BOCC,
13. NOTICE BY RECORDATION. This SIA shall be recorded in the Office of the
Garfield County Clerk and Recorder and shall be a covenant nrnning with title to all lots, fracts and
parcels within the Subdivision. Such recording shall constitute notice to prospective purchasers and
other interested persons as to the terms and provisions of ttris SLA.
