I have had an opportunity to review the material provided to Ray by Scott Balcomb, and generally see no problem with it. The single exception is the requirement of the subdivision improvements agreement that the covenants contain a specific provision prohibiting conveyances or building occupancy prior to the completion of the subdivision improvements agreement. You will find this at paragraph 3.b. of the -agreement. EMMER, hereinafter jointly called the "Subdi- vider" and the Board of County Commissioners of Garfield County hereinafter called the "County". W ITNESSET H: WHEREAS, the Subdivider, as a condition of approval of the final plat of Rifle Creek Estates subdivision wishes to enter into a Subdivision Improvements Agreement as pro- vided for by Section 30•-28-137, C.R.S. 1973, as amended and Section 3.10.01 of the Garfield County Subdivision Regula- tions; and WHEREAS, pursuant to the same authority, the Sub- divider obligated to provide security or collateral sufficient in the judgment of the County to make reasonable provision for completion of certain public improvements set forth on Exhibit "A" attached hereto and incorporated herein; and WHEREAS, the Subdivider wishes to provide collateral to guarantee performance of this Agreement including construc- tion of the above -referenced public improvements, by means of an irrevocable letter of credit and a plat restriction by covenant affecting the property. NOW, THEREFORE, in consideration of the following mutual covenants and agreements, the Subdivider and the County agree as follows: 1. The Subdivider agrees to construction and instal- lation, at its sole expense, of all those public improvements as set forth on Exhibit "A" attached hereto. • • 2. The Subdivider agrees that all of those certain public improvements to be completed as identi- fied on Exhibit "A" shall be constructed on or before the 1st day of January, 1980, in compli- ance with the following: a. All final plat documents submitted prior to or at the time of final plat approval. b. All laws of the United States, State of Colorado, Garfield County, and its various agencies, affected special districts, and/ or servicing authorities. c. Such other designs, drawings, maps, speci- fications, sketches and other matter sub- mitted to and. -approved by any of the above - stated governmental entities. 3. To secure and guarantee performance of its obli- gations as set forth herein, the Subdivider agrees to provide security and collateral in the form of: a) an irrevocable letter of credit from The First National Bank in Rifle, Colorado in Ale amount of $165,000.00. h) a plat restriction by covenant affecting the property reads as follows: No building shall be occupied nor shall any of the lots within the Subdivision be sold or conveyed to any party or parties until such time as the Board of County Commissioners of the County of Garfield are satisfied that the public improvements required to be furn- ished and installed by Declarant (purusant to Agreement dated between Declarant and the Board of County Commissioners of the County of Garfield) have been properly installed. The approval of said Board of County Commissioners shall be evidenced by the written approval of the Building Official of Garfield County. Upon the recording of such written approval in the records of the Office of the Clerk and Recorder of Garfield County, the occupancy and sale restrictions above set forth shall become null and void and of no further force or effect. 4. It is mutually agreed pursuant to the provisions of Section 30-28-137(3) C.R.S. 1973, as amended, that the County or any purchaser of any lot, lots, -2- • • tract or tracts of land subject to a plat restriction which is the security portion of a subdivision improvements agreement shall have the authority to bring an action in any District Court to compel the enforcement of any subdivision improvements agreement on the sale, conveyance, or transfer of any such lot, lots, tract or tracts of land or of any other provision of this article. Such authority shall include the right to compel rescission of any sale, conveyance, or transfer of any lot, lots, tract or tracts of lard contrary to the pro- visions of any such restrictions set forth on the plat or in any separate recorded instrument, but any such action shall be commenced prior to the issuance of a building permit by the County where so required or otherwise prior to commence- ment of construction on any such lot, lots, tract or tracts of land. 5. It is further mutually agreed that pursuant to the provision of Section 30-28-137(2) C.R.S. 1973, as amended, that as improvements are com- pleted, the Subdivider may apply to the County for a release of part or all of the collateral deposited with said Board. Upon inspection and approval, the County may release said collateral. If the County determines that any of such improvements are not constructed in substantial compliance with specification it shall furnish the Subdivider a list of specific deficiencies and shall be entitled to withhold collateral sufficient to ensure such substantial compliance. • • If the County determines that the Subdivider will not construct any or all of the improve- ments in accordance with all of the specifica- tions, the County may withdraw and employ from the deposit of collateral such funds as may be necessary to construct the improvement in accordance with the specifications. 6. The Subdivider agrees to provide the County with a title insurance commitment at time of final platting evidencing that fee simple title of all lands in the subdivision is vested totally with the Subdivider free of any and all lien and encumbrances, other than those of holders who are also signatories of the final plat. 7. The County agrees to approval of the final plat of Rifle Creek Estates Subdivision subject to the terms and conditions of this Agreement. 8. Parties hereto mutually agree that this Agree- ment may be amended from time to time provided that such amendment be in writing and signed by all parties hereto. Emmer (hereinafter "Emmer"), by and through his attorneys Delaney and Balcomb; WITNESSETH: WHEREAS, Emmer is the Applicant in the above -captioned cases and Rifle filed timely Statements of Opposition to said applications; and WHEREAS, Emmer intends to utilize the water rights which are the subject of the above -captioned proceedings to provide a water supply for Rifle Creek Estates Subdivision (hereinafter "Rifle Creek Estates"), the legal description of which is set forth on Appendix A, attached hereto and incorporated herein by reference; and WHEREAS, Rifle is the owner of junior and senior water rights on Rifle Creek and its tributaries; and WHEREAS, Rifle and Emmer have resolved their differences and desire to reduce their agreement to writing. NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, the parties stipulate and agree as follows: 1. Emmer agrees that of the 2.0 c.f.s. Priority No. 2, Grand Tunnel Ditch original construction water right, decreed in Civil Action No. 103 (Garfield County District Court) on May 11, 1889, and referred to in the Plan of Augmentation (Case No. W-3879), 1.2 c.f.s. of said Priority No. 2 is decreed for diversion into the Grand Tunnel Ditch (Structure No. 2). .(Emmer is the owner of the remaining 0.8 c.f.s. of Priority No. 2 which is decreed for diversion at the Rifle Creek Canyon Ditch). Rifle agrees that Emmer is the owner of said 2.0 c.f.s. of Priority No. 2. The parties agree that Emmer has historically irrigated a total of 60 acres with the 1.2 c.f.s. Grand Tunnel Ditch Priority No. 2 water right. 2.. Upon approval of this Stipulation and Agree- ment by the Court and the inclusion of its terms and con- ditions in the decrees in the above -captioned cases, the Statements of Opposition filed by Rifle in said cases shall be deemed to be withdrawn. 3. Emmer agrees to pay all ditch assessments levied on Emmer's 1.2. c.f.s. by the -Grand Tunnel Ditch Company (hereinafter the "Company") pursuant to the By -Laws of the Company regardless of whether any or all of said water is actually diverted into or carried by said ditch. 4. Emmer agrees that the Emmer Well No. 1 (Case No. W-3876) and the Ernner Well No. 2 (Case No. W-3877) shall be administered by the State of Colorado as surface rights on Rifle Creek with and pursuant to the priorities awarded in the above -captioned cases. 5. The Plan of Augmentation in Case No. W-3879 shall be subject to and include the following terms, con- ditions and limitations: A. A maximum of one hundred (100) single family dwelling units shall be served from the Emmer Wells Nos. 1 and 2 and be covered by the Plan of Augmentation. B. In-house uses for said one hundred (100) units shall not result in gross diversions from the Emmer Wells Nos. 1 and 2 in excess of 40.0 acre feet per year. C. To augment diversions from the Emmer Wells Nos. 1 and 2 which are used for in-house, domestic purposes, Emmer shall during times of valid senior -call on Rifle Creek: 1) During the non -irrigation season when said wells are out of priority, release to Rifle Creek from the Emmer Reservoir No. 1 (Case No. W-3878) that quantity of water which equals twenty-five percent (25%) of the quantity of water being delivered to the potable water distribution system. 2) During the irrigation season when said wells are out of priority, Emmer shall permanently remove from irrigation up to five (5) acres of land historically irrigated with Priority No. 2 from the Grand Tunnel Ditch and curtail his diversions from Rifle Creek into the Grand Tunnel Ditch under Priority No. 2 by up to 0.10 c.f.s. as necessary to defray the consumptive use attributable to Emmer Wells No. 1 and 2. D. The potable water supply system will not be used for irrigation. E. In the event Emmer desires to irrigate land in Rifle Creek Estates from the Grand Tunnel Ditch in lieu of using Emmer Wells Nos. 1 and 2 pursuant to this paragraph, Emmer agrees to remove from irrigation one acre of land historically irrigated with Priority No. 2 from the Grand Tunnel Ditch for each acre irrigated in Rifle Creek Estates. 6. Emmer acknowledges and agrees that Rifle does not act for or represent the Company nor its users and that Rifle has not been authorized to enter into this Stipulation and Agreement for or on behalf of the Company or its users; provided, however, that Rifle agrees to support this Stipulation and Agreement to the extent of its interest in the Company. 7. Emmer states and represents, with the intent that Rifle rely, that the waste water disposal/treatment systems to be used by all dwelling units' within Rifle Creek Estates shall be septic tank leach field waste water treat- ment systems. Emmer agrees that, in the event total con- sumptive use from the Emmer Wells No. 1 and No. 2 exceeds 10 acre feet per annum, he will amend the Plan for Augmen- tation in Case No. W-3879 and provide additional augmentation water to compensate for the increased consumptive use which results. 8. Emmer shall not store in the Emmer Reservoir No. 1 that quantity of irrigation return flow flowing into said reservoir at all times said reservoir water right is not in priority. 9. Rifle shall have the right to enforce the terms and conditions of this Stipulation and Agreement by an action in a court of competent jurisdiction. 10. Emmer agrees to install, at his sole expense, any and all measuring devices necessary to monitor the terms of this Stipulation and Agreement that may hereafter be requested by the State Engineer or his representative. 11. Upon the approval of the Court of this Stipulation and Agreement, the parties consent to the re-referral of these proceedings to the )referee and for further proceedings as provided for by statute. 12. This Stipulation and Agreement shall be binding upon and inure to the benefit of the heirs, successors and assigns of the parties. The road base consists of 12" of pit run gravel, 4" of 1-" sand and gravel, 3" of 3/4" sand and gravel and 2" of asphalt. The maximum grade on the road is somewhat less than 8% (at the entrance and just before the horse shoe curve). The road was completed last fall (except for paving) and no settling occured last winter and spring. If, after inspecting the road, the county feels that the road meets their ppecifications, I would like to request that the county take over maintenance of the road and that the promisary note on lot 9 and the $12,500 CD be returned to me. I did not pave the cul-de-sac at the end of the road because we are currently working on a plan for is or 16 more lots on the 40 acres just north of where the present road terminates. We plan to put a larger and more convenient turn around in this development not too far from the present cul-de-sac. My primary concern at this time is to have the county maintain the road this winter. In the event you find some minor faults with the road, I probably won't be able to cure them before the construction season ends this year. In that event, I hope we can work out some agreement where the county will maintain the road and I can post a bond assuring the faults will be corrected when the construction season starts next spring. Dear Mr. Brown: Enclosed please find your copies of documentation for the inspections conducted on the above -referenced facilities on October 25, 2002. The following items were noted and need to be brought to your attention: Violations of the Colorado Primary Drinking Water Regulations At the time of the inspection, this public water system did not have an acceptable written microbiological contaminant sampling plan. This is a violation of the Colorado Primary Drinking Water Regulations, Article 3.1.1(1)(a). Other Deficiencies and Observations Your system does not currently have available records to demonstrate that it has conducted a microscopic particulate analysis (MPA). The results of this test are used to help determine if the water supplied by this source is under the influence of surface water. All public water systems using ground water sources located within 100 feet of surface water or drawing water from an interval less that 100 feet deep are required to conduct an MPA. Someone from the Compliance Assurance & Data Management Unit, CDPHE, will contact you soon to schedule an MPA test. The well head needs to be tightened.
