SUBDIVISION IMPROVEMENTS AGREEMENT
KNOW ALL MEN BY THESE PRESENT that:
WHEREAS, Edward and Ida Lee Hoaglund (hereinafter "owner") and Darter, LLC
(hereinafter "developer") , entered into a Subdivision Improvements Agreement with the Board of
County Commissioners of Garfield County, Colorado (hereinafter "Board"), recorded in Book 1546
at Page 964 as Reception No. 643045 of the Garfield County records on December 16, 2003, for the
improvements of the Valley View Village subdivision; and
WHEREAS, the obligations of the Owner have been satisfied in part, as verified in attached
statement from Ron Weidler, P.E., High Country Engineering, dated May 5, 2004, that work has
been partially completed consistent with improvements described in the Subdivision Improvements
Agreement.
NOW THEREFORE, at the request of the Owner and in consideration of the premises and
prior agreements, the Board hereby acknowledges the partial satisfaction of the Subdivision
Improvements Agreement entered into by Owner and the Board for the release of security in the
amount of $490,078.00 for the completion of improvements described in the Subdivision
Improvements Agreement, and retaining $818,363.61 for the improvements remaining.

Gentlemen:
I am writing this request for partial release on behalf of Darter, L.L.C., developer of Valley View Village.
Please find the attached cost estimate of improvements completed to date.
HCE certifies that all materials supplied and work performed is in accordance with the plans and
specifications for those items inspected by HCE during periodic construction observations. Battlement
Mesa Consolidated Metropolitan District performed inspectionof the water and sewer system installation
separately. Inspection reports from thedistrict have been submitted to the County Engineer Jeff Nelson
upon receipt.
All costs for which the release is being requested have been incurred in connection with the construction of
the Improvements. No funds are being requested for work not completed, or for materials not installed or
stored on site.
Please consider this letter certification by the Project Engineer, High Country Engineering, Inc. (HCE),
that all of the foregoing requirements have been met.
This statement of completion shall in no way relieve any other party from meeting requirements imposed
by contract or other means.

ACKNOWLEDGMENT OF SATISFACTION
SUBDIVISION IMPROVEMENTS AGREEMENT
KNOW ALL MEN BY THESE PRESENT that:
WHEREAS, Edward and Ida Lee Hoaglund (hereinafter "Owner") and Darter, LLC (hereinafter
"Developer"), entered into a Subdivision Improvements Agreement (SIA) with the Board of County
Commissioners of Garfield County, Colorado (hereinafter "Board"), recorded in Book 1546 at Page 694
as Reception No. 643045 of the Garfield County records on December 16, 2003, for the improvements of
Phase A of Valley View Village Subdivision; and
WHEREAS, an irrevocable Letter of Credit was delivered to the County in the amount of
$1,306,241.61 in order to secure the subdivision improvements to be constructed by the Developer as
required in the SIA; and
WHEREAS, on May 18, 2004, the Board approved the first partial release of the Letter of Credit
resulting in a balance of $818,363.61 and on October 4, 2004, the Board approved a second partial release
resulting in a balance of $231,310.11; and
WHEREAS, the obligations of the Owner and Developer have been satisfied, as verified in the
attached statement from Ron Weidler, P. E., High Country Engineering dated April 25, 2005, that work
has been completed consistent with improvements described in the Subdivision Improvements
Agreement.
NOW THEREFORE, at the request of the Owner and Developer and in consideration of the
premises and prior agreements, the Board hereby acknowledges the satisfaction of the Subdivision
Improvements Agreement entered into by Owner, Developer and the Board for the third and final release
of security in the amount of $231,310.11 for work completed consistent with improvements described in
the Subdivision Improvements Agreement.

developer of Valley View Village. The project has been completed and an acceptance letter has been issued
by the Garfield County Road and Bridge Department and an initial acceptance letter beginning the warranty
period has been issued for the Metropolitan District for all public improvements. Please find the attached cost
estimate of improvements and acceptance letters for this third and final partial release. Listed below please

RE: Notice of Initial Acceptance of Valley View Village Subdivision, Phase A
Water and Sewer Line Extensions - Extension #03-01
Dear Bruce,
This is to inform you that the Water and Sewer Line Extensions for Phase A of the Valley View
Village Subdivision have been completed by Tammeral Construction for Darter, LLC in
accordance with the Battlement Mesa Metropolitan District's Standards and Specifications as of
February 15, 2005. The initial acceptance is contingent upon Darter, LLC meeting the conditions
summarized in Ron Weidler's memorandum to us dated February 9, 2005. The water and sewer
lines constructed as part of the extension have been tested and accepted as required by the Water
and Sewer Line Extension Agreement(s). Darter, LLC will warrant and guarantee for a period of
one year from the above date of initial acceptance that the water and sewer lines are free from all
defects, and shall make any such repairs as may be necessary for reason of said defects, including
repairs of any trench settlement.
Enclosed is a copy of the Water and Sewer Line Extension Agreement(s) for the 54 taps served.
We have also enclosed copies of the water and sewer line test results and soil compaction tests
for your reference. A copy of the as -built Plans will be sent to you under separate cover.
