The Krendl treatise excerpt you sent me describes ownership interests in condominiums. The treatise refers to C.R.S. §38-33.3-103(9), the CCIOA definition of "condominium." This definition states that "[a] common interest community is not a condominium unless the undivided interests in the common elements are vested in the unit owners." Although you are correct that ownership ofcommon elements in a condominium must be vested as undivided equal interests in the unit owners, it does not follow that common elements in townhomes must be owned by a homeowners' association. CCIOA provides for three classes of common interest communities: condominiums, cooperatives, and planned communities. See C.R.S. §38-33.3-207. As stated above, the declaration for a condominium must allocate to each unit a percentage of the undivided interests in the common elements and in the common expenses of the association. C.R.S. §38-33.3-207(a). Conversely, a cooperative is defined as a common interest community in which the real property is owned by an association of owners. C.R.S. §38-33.3-103(10). The third and most ambiguously defined common interest community is a planned community. A planned community is any common interest community other than a condominium or cooperative. C.R.S. §38-33.3-103(22). While CCIOA mandates that a percentage of the common expenses in a planned community must be allocated to the homeowners' association, the statute is silent as to the proper allocation of common elements. C.R.S. §38-33.3-207(c). Thus, a planned community's declaration may allocate common elements to the association or to unit owners in undivided interests. Paragraph 10 of the Phase A SIA acknowledges that the County has already approved Lot 46 to include 2 "duplexes" 2 "four-plexes" and 7 "six-plexes." It also provides that the plat for each building can designate ownership either in reference to party walls or based on airspace. Building M is proposed to define the unit in reference to a party wall, i.e., the owner will have a fee interest in the building footprint and the dirt beneath it. 1 A1004\CIk.b1G rat a 113LLLtla rd Oro kr..1.r ,d LEAVENWORTH & KARP, P.C. Page 2 September 30, 2004 The project is funded in part by the Office of Housing and Urban Development (HUD). Legal documents submitted to HUD for project approval must be accompanied by certification from the mortgagee's attorney that the documents comply with state and local condominium laws as well as HUD regulations and policy statements. Pursuant to HUD Directive No. 4265.1, ownership arrangements with undivided interests in all common elements are acceptable. Other ownership arrangements, including homeowners' association ownership of common elements, may be approved only on a case by case basis. In order to comply with this directive, each Valley View Village unit owner shall hold an equal undivided interest in the common elements. By declaring undivided interests in the common elements of Valley View Village Building M, we are attempting to expedite the HUD process as much as possible. This ownership arrangement is also desirable because, under CCIOA, it may be applied properly to both condominiums and townhomes (ie, party wall units), thus eliminating the need for dual regulatory schemes. Nevertheless, for lending reasons and to avoid further confusion, the owner may ultimately decide to use a separate declaration for condominium buildings. Future building plats will be accompanied by supplemental declarations if necessary or appropriate. If you feel it is necessary, we have no objection to adding a plat note to clarify that land within the "unit" boundaries on Building M is to be owned in fee simple, while all areas outside the unit boundaries are general common elements or limited common elements with ownership vested as undivided interests. We should discuss the wording of the plat note and any other plat issues at our meeting next Tuesday. For your reference, I am attaching a copy of HUD Directive No. 4265.1. Box 6116 Battlement Mesa, Colorado 81636 RE: Fourth Review and Comments for Valley View Village PUD Proposed Water and Sewer System Extensions Dear Mr. Smith, Our office is in receipt of revised Plans which are now titled Construction Plan Documents for Phase A of the proposed Valley View Subdivision, which includes Specifications and Contract Documents. This current package is the fifth submittal from High Country Engineering. We presume Garfield County has approved the Preliminary Plan, since pipe suppliers indicate that the Petitioner is moving forward with bids for construction. If this is the case, the District should be notified of the proposed Contractor, to have an opportunity to review the Contractor's qualifications prior to execution of the work. The Petitioner will also need to execute the District's Water and Sewerline Extension Agreement(s). The following are our comments on the Construction Plans and Specifications for Phase A. Our review is based on the presumption that the Plans now constitute construction documents. Construction Plans - General 1. The final plat has been omitted from the set of Plans submitted. The Plat for Phase A should be included in the set of construction Plans, in order to verify that all utility stub -outs and extensions have adequate right-of-way(s) and/or easements. 2. The following approval signature blocks will need to be included on Sheets pertaining to the District's facilities: i. Approved for construction for 1 -year from this date. ii. Initial acceptance. • • Bruce Smith November 21, 2003 Page 2 3. Water lines and sewerlines that are to be installed in subsequent phases of the project beyond limits of construction of Phase A should be noted as "future" on the Master Utility Composite Sheets 11 and 12, and on the Plan and Profile Sheets 17, 18, 19 and 25. 4. A project benchmark and coordinate system should be provided on the Plans for reference to vertical and horizontal control. Construction Plans - Water Distribution System 1. The location of the PRV vault and 12 -inch waterline shown on Sheet 19A appear to be in conflict. The existing 12 -inch water line should be shown on the PRV vault detail on Sheet 33 to verify its relative location to proposed excavations, and to note requirements for protection against disturbance. Also, there are several editing errors, or incorrect text references in the PRV vault detail. 2. The air/vacuum valve manhole vault at Stone Quarry Road and Valley View Drive should be revised so that the air/vacuum valve is installed directly on the waterline, with the manhole centered over the water line. The water line profile is not shown on Sheet 21 to verify the location of the high point. Also, the location selected for installation of the air/vacuum manhole is between an existing gas and underground telephone line. These utilities should be shown on the modified air/vacuum manhole detail in the event they conflict with water system improvements, or if relocation of existing utilities is necessary. 3. The Plan and Profile for Valley View Drive on Sheet 10 shows the water line profile from the intersection with Battlement Mesa Parkway (Sta. 1+00) to the match line at Station 7+00 which includes a high point in the water line at approximately Station 2+50. The preliminary plan was to install the water line with a continuous slope at greater depth of bury to avoid the high point. The water line profile shown on Sheet 10 conflicts with both Sheet 17 -Master Utility Plan which specifies that the water line is to be installed with no high point through the same location, and Sheet 20 which shows a second water line profile with no high point. The conflict needs to be resolved, and shown consistently on all sheets of the Plans. If a high point is proposed an air/vacuum relief valve and vault will be required 4. The water line profile on Sheet 10 identifies an existing tee fitting at Station 1+00, that conflicts with water line details on Sheet 17 which identifies two (2) 8 -inch 45° bends. Water line details should be consistent on all sheets of the Plans. 5. The minimum water line depth of bury of 54 -inches should be added to the water line profiles on Sheets 10, 11 and 12, with any deviation from minimum bury noted. • • Bruce Smith November 21, 2003 Page 3 6. There is an unidentified line on Sheet 17 between the water line and the sewerline from MH -A1 to MH -A3 which appears to be an error, and should either be deleted from the drawing or clarified as to what it is. 7. A detail should be provided for the irrigation service tap, shut-off valve(s), water meter and backflow prevention devise for the irrigation line that will serve the Open Space south of Valley View Drive. As a minimum, backflow prevention should be accomplished by means of a reduced pressure double check valve assembly. 8. Construction requirements for water line extensions in Battlement Mesa Parkway and Stone Quarry Road should be identified on Sheets 19 and 19A as applicable. Also, the streets should be labeled on Sheet 19A. The asphalt removal/patch should also be designated with a hatch on the Plans and a note provided that any permit required for utility construction in existing streets is the Contractor's responsibility for obtaining and for conforming to terms and conditions of the permit. 9. The clear vertical separation between new water lines and existing sewerlines at the intersection of Battlement Mesa Parkway and Stone Quarry Road should be verified and noted on the plans to determine whether the required 18 -inches clear separation is provided, or if concrete encasement of the sewerline is necessary. 10. The District's standard water line construction notes should be included on the Plans that are available upon request. Additional notes can be provided at High Country Engineering's discretion. Construction Plans - Sanitary Sewer System 1. The sewerline to future Phase C from MH -A6 to Cliff View Court will need to be installed as part of Phase A, rather than installing the proposed stub -out at MH -A6. This is to avoid the stub -out being placed at the wrong alignment and grade that would then necessitate an additional manhole or removing the stub -out in the asphalt street to extend sewer service into Phase C. The District tries to avoid stub -outs to future phases and requires extension of the sewerline to the next proposed manhole in the future filing. A Plan and Profile of the sewerline from MH -A4 in Valley View Drive to Cliff View Court should be provided and the sewerline extension shown on the Utility Composite. 2. The sewer services to the proposed six-plex C 1-6 on Bryan Loop that connect to the sewerline in Valley View Drive should be eliminated from the Phase A Plans. Sewer service to the six-plex should be provided by extending a sewerline along Bryan Loop off Cliff View Court as part of future Phase C. Bruce Smith November 21, 2003 Page 4 3. A stub -out should be provided at MH -C4 for future extension of the sewerline into Phase B. The stub -out length should be 5 -feet and be glue capped. The stub -out requirements should be specified on the Plan and Profile Sheet and Utility Composite. 4. The reference to 348 L.F. of C900 PVC pipe between MH -E4 to MH -E5 shown on the Utility Composite does not appear to apply and should be deleted from the Plans. 5. The term "wet cast" for MH -E4 and MH -E5 should be deleted from the Plans that does not apply. If the intent was that these manholes be shallow manholes requiring flat top lid slabs, they should be specified per the District's Standard Detail Sheet. 6. The distance between MH -E2 to MH -E3 is called out as 100 -feet on the Utility Composite Sheet 17 that is shown to be 69 -feet on the Plan and Profile Sheet. The appropriate length should be accurately shown on the Plans. 7. The sewer service lines to duplex unit I 1-2 should be relocated so that they are more in line with the proposed building envelope approximately 20 to 30 -feet east of the location shown on the Plans. 8. Concrete encasement of the sewerline is required at waterline crossings were the waterline is less than 18 -inches clear vertical distance above the sewerline. The concrete encasement requirements should be shown at all water line crossings with the beginning and end stationing noted on both the Plan and Profile Sheet(s) and Utility Composite. At crossings where the water line is more than 18 -inches clear vertical distance above the sewerline, concrete encasement is not required. All water line crossings of the sewerline should also be shown on the profile. 9. Manhole stationing should be provided on the Utility Composite in addition to the coordinates provided. 10. Sewer service line stationing should be provided on the Utility Composite for the District's ease of referencing in the future similar to that shown on the Plan and Profile Sheets. 11. The size, type of pipe (SDR 35 PVC), and length between manholes should be consistently shown on the Utility Composite for all segment of sewerlines between manholes. This is shown for some sewerlines and not others on both the Utility Composite and Plan portion of the Plan and Profile Sheets. 12. The size and type of pipe for the existing sanitary sewerline along Battlement Mesa Parkway where MH -A1 will connect to the existing system should be noted on the Utility Composite and Plan portion of the Plan and Profile Sheet for the Contractors reference. • Bruce Smith November 21, 2003 Page 5 13. A Note should be added to the Plans specifying the method of connecting to the District's existing sewerline in Battlement Mesa Parkway. The existing manhole is to be removed, and approximately 10 lineal feet of new sanitary sewerline installed to proposed MH -Al at the same alignment and grade as the existing sewerline. Connection between the existing sewerline and new sewerline should be made with a bell -by -bell PVC closure coupling if the existing sewerline is PVC, or an appropriate "caulder" type coupling encased in concrete if the existing sewerline is not PVC pipe. Removing the existing manhole by this method will allow fall through MH -Al to be the same as the fall through the existing manhole. The Contractor is also responsible for controlling all live sewage flow and shall not allow debris to enter the existing sewer main while work is being completed to connect proposed MH -A1 to the District's existing sewerline. The note should be added to the Utility Composite and Plan portion of the Plan and Profile Sheet in addition to the present note that the manhole be removed and replaced per Battlement Mesa Metro District requirements. 14. MH -A1 should be called out and stationed on the Plan portion of the Plan and Profile Sheet. 15. The invert -in elevation at MH -A1 is currently proposed to be 1.2 -feet above the invert - out. This should be reduced to 0.3 -feet unless flows in the existing sewerline would dictate the invert -in elevation being raised to prevent flow from backing up into the proposed sewerline. 16. The storm sewer culverts should be called -out on the Plan portion of the Plan and Profile Sheet and Utility Composite. This includes the dual 54 -inch culverts and 18 -inch storm sewer to the detention pond between MH -A5 and MH -A6. The 18 -inch storm sewer to the detention pond should also be shown on the sewerline profile. 17. A note should be added to the Plans that fill required between MH -A4 to MH -A7 be placed and compacted to 95% (ASHTO T-99) to the street subgrade elevation prior to installation of the sanitary sewer. 18. The depth of the sanitary sewer should be maintained at a minimum of 6.5 -feet if grade allows to avoid conflicts with other utilities. It would appear that the 6.5 -foot depth requirement can be met. The sewerline along Angelica Circle is currently proposed at a depth of approximately 4.5 -feet that can be lowered by lowering the sewerline in Valley View Drive at MH -A9. The manhole invert elevations and sewerline grades should be adjusted to provide the minimum depth of cover. This will also allow 0.5 -feet separation between the water line and sewerline at specified crossings to allow for the required concrete encasement thickness of 6 -inches. 19. The sewerline grades do not correspond to the invert elevations and distances provided between manholes at the following locations: • • Bruce Smith November 21, 2003 Page 6 a. Between MH -A7 to MH -A8 that also has the wrong distance shown per the manhole stationing. b. MH -A8 to MH -A9. c. MH -A10 to MH -A 11. d. MH-Al2 to MH -A13. e. MH -A9 to MH -C4. The sewerline grades should be revised to match the invert elevations and distance between manholes. 20. The manhole stationing for the sewerline extension along Gregory Lane into future Phase B shown on the Profile does not match the stationing on the Plan portion of the Plan and Profile Sheet. Stationing for MH -A9 should be revised to an equation station starting with 0+00 for the Gregory Lane sewerline extension. The stationing for MH -C4 should be revised to match the appropriate length of sewerline between MH -A9 to MH -C4. The invert -in elevation to the north should also be shown for MH -A9 on Sheet 25. 21. The elevations in all compass directions should be shown on the Profile for MH -A9 on Sheet 26. The rim elevation for MH -A9 shown on Sheet 26 is also not consistent with the rim elevation shown on other sheets. 22. Clay cut-off walls should be installed upstream of all manholes to inhibit any subsurface water flow from being conveyed through the sewerline bedding material. The clay cut-off walls should be shown on the Plan and Profile Sheets and noted as typical. 23. The multi family unit numbers should be called out on the Plan portion of the Plan and Profile Sheet (i.e. D1-6, E1-6 etc.) for the District's reference similar to that shown on the Utility Composite. In addition, the sewer service lines to units F1-6, G1-6, and H1-6 shown on Sheet 21 should be noted as 6 sewer services similar to the sewer services called out for the six-plexes on Sheet 26. 24. The District's Standard Sanitary Sewer Detail Sheet should be provided with the final Plans approved for construction to replace the current detail sheet included with the review Plan. The District's Standard Detail Sheet is available upon request. 25. The General Notes shown on Sheet 28 regarding separation of water and sewer mains should be revised. When 18 -inches vertical separation cannot be provided between the water mains and sewer mains, concrete encasement of the sanitary sewer is required in all cases rather than use of C900 or DIP structural pipe that is not allowed by the District • • Bruce Smith November 21, 2003 Page 7 due to the difficulty in matching inverts of the dissimilar pipe to the SDR -35 PVC sewerline. 26. A profile has not been provided for the sewerline stub -out to the east of MH -A5, with a glued capped end. Future extension of the stub -out will require a new manhole if the grade and alignment of the stub -out does not match future design grade and alignment. 27. The District's standard sewerline construction notes should be included on the Plans that are available upon request. Additional notes can be provided at High Country Engineering's discretion. Specifications 1. Section 02713 - Water Main Construction does not include specifications for PVC pipe, air and vacuum relief valves, pressure reducing valves, backflow prevention device and other water line accessory items used on the project. This current package is the eighth submittal from High Country Engineering. Sheets 10, 11, 12, 17, 18, 19, 19A, 20, 21, 26, 29A, 29 and 33 were included in this latest submittal on mylar. The following are our comments on the current set of Construction Plans for Phase A. Construction Plans - Water Distribution System 1. The PRV vault along Battlement Parkway has been revised to require the minimum water line depth of bury of 4'-6". However, dimensions noted for depth of bury and from pipe centerline to bottom of vault place the floor of the vault at 7' -10 below grade. Dimensions on the vault, including grade rings, lid slab andclear height inside the vault place the finished floor at 8'-6" below grade. Assuming an 8" thick lid slab the combined dimension of the ring and cover and grade ring should be 8 -inches not 16 -inches. Also, the detail requires vertical 45° bends on the water line outside of the vault that were apparently not edited from the last detail that had the waterline depth at 9 -feet. The 45° bends are not necessary. In addition, the second manhole access should be provided that appears to have been inadvertently deleted. These discrepancies should be corrected. 2. Although there is no conflict between the water line and sewerline elevations at the sewerline crossing at Valley View Drive and Angelica Circle, the Plans do not accurately show relative elevations between the two utilities. The water line profile on Sheet 11 requires additional depth of bury through this segment (approximately 61/2 -feet), yet the sewerline profile on Sheet 26 indicates the water line is installed at minimum bury (4'-6"). • • Bruce Smith December 29, 2003 Page 2 3. Dielectric pipe unions should be used between dissimilar metal pipe and fittings on the backflow prevention devise to prevent galvanic corrision. The bottom 90° fittings should also be changed to galvanized pipe to keep the dissimilar pipe connections to a minimum. The location of the dielectric unions should be shown and specified on the detail. Construction Plans - Sanitary Sewer System 1. The sewer services to the 4 plex unit J1-4 are listed as J1-6 in the sewer service reference table on the Utility Composite Sheets indicating a 6 plex that should be revised. The aforementioned comments should be addressed, and a complete set of final Plans resubmitted to the District for review and approval. This current package is the seventh submittal from High Country Engineering to address our comments of November 21, 2003 and our latest meetings with Ron Weidler of High Country Engineering. The following are our comments on the current set of Construction Plans for Phase A. Water Distribution System 1. There is a discrepancy between the depth of bury on the new 12 -inch water line at the PRV vault along Battlement Parkway. The water line profile on Sheet 11 indicates a depth of approximately 5 -feet. The PRV vault detail on Sheet 33 identifies 9 -feet of cover over the same 12 -inch water line. The discrepancy should be corrected. The PRV vault depth should also be reduced from 9 -feet to the 6.5 -foot depth of the vault to eliminate the 3 -foot manhole cone sections that are proposed on top of the vault. This was discussed at our meeting on December 18, 2003. The PRV's will require a minimum 30 -inch opening for removal if they need to be replaced by the District. D&L Supply of Lindon, Utah can supply 30 -inch inverted ring and covers stamped "Water." 2. We believe there is a conflict between the water line and sewerline elevations at the sewerline stub -out from MH -A5 that should be corrected. Also, the relative elevation between water and sewerlines where the two utilities cross along Valley View Drive at approximately sewerline Station 2+25 should be verified and corrected. The water line profile on Sheet 10 shows the sewerline above the water line. The sewerline-profile on Sheet 20 shows the sewerline below the water line at the same crossing. 3. The depth of bury over the water line should be dimensioned on the water line profiles on Sheets 10, 11 and 11B where any deviation from minimum bury is required. • • Bruce Smith December 22, 2003 Page 2 4. The detail provided for the irrigation service tap on Sheet 29A should clarify the type of water riser pipe and accessory items (i.e. gate valves, fittings, etc.) at the backflow prevention devise, with consideration to protection/shelter against UV degradation (for PVC pipe), and vandalism. Sanitary Sewer System 1. The sewer service stations for the sewerline along Angelica Court shown on the Plan portion of the Plan and Profile Sheet do not match those in the sewer service reference table on the Utility Composite. It would appear that the sewer service stations shown on the Plan portion of the Plan and Profile Sheets are the correct stations. This conflict appears to be the result of MH -E2 being relocated beyond the limits of the crosspan that was previously not shown on other submittals. 2. The text for the previous sewer service locations to Duplex Unit I 1-2 are still shown on the Plan portion of the Plan and Profile Sheet even though the sewer services have been relocated to station 15+74. The text for the previous sewer service stations should be removed. 3. The text calling out the stub -out for MH -A6 along Valley View Drive has been partially deleted on the Plan portion of the Plan and Profile Sheet and should be reoriented so all of the text is legible. We are in receipt of the Sewerline and Water Line Extension Applications and Agreements from the Petitioner and the easement between MH -A9 to MH -C4 on future Gregory Lane, so all that remains to be completed are revisions to the Plans to address the aforementioned comments. I cannot certify that all land dedicated to the County is free and clear of any encumbrances because that is simply not true, and no amount of effort can change this fact. However, the dedications are free and clear of any encumbrances that would interfere with the intended purpose of the dedications, which is really the point. The actual encumbrances of record are listed on the enclosed certificate for your review. The land dedicated to the County includes Tract A, the Valley View Drive right of way, and public utility easements as depicted on the final plat. I have eliminated encumbrances that do not cross these properties. I have also eliminated the gas line easements on the condition that the quit claim deeds to/from the County and the gas company are exchanged and recorded prior to the final plat. Each encumbrance is discussed below. 1. The land and mineral rights granted in this 1891 land patent were conveyed by the grantee of those rights to the predecessors -in -interest of the current owners over 100 years ago. As such, there are no separated mineral rights. However, the patent reserves certain rights to the United States, including the right of a proprietor of a vein of ore to follow it under the property and the right of the United States to grant rights of way for ditches and canals. This is a 100' wide electric utility easement held by Public Service Company which is depicted on the plat and which crosses Tract A as well as the parcel already owned by Garfield County. Since the easement pre -dates the plat, Public Service Company will have the right to maintain its utilities and is not going to relinquish its rights. 3. This easement to Holy Cross Electric Association relates to power lines located within Tract A and along Battlement Mesa Parkway. Holy Cross is not going to relinquish its rights or remove its lines unless it is to stop serving Battlement Mesa. 4. This document states that the property is included within the service area of Battlement Mesa Water and Sanitation District. The County already owns many rights of way within the boundaries of various special districts. This should not be a concern. 5. This document is a notice that property within the Battlement Mesa Water and Sanitation District is subject to mill levies by the district. The County -owned property will of course be tax-exempt. Nevertheless, the property is included within the legal description of the area covered by the notice. 6. This is the County resolution approving the subdivision exemption, which dictates some of the boundaries of the parcels. 7. This is the County resolution approving the PUD plan for the property. Please let me know if the enclosed certificate will be acceptable. I am instructing High County Engineering to include it on the plat by copy of this letter.
