Dear Mr. Thompson:
This is to certify that the roads constructed during 1984/85 for filing
1, Subdivision 2 of the Los Amigos Ranch Subdivision have been
completed and are in conformance with County Specifications. On behalf
of the Los Amigos Ranch Partnership, I am requesting that all escrowed
monies held by the County be released in conformance with previous
agreements.
This is also to certify that all the public improvements called for in
the Subdivision Improvements Agreement, dated July 2, 1984, copy
attached have been completed. Additionally, underground electric and
telephone service and gas service have been completed to all lots.
If appropriate, I would be happy to review the project on site. Please
feel free to call me if there are any questions concerning any aspects
of the construction.

Status of Road and Utility Improvements
Dear Mr. Brown:
The purpose of this letter is to inform you of the status of the above
referenced construction work and also to inform you that we are unable
to continue with the construction work during the remainder of the 1984
construction season. This letter is current as of Tuesday November 20,
1984. Referring to the Subdivision Improvements Agreement recorded
July 10, 1984, the following items have been completed.
A. Sewer System
All items have been completed.
B. Water System
All improvements have been completed.
C. Road System
1. Earthwork completed.
2. Base course - 2,800 tons @ $9.00 or $25,200.
3. Chip and seal - no work completed to date.
D. Other
Although these items are not included within the original
Subdivision Improvements Agreement, complete underground gas,
telephone and electrical distribution systems have been
installed and are in service.
The following items remain uncompleted. These items will be completed
as soon as weather permits in the spring of 1985. Again, referencing
the Subdivision Improvements Agreement:
C. Road System
1. Earthwork - all work complete.
2. Base course 1,900 tons @ $9.00 or $ 17,100
3. Chip and Seal - 3,374 ft @ $4.00 or 13,500

The total amount of work therefore remaining is $31,000 for the base
course pavement and the associated gravel work to prepare the roadway
for the surfacing.
I trust that the above information adequately addresses the County's
need for information concerning the amount of work remaining on the

SUBDIVISION IMPROVEMENTS AGREEMENT
KNOW ALL MEN BY THESE PRESENT that:
WHEREAS, Los Amigos Ranch Partnership (hereinafter LARP), entered into
a Subdivision Improvements Agreement dated July 2, 1984, recorded in Book
652, at Page 679 as Reception No. 353878 of the Garfield County records on
July 10, 1984, for the improvement of Filing 1, Subdivision 2, Los Amigos
Ranch P.U.D. (hereinafter "The Property"),
WHEREAS, the obligations of the Subdividers have been satisfied in
full and the Subdividers have requested the Board of County Commissioners
of Garfield County, Colorado (hereinafter "Board"), release the
Subdividers from any further obligation contained in the aforesaid
Subdivision Improvements Agreement.

This will confirm our discussions on October 19, 1981 and November 23,
1981 concerning the requirements of the Los Amigos Ranch P.U.D. for improvements
on County Road 114. As you will recall, Mr. Bowlby's written concurrence as
to the actual road work to be done is to be reflected below by signature of approval
hereon. The physical, financial and timing details are set forth hereinafter and
shall constitute the obligation of Los Amigos Ranch P.U.D. and its subsequent
subdivisions for improvements on County Road 114 all of which have been reviewed
by Mr. Bowlby prior to his signature.
The improvements will be on that portion of the road from "Deadman's
Curve" to the main access road to Los Amigos Ranch P.U.D. Improvements will
consist of widening the travelled roadway to 24' with 2' shoulders (minimum of
6" aggregate base course and chip/seal surface), provision of drainage ditches
along the roadway and cut slopes consistent with the excavated material, and
removal of trees which interfere with sight distance. All improvements will
be subject to design standards and approval by Mr. Bowlby. The improvement
engineering details will be submitted at the preliminary plat of the first phase.
Improvements are scheduled to be completed prior to the final plat approval
for the last Phase I filing, consistent with our P.U.D. application. Our
estimated cost of such improvements is approximately $32,700.00.
Pursuant to our discussions on November 23, 1981, this letter will serve as
a commitment for Los Amigos Ranch P.U.D. to do the above enumerated improvements
within the timing set forth: Pursuant to our discussions on that date, it was
decided by the Commissioners that in the event the Commissioners desired that
these improvements not be done, that Los Amigos Ranch would contribute the sum
of $32,700.00 at the time of preliminary plat to a road improvement fund
established by the County for County Road 114 on the basis of a cash in lieu
of improvements program. Los Amigos Ranch, by this letter, agrees to this
alternative and will deposit said monies if requested to do so by the Commissioners
in lieu of completing the improvements enumerated hereinbefore.

Gentlemen:

I would like to formally notify you that Schmueser & Associates will be
starting construction on road and utility improvements for Filing 1,
Subdivision 2, Los Amigos PUD on June 13, 1984. The intitial phase of
the work will consist primarily of clearing and grubbing and some rough
earthwork. Actual utility installation and subgrade grading of the
roadway will not begin until after June 18, 1984.
I would ask that you consider shot checking the construction throughout
the progress of the job, so that at final inspection you can be assured
about the quality of the work being done. Schmueser & Associates is
providing a design/build service to the Developer, and as such we will
be responsible for both the engineering and surveying portions of the
project as well as the actual construction itself. King Lloyd will be
the project superintendent and will be your contact person during
construction for any deficiencies which you might note.
I also wanted to confirm with you the conclusion we have reached
concerning the question of an access permit to the existing county
road. We all agreed that a specifically issued permit from Leonard's
office was not required, that the review of the construction documents
during the subdivision process and subsequent final plat approval would
represent County review and approval of the road system within the
subdivision as well as its access to the existing County road system.
Los Amigos Drive already has an access onto the County road and until
we do detailed field surveys we do not know the xrecise extent of any
extra work required at the intersection itself.
We look forward to working with both of you during the construction
phase of the project and look for a timely completion of the project.
If at anytime you do have auestions concerning the engineering and/or
construction, please notify either King or myself immediately so that
those questions can be answered.

Malcolm Wall filed the Final Plat on this matter on May 29, 1984,
as you know. Enclosed you will find a notice form that I will
use to notify the one mineral interest in the property besides
those of LARP. That interest is held by Gisella Myers of Basalt
and is only a life estate in any royalties, not a right in the
mineral estate itself. Therefore, LARP does own all the mineral
estate.
I have also enclosed the Stewart Title memorandum reflecting no
liens or encumbrances exist on the property.
In addition, Tom Neal vacated the old Subdivision 2, Filing 1 and
the Master Covenants by a document recorded May 29, 1984. A copy
is enclosed for your records and Earl's review. We did this to
be sure that the old Subdivision 2, Filing 1 of March 1980 was
removed from the Clerk and Recorder's records to avoid confusion
with this final plat of the same name. You have the new cove-
nants in your packet and these are intended for filing after the
final plat is approved.
I will obtain the access cut application from Leonard Bowlby
for Los Amigos Drive road and a deed (if needed) for the school
site. These will be available at the June 18, 1984, 2:00 p.m.
hearing. Our commitment is to dedicate the school site, whenever
they want it, and we have no problem with that. I just want to
be clear that we have identified access to the site and the site
itself that satisfies them, provided access is dedicated. Since
that access is along the county -wide road that now dissects
the middle of the Auburn Ridge Apartment Subdivision parcel, I
did not want the access dedication to encumber this filing for
Subdivision 2, Filing 1, a totally separate parcel. As you know,
the subdivision improvements agreement also contains the LARP
commitment regarding the school site's tap fees and I suggest
that that language be placed in the Resolution also.

Finally, Tom Neal will be here June 9 and 10, 1984, a weekend.
He is going to execute construction agreements and the mylars of
the plat. If there are any language changes in the subdivision
improvements agreement, or other documents that Tom Neal would be
signing, I would like to have them accomplished by June 8, 1984,
if at all possible. This would avoid the problem of mailing
things to Chicago to him for signature. If you could make this
known to Earl I would appreciate it. I know he is swamped too,
of course.

ACKNOWLEDGEMENT OF SATISFACTION
SUBDIVISION IMPROVEMENTS AGREEMENT
KNOW ALL MEN BY THESE PRESENT that:
WHEREAS, Los Amigos Ranch Partnership (hereinafter LARP), entered into a Subdivision
Improvements Agreement with the Board of County Commissioners of Garfield County, Colorado
(hereinafter "Board") dated November 9, 1992, recorded in Book 846, at Page 931 as Reception No.
441018 of the Garfield County records on November 10, 1992, for the improvements of Subdivision
II, Filing 2, Los Amigos Ranch PUD; and
WHEREAS, the obligations of the LARP have been satisfied , as verified in attached
statement from Dean Gordon, Schmueser Gordon Meyer, Inc. dated July 1, 1996, that work
remaining has been completed consistent with improvements described in the Subdivision
Improvements Agreement.
NOW THEREFORE, at the request of the LARP and in consideration of the premises and
prior agreements, the Board hereby acknowledges the satisfaction of the Subdivision Improvements
Agreement entered into by LARP and the Board for the Los Amigo Ranch Subdivision II, Filing 2,
Los Amigo Ranch PUD, and releases security in the amount of $4,800.00.
