1. ln 2OO7 Pinyon Mesa Development LLC provided Garfield County with a
$32,500 letter of credit in order to guarantee the re-vegetation within the Pinyon Mesa Filing 1
Subdivision located on CR I14. This letter of credit was issued by Alpine Bank under the
reference number 0250401133. The Pinyon Mesa Filing 1 Subdivision Improvement Agreement
is recorded under reception number 734760.
2. On October l,2OO9 County Vegetation Manager Steve Anthony visited the site,
approved the re-vegetation efforts, and recommended the rclease of the security.
3. On October 20,2009, Mr. Brett Benzel of Pinyon Mesa Development LLC
requested the release of the letter of credit.
Acknowledsement
NOW THEREFORE, the BOCC hereby:
1. Aclcnowledges full satisfaction of the security requirements; and
2. Acknowledges that this letter of credit is no longer required by the BOCC and is
hereby retumed to the issuing bank for cancellation.

THIS 2OO1 GARFIELD COUNTY ?REASURERS' S DEPOSTT AGREEMENT
PINYON MESA SUBDIVISION GRADING PERMIT ("Deposit Agreement") is
entered into by and bet.ween the Garfield County Board of County
Commissioners ("BOCC"), the Garfield County Treasurer, Georgia
Chamberlain ("Treasurex"), and Pinyon Mesa Development, LLC
(ttOwner") .
WHEREAS, the BOCC approved the Preliminary Plan Application
for Pinyon Mesa Subdivision submitted to the BOCC by the Owner by
means of Resolution No. 2006- ("Resolution"); and
WHEREAS, the Garfield County Planning and Building
Department has approved Grading Permit No. with respect to
the property described in the Resolution ltte *Crading Permit"),
which is attached hereto as Exhibit A; and
VIHEREAS, the Grading Permit requires provision of sufficient
financial assurance of weed and erosion control and other matters
as reflected in the Grading Permit, and Owner wishes to deposit
good funds for such security; and
WHEREAS, the BOCC has approved Owner's
County Trbasurer's Deposit Agreement in 1i

WHEREAS, the Treasurer is willing and able to hold suchfunds in accordance wit,h the Treasurer's statutory duties
outlined in Sections 30-10-701, et seq. and 30-1-102, C.R.S., as
amended.
NOW THEREEORE, the part.ies agree as follows
I. Owner' s Treasu.rer' s Account.Owner shaLl deposit with
the Treasurer the sum of Forty-Three Thousand Five Hundred Sixty
Dollars ($43r 560) to secure construction requirements of the
Grading Permit relating to the proposed Pinyon Mesa Subdivision.
fn consideration of the service fee payable to the Treasurer,
identified in Paragraph II., below, the Treasu.rer sha1l place the
funds in an int.erest bearing account and disburse funds therefromin accordance with the terms of this Deposit Agreement. Such
account shall be known as the "Pinyon Mesa Grading Permit
Treasurer's Account" and shall be subject to the terms and
conditions of this Deposit Agreement.
II. Treasurer's Service Eee. The Treasurer's
shall be, in accordance with Section 30-1-102 (1) (c) ,
amended, one percent (1.0E) of the deposited funds,

Hundred Thirty-Five DolLars and sixty cents ($435.60). Theservice fee covers administrative costs incurred by the Treasurerin distributing and accounting for the Booms Place SubdivisionTreasurer's Account. Such fee shall be paid by Owner:
A.in cash or by check made payable tothe Garfield county Treasurer, as noted in the "Receipt" sectionof this Deposit Agreement (page 6), on or before the date ofexecution of this Deposit Agreement. The service fee is deemedto be earned by the Treasurer upon execution of this DepositAgreement. rnterest earned on the Pinyon Mesa Grading permit
Treasurer's Account shal] be paid to owner as part of the singledisbursement detailed in Paragraph rrr., berow. The TreasurershalL thereafter provide to owner a report of interest earned, asrequired by state and federal- tax 1aw, or;
B.in lieu of paying the 1.0? Treasurerrsservice fee, owner may grant to the Treasurer the right to accrueand earn the interest paid on the pinyon Mesa Gradj-ng permit

upon satisfaction of the construction condj-tions of the GradingPermj-t. owner speciflcally recognizes and agrees that partial
releases do not apply to this Deposit Agreement.

F. BOCC's Completion _ of fmprovements. If Owner, scompletion of construction required by the erading permit, is

WHEREAS, on February 5, 2007 the Bocc, by Resolution No. zo07-04,
approved a preliminary plan for the Subdivision which, among other things, would create
eighty (80) single-*1,, residential Iots ("preliminary plan Approval',); and
WHEREAS, Owner has submitted to the County for its approval a final
subdivision plat ("Final Plat") for the first filing of the subdivision, comprising forty-
eight (48) single-family residential lots and two (2) open space/common ur.u parcJh; and
WHEREAS, as a condition of approval of the Final Plat of the Subdivision,
submitted to the BOCC for approval as required by the laws of the State of Colorado,
Owner wishes to enter into this Agreement with the BOCC; and
WHEREAS, Owner has agreed to execute and deliver a specific form of collateral
to the BOCC to secure and guarantee Owner's performance ,rde, this Agreement and
has agreed to certiain restrictions and conditions regarding the sale of pioperties and
issr-nnce of building permits and certificates of o""up*"y, all as more fully set forth
below.
NOW, THEREFORE, in consideration of the mutual covenants and promises
contained herein, the parties agree as folloua:
1' FINAL PLAT APPROVAL. The BOCC hereby accepts and approves rhe Final
Plat of the Subdivision, on the date set forth above, subject to tire terms and conditions ofthis Agreement, the Preliminary Plan Approval, and the requirements of the GarfieldCounty zoning and subdivision regulations and any other governmental or quasi-
govemmental regulations applicable to the Subdivision ("Final Plat Approval,). This
approval authorizes construction and development within Filing t of the Subdivision, as

We hereby establish, at the request of the Applicant, Irrevocable Standby Letter of Credit
No. 0260401133 in an amount not to exceed THIRTY TWO THOUSAND FIVE HUNDRED
DOLLARS and ZERO CENTS ($32,500.00). The purpose of this letter is to secure the
Applicant's performance of and compliance with the agreement between Applicant and
Beneficiary, dated october l, 2007 and titled SUBDIVISION IMPROVEMENTS
AGREEMENT. This Letter of Credit expires at ALPINE BANK at 3:00 p.m. Mountain
Standard Time on DECEMBER 31, 2009. This letter is not transferable.
Padial draws are permitted. The BOCC may authorize periodic reductions in the face
amount of this Letter of Credit.
Drafts submitted by Beneficiarymust be accompanied bythe following documents:
l. Beneficiary's signed statement executed by the Chairman of the BOCC or the
BOCC' s authorized designee stating:
PINYON MESA DEVELOPMENT, INC., developer of Subdivision is in default
of its obligations set forttr in that certain Subdivision Improvements Agreement
between PINYON MESA DEVELOPMENT and the BOCC, dated October 1,
2007, and, recorded at Reception Nunber 734760 of the Real Estate Records of
the Office of the Garfield County Cierk and Recorder.
The original Letter of Credit, endorsed on the reverse side with the words:
"Drawn by the Board of County Commissioners of Garfield County, Colorado in
the amount requested per draw," manually signed by the Chairman or the BOCC's
authorized representative.
This Letter of Credit and amendments, if any, must be returned to us for cancellationby
Applicant with a statement signed by the Beneficiary stating: "This Letter of Credit is no longer
required by the BOCC and is hereby returned to the issuing bank for cancellation."
