I. RECITALS WHEREAS, Owners are the owners of Lots 21-25, Block 10, Cooperton Townsite in Garfield County, Colorado, together with additional property described in that certain Warranty Deed recorded on January 22, 2016 as Reception No. 872776 in the real property records of Garfield County, Colorado (the "Property"); and WHEREAS, the Company owns and operates the Rockford Ditch, a lateral of which traverses the Property ("Ditch"); and WHEREAS, the Company owns certain historical easements and/or rights of way for the location, operation, maintenance, repair, and replacement of the Ditch in its historical and present location across the Property; and WHEREAS, Owners desire to relocate a section of the Ditch as it traverses the Property in order to create a suitable building envelope on the Property for a single family home in substantial conformance with the plans attached as Exhibit A ("Project") as approved by Garfield County, and the Company desires to accommodate Owners' request; and WHEREAS, the parties desire to set forth their mutual understandings and agreements concerning the Ditch relocation and modification. II. AGREEMENT NOW, THEREFORE, for and in consideration of Owners' execution of an express easement and undertaking certain maintenance obligations, together with Ten Dollars and the performance of the mutual covenants and agreements herein contained, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Incorporation of Recitals. The foregoing Recitals are incorporated as part of this Agreement of the parties. 2. Consent to Construction and Relocation. The Company hereby authorizes and consents to the Project on the terms and conditions set forth in this Agreement. 3. Construction. Owners shall bear the entire cost involved with the Project, and shall diligently pursue such work to completion, the completion of which shall occur prior to April 1, 2017. Prior to commencement of the work, Owners shall deliver to the Company and its engineer plans and specifications for such work prepared and stamped by a Colorado registered professional engineer. The Company must approve the plans in writing prior to commencement of the work, which approval shall not be unreasonably withheld. In the event the Company disapproves the plans, the Parties shall negotiate in good faith to attempt to 1 DITCH MODIFICATION AGREEMENT-ROCKFORD / MORRISSY resolve the issues. The work must be performed strictly in compliance with such approved plans, and the Company has the right to observe all work to ensure the same, at Owners' expense. Owners warrant and represent that the relocated Ditch will function and operate as the Ditch has historically operated, and that the Project will not diminish the flow of water available to down -ditch shareholders when water is running through the Ditch, nor decrease the capacity of the Ditch in any manner. 4. Insurance. During construction of the Project, Owners' contractors shall name the Company as an additional insured with regard to general liability, workers' compensation, automobile, professional liability, and umbrella insurance coverage in an amount not less than One Million Dollars ($1,000,000.00). 5. Historical Ditch Easement. The parties acknowledge the Company's historical easement for the Ditch in its present and historical location, which includes a reasonable area on either side of the centerline of the Ditch as it traverses the Property for the purposes of access, inspection, operation, maintenance and repair of the Ditch (the "Easement"). Upon such relocation and acceptance by Company's Engineer, the Company will have automatically relinquished any interest in that portion of the easement traversing the building envelope depicted on the Amended Plat. Except for the foregoing, nothing in this Agreement is intended to, nor shall it operate to, modify or diminish the Company's historical easement rights in any manner, and Owners will not hold the Company liable for damage to any improvements located within such Easement that may be sustained during future operation, maintenance, repair and replacement of the Ditch. 6. Express Easement for Relocated Ditch. In addition to recognition of the historical easement rights set forth above, Owners shall convey a permanent nonexclusive easement to the Company for the operation, maintenance, repair, and replacement of the relocated Ditch on the location depicted on the Plans, in a form substantially similar to Exhibit B. To memorialize this easement, Owners shall depict an express ditch easement on the Amended Plat referencing the express ditch easement. 7. Landscaping Within Ditch Easements. Owners agree not to construct any improvements within the express easement depicted on the Amended Plat. Further, Owners agree not to plant or permit the growth or planting of willow or cottonwood trees within 50 feet of the of the Ditch. 8. Maintenance of Ditch. After completion of the Project, Owners shall properly clean and maintain the Ditch through the Property, so that at all times the Ditch shall have physical capacity to deliver water at all times the Ditch is running, including during the irrigation season. From and after the date of the commencement of the construction contemplated herein, Owners shall bear the entire cost associated with cleaning, maintenance, repair, replacement, and operation of the Ditch through the Property. Owners specifically acknowledges and agrees that should Owners fail in any of these responsibilities, that the Company has the right to go upon the Easement to operate, clean, and maintain the Ditch as it traverses the Property, and bill all costs of the same to the Owners, including legal and engineering costs. 9. Company Not Liable. Company's approval of the Project, or any other action or request of Owners shall not make the Company liable for any loss or damage arising out of the development or redevelopment of the Property. 2 DITCH MODIFICATION AGREEMENT - ROCKFORD / MORRISSY 10. Indemnification. Owners shall and hereby do indemnify and hold harmless the Company, its shareholders, and its agents, employees and contractors, from any liability or damages that they may suffer as a result of claims, liens, demands, costs, or judgments against them arising out of the Owners' modifications to the Ditch or its easement, including but not limited to liability, loss, or damages caused by negligence of Owners; by negligence of Owners' agents, employees, guests, or contractors; by violation of any law applicable to the Project by Owners and/or Owners' agents, employees, guests, or contractors. This indemnity shall extend to and include any attorney fees incurred by the Company in defending or responding to any such claim or demand. Owners also agree to indemnify the Company for any increased costs of maintenance and operation of the Ditch caused by Owners' modifications to the Ditch. 11. Cost reimbursement. Owners agree to reimburse the Company for its actual and reasonable legal and engineering fees and costs ("Expenses") incurred in the course of completing and exercising its rights and obligations under this Agreement. 12. Timing; Liquidated Damages. The timing of the Project shall not interfere with the delivery of water to the Association consistent with historic timing and practice. The Ditch typically runs between April 1 and November 15th of every year ("Irrigation Season"). All parties recognize and agree that damages in the event of a breach of this Agreement would be difficult to ascertain, though will certainly be great and irreparable, and therefore Owners agree that in the event of a breach, they shall pay as liquidated damages to the Association the amount of $2,500.00 a day for each day during the Project that the Ditch cannot carry amount historically carried through the Ditch across the Property. This provision in no way shall affect any parties' ability to seek injunctive relief. 13. No Waiver. The failure of any party hereto to enforce any right or remedy hereunder, or to promptly enforce any such right or remedy, shall not constitute a waiver thereof nor give rise to any estoppel against such party nor excuse any of the parties hereto from their respective obligations hereunder. Any waiver of such right or remedy must be in writing and signed by the party to be bound. This Agreement is subject to enforcement at law and/or in equity, including actions for damages and/or specific performance. 14. Complete Agreement. This Agreement embodies the entire and complete agreement of the parties on the subject matter herein. All prior and contemporaneous negotiations and understandings of the parties are fully integrated and merged into this Agreement. 15. Modification. This Agreement shall not be modified or amended except by subsequent written agreement of the parties. 16. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors or assigns. 17. Invalid Provision. If any term, condition, or provision of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, then such term, condition, or provision shall be severed or modified to the extent necessary to make it enforceable, and the resulting Agreement shall remain in full force and effect. 18. Governing Law. The laws of the State of Colorado shall govern the validity, performance, and enforcement of this Agreement. Should either party institute legal suit or 3 DITCH MODIFICATION AGREEMENT - ROCKFORD / MORRISSY action for enforcement of any term, condition or obligation contained herein, it is agreed that the venue of such suit or action shall be in Garfield County, Colorado. 19. Attorney Fees. Should this Agreement become the subject of legal action to enforce or construe a term, condition or obligation of the Agreement, the prevailing party to such legal action shall be entitled to reimbursement of its attorney fees and costs, expenses, and court costs in such action. 20. Notices. Any notice required or permitted to be given under this Agreement must be in writing and will be deemed given upon personal delivery, three days after the deposit thereof in the United States mail, postage prepaid, or one day after deposit with a recognized overnight express mail service (i.e., FedEx, USPS, UPS), addressed to the appropriate party at the addresses set forth below. Any party may change its address for notices by giving notice to the other party in accordance with this paragraph.
