LEASE AGREEMENT
THIS AGREEMENT is entered into by and between the CITY OF GLENWOOD SPRINGS,
COLORADO (City), and LEONARD A. SINCLAIR (Lessee) to be effective on March 1,
1987, regardless of the date on which the parties actually affix their
signatures.
WITNESSETH
City, for and in consideration of the rents and covenants contained herein,
does hereby lease to Lessee Hanger Lot 111 at the Glenwood Springs Municipal
Airport, as depicted on the site plan attached hereto and incorporated herein as
Exhibit "A".
Section 1. Use of Premises.
The leased premis"-S shall be used for the installation of a "Port-A-Port"
portable aircraft hanger for storage of aircraft and for minor maintenance and
repair of aircraft stored in hanger. No other use of the teased premises shall
be permitted ;;t1iess specifically authori~ed in writing by the City and no person
shall reside on the leased premises. The structure to be installed or
constructed on the subject property shall be constructed substantially in
conformance with the Glenwood Springs Municipal Code as it exists now or aa it
may exist in the future and in accordance with the County Building Regulations
as they exist now or may exist in the future for so long as the property !may
remain in the County and not in the City limits. Prior to construction, City
Engineer shall meet Lessee to review grad"-S and setbacks.
Section 2. Rental.·
Annual rent shall be due and payable on or before March 1st of each year
this lease is in existence. Rent shallbe ch'!fged_j>_ased _1,1e_on the City's current

increase tie down rates in subsequent years, thus requiring· a corresponding
increase in the rent due and payable hereunder.
Section 3. Tenn and Renewal.
This lesse shall be effective March 1, 1987, through February 28, 1997,
unless earlier terminated as set forth below. Thereafter, the lease may be
renewed on an annual basis st the option of the City upon all of the terms and
conditions set forth herein. Lessee shall notify the City in writing of any
request to renew at least sixty (60) days prior to the expiration of the lease.
Upon receipt of such request, the City shall forthwith notify the Lessee of the
City's intent to renew or not to renew the lease.
Section 4. Cessation of Airport Operation.
Nothing in this Lease Agreement shall be construed to require the City to
continue the Municipal airport operation at its present location or at any other
location. In the event that the City Council, by Ordinance, determines that it
should no longer operate a municipal airport at this location, then this Lease

shall terminate six (6) months from the effective date of the Ordinance of City
/ Council determining that no further airport operation shall exist at the present
location, "hich location is adjacent to and appurtenant to the premises to be
leased to Lessee pursuant to this Lease Agreement. Not.,ithstanding the
provisions of Section 5 belo" regarding Default and Termination, Lessee shall
\· remove all structures "ithin said sh (6) month period and shall not be granted
an additional ninety (90) days to remove the structures after the expiration of
the six (6) month period.
Section 5. Default and Termination.
In the event of default by Lessee in the performance of its covenants,
agreements, and obligations hereunder, City may terminate this lease and may
enter and retake possession of the leased premises upon thirty (30) days advance
"ritten notice to the Lessee. Lessee may terminate this Lease at any time by
providing thirty (30) days advance "ritten notice to the City.
Upon any expiration or termination of this lease, Lessee may remove any and
all structures installed by Lessee from the leased premises and restore the site
to its original condition, ordinary "ear and tear e><cepted. Notwithstanding
this right of removal, Lessee shall not have the right to remove any run.,ays or
taxiways or any tie down facilities installed by Lessee. If Lessee fails to
remove structures pursuant to this paragraph "ithin ninety (90) days of the date
of termination of this Lease, said improvements shall become the property of
City. I
Section 6. Indemnity and Insurance.
Lessee hereby agrees to indemnify and hold harmless City against all claims
and damages of any kind, including attorney's fees brought by anyone arising out
of this Lease Agreement or out of Lessee's use of the leased premises, Lessee
shall furnish and maintain at all times public liability and property damage
insurance covering its operation under this Lease in amounts not less than those
obtained and carried by the City of Glen.,ood Springs in ,its insurance policies
pursuant to the Colorado Governmental Immunity Act and City shall be named as an
additional insured on said policy.
Section 7. Improvements, Maintenance and Security.
Any improvements, including utility services to the leased premises, and
maintenance and security of the leased premises shall be the sole responsibility
of the Lessee. Nothing in this Lease shall be construed to impose improvement,
utility, maintenance, or security obligations upon the City, either pertaining
to the leased premises specifically or to the airport generally, and nothing
herein shall constitute a call or a claim upon any future budget or
appropriation of the City. The City shall not be liable for any loss or damages
suffered by Lessee arising from the use of the leased premises.
Section 8. Quiet Enjoyment.
Lessee upon payment of the rent provided herein and upon observation of all
covenants, "arranties, agreements, and conditions of this Lease shall have the
right to the exclusive possession and enjoyment of the leased premises during
the term of this lease. In this connection, it is understood fee simple title

to said property is presently vested in City, subject to easements, reservations and covenants of record.
Section 9, Additional Fees.
It is expressly unde..-srood that rental paid hereunder is in lieu of ti"
down fees; however, nothing contained herein regarding rental shall be construed
to relieve Lessee from paying sny fees or charges in regard to landing, parking,
operations or any other user fees duly adopted by the City.
Section 10, Compliance with Laws.
Lessee shall comply with any and all Federal, State and local laws,
including ordinances, and rules and r"gulations duly adopted by the City,
regarding use of the leased premises and his use of th" Glenwood Springs
Municipal Airport. Failure to comply with said laws or regulations shall be
g..-ounds for termination of this Lease by the City.
Section 11. Assignment.
This Lease shall not be assigned o..-sublet by the Lessee without the prior written consent of the City.
Section 12. Notice.
Every notice or other communication required by this Lease shall be
delivered in writing to the following addresses unless a new address is provided by written notice:

Section 13. Partial Invalidity,
If any of the terms, covenants, conditions or provisions of this Lease
shall for any reason be held to be invalid or unenforceable, the remainder of
the Lease shall not be affected thereby and each remaining term, covenant,
condition and provision of this Lease shall be valid and be enforced to the
fullest extent permitted by law unless the invalidity of a provision defeats the purpose of this Lease.
Section 14. Binding Upon Successors.
All of the covenants, conditions and agreements contained in this Lease
shall be binding and inu..-e to the benefit of the respective parties as well as
their successors in inte..-est of any kind.
