lronbridge Phase lll, Filing 1 Subdivision lmprovements Agreement
Final Request for Release of Collateral
On September 21,2015 the Board of County Commissioners approved a final plat and Subdivision
lmprovements Agreement for lronbridge Phase lll, Filing 1 Subdivision. The subdivision of the property
required certain improvements that were memorialized in an lmprovements Agreement and
collateralized with an Escrow Agreement held by Land Title Guarantee.
The Applicant had previously requested, and been granted four partial releases of collateral totaling
$757,605.00 leaving a remainder of $33,960.00 in escrow for the remaining improvements. The
Applicant has now requested a final release of collateral and they have adequately demonstrated
completion of the remaining required improvements by provision of a licensed engineer certiflcation to
completion and cost of those improvements completed.
A final release of security for public improvements requires the Applicant submit additional information
including:
1. Record drawings bearing the stamp of Owne/s engineer certifying that all Subdivision
lmprovements, including off-site improvements within the jurisdiction of the County, have been
constructed in accordance with the requirements of this SlA, including all Final Plat Documents
and applicable requirements of the Preliminary Plan, in hard copy and digital format acceptable
to the BOCC;
2. Copies of instruments conveying real property and other interests which Owner is obligated to
convey to the property owners association of the Subdivision (the "POA') or any statutory special
district or other entity;
3. AWritten Request for Final Release of Security, in the form attached to and incorporated herein
as Exhibit E, along with Owner's engineefs stamp and certificate of final completion of the
Subdivision lmprovements.
The County is in receipt of the required information and therefore Staff recommends approval of the
request and authorization for the Chairman to sign the 'Acknowledgement of Final Satisfaction and
Direction to Release Funds Related to EscrowAgreement" forthe releasè of $33,960.00 to an authorized
representative of Blue Heron Properties, LLC.

Recitals
l. Blue Heron Properties, LLC, a Colorado Limited Liability Company ("Blue
Heron"), entered into a Subdivision Improvements Agreement ("SIA") with the Board of County
Commissioners of Garfield County, Colorado ("BOCC") dated September 21,2015 recorded on
September 22,2015 as Reception Number 868310 in the records of the Garfield County Clerk and
Recorder.
2. Collateral for the public improvements for the SIA is held by Land Title Guarantee
Company pursuant to an Escrow Agreement recorded on October 20,2015 at Reception Number
869515 in the records of the Garfield County Clerk and Recorder ("Escrow Agreement").
3. Blue Heron has presented certification to the BOCC from a licensed engineer that
all of the construction of Improvements has occurred in accordance with the SIA for Ironbridge
Phase III Filing 1 and requests that the collateral be released in its entirety.
Acknowledement
NOV/ THEREFORE, at the request of Blue Heron for a final partial satisfaction and release
and in consideration of the premises and the prior agreements contained in the SIA and Escrow
Agreement, the BOCC hereby:
1. Acknowledges the final partial satisfaction of the security requirements of the SIA based
upon the documentation provided by Blue Heron;
2. Authorizes disbursement of funds from the Escrow Account in the amount of $33,960.00,
resulting in a remaining balance of $0; and
3. Authorizes and directs Land Title Guarantee to release the funds held in the
Escrow Account to an authorized representative of Blue Heron.

Recitals

2. Collateral for the public improvements for the SIA is held by Land Title Guarantee
Company pursuant to an Escrow Agreement recorded on October 20,2075 at Reception Number
869515 in the records of the Garfield County Clerk and Recorder ("Escrow Agreement").

a portion of the construction of Improvements has occurred in accordance with the SIA for
Ironbridge Phase III Filing I and requests that the collateral amount be decreased based upon the
partial completion.

and in consideration of the premises and the prior agreements contained in the SIA and Escrow

This request is written to formally notiff the BOCC of work completed for the Ironbridge
Subdivision. As Owner [or on behølf of the OwnerJ, we request that the BOCC review the
affached Engineer's Certificate of Completion and approve a full release of the amount held in
Land Title Escrow No. 519857 (the "Escrow Funds") in the amount of $33,960.00 . Attached is
the certified original cost estimate and work completed schedule, showing that all improvements
required by the Improvements Agreement and secured by the Escrow Funds have been completed.
Nole: that this request and stamped certifîcation was from September of 2016 and the 30,000 for
revegetation has already heen released and all that is currently remaining is the $33,960'00 being
requested.
Also enclosed are the following, required by the Subdivision Improvements Agreement
dated 9-21-2015 between Owner and the BOCC, recordecl at Reception No. 868310 at the Real
Estate Records of the Garfield county clerk and Recorder (the "sIA"):
l. record drawings bearing the stamp of Owner's Engineer certifuing that all
improvements have been constructed in accordance with the requirements of the SIA, both in hard

Dear Kathy:
On behalf of Blue Heron Properties, LLC the Owner of Ironbridge Phase III, Filing 1, and in
accordance with the terms of the Subdivision Improvements Agreement by and between the
Board of County Commissioners of Garfield County and the Owners, this letter serves as the
filth and last request for partial escrowed collateral rclcass.
The contractor has completed the installation of all water and sewer lines along with
appropriate fittings/manholes associated with the systems. The owners have received a fïnal
approval from the RFWSD on the system installation. All items have been inspected by
HCE, In" for correct placement and installation methods. Please see attached Engineers
Estimate for percentages completed. High Country Engineering, Inc (HCE) has been on site
as needed to observe the construction of the project and certi$ that:
1. All costs for which the release is being requested have been incurred in connection
with the construction and material purchases for the improvements;
2. All work performed and materials supplied are in accordance with the plans and
specifications;
3. All work has been performed in a workrrntrlike trtamrer;
4. No funds are being requested for work not completed, or for materials not installed or
stored on site: total release requested is for $33,960.50 for labor and materials.

We are requesting the fi¡nds in the amount of $33p60.00 be released and considered
complete. This leaves $0.00 within the escrow account, thus closing out the construction
escrow account for the project. The project will have the revegetation âmount of $30'000 still
being held by the county until the site is deemed acceptable for vegetative cover by the
County Vegetation Manager.

Escrow Agreement
This document is an addendum f'Addendum") to that ceftain escrolry agreement under Land Title
Guaranty Company Escrow Account No. 519857 ('oEscrow Agreement") entered into between
and among Blue Heron Properties LLC ("Blue Heron Properties") the Board ofCounty
Commissioners for Garfield County, Colorado ("BOCC*) and Land Title Ouaranty Company
('Escrow Holder"). This Addendum is incorporated in the Escrow Agreement by reference as if
set out in full.
Introduction
Section 3, of the SIA requires lhat BIue Heron Properties provide security for tlrc const¡r¡ction
and completion of certain public improvemenls located within the Plrase III of the lronbridge
Planned Unit Devclopment.
The amount of the security is $-¿U¿Aç,Ste "Escrow Deposit"), whieh is an amount equal to
the Cost Estimate as defined in Sfoion l(aJof the SIA.
Blue Heron Properties and the BOCC have agreed that the delivery of the Escrow Deposit to the
custody of the Escrow Holder, pursuant to Escrow Agreement and this Addendum, will satis$
the security requirements under Section 3 of the SIA.
Disbursnl lnstructions and Miscellaneous Provisions
ScctÍon 1.01 Disbursal of Escrorv Dcposit
[n accordance with the above, Bluc Heron Properties and the BOCC instruct the Escrow Holder
to disburse all renaining or any authorized portion of the Escrow Deposit as follows:
To Blue Heron Properties: Escrow Holder shall disburse the sum set forth on any
'olVritten Request for Partial (or Final) Release of Security presented by Blue Heron
Properties" as provided in Section 3(e) and Exhibít D ofthe SIA that is stamped,
certifìed, or othenpise authorized by the BOCC or is duly authorized ofücer or
representative.
To the BOCC: Escrow Holder shall disb¡¡rse the balance of the Escrotv Deposit, together
with all accrued interest, to the BOCC upon Escrow Holder's receipt of a duly approved
written resolution of the BOCC confirming that the BOCC has determined Blue Heron
Properties to be in default under tl¡e SIA. Such deter¡nination shall be made at a duly
noticed public meeting for which Blue Heron Properties will be provided 14 calendar
days advanced written notice. Notice provided in conformance with the SIA will be
deemed suflìcient for the purposes of this provision.

Section 1,02 Misccllancous Provisions.
Blue Heron Properties waives any and all claims against the BOCC, its officers, employees,
agents and contractors on account of each of their good faith performance of their obligations

under tbe Escrow Agreement and this Addendum. Blue Heron Properties shall defend, indemnify
and hold harmless the BOCC, its officers, employees, agents and contractors from and against
any claim made on account of this Escrow Agreement.
The procedures set forth in this Addendum a¡e intended to govern the nanner in which Escrow
Deposit firnds a¡e to be disbursed to Blue Heron Properties, or, as the case may be, the BOCC.
This Addendum does not affect, in any respect, the manner or conduct of inspections to be
performed by the personnel of Garfield County with respect to the public improvenrents, all as
further provided in tlte SLA.
fte parties intend that the Esuow Agreement and this Addendum satis$ the requiremenl of "a
form of security deemed adequate" under Seciton 3(a) of the SIA. In any event, as between Blue
lleron Properties and the BOCC, the provisions of the Escrow Agreement and this Addendum
are to be interpreted in a manner consistent with the SIA, whichn with respeet to Blue lleron
Properties and the BOCC, will control over the Escrow Agreement and this Addendum with
respect to any provisions that are in conflict.

OF GARFIELD COUNTY, COLORADO, acting for the County of Carfìeld ("County"), State of
Colorado, as a body politic and corporate, directly or through its authorized representatives and
âgents ("BOCC').
Recitnls
l. Owner is the owner and developer of the lronbridge Subdivision (the
"subdivision'), rvhich property is depicted on the Final Plut of lronbridge Subdivision, Phase lll,
Filing I ("Final Plat'). The real ploperty_subject to this SIA is described in that Final Plat,
rccorãed at Receprioi Number 'ALA ?a? in the Clerk and Recorder's records of
Garf ietdCount¡óoloradoanoincãffi@fr i-rrcference.
2, On December 10, 2007, the BOCC, by Resolution No. 2A0842, recorded at
Reception Number 746338 of ths real estate records of Garfield County, Colorado and
incorporated by this reference, approved a preliminary plan for the Subdivision which, among
other things, would create sixty-one (61) single-family, and open spacelcommon area parcels
('Prelim inary Plan å,pproval').
3. As a condítion precedent to the approval of the Final Plat submitted to the BOCC
as required by the laws of the State of Colorado and by the Garfield County Land Use and
Development Code of 2013, as amended ("LUÐC"), Owner wishes to enter into this SIA with
the 8OCC.
4. Owner has agreed to execute and deliver security in a form satisfactory to ¡he
BOCC to secure and guarantee Owner's perfonnance under this Agreement and has agreed to
certain restrictions and conditions regarding the sale of propcrties and issuance of building
permits and certifrcates of occupancy within the subdivision as more fully set forth below.
5. Owner represenrs that ät the tlme of recording this SlA, all taxes and assessments
upon all parcels of real estate describcd in the Fïnal Plst are paid in full' \
NOW, THEREFORE, in consideration of rhe foregoing rscitals and the mutuat covenants

the Final Plat in the records of the Garfield County Clerk and Recorder shall be in accordance
with this SLA and at the time prescribed herein.
2, OWNER'S PERFORMANCE AS TO SUBDTVISION IMPROVEMDNTS,
a. Completion DatelSubstantiÊl Egmoliance. Except as otherwise provided
in this SIA with regard to the Afnordable Housing Units (as hereinafter defined), Owner
shatl cause to be constructed and installed the subdivision improvcments, identified in the
Exhibits defÌned in subparagraph 2,a.i, bclow ('Subdivision lmprovements') at Owner's
expense, including payment of fees required by the County and/or other govemmential
and quasi-govemmental entities with regulatory jurisdiction over the Subdivision. The
Subdivision lmprovements shall be completed on or before the end of the first fi.rll year
following execution of this SIA ('Completion Date"), in substanlial compliance with the
following:
i, Plans marked "Approved for Construction" for all Subdivision
lmprovements prepared by High Country Engineering and submitted to the
BOCC on S¡¿el. ¿ I , 2015, such plnns being summarized in the list of
drawings attachäd to and made a part of this SIA by reference as Exhibit A; and
the estimate of cost of completiori, certified by and bearing the stamp of Owner's
professíonal engineer licenscd in the State of Colorado ('Owner's Engineer'),
attached to and made a part of this SIA by reference as ExhibitB, which estimate
shatl include an addÍtional ten (10) percent of the total for contingencies
(col lectively lhe "Cost Estimate');
¡i. All requirements of the Prelirninary Plan Approval;
i¡i. All laws, regulntions, orders, resolutions and requirements of the
County and all speeial districs and any other governmentat entity or quasi-
govemmental authority with jurisdiction¡ and
iv. The provisions of this SIA and all other documentation rcquired to
be submitted along with the Final Plat under pertinent sections of the LUDC
('Final Plat Documents').
Notwithstanding anything to the contrary oontaÍned in this SlÀ the timing requirements and
criteria for substantial completion of the Affordable Housing Units shall be as set forth in
panagraph 4 below.
b. Satisfac.tion of S,ubdivision lmorovements Provisions. The BOCC agrees
that (l) if all Subdivision Improve¡nents arÊ constructed and installed in accordance with
this paragraph 2; (2) the record drawings have been submitted upon completion of the
Subdivision lmprovernents, as detailcd in paragraph 3(h), below; and (3) ¡ll other

3. SECURTTY FOR SUBDTVISION IMPROVEMENTS (EXCEPT
REVEGETATION).
a. Subdivision lmorovements Securitv and Substilute Collateral. As security
for Owner's obligation to complele the Subdivision .lmprovements Owner shall deliver to
the BOCC, on or before the date of recording of the Final Plat, a form of security deerned
adequate by the BOCC and payable to the Count¡ attached to and incorporated in this
SIA by reference as Exhibit C ('security'). The Security shall be in tlte amount equal to
the Cost Esthnate. The Security shall be valid lor a minimum of six (6) months beyond
the Completion Date (the "Expiratíon Date").
b. Secr¡rity Requilements and.Plat Rg$rding. The Final Plat shall not be
recorded until the Security has been received by the County and approved by the BOCC.
c. Extension of Expiration Date. lf the Completion Date is extended by a
wrigen amendment to this SlA, the time period for the validity of the Security sball be
similarly extended by the Orvner. For each individual exlension that ís in excess of six
(6) monrhs, at the sole option of the BOCC, the cost of completion of the remainíng
Subdivision lmprovements shall be subject to re-celification by Owne¡rs engineer and
r€view by the BOCC. To the extent the cost of complction of thc Subdivision
lmprovements, plus an additional ten percent UA%) of such cost for cont¡ngencies,
differs from the face amount of the remaining Securit¡ the amount of such Security shall
be adjusted upwards or dorvnwards, as appropr¡ate.
d. Unenforcesble Sgcuritv. Should the Security expire or become void or
unenforceable for any reåson prior to the BOCC's approval of Owner's engîneer's
certification of completion of the Subdivision lmprovements or, with regard to tlte
Affordable Housing Units, prior to the issuance of a cenificate of occuprncy for the last
Affordable Housing Unit required per this SlA, including bankruptcy of the Owner or the
financial institution issuing or confirming the Security, this SIA shall be voidable by
acrion of the BOCC and upon such action, this SIA shall be of no further lorce and effect
and the Final Plat sh¡ll be vacated pursuant to the terms of th¡s SlA.
e. Partial Releases ol S..qcuritv. Owner mây request partial rcleases of the
Securiry, and shall do so by means of submissíon 10 the BOCC of a "r¡¡úrinen Request for
Partial Release of Securit¡" ín the form attached to and incorporated by this refcrence as
Exhibit D, accompanied by the Owner's engineeCs stamped cÊr1¡ficate of partial
completion of improvements. The Orvner's engineer's seal shall certify thal the
Subdivision lmprovements have been constructed in accordance with the requirements of
this SlA, including all Final Plat Documents and thc applicable provisions of the
Preliminary Plan. The BOCC shall authorize successive releases of portions of the face
amount of the Security as portions of, the Subdivision lmprovements are certified as
complete in the manner set forth in this subparagraph 3.e and to the satisfaction of the
BOCC. Notrvithstanding an¡hing to the contrary contained in this SlA, including
without limitation, the BOCC's righs of investigation established by this paragraph 3.

of the Owner's Written Request for Partial Release of Securit¡ along with Owner's
engineer's certificate oF partial completion of improvements, the BOCC may review the
certífication and the Prelirninary Plan, and may inspect and review the Subdivision
Improvements certified as complete to determine whether or not they have been
constructed in compliance with relevmt specifications, æ follows:
¡. lf no letter of potential deficiency or determination that applicable
requirements of the Preliminary Plan have not been satisfìed is furnished to
Qwner and the Escrow Holder by the BOCC within fifteen (15) calendar days of
submission of Owrrefs Written Request for Partial (or Full) Release of Security,
accompanied by Owner's engineer! certificate of partial completion of
improvemcns, all Subdivision lmprovements certified as complete shall be
deemed approved by the BOCC, and within three (3) business days of such
improvements beÍng deemed complete, the securiry shall be released to the Owner
in the amount provided in the lVritten Request for Partial (or Full) Release of
Security,
ii. lf rhe BOCC chooses to inspect and determinÊs that all or a portion
of the Subdívision lmprovements certified as complete are not in compliance with
lhe relevant specifications or thst applicable requírements of the Preliminary Plan
have not been met, the BOCC shall fumish a letterof potential deficiency to tbe
OwnÊr, within fifteen (15) calendar days of submission of Ownet's Written
Request lor Partial Release of Security.
íii. lf a letter of potcntial deficiency is issued identi$ing a portion of
the certified Subdivision lmprovements as potentíally deficient and there are no
outstanding requirements of the Preliminary Plan that are npplicable to the subject
improvements, then all Subdivision lmprovements not identified as potentially
deficient shall be deemed approved by the BOCC, and the BOCC shall authorize
in writing release of the amount of Security relatcd to the Subdivísion
lmprovements certifîed as complete and not identified as potentially deficient.
iv. With respect to Subdivision lmprovemenls identified as potentially
deficient in a letter of potential defioiency or as not meeling all applicable
requiremens of the Preliminary Plan, the BOCC shall have fifteen (15) calendar
days from the date of the letter to complcte thc initial investigation, begun under
subparagraph 3.f,i¡. above, and provide wrinen confirmation of the dcficiency(ies)
to the Owner.
v. lf the BOCC fìnds that the Subdïvision Improvements are
complete and in compliance with the relevant specifìcations and that all
applicable requirements of the Preliminary Plan have been met, the BOCC shall
noti$, the Owner and the Escrow Holder in writing and the security shall be
released to the Owner in the amount provided in the Written Request for Partial
(or Full) Release of Security. within three (3) business days after completion of
such investigation.

finds, within the fifteen (15) day period of tim€ defined in subparagraph 3.f.iv. above,
rhar the Subdivision lmprovernenls are not complete, or if the BOCC determines that the
Owner will not or cannot construct Bny or all of the Subdivision Improvements (whether
or nol Owner has submitted a written request for rele¿se of Security), or that applicable
requiremenls of the Preliminary Plan will not or cannot be met, the BOCC may wílhdraw
and employ from the Security such funds as may be necessary to construct tltc
Subdivision funprovements in accordance witlt the specifications or to satisfy the
Prcliminary Plan requirernents applicable to the Subdivision, up to the re¡naining face
amount of rhe Security. ln such event, the BOCC shall make a written finding regarding
Owne¡'s failure to comply with this SIA or applicable requirements of the Preliminary
Plan prior to requestíng payment from the Securit¡ in accordance with the provisions of
Section l3-106 of the LUDC. [n lieu of or in addition to drawing on the Securit¡ thc
BOCC rnay bring an action for injunctive relief or damages for the Owner's flailure to
adhere to the provisions of this SIA regarding the Subdivision Improvements and
satisfact¡on of requirements of the Preliminary Plan applicable 1o this Subdivision.
h. Final Release of Securitv. Upon completion of all Subdivision
Improvements and requirements of the Prcliminary Plan applicable to the Subd
Owner shall submit ls the BOCC, through the Cornlnunity Development

engineer and s¡id fÌnal certification is approved by the BOCC. If the BOCC finds
that the subdivision lmprovements are complete, in accordsnce with the relevant
specifications, and that all requirements of the Preliminary Plan applicable to lhe
Subdivision have been satisfìed, the BOCC shall release the final amounl of the
Security within ten (10) business days following submission of the Ownerl
Written Request for Final Release of Security accompanied by the other
documenß required by this paragraph 3.h.
¡i. Nohvithstanding the foregoing, upon Owner's Written Request for
Final Release of Securiry, accompanied by Owney's engineer's certificate of final
completion of improvements, the BOCC may inspect and review the Subdivision
lmprovements certified as complete. lfthe BOCC does so review and inspect, the
pmtcess contaíned in paragraph 3.f. above, shall be followed. If, following such

inspection, the BOCC finds that the Subdivision Improvemenls are complete, in
accordance with the relevant specifìcations, and that all rcquirements of the
Prelimïnary Plan applicable to the Subdivision have been satisfied, the BOCC
shall release the final amount of the Security rvithin ten (10) days after completion
ofsuch investigation.
¡i¡. l[ following the inspection contained in paragraph 3.f, the BOCC
lìnds that the Subdivision hnprovements are not completg in accordance with the
rclevant specifications, andlor that requirements of the Prelirninary Plan
applicable to the Subdivision have not been satisfìed, the BOCC may conplete
r[e remaining Subdivision lmprovements and satisfy the applicable requirements
of the Preliminary Plan, or institu¡e court action in accordance with the process
oullined in paragraph 3.g. above; provided, however, that such action may only be
taken by the BOCC ¡f the BOCC detcnnines in is reasonable discretion that the
subject Subdivision Improvements will not or cannot be satisfactorily completed
on or before the Completion Date and, provided further, that the BOCC shall
provide Owner a reasonable opportunity to cure (as provided in paragraph 12
below) any identified defïciency(ies) or violations prior to initiating sny of the
selÊhelp remedies described herein, including, without limhation, commencing
rvork on the Subdivision lmprovements, requesting pa¡rment from lhe Security,
initiating the forfeiture proceedings set forlh in Section l3-106 of the LUDC, or
filing a civil aclion.
SECTTRITY FOR REVEGETATION.
û. ReveggtÊ.tign Account and $gþstitute Collsteral. $30,000 of fhe face
amount of the Security , specified in Paragraph 3a above, shall be allocated to
revegetation of disturbed areas with¡n the Subdivision, the cost for which is detailed as a
subdívision improvement in Exhibit B. Revegetatìon of disturbed areas in the
Subdivision, the costs for which is detailed as a subdivision improvement in Exhibit B,
shall be secured by lronbridge Phase III, Filing I Revegetation Treasurer's Account
Agreement betrveen the Owner, thc BOCC and the Garfìeld County Treasurcr,
f'Revegetation Account Agreement'), The Revegetation Account Agreement shall be
valid For a minimum of two (2) years following recording of the Final Plat.
b. Revegetation Account General Provisions. The provisions of paragraphs
3.b., 3.c. and 3.d., above, dealing with Bond requirements, extension of expiration d¡¡tes,
increase in lace amounts, plat recording and plat vacatíng shall apply to the Revegetation
Account.
c. Reveeetation Review and Noljge of Defìciencv, Upon establishmcnt of
revegetation, the Ovmer shall request review of the revegetatÍon work by the Garfield
County Vegetation Management Depaflment, by telephone or in writing. Such rcview
shall be for the purpose of verification of sucsess of revegetation and reclamation in
accordance with the Garfield County ïVeed Management Plan 2000, adopted by
Resolution No. 2002-94 ¿nd recorded in the Office of the Garfield County Clerk and
Recorder as Reception No. 580572, as amended, and the revegelation/reclamation plan

approval and provides written notice of deficiency(ies), the Owner sltall cure such
deficiency(ies) by further revegetation efforts, approved by lhe Vegetalion Management
Department, as suclr efforts may be instituted rvithin the two (2) years following
recording of the Finql Plst.
d. Single Reauest &r Release of Reveqetation Account. Following receipt of
written approval of the Vegetalion Management DepaÉtnent, the Owner may request
release of the Revegetation Account Agreement and shall do so by means of sul¡mission
to the BOCC, through the Building and Planning Departmcnt, of t Written Request for
Relesse of Revegetation Account Agreement, along with cenification of completion by
the Owner, or Owner's agent witlr knowledge, and a copy of the written approval of the
Vegeþt¡on Management Department. lt is specifically understood by the parties that the
Revegetation Account is not subject to successive partial releåses, as authorized in
paragraph 3.e., above. Further, the Revegelatìon Account and the BOCC's associated
rights to withdraw funds and bring a court action may survive fÌnal release of the
Accounl securing other Subdivision lmprovêmenls, defined in paragraph 3.a., above.
e. BOCC's Completion of Reveeetation and Other Remedies. lf Owner's
revegetation efforts are deemed by the BOCC to be unsuccessful, in the sole opinion of
the BOCC upon the recommendation of the Vegetation Management Department, or ¡f
the BOCC determines that the Owner will not or cannot complete revegetation, the
BOCC, in its discretion, may withdraw and ernploy from the Revegetation Account such
ñ¡nds as may be nÊcosssry to carry out the revegetation worlç up to the face amount of
the Revegetat¡on Account. In lieu of or in addition to drawing on the Revegetation
Account, the BOCC may bring an astion for injunctive relief or damages for the Owner's
failure to adherc to the provisions of this SIA related to revêgetâtion. The BOCC slrall
provide the Orvner a reasonable ti,me to cure any identified deficiency prior to rcquestíng
payment frorn the Revegetation Account or filing a civil action.
5. AFFORDABLE HOUSING. ln accordance with the requirements of Article I
of rhe LUDC and the Planned Unit Development (*PUD') approval, Owner has agreed to
provide six (6) deed-reslricted aflordable for-sale housing ("Affordable Housing Units') either
wirhin the Subdivision or ofßite as pârt of the Project as specifically provided in the affordable
housing agreÊment (the "Affordable Housing Agreement'). ,{s provided in the Affordable
Housing Agreement, Owner shall not be required to construct any individual Afnordable Housíng
Unit(s) until a buyer for such Affordable Housing Unit has been qualified by the Garflteld County
Housing Authority f'GCHA') in accordance with the Aflordable Housing,{greement. Pursuant
to the Affordable Housing Agreement, if Owner defers construction of the Affordable Housing
Units, upon OrvneCs receipt of notice from GCHA that a buyer has been qualified to purchase an
Aflordable Housing UnÍt (the "Purchase Notice'), Owner shall promptly commence construction
of an Affordable Housing Unit and shall deliver a completed Afford¡ble Housing Unit to the
qualified buyer on or before one-hundrcd and twenty (120) days from Ownefs receipt of the
Purchase Notice; provided, however, that if Owner receives a Purchase Notice on or beween
Ostober l5th and April lst of any year, Owner shall be required to deliver a completed
Afiordable Housing Unit to the purchaser on or before lhe next-occuning August l. As provided

in subparagraph 3.e abovc, upon the issuance of a certificate of occupancy for any Affordable
Housíág Unk-required to be constructed on r lot identified on the Final Plat, the County shall,
wirhin ten (10) busincss days of receipt of Owner's ïVritten Request for Pa¡1ial Release of
Security, rclease the Security attributable to such Affordable Housing Unit, including the ten
percent (107o) contingency amount attributable thereto. ln the event Owner completes
construction o[, and receives certificates of occupancy for, all of the market rate uníæ withín the
Final Plat prior ro completion of construction of the Affordable Housing Units required to be
constructed as part of such Finnl Plat, the BOCC ma¡ but shall not be required to, withdraw and
ernploy from the Security such funds as may be necessary to construct the Affordable Units in
accordance with the requircments of th¡s SIA and the Affordable Housing Agreement, up to the
remaining face arnount of the Security.
6. WATER SUITPLY AND WASTE\ryATER COLLECTION. As stated in
paragraph 15, below, prior to issuance by the BOCC of any cert¡ficåtes of occupancy for any
residences or olher habitable slructures construcled rvithin the Subdivision, Orwter shall install,
connect and make operable a water supply End distribution system for potalrle water, non-potable
inigation water and a wastewaterlsewer colleetion system in accordance with approved plans and
specifications. All easements and righs-oÊway necessary for installation, operat¡onr service and
maintenance of such water supply and distribution system(s) and wastewater collection system
shsll be as shown on thë Final Plat. Orvner shall deposit with thc Carfield County Clerk and
Recorder executed originals of the instruments of conveyance for easements spPurtenant to lhe
water and wastewater system(s), for recordatíon following recording of the Final Plat and this
SIA. All f¡cilities and equipment contained within th€ water supply and wastewater collection
sysrem(s) shall be transfened by Owner to the Special District(s) by bill of sale. ff a third party
tvster or sewer service ent¡ty requires waranty of the system(s), Owner shall provide proof to the
BOCC that such wananty is ín effect and, if ncccssary, hâs been assigned.
7.. PUBLIC ROADS. All roads within the Subdivision shall be dedicated by the
Owner to the public as public rights-of-way and shall be accepted by the BOCC, on behalf of the
public, ûn the face of the Final Plat. The POA shall be solely responsible for the maintenance,
repair and upkeep of saíd rights-of-way, including the traveled surface of the roadways and
portions ofthc rights-of-way outside of the travsled surface. Thc BOCC shall not bc obligatcd to
maintain any road rights-of-way within the Subdivision'
L PUBLIC UTILITY RIGHTS-OF-IVAY. Whetheror not utility easements e¡dst
elsewhere in the Subdivision, all road rights-of-way within the Subdivision sh¡ll contain rights-
oÊway for inst¡llation and maintenance of utilitics. Public utility easÊmËnts shall be dedicated
by the Orvner to the public utilities on the face of the Final Plat, subject to the Garfield Counly
Road and Right-oÊWay Use Regulations, recorded as Reception No. 643477, in the records of
the Garfield County Clerk and Recorder, as arnended. The POA shall be solely responsible for
the m¡intenance, repair and upkeep of said public utilily easements, unless olherwise agreed to
with the public utility company(ies). The BOCC shall not be obligated for the tnaintenance,
repair and upkeep of any utility eåsement within lhe Subdivision. ln the event a utilily company,
whether publicly or privately owned, requires conveyancc of the easeinents dedicated on the fase
of the Final Plat by sÈparate document, Owner shall execute and record the rcquired conveyance
documents.

g. coNvEYANCE OF OPDN SPACE. The common open space parcel(s)
identified on the Final Ptat shall be conveyed by Owner to the POA ¡t the ¡ime of Final Plat
Approval or as agreed to between the owner and the POA. Owner shall deposit with the Garfìeld
Coúnty Clerk and Recorder executed original(s) of the instrument(s) of conveyance for
recordation folfowing recording of the Final Plat and this SIA.
lf not conveyed at the tirne of recording of the Fínal Plat, Owner shall execute and deliver into
escrow document(s) conveying the cotnmon oppn space parcel(s), easement(s), greenbelt(s),
park(s), shown on the Final Plat to the POA. The documents shall be deposited pursuant to the
escrow sgreementr to be executed by the owner, the Bocc and escrow agent ("Escrow
Agreement"). Owner shall deliver to the BOCC a copy of the fully executed and recorded
Essrow Agreement within a rensonable time following execution of this SlA. The special
instructions of the Escmw Agreement shall provide:
i. the Escrow Agent shall hold the conveyance documents until the
earlier of, a) receipt of a rvritten notice signed only by Ou¿ner notiSing escrow
¿genr that the work required of the Orvner in this SIA has been completed and
approved as complete by tlre BOCC; or b) receipt of a written notice signed only
by the BOCC stating that Owner lras failed to cornply with the terms and
conditions of this SIA; or c) the Completion Date for Subdivision lmprovements,
specifîed in paragraph 2, above, or as exlended in accordance rvith paragraph 2 of
this SIA; and
¡i. upon the f¡rsl to occur ofthe foregoing events, the escrow agent
shatl cause the conveyance documents tCI be recorded in the records of the
Garfield County Clerk and Recorder.
10. INDEMNITY. The Owner shall indemnify and hold tlre BOCC hsrmless nnd
defend the BOCC from all claims whích may arise as a resutt of the Owner's installation of the
Subdivision lmprovements and any otlrcr tgreement or obligation of Owner, relatcd to
development of the Subdivision, reguired pursuânt to this SIA. The Owner, however, does not
indemniff the BOCC for claims made asserting that the standards imposed by the BOCC nre
improper or the cause of the injury asserted, or from claims whigh may arise fì'om the negligent
acts or omissions of the BOCC or íts employees. Tte BOCC shall notify the Owner of receipt
by the BOCC of a notice of claim or a nolice of intent to sue, and the BOCC shall afford the
Owner the option of defending any such slaim or action. Failure to noti$ and provide such
written option to the Owner shall extinguish the BOCC's rights under this paragraph. Nothing in
this paragraph shall be construed to constitute a waiver of governmen¡al immunity granted to the
BOCC by Colorado stetutes and case law.
¡ l. ROAD IMPACT FEE. Owner has completed as part of Phase I and Il of the
PUD off-si¡e traffic improvemenls based on full build out including this Phase lll which ftlly
oflser snd cxceed any Road Impact Fees which would olhenuise be applicable pursuant 10 the
LUDC. Total completed improvcments are $1.9 million, attached as Exhibit G is an engineer's
verification. Attached as Exhibit Il are worksheets showing Phase III and full development road
impact fees, demonstrating that offsite improvements fully offset all fees.

12. BREACfl OR IIEFAI"ILT OF OIVNER. A "breach" or "default" by Orvner
under this SIA shatl be defîned as Owner's failure to fulfill or perform any material obligation of
Owner contained in this SlA. tn the event of a breach or default by Owner under ¡his S[4, tlte
County shall detîver written notice to Owner of such default, at the address spccified in
paragraph 2l below, and Owner shall have sîxty (60) days from and after receipt of such notice
to cure such default. lf such default is not of a type that can be cured within such 60-day period
and Owner gives wrïtten notíce to the County within such 60-day period that it is actively and
diligently pursuing such cure, Owner shall have a reasonable period of time given the nature of
the default following the end of such 60-day period to cure such default, provided thst Orvner is
at all times within such additíonal time period actively and diligently pursuing such cure.
¡3. BRtrACA OR DEFAULT OF COUNTy. A "breach" or "defaultn' by the
County under this SIA shall be defìned as úe County's failure to fhlfill or perform any mÂterial
obligarion of the County contained in this SIA. ln the event of a breach or default by the County
under this StA, Orvner shall have the right to pursue any admínistrative, legal, or equitable
remedy to which it may by entitled.
14. FEES fN LIEU OF DEIIICATION Of SCHOOL LAND. Ownershall make a
cash deposir in tieu of dedicating land to the Roaring Fork School District RE-|, calculated in
acco¡dance with thc LUDC and the requirernonts of state lâw. The Owner and the BOCC
acknowledge and agree that the cash in lieu payment for the Subdivision is cslculated as follows
forthe RE-l School District:
Unimproved pËr acre market vslue of land, bascd upon an appraisal submitted to the
BOCC bY Owner, i.e. $!!!!!Q!! and
Land dedication standard: $ single-family dwelling units x 0.020 acres, equals 0.? acres.
The Owner, therefore, shall pay to the Garfield Counry Treasurer, at or prior to the time
of recording of the Final Plat, thirty-six thousand seven hundrcd eighty fivc dollars
and sevenþr cents (36,?85.70) as a payment in lieu of dedication of land lo the Roaring
Fork School District. Said fee shall be tr¡nsferred by the BOCC to the school district in
accordance with the provisions of $30-?8-133, C.R.S., as amended, and the LUDC.
Thc Orvner agrees that ¡t ís obligated to psy lhe above-staled fee, nccepts suclt
obligations, and waives any claim that Owner is not required to pay the cash in lieu of land
dedication fee. The Owner ôgrees that Orvner will not claìm, nor is Owner entitlËd to claim,
subsequent to recording of the Find Plat, a re imbursement of tlte fee in lieu of land dedicstion to
the Roaring Fork School District.
15. FIRE IMP.ACT FEE. The FirË Impact Fee is $730.09 per unit. The Owner,
therefore, shall pay to the Cnrbondale Fire Protection District, at or prior to the time of recording
of the Final Plal, hvcnty-five thoussnd five hundrcd fifty dollnrs (525'550.00).
16. SALE OF LOTS. No lots, tracts, or parcels within the Subdivision may be
sepûrately conveyed prior to recording of the Final Plat in the records of the Carfield County
Clerk and Recorder,

17. BUILDING PËRMITS AND CERTIFICATES OF OCCUPANCY. As one
remedy for breach of this SlA, the BOCC may wilhhold issuance of building pcrmits for any
residence or other habitable structure to be constructed within the Subdivision. Furthern no
building pennit shall be issued unless the Owner de¡nonstrates to the s¿tisfaction of the
Carbondale Rural Fire Protection District ("District"), if the Fire District has so required, that
there is adequate wster ava¡lablc to thc construction site for the Ðistrict's puryoses and all
applicnble District fees have been paid to the District, No ce¡tificates of occupancy shall issue
for any habitable building or struclure, including residenceq within the Subdivision until ¡ll
Subdivision lmprovements have been compleled and are operational as required by this SIA. If
applicable, Owner shall provide the purchaser of a lot, prior to conveyance of the lol, a signed
copy of a form in substantially the same form as that attached to and incorporated herein by
relerence as Exhibit F, concerning the restrictions upon issuance of building pennits and
cert¡ficates of occupancy detailed in this SlA.
18. CONSENT TO VACATE PLAT. ln the event the Owner fails to comply with
rhe terms of this SlA, the BOCC shall have the ability to vacate the Final PlEt as ¡t perta¡ns to
any lots forwhich building permits have not been issued. As to lots forwhich building permits
have been issued, the Plat shall not be vacated and shall nemain valid. In such event, the Owner
shall provide the BOCC a plat, suitable for recording, showing the location by surveyed legal
description of any portion of the Final Pl¡t so vacated by action of the BOCC. If sucl¡ a Plat is
not signed by the BOCC and recorded, or if such Plat is not provided by the Owner, the BOCC
may vacate the Final Plat, or portions thereof, by resolution.
19. ENFORCBMENT. ln addition to any rights provided by Colorado stetute, the
withholding of building permits and celifieates of occupancy, provided for in paragraph 16,
above, the provisions for release of Security, detailed in prragraph 3, above, and the provisions
for plat vacalion, detailed in paragraph 17, above, it is mutually agreed by the BOCC and the
Owner, that the BOCC, without rnaking an election of remedies, and any purchæer of any lot
rvithin the Subdivision shall have the authority to bring an aetion in the Carfield County District
Court to compel enforcement of this SIA. Nothíng in this SlA, however, shall be interpreted to
require the BOCC to bring an action for enforcement or to withhold permits or certificates or to
withdraw unused Security or to vacate the Final PIat or a portion thereofi, nor shall this paragraph
or any other provision of this SIA be interpreted to pennit the purchaser of a lot to file an åct¡on
against the BOCC.
2A. NOTICE BY RECORDATION. ïris SIA shall be recorded in the Oflice oFthe
Carfïeld County Clerk and Recorder and shall be a covenant running with title lo ¿ll lots, lracts
and parcels within the Subdivision. Such recording shall conslitute notice to prospective
purchasers and other interested persons as to the terms and provisions of this SIA.
21, SUCCESSORS AND ASSIGNS. The obligations and rights contained herein
shall be binding upon and inure to the benefit of the successors and assígns of the Owner and the
BOCC.
22. CONTRACT ADMINISTRATION AND NOTICE PROVISIONS. The
reprcsentatives of the Owner and the BOCC, identified below, are authorized as contract
adminisbators and notice recipients. Notices required or permitted by this SIA shall be in

23. AMENDMENT AND SUBSTITUTION Or SECURITY. Tlris SIA rnay be
modifîed, but only in writing signed by the Parties hereto, as their interesls then appear. Any
such amendment, including, by way of example, extension of the Completion Date, substïtution
of the lorm of securit¡ orapproval of a change in the idcntiry of the security providerlissuer,
shall be considered by the BOCC at a scheduled public meeling. Before any extens¡on of
Completion Date is considered, Owner shall certify that all taxes and assessments on the real
property subject to the SIA are paid in full. lf such an amendment includes a change in the
identity of the provider/issuer of security, due to I conveyance of the Subdivision by the Owner
to a successor in interest, Owner shall provide a copy of the recorded assignment document(s) to
the BOCC, along with tl,e original security instrument. Notwilhstanding the forcgoing, tlre
Parties may change the identification of notice recipients and contract administrators and the
contact information provided in paragraph 21, above, ín accordance with the provîsions of that
paragraph and rvithout formal amendment of this SIA and without consideration at a BOCC
meeting.
24, COUNTDRPARTS. This SIA may be exeeuted in counterpaß, each of which
shalt be deemed an original, and all of which, when taken together, shall be deemed one and the
same instrurnent.

Escrow Agreement
This document ïs an addendurn ("Addendum") to that certain escrow agreement under Land Title
Guaranty Company Escrow Account No. 519857 ("Escrow Agreement") entered into between
and among Blue Heron Propertíes LLC ("Blue Heron Properties") the Board of County
Commissioners for Carfield County, Colorado ("BOCC') and Land Title Cuaranty Company
C'Escrow Holder'). This Addendr¡m is incorporated in the Escrow Agreement by reference as if
set out in full.
Intrcduction
Blue Heron Properties and the BOCC åre panies to that ccrtain Subdivision Improvements
Agreement dated and recorded in the public records of Garfield County,
Colorado under Reception No._ (the "SIA").
Section 3, of the SIA requires that Blue Heron Properties provide security for the construct¡on
and cornpletion of certain publîc improvements located within the Phase III of the lronbridge
Planned Unit Development.
The amount of fte security is $_ (the "Escrow Deposit'), which is an amount equal to
the Cost Estimate as defined in Section 3(a) ofthe SlA.
Blue Heron Properties and the BOCC have agreed that the delivery of the Escrow Deposit to the
custody of the Escrow Holder, pursuant fo Escrow Agreement and this Addendum, will satisfy
the security requirements under Section 3 of the SIA.
Disbursal I nstrucfions and Miscellaneous Provisions
Section 1,01 Disbursal of Escrow Deposit.
ln sccordance with the above, Blue Heron Properties and the BOCC instruct the Escrow Holder
to disburse all remaining or any authorized portion of the Escrow Deposit as follows:
To Bluc Heron Prope¡tieq: Escrow Holder shall disburse the sum se¡ forth on any
"ïVriÍgn Request for Partial (or Final) Release of Security presented by Blue Heron
Propenies" as providecl in Section 3(e) and Exhibit Ð of the SIA that is stamped,
certified, or otherwise authorized by the BOCC or its duly authorized ofïicer or
reprcsentative.
Tolhe BOCC: Essrow Holder shall disburse the balance ofthe Escrow Deposit, together
with all accrued interest, to the BOCC upon Esrow Holder's recaipt of a duly approved
written resolutìon of the BOCC confinning that the BOCC has determined Blue Heron
Properties to be in defauh under the SIA. Such determination shall be made at a duly
noticed public meeting for rvhich Blue Heron Properties will be provided l4 calendar
days advanced written notice. Notice provided in confonnance with the SIA will be
deemed sufficient for the purposes of this provision.

Sectionl.02 MiscellaneousProvisions.
Blue Heron Properties waives any and all claìrns against the BOCC, its officers, employees,
agents and contractors on account of each of their good faith performance of their obligations
under the Escrow Agreement and this Addendum. Blue Heron Prope*ies shall defsnd, indernnify
and hold harmless the BOCC, its offïcers, employees, agents and contractors fi'om and against
any claim made on account of this Escrow Agreement.
The procedurss set forth in this Addendum are intended to govern the manner in which Escrorv
Deposit ñrnds are to be disbursed to Blue Heron Properties, or, as the csse may be, the BOCC.
This Addendum does not affect, in any respecl, the manner or conduct of inspections to be
perlormed by the personnel of Garfìeld County with respect to the public improvemetlts, all as
further provided in the SIA.
The parties intend that the Escrow Agrecment and this Addendum satisff the requirement of "å
form of security deemed adequate" under Seciton 3(a) of the SlA. ln any event, as between Blue
Heron Properties and the BOCC, the provisions of the Escrow Agreement and this Addendum
are to be Ínterpreted in a manner consistent with the SIA, which, with respect to Blue Heron
Propertics and the BOCC, will control overthe Escrow Agreement and ¡his Addendum with
respect to any provisions that are in conflict.

The lronbridge Subdivision has completed multiple offsite roadway improvements thal benefit
the public Right of lVay system. These improvemen$ were focuses around the 2001 and 2002
t¡me period and inolude CR 1S4/Highway 82 intersection widening, acceleration and
deceleralions lane additions and a traffic signal installation. Multiple improvernents along CR
109 adjacenr to thê subdivision were also made, including lane widening for the subdivísion that
created n€w sections of asphalt roadway, replacing thE old asphalt lhat was wearing and would
have requircrl repair by the County. Drainage itnprovements wëre ulsu made along CR 109 to
attow for the rvest roadside swale to function properly and transfer water througlt the new
subdivision.
Attached is the original, unsigned, contraclual agreement for these road improvements to ba
completed by Gould Construction. This is not an engineer's estimate of the work, this the actual
agreed upon bid amount for the work to be completed.

MlSlCPhil moved to open the hearings on the above accounts at 3:25 p.m. Enis second, all in
favor. The owners of these properties were not present. Staff issued notices of the hearings to
the customers, including certified mail and door hangers. Christy Peters and Rebecca Till have
not responded to the hearing notices. Chad DeHaven sent an email informing Tonya that the
check is in the mail and Alethea Waldron made a partial payment of 5100 with a commitment to
pay the balance this week. MISIC Enis moved to file a lien on the properties and disconnect
water service for the respective delinquent properties if payment is not received in three weeks.
lf payment is received within three weeks, the Board Hearing fee of $150 will be waived. Mogli
second, all in favor. MISIC Phil moved to close the hearings at 3:30 p.m. Mogli second, all in

201"7 Net Operatins lncome
Net operating income ror 2ot7 exceeded expenses by s197,852. This is due to income from
higher than projected water use and lower repair and maintenance expenditures in 2017.
lAlSlC phil made a motion to spend the net operating income for 2OI7 into General Reserves'
Mogli second, all in favor. The 2018 Budget utilizes General Reserve Funds for the Capital
Project of installing bio-solid thickening equipment during plant expansion.
Operator's Report
o Alan discussed the B.A. Lawrence b¡d of 55,397 as a base to rebuild one of the aeration
blowers. The final cost will depend on the condition of the blower once it is
disassembled. The plan is to repair the existing blower, but during plant expansion a
new blower will be added and one of the older blowers will be used solely for the
digester and another for redundan cV. lttllslC Mogli moved to approve the blower
repair. Phil second, all in favor.
o Temporary repairs were made to the control panels, but new panels will be purchased
during plant expansion. Control panels that tie to SCADA can be purchased or base
panels without that ability. Both options will be reviewed during the expansion project.
o Blowers use a lot of energy to operate and the Board discussed energy efficiency.
Blowers are the District's biggest energy user and are used to introduce air during plant
processes. The Distr¡ct's other major energy use comes from two propane tanks that
supply the heaters. The pre-treatment building is a flammable environment and air
circulation is necessary. Mogli asked about energy efficiency improvements and grant
utilization. Alan reviewed the energy assessment conciucted in the past. The plant
property isn't big enough to provide the amount of solar panels that would be necessary
to provide the energy needed. Alan commented that as infrastructure components are
replaced, more efficient options and better technology is available.
o Alan received, and forwarded to staff, an email from Greg Friedman who owns and is
developing AsPen Glen lot GV5.
Engineerrs Report
lronbridee Phase lll Filine lAcceptance
Brandyn presented SGM's memo recommending acceptance of the lronbridge Phase lll Filing I
utilities as constructed by Blue Heron Development. SGM observed installation and successful
testing of the water and sewer system in 2015 and 2016. Staff received and reviewed as-built

drawings, easements and bill of sale documents. Blue Heron requested the release of security
funds from Garfield County. The Board had previously authorized SGM to act on behalf of the
District to approve that action. With the acceptance of the water and sewer lines, the two-year
warranty period in which Blue Heron Development will be financially responsible for the repair
of any defects now begins. MISIC Enis moved to accept the lronbridge Phase lll Filing I utilities
as constructed by Blue Heron Development. Ph¡l second, all in favor.
The Distr¡ct is waiting for final documents from REL and lronbridge before acceptance of'the
lines to the new school and the lronbridge teacher affordable housing units can be completed
WWTP Plant Expansion
The plans for the expansion are almost complete and cost estimates are still in line with
projections made during 2018 budget preparation. Brandyn expects to solicit bids in March for
presentation and apfroval by the Board in April. SGM is in charge of permits for the District and
the contractor will be responsible for its own permitting. The District comm¡tted to Garfield
County during the site approval process to not begin construction until May. The noxious weed
mitigation required by Garfield County was completed last September.
Attorney's Report
Water Court APPlication
The water court referee entered her Ruling of Referee to continue the conditional water rights
for the River Edge development for the next six years. lt is out for comment now before the
case is sent to the water judge for entry of a final decree.
Eastbank LLC
Eastbank representatives conducted a public meeting outlin¡ng their plans for residential units
adjacent to the school property. The plan included "tiny homes" on rented lots, along with
other residential units and a hospice. There will be a public hearing as Eastbank moves through
their apþroval process. The District's Service Plan Amendment includes this area and the plan
fits the EQR capacity contemplated. Two force-mains were installed to address larger capacity
development.
Executive Session 4:30
MISIC At 4:30 p.m. Phil moved that the Board go into Executive Session to confer with its
attorney for the purpose of receiving legal advice on a specific legal question and matters
subject to negot¡ation pursuant to C.R.S. g 24-6-402. Mogli second, all in favor'

This memo was prepared by SGM as District Engineer for the Roaring Fork Water &
Sanitation District to recommend acceptance of the lronbridge Phase lll Filing I utilities
as constructed by Blue Heron Development. SGM's recommendation of acceptance is
in consideration of the following achievements:
1.) SGM observed successful testing of the water and sewer system including the
following:- Sewêr Pressure Test - December 7th,2015
- Sewer Manhole Vacuum Test - December gth, 2015
- Sewer Video lnspection - December 16th, 2015
- Water Line Disinfection - December l1th,2015
- Water Pressure & Leakage Test - May 121h,2016
2.) Hobbs Excavating, under the direction of High Country Engineering, has
adequately resolved all items identified in the SGM Punch List memo issued on
May.13m, 2O16, and the follow up Punch List lnspection memo issued on June
301h,2016.
3.) FinalAs-Built drawings for the development were received from High Country
Engineering on September 1"t, 2016.
4.) Fill Grant of Easement and Bill of Sale documents were conveyed to the Roaring
Fork Water & Sanitation District on February 8th, 2018.
While not originally intended for construction in Filing l, Sewer Manhole #48 was
insta¡ed at thê Filing I / Filing ll boundary. lnstallation of this manhole allowed for the
removal of rock obsiruction in the sewer line section towards Manhole 47, as noted in
the "Release of Collateral Funds for Sewer" memo dated December 18th, 2015. Manhole
48 will be vacuum tested, re-inspected, and eligible for acceptance with the future sewer
line to be installed in Filing ll.

A board decision to accept the utilities will mark the beginning of the two-year warranty
period, in which Blue Heron Development will be financially responsible for the repair of
any defects.
