A high rift head has been ordered but not installed at this inspection. SUBDIVISION IMPROVEMENTS AGREEMENT RIVERBEND RANCHETTES rhis asrreement, made this &day of Jt"'aLU L978, by and between the County of Garfield, Colorado, acting by and through its Board of County Commissioners (hereinafter "County"), and Hamilton R. Duncan, Jr. (hereinafter "subdivider") WITNESSETH: WHEREAS, Subdivider is the'owner of certain real property (hereinafter "premises") located in Garfield County, Colorado, described as folIows, to-wit: See Exhibit rrArr attached hereto and incorporated by reference herein; and WHEREAS, Subdivider has constructed three residences on the premises and now wishes to subdivide the premises into three (3) lots of approximately two (2) acres apiece in size; and WHEREAS, Subdivider has previously obtained preliminary plat approval from the County subject to certain contingencies, and now wishes to obtain final plat approval and satisfy such contingencies; and WHEREAS, pursuant to the Garfield County Subdivision Regulations, Subdivider must enter into a Subdivision Improve- ments Agreement with the County as a condition for final plat approval; and WHEREAS, the parties hereto wish to enter into such an Agreement pursuant to said Regulationsi NOW, THEREFORE, in consideration of the mutual covenants and promises contained herej-n, the parties agree as follows: 1. Required Improvements.Two public improvement contingencies for final approval were made part of the pre- liminary plat approval r Ers follows: (a) the tapping of the water system for the premises into the Riverbend Subdivision water system; (b) the construction and extension of a County roadway, meeting County specj-fications, for a distance of 180 feet. Subdivider represents and warrants to the County that contingency (a) has been fu1fi1led, and that Subdivider plans to construct the road required by contingency (b) in the spring of L979; and that this is the only public improvement that re- mains to be completed. 2. Completion of Improvements. The Subdivider agrees to complete all public improvementsr ds set forth above, by June 30, L979, in accordance with County standards and speci- fications. 3. Projected Costs of Improvements. The projected cost of completing the public improvernents are as follows: Construction and pave 180 feet of road to County standards: 93,600.00 4. Collateral/Escrow. As collateral for the Subdivider to complete these improvements as hereinbefore provided, the Subdivider ag:rees to deposit with a bank or savings and loan institution agreeabre with the county the amount of $2,880.00, in an interest bearing trust account in the name of the Board of County Commissioners of Garfield County, Col_orado. The funds sha1I be released and returned upon the satisfactory completion of the improvements in a timely fashion. rn the event that the County determines that any of such j-mprovements are not constructed in substantial compliance with the specifications pertaining there- to, or in accordance with the appropriate standards, it shal-I furnish Subdivid.er with a 1j-st of the specific deficiencies in construction and shall be entitled to withhol-d collateral suf- ficient to insure such substantial compliance. The County agrees that it will not unreasonabry withhold approval of such -2- improvements. If the County, in good faith, determines that Subdivider vriIl not or cannot construct any or all of the im- provements in accordance with the terms of this Agreement, and all of the specifications, the County may apply any of the said funds remaining upon deposit as may be necessary to construct or complete the improvements in accordance with the terms of this Agreement and/or specifications. Any interest earned by the coltateral shalI be the property of Subdivider, shall remain in escrow, and shall be released, together with the collateral, in accordance with the provisions hereof. 5. Remedies. Either party hereto shall have all remedies available at 1aw or in equity in the event of the other partyrs breach. Such remedies shall include the right to specific per- formance, Lf appropriate. 6. Entire Agreement. This Agreement sets forth the entire agreement between the parties hereto. No change in, addition to, or waiver of any of the provisions hereto shall- be binding unless in writing signed by each party or an authorized repre- sentative of such party. Any attempted oral mutual rescission of this Agreement sha1l be null and void and of no force and effect. 7. Applicable Law. Bob l{ltkowskt AGREE},IENT This agfreement made and entered into this day of May, 1977, by and between Cunningham Construction and Development Company, hereinafter the SUBDIVIDER, and the Board of County Commissioners, Garfield County, Colorado, herej-nafter the COUNTY, as pertains to the property described in Exhibit A, attached hereto and hereby made a part of this Agreement, known as the Riverbend Subdivision, is made and entered into pursuant to the provisions of the Garfield County Subdivision Regulations. SUBDIVIDER estimates completion of all development activities within the Riverbend Subclivision during the year of 1983, oD a time schedule as follows: May 15, L977 to Commencement and completion of November 30, L977 Filing I Improvements. March L, L978 to Commencement and completion of November 30, 1978 Filing II Improvements. Itlarch L, L979 to Commencement and completion of November 30, 1979 Filing III Improvements. March L, 1980 to Commencement and completion of November 30, 1980 Filing IV A Improvements. March I, 1981 to Commencement and completion of November 30, 198I Filing IV B Improvements. March I, 1982 to Commencement and completion of November 30, L982 Filing IV C Improvements. March 1, 1983 to Commencement and completion of November 30, 1983 Filing IV D and E Improvements. 2. SUBDIVIDER agrees to restrict sales in Filing II through Filing IV until such time as al-I improvements have been completed in Filing r. 3. SUBDIVIDER calculates the total engineering cost estimates within Riverbend Subdivision Filing I to be as follows: Water & Sewage Cost Percentage(includes water storage $II5,725 70 Itank, sewage treatmentponds, and all timemateriars and labor) 2- Utilities (electricity and telephone) Roads and Drainage Culverts Percentage 288 4. To assure completion of said improvements SUBDIVIDER agrees to provide the County with a irrevocable letter of credit in the aboumt of forty-one thousand five hundred dollars ($41,500.00) drawn on a commercial bank. The purpose of said letter of credit is to collaterilize the SUBDIVIDER obligations under this agreement. 5. COUNTY will permit a reduction from the reguirements of the letter of credit submitted by SUBDTVIDER in the amount of twenty nine thousand fifty dollars ($2g,050.00), within thirty (301 days after receipt of certified notice from SUBDMDER that water and sewer service within Riverbend Subdivision filing I is completed. 6. COUNTY will permit a reduction from the requirements of the letter of credit submitted by SUBDIVIDER in the amount of eleven thousand six hundred twenty dollars ($11,620.00), within thirty (30) days notice from SUBDIVIDER that utility construction is completed within Riverbend Subdivision Filing I. 7. COUNTY will permit a reduction from the requirements of the letter of credit submitted by SUBDIVIDBR in the amount of eight hundred thirty dollars- ($830.00), within thirty (30) days after receipt of certified notice from SUBDfVIDER that road and drainage culvert construction is completed within Riverbend Subdivision Filing I. 8. SUBDIVIDER agrees to furnish to the COUNTY on or before May 15, 1977, a general warranty deed for 10 acres of land in fee simple pursuant to the provisions of Colorado Senate BitI 35 and the Garfield County Subdj-vision Regulations. Said ded- ication of land shaI1 receive prior approval by the Board of the RE-2 School District, Garfield County, Colorado. SUBDfVIDER Cost 46,000 4,000 2Z 3- shalr retain the right to utilize said land dedication for agricultural purposes until such time as the land is required for the commencement of school construction. 9.
