RECITALS A. Developer is the owner and developer of approximately 20.76 acres of land located in Garfield County, CO ("Developer's Property") accessed by County Road 262 (Mid Valley Lane) and situated between the Town of New Castle, CO and the Town of Silt, CO and north of the intersection of State Highway 6&4 ("SH 6&24") and Mid Valley Lane; B. By Resolution No. 2018-16 dated April 9, 2018 and recorded as Reception No. 905353 in the real property records of the County Clerk and Recorder, the Garfield County Board of County Commissioners (the "Board") approved a Land Use Change Permit appurtenant to Developer's Property for a Community Meeting Facility; C. By Resolution No. 2018-24, dated May 7, 2018 and recorded as Reception No. 906481, in the real property records of the County Clerk and Recorder, the Board approved a Land Use Change Permit also appurtenant to Developer's Property for Lodging Facilities (6 Units); D. Developer's traffic study established that the traffic added to the SH 6&24/Mid Valley interchange as the proximate result of the implementation of the facilities approved under the above Resolutions would warrant certain roadway improvements to SH 6&24 to wit: an added west bound de -acceleration turning lane onto Mid Valley Lane ("Improvements"); E. As a condition of approval for Resolution No. 2018-16, Developer agreed to contribute funds to the County to offset a portion of the costs of the Improvements; and F. In order to comply with Resolution No. 2018-16, the Parties desire to set forth in this MOU a framework for Developer's payment in regards to the Improvements. AGREEMENT NOW THEREFORE, in consideration of the premises and mutual promises and covenants herein contained, the Parties agree as follows: 1. Recitals. The foregoing recitals are incorporated herein and made a part hereof. 2. Road impact fees shall be non-refundable. 2. Developer Improvements Payments. Beginning June 1, 2019, and continuing on each yearly anniversary thereafter for nineteen (19) years, Developer shall contribute funds into an account to be established by the County ("Improvement Funds") in the amount of $5,000.00 (not to exceed $100,000). However, if in the future the developer expands his operation, thereby requiring the payment of additional Road Impact Fees, those fees will be credited towards the $100,000. 3. Use of Improvement Funds. All funds paid to the County by Developer hereinabove shall be expended by the County exclusively for the purpose of constructing warranted roadway improvements to the intersection of SH 6&24 and Mid Valley Lan; along with Mid -Valley Lane as solely determined by the County. 4. Traffic Counts/Payment Modification. Beginning with the initiation of operations of the approved facilities of the Developer and for a period of two years, Developer shall maintain and provide to the County quarterly traffic counts documenting the actual vehicle trips to and from its facilities. These counts will be provided in a format acceptable to the Community Development Director. If the vehicle trips are substantially less than originally estimated by its traffic engineer, Developer shall have to right to petition the County to reduce Developer payments proportionately/pro rata. 5. Return of Improvement Funds. In the event the Improvements are funded in their entirety by a third party at no cost to Developer or the County should decide, by duly enacted resolution of the Board of County Commissioners not to construct the Improvements, all Improvement Funds minus the Developer Road Impact fees along with fees associated with improvements to Mid - Valley Lane shall be returned to Developer. 6. General Terms. (a) This MOU may not be assigned by either Party without the prior written consent of Developer or the Board, respectively, and may not be amended, modified, or terminated except by a written agreement signed by Developer and the Board. If assigned, this MOU will be binding upon and inure to the benefit of the respective successors and assigns. (b) Headings are inserted in this Agreement for ease of reference and do not define, limit, or prescribe the scope or intent of the provisions of this Agreement or any part thereof. (c) If any provision of this MOU is deemed void, invalid, or unenforceable by any court or tribunal of competent jurisdiction, that provision shall be stricken from this MOU without effect on the remaining provisions of the MOU. (d) Neither party shall be liable for its failure to perform hereunder due to contingencies beyond its reasonable control, including but not limited to strikes, riots, war, and acts of God. 2 MOU — Red Barn Guest Ranch / County ■111 ERAICI1C4111.00. (f) Nothing contained herein shall be construed to constitute the Parties hereto as partners or joint ventures, or as agents or representatives of the other. Except as expressly authorized herein, neither Party shall hold itself out as having the authority to speak for or otherwise bind the other. (g) Any notices, demands or other communications required or permitted to be given in writing hereunder shall be delivered via email, personally, delivered by overnight courier service, or sent by certified mail, postage prepaid, return receipt requested, addressed to the Parties at the addresses set forth below, or at such other address as a Party may hereafter or from time to time designate by written notice to the other Party given in accordance herewith. Notice shall be considered given at the time it is personally delivered, the day delivery is attempted but refused, the day following being placed with any reputable overnight courier service for next day delivery, or, if mailed, on the third day after such mailing. The A occupancy (Wedding and reception building) I have found they are lacking items on the original referral. At the time of inspection the building was lacking fire extinguishers, exit signs on the exits, emergency lights on the exits and occupant load sign.. The exits are part of the drop down tent sides of the East side of the building and can and will need to be rolled up for the activities tomorrow as part of the requirement conditions until they get exit signs and emergency lighting. The operators are in the process of getting fire extinguishers and occupant load sign for this weekend, I will check on this later today . In final, I an satisfied that the operators will be ready for tomorrows activities with the conditions I gave them this morning on site. I will go by and check on the fire extinguishers and occupant load sign after I send this e-mail and will let you know by phone if the requirements have been met or not. It is our understanding that you intend to use a Reed R8050 Sound Level Meter to help monitor noise levels. This meter is a ANSI Type II and has a stated accuracy of ±1.4 dB, and is a common and appropriate rating for your purpose. We checked the calibration of your meters in August 2017 and both meters were well within the expected tolerance which typically does not drift much when the instrument is properly cared for. A wind screen should always be used to avoid high noise levels due to wind noise across the microphone. A measurement height should be about 5 feet above the ground. RE: Drainage Concerns — Red Barn Guest Ranch, 345 Mid Valley Lane Dear Larry: The purpose of this correspondence is to address some questions and concerns about specific drainage questions of the Red Barn Guest Ranch through the review and comment process for Garfield County permitting. The project proposes to construct a reception center for events serving up to 300 people. The project is located in Peach Valley, to the east of Silt and to the west of New Castle, at 345 Mid Valley Lane. No site grading or drainage improvements are anticipated as part of the proposed remodeling of the structures. A waiver from providing drainage requirements was requested. On Wednesday June 14, 2017 and on Thursday August 31, 2017, the existing site drainage was reviewed: • The site around the buildings seems to have gentle sloping grades that drain generally to the southwest. No areas of ponding water were observed. Existing grading and drainage appears to be functioning adequately. • The area intended for parked cars drains to the southwest through grasses in an adjacent pasture. One low area was filled to prevent ponding. No other areas of ponding were observed. Grasses will be mowed prior to any cars being parked. The grading and drainage appears to be adequate. • Slaughter Gulch drains from the north beneath Peach Valley Road (CR 214) then flows along the northeast property line of the project before it flows beneath Mid Valley Lane (CR 262). It is understood that there is some concern of a flooding event occurring at the proposed venue. In the case that there is a flooding event in Slaughter Gulch, the Red Barn Guest Ranch will cancel any event to be held while flooding is occurring. In the unlikely event that there is an event in progress when flooding begins, a secondary emergency access to CR 214 will need to be provided. The Red Barn fire pond is able to fill from excess irrigation water return flows that originated from the Ware and Hines and Roseman Ditch because there is no call. As long as the water is delivered to the fire pond during a period of free river (no calls) then it can be kept in storage and will not need to be released when a call comes on. The call would only affect the ability to fill or refill the pond during the call period — it would not affect the water that was already delivered into storage during the free river conditions. In my discussions with Orrin Moon, the wells were identified as the best sources for the fire pond long-term because they are available throughout the year. Other sources Orrin and I discussed are delivery of water from the other on-site pond, the irrigation return flows, and hauling of water — all viable alternatives with some limitations associated with timing, cost or aesthetics that are not present with the well sources. The exempt well on the property that serves the existing residence is already permitted for fire protection. I have attached a copy of the Well Permit 92777-A for your ease of reference. Red Barn currently holds a contract from the WDWCD for 1.0 acre foot. This is the minimum amount of water that can be contracted. The fire pond can be filled or refilled within the 1.0 acre foot and still have enough augmentation water for the other uses on the property. Out of caution and in consultation with Wendy Ryan — the consulting engineer for Red Barn Guest Ranch and the WDWCD — we have requested to increase the Red Barn Guest Ranch contract amount to 1.1 acre feet (an increase of 0.1 acre foot). That way we will be sure never to be short on augmentation supplies. Wendy has assured us that West Divide has sufficient supplies and the approval will be granted as a matter of course. However, even if the West Divide contract amendment to add the 0.1 acre foot was denied, we would be able to demonstrate to the Division of Water Resources that our original contract amount of 1.0 acre foot is sufficient for the planned uses and the fire pond and be able to have fire protection added to the well permit. Prior to issuance of an amended well permit allowing for fire protection, we have the following options to fill and refill the pond during a period of call: • Use the existing exempt well (permit no. 92777-A) that is already permitted for fire protection; and/or • Haul water in to refill the fire pond.
