For the following Project: 301 Donegan Rd. Glenwood Springs, CO, 81601
Owner, Patrick Shuster and ICM Services, LLC. agree as follows.
Article l-ICM Services, LLC. RESPONSIBILITIES
ICM Services, LLC. agrees to provide the services, labol materials and equipment necessary to
complete the following described requirements Scope of Work as described in this Agreement in a
manner consistent with locally accepted standards for professional skill and care of.
Tamko 30 year asphalt shingles.. Removal and disposal of existing roof components: asphalt shingles.. Furnish and install Carlisle WIP 300HT, high temperature self adhered underlayment: two lines
from eaves and in valley.. Fumish and install synthetic underlayment at remainder offield.. Fabricate and install pre-finished steel associated roof flashing: standard colors.. Furnish and install Tamko asphalt shingles.
Tear-off and removal of existing roofcomponents: asphalt shingles ............................ $ 588.00
Asphalt roof assembly 1,900 sq ft......... s 6,935.00
Permit Fees will run approximately $ r00.00
Clarilications: Staging/parking area will be needed for equipment and materials. 30 year architectural
shingles will be installed. Once roof deck is exposed, ICM will inspect snd examine plywood and will
notify owner if roof sheeting needs replacement, at the cost indicated above. There will be some
modification to stone chimney and wood siding in order to properly water tight roof. All work to have
two year warranty. Gutters will be protected during tear-off stage.

Alternate to base bid: N/A
Exclusions: Siding, carpentry, electrical, plumbing, splash blocks, exterior and interior painting,
interior protection, insulation, liquidated damages, and consequential damages. Gutters, downspouts,
and heat tape. Snow and ice removal, through wall flashing, and landscaping.
Please Note: Any alterations or deviations from above stated scope of v/ork will result in a change
order. Al[ or any changes to contract will be handled on a time and material basis. ICM's rate is set at
$65.00 per man hour plus materials and mark ups.
All work in this contract is warranted as specified for two (2) year from substantial completion of
contracl by ICM Services, LLC.
All work in this is contract, ICM & Manufactures warranty excludes any damage caused by ice
damming, condensation, acts ofGod, or third parties.
Article 2-OW|{ER'S RESPoNSIBILITTES
The owner shall provide full information about the objectives, schedule constraints and existing
conditions of the Project, and shall establish a budget that ilcludes reasonable conthgencies and that
will meet the Project requirements. The Owner shall provide decisions and fumish required
information as expeditiously as necessary for the orderly progress ofthe Project. ICM Services, LLC.
shall be entitled to rely on the accuracy and completeness of the Owner's information.
ATticIe 3- TERMINATION, SUSPENSION OR ABAI\DOMENT
In the event oftermination, suspension or abandonment ofthe Project by the Owner ICM Services,
LLC. shall be compensated for the services performed. The Owner's failure to make payment in
accordance with this Agreement shall be considered substantial nonperformance and sufficient cause
for ICM Services, LLC. to suspend or terminate services.
Either ICM Services, LLC. or the Owner may terminate this Agreement, after giving no less than
seven (7) days'written notice if the Project is suspended for more than 90 days.
Article 4- MISCELLANOUS PROVISIONS
This agreement shall be govemed by the laws of Glenwood Springs, Garfield Country, Colorado
where the Project is located and state laws.
Nothing contained in this Agreement shall create a contractual relationship with, or a cause ofaction in
favor of, a thtd party against either the Owner or ICM Services, LLC.
ICM Services, LLC. shall have no responsibility for the identification, discovery presence, handling,
removal or disposal of, or exposure ofpersons to, hazardous materials in any form at the Project site.
Owner shall bear fire, tomado and other necessary insurance.
ATticIe 5- PAYNTENTS AND COMPENSATION TO ICM SeTvices, LLC.
ICM Services 's compensation shall be:

The Owner shall pay ICM Services, LLC. a total payment of $7,623.00 as a minimum payment under
this Agreement.
Any changes to scope of work will be billed as a change order to the owner.
Payments are due and payable upon receipt of ICM Services invoice. Amounts unpaid, 30 days after
the invoice date shall bear interest from the date payment is due at the rate of l.5o% per month, or in
the absence thereof, at the legal rate prevailing at the principal place of business of ICM Services,
LLC.
If ICM Services, LLC. is forced to pursue collection of moneys due and owing to ICM Services,
LLC. per this contract, Owner shall be liable to ICM Services, LLC. of said collection with or
without suit, including reasonable attorney's fees.

The above prices, specifrcations and conditions are hereby accepted. ICM Services, LLC. is authorized
to do ified. Payment to ICM Services, LLC. wil made as outlined above.
