Ursa Operating Company LLC ("Ursa") hereby consents and does not object to the proposed
construction of a single-family home, the construction of which is to be located 400' from Ursa's
Valley Farms 0 Pad, Garfield County, Colorado and being further depicted by Exhibit "A"
attached to this letter. Consent by Ursa of said construction does not serve to limit or prevent
current or future operations from being conducted by Ursa, its agents or employees, in connection
with the Valley Farms 0 Pad.
Ursa has certain responsibilities to act as a prudent Operator; as such included herewith is an
indemnity clause in bold font, so as to be conspicuous. Please familiarize yourself with the terms
included prior to signing, so there is agreement on any potential liability issues that may arise.
Consent by Ursa is granted upon the express condition that Ursa, its agents and employees
shall be free from all liabilities and claims for damages and/or suits for or by reason of any
injury, or death to any person or property, or third parties, from any cause or causes
whatsoever while in or upon the Subject Premises or any part thereof or occasioned by any
occupancy or use of said premises or any activity carried on by Joel and Hortencia Ruiz in
connection herewith, and Joel and Hortencia Ruiz hereby covenants and agrees to
indemnify, defend, save and hold harmless Ursa, its agents and employees from all liabilities,
charges, expenses and costs on account of or by reason of any such injuries, deaths, liabilities,
claims, suits or losses however occurring or damages growing out of the same.
