This report presents the preliminary findings of the water supply investigations and waste water
treatment evaluation performed by Zancanella and Associates, Inc. for the proposed Reserve at Elk
Meadows development to address the counties submittal requirements listed in County Code 4.08.05
(7)(e)(i) and (ii).
(i) The proposed water source legally & physically adequate to service the PUD;
(ii) The proposed method ofsewage treatment legally and physically adequate to service
the PUD. If the PUD application proposes to utilize existing, central facilities, the
application shall contain a letter from the district or provider that adequate excess
capacity currently exists and will be devoted to accommodating the development, or
that the capacity will be expanded to adequately accommodate the development; (A.

Information contained in this report covers estimated future domestic water uses, legal water supply,
well pump test, and water quality analyses.
The project is located adjacent to Four Mile Road, approximately four miles south of Glenwood
Springs. A project location map is attached as Figure 1.
Water Requirements
It was assumed for water planning purposes that the proposed development, when completed, will
consist of 200 single family homes. Table 1, attached, shows the anticipated water use for the entire
development. For this water estimate, it was assumed that each residence will require 1.5 EQRs and
that each EQR will represent 3.5 people using 100 gallons of water per person per day. Domestic
water will be diverted to irrigate up to 500 square feet of lawn or other equivalent outside uses for
each residence from the domestic system. Iii addition, there will be other outside water available via
a separate raw water system. It was assumed that The Reserve at Elk Meadows will be connected to
the City of Glenwood Springs WWTP based on the annexation agreement included in Section
4.08.05 (7)e(ii) between the City and the developer.
Legal Supply
Application has been made to the West Divide Water Conservancy District to cover the out -of -
priority water use anticipated by the development. An independent augmentation plan Case No.
05CW144 has also been filed in water court to provide a independent water supply. The developer
will have one of these two options in place at the time of subdivision approval. The proposed plans
will serve an estimated 300 EQRs. As can be seen in Table 1, the development will divert an
average 123.3 AF annually for the domestic system for in-house and 500 square feet of lawn
irrigation per lot. The peak month of July will require a continuous average diversion for the
domestic system of 83.6 gallons per minute (gpm).
Two wells have been drilled and tested to supply the domestic water system. The Elk Well was
completed on April 15, 2005 by Shelton Drilling Corporation at a total depth of 154 feet. The well
was drilled as a monitoring well under permit number 262418, see
attached. The Bison Well was completed on April 21, 2005 by Shelton Drilling
at a total depth of 145 feet. The Bison Well was drilled under well permit number 262874, see
attached. Based on the well test data, it is anticipated that the Bison Well and a proposed well field
(two additional wells) will be used to serve the domestic needs of the proposed PUD.
Domestic Physical Supply
The Elk Well is located in the NE 1/4 of the SW 'A of Section 34, Township 6 South, Range 89 West
of the 6th P.M. The location of the well can be plotted 2615 feet from the south section line and
1465 feet from the west section line. The Bison Well's location is in the SE'/4 of the NW'/4 of the
same Section 34, Township 6 South, Range 89 West. The Bison Well's coordinates within the
section are 2920 feet from the north line and 2110 feet from the west line. The approximate location
of the two wells and the Reserve at Elk Meadow property boundary are shown on the attached
general location map, Figure 1. The wells are developed in the Quaternary alluvium and colluvium
of Four Mile Creek. Graphical representations of the wells (Figures 2 and 3) are attached.
Elk Well Pump Test
A 24 hour pump test of the Elk Well was conducted on April 20, 2005 by Samuelson Pump
Company. Prior to commencement of the test the well had a static water level of 39.1 feet below the
top of the well casing. The pump for the test was set at a depth of 140 feet, giving the well a
maximum drawdown of 100.9 (140 minus 39.1) feet. The pump test was performed at an initial
pumping rate of 50 gpm. The rate was maintained at 50 gpm throughout the test. The drawdown
and time data collected during the test are presented in Table 2. The results of the test, plotted as a
water level versus time curve, are shown on the attached Figure 4. The maximum drawdown during
the 24 hour test was 61.4 feet.
Recovery data were collected for a period of 90 minutes after pumping stopped, with one additional
reading at seven hours after the test. A plot of the recovery data shown as residual drawdown is
attached as Figure 5. The well recovered normally.
Bison Well Pump Tests
Two pump tests were performed on the Bison Well between the dates of May 2 and May 5, 2005.
Both tests were conducted by Samuelson Pump Company. Before the first test began the static water
level in the well stood at 15.1 feet below the top of the well casing. The test pump was set at a depth
of 145 feet, allowing a maximum drawdown of 129.9 (145 minus 15.1) feet. The first test was begun
on May 2 and the pumping portion of the test was 28 hours long. The initial pumping rate was 50
gpm. At 1325 minutes (approximately 22 hours) into the test the water level had stabilized with
approximately 25 feet of drawdown. At that point the pumping rate was increased to 75 gpm ( the
maximum pumping rate ofthe test pump). At 1370 minutes (almost 23 hours) into the test the water
level reached its maximum drawdown level for this test of 39.54 feet. After this the well began to
slowly recover, even though the pumping rate was maintained at 75 gpm through the end of the test.
Recovery data after the first test were recorded for one hour after pumping stopped and a final
reading was made 17 hours after the test pump was shut off. The well recovered normally.
For the second test of the Bison Well a larger pump was installed and the initial pumping rate was set
at 100 gpm. This test was 4 hours in length and the 100 gpm rate was maintained throughout the
test. Maximum drawdown achieved during this test was 51.63 feet at the end of the test.
Following the second pump test the recovery data were collected for a period of one hour, with a
final reading at 15.5 hours after pumping had stopped. The well recovered normally after this test
also.
The data from both of the Bison Well pump tests can be found in Tables 3 and 4. Water level graphs
of the tests during the pumping phases are shown together in Figure 6. Graphs of both recovery
periods can be seen in Figure 7.
Pump Test Conclusions
Because of the last sounding on the Elk Well (See Table 2 and Figure 4), this well may not be
capable of pumping for extended periods at the 50 gpm rate. A somewhat less aggressive rate of 30
to 40 gpm may be more appropriate for the Ellc Well. The Bison Well was shown to be capable of
pumping for extended periods at a rate of at least 75 gpm and possibly as high as 100 gpm. This is in
excess of the maximum pumping demand for the estimated domestic system demands for the PUD.
Based on the pump tests, it is believed that the Bison Well and a well field developed adjacent to
Four Mile Creek will be the best alternative to provide adequate quantities of water to the domestic
water system of the proposed residential development. It is anticipated that three wells will be used
to provide both quantity and mechanical reliability to the domestic system.
The long term supply will be derived from three wells to be located in a proposed well field near the
Bison Well. From the available data, we believe that both the use of Elk and Bison Wells can
provide a reliable physical and legal water supply for The Reserve at Elk Meadows development.

Domestic Water Quality
Water quality samples were collected during the pump tests and sent to Evergreen Analytical
Laboratories in Wheat Ridge for independent analyses. The lab tests included analyses for synthetic
organic chemicals (SOCs), volatile organic chemicals (VOCs), inorganic chemicals (IOCs),
nitrate/nitrite, radiological properties, coliform bacteria and some of the physical properties of the
water. Results of the lab tests, on CDPHE forms, are attached.
The coliform bacteria tests indicate that coliform bacteria were absent from the samples from both
wells. Results from all the other lab testing showed that the samples were below the Maximum
Contaminant Levels (MCLs) as established by the CDPHE and U. S. Environmental Protection
Agency.
Supplemental Irrigation Water Supply
The Irrigation water supply will be developed using a separate raw water irrigation system. It was
assumed that the PUD would irrigate an additional 2500 square feet of lawn per lot for 11.5 acres, 4
acres of parks, and 7 acres of open space for a total of 22.5 acres. It is our understanding that the Elk
Meadows PUD will acquire 0.3 cfs of the Four Mile Ditch, the most senior water right on Four Mile
Creek. We estimate that this right has historically irrigated 22.5 acres. The applicant should be able
to continue to irrigate that amount with out curtailment. In addition, many junior water rights will
also be available for additional irrigated area when through the raw water system the rights are in
priority.

CONDITIONS OF APPROVAL
This well shall be used In such a way as to cause no material Injury to existing water rights. The issuance of this permit
does not ensure that no Injury will occur to another vested water right or preclude another owner of a vested water right from
seeking relief in a civil court action.
The construction of this well shall be in compliance with the Water Welt Construction Rules 2 CCR 402-2, unless approval
of a variance has been granted by the State Board of Examiners of Water Well Construction and Pump Installation
Contractors in accordance with Rule 18.
Approved pursuant to CRS 37-92-602(3)(b)(I) for uses as described in CRS 37-92-602(1)(I). Use of this well is limited to
monitoring water levels and/or water quality sampling. This well is known as Elk Well.
This well must be equipped with a locking cap or seal to prevent well contamination or possible hazards as an open well.
The well must be kept capped and locked at all times except during sampling or measuring,
Records of water level measurements and water quality analyses shall be maintained by the well owner and submitted to
the Division of Water Resources upon request.
Upon conclusion of the monitoring program the well owner shall plug this well in accordance with Rule 16 of the Water
Weil Construction Rules. A Well Abandonment Report must be completed and submitted to the Division of Water
Resources within 60 days of plugging.
The owner shall mark the well In a conspicuous place with well permit number(s) and name of aquifer as appropriate,
and shall take necessary means and precautions to preserve these markings.
This well must be constructed by or under the supervision of a licensed well driller or other authorized individual according
to the Water Well Construction Rules. If non-standard construction is anticipated, a variance request must be submitted in
accordance with Rule 18 and approved prior to well construction.
A Well Construction and Test Report (Form GWS -31), Including fithologic log must be submitted by the individual
authorized to construct the well. For non-standard construction, the report must include an as -built drawing showing
details such as depth, casing, perforated zones, and a description of the grouting type and interval.
This well shall be constructed not more than 200 feet from the location specified on this permit.

The owner shall mark the well In a conspicuous place with well permit number(s) and name of aquifer as appropriate,
and shall take necessary means and precautions to preserve these markings.
This well must be constructed by or under the supervision of a licensed well driller or other authorized individual according
to the Water Well Construction Rules. If non-standard construction is anticipated, a variance request must be submitted In
accordance with Rule 18 and approved prior to well construction.
A Well Construction and Test Report (Form GWS -31), including ilthologic log must be submitted by the individual
authorized to construct the well. For non-standard construction, the report must Include an as -built drawing showing
details such as depth, casing, perforated zones, and a description of the grouting type and interval.
This well shall be constructed not more than 200 feet from the location specified on this permit. ?.-

Dear Larry:
For purposes of filing development review applications with Garfield County for a proposed
residential development not to exceed two hundred (200) EQR's (based the residential classification
contained in Municipal Code Section 080.060.020) this letter shall serve as evidence that the City of
Glenwood Springs can and will serve the Reserve at Elk Meadows ("Reserve") development under
the following conditions.
1. City Council approves the Draft 201 Plan and associated financing strategy to
complete sewer system upgrades of the Waste Water Treatment Facility and that the
201 Plan includes the Reserve at Elk Meadows in its service area.
2. City Council approves a South Glenwood Springs Transportation Plan including the
identification of projects, adequate funding sources and timeline for completion of
identified projects, and then after December 31, 2006 and prior to commencement
of service the Reserve shall pay for or complete traffic improvements deemed
necessary by the City to mitigate development impacts of the proposed project.
Such determination of necessary improvements by the City shall be made no later
than March 31, 2007.
3. The development moratorium adopted pursuant to Ordinance 1, Series 2006 is
repealed or Condition #2 is met.
4. Execution of a pre -annexation agreement acceptable to the City, which addresses
impacts to the City from the proposed development.
5. Payment of applicable system improvement fees by the Reserve or its assigns.
6. Compliance with any final development approval from Garfield County.

7. Unless all system improvement fees are pre -paid by the Reserve and capacity
reserved, availability of treatment capacity at the time individual units request
service will be on a first-come, first-served basis.
8. The Reserve shall prepare and submit engineering designs for the construction
and installation of sewer services to the development of which designs are subject
to the approval of the City Engineer.
9. The Reserve shall reimburse the City for all costs incurred by the City regarding
this Project, including but not limited to legal and engineering fees.

PRE -ANNEXATION AGREEMENT
RESERVE AT ELK MEADOWS ANNEXATION
THIS AGREEMENT made and entered into this day of December, 2006, by and
between the CITY OF GLENWOOD SPRINGS, COLORADO, a Colorado home -rule
municipality (hereinafter "City") and RESERVE AT ELK MEADOWS, LLC, an Illinois limited
liability company ("Developer"), and ALICE P. BERSHENYI, JOHN WILSON BERSHENYI,
CAROL A. BERSHENYI and BERSHENYI LAND & CATTLE, LLLP (collectively,
"Bershenyi");
WITNESSETH:
WHEREAS, Developer is the owner of certain real property located in the Four Mile
Creek area of Garfield County, Colorado, known locally as the Martino Ranch. The Martino
Ranch is more particularly described on Exhibit A attached hereto and incorporated herein by
this reference; and
WHEREAS, Developer and Bershenyi are the Buyer and Seller, respectively, under a
Contract to Purchase Real Property by which the Developer has the right to purchase certain real
property located in the Four Mile Creek area of Garfield County, Colorado, known locally as
the Bershenyi Ranch. The Bershenyi Ranch is more particularly described on Exhibit B attached
hereto and incorporated herein by this reference; and
WHEREAS, the Developer and Bershenyi (collectively, "Petitioners") desire to provide
for the possible annexation of the Martino Ranch and the Bershenyi Ranch (collectively, the
"Property") and for the connection of the Property to the City's sewer system; and
WHEREAS, C.R.S. § 31-12-121, as amended, authorizes the City and Petitioners to
enter into a Pre -Annexation Agreement; and
WHEREAS, the City and Petitioners desire to enter into this Agreement to set forth their
agreements in writing concerning the terms and conditions of annexation of the Property to the
City and the provision of sewer service to the Property.
NOW, THEREFORE, for and in consideration of the mutual promises and covenants
contained herein, and other good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, the City and Petitioners agree as follows:
1. Purpose. The purpose of this Agreement is to set forth the terms and conditions
of the annexation of the Property to the City. Except as expressly provided for herein to the
contrary, all conditions herein are in addition to any and all requirements concerning annexation

contained in the Municipal Code of the City of Glenwood Springs (hereinafter "City Code") or
the Municipal Annexation Act of 1965, as amended, C.R.S. § 31-12-101, et seq. This
Agreement is intended to provide a contractual relationship between the City and Petitioners to
ensure compliance with the City Code, state statutes, and all terms and conditions set forth
herein. This Agreement includes additional terms and conditions for the purposes of the
Municipal Annexation Act.
2. Land Use Approvals for the Property. The Property is currently in unincorporated
Garfield County and the Garfield County Zoning Resolution and Subdivision Regulations
(collectively, the "County Land Use Code"), will regulate the subdivision approval process for
the Property. For purposes of this Agreement, the parties acknowledge and agree that the
Developer will have to achieve the following three (3) mile stones in order to obtain full
subdivision approval for the Property:
a. Approval of an application for planned unit development zoning ("PUD
Application");
b. Approval of an application for preliminary plan ("Preliminary Plan
Application"); and
c. Approval of an application for final plat, which may be obtained in no
more than 7 phases to be set forth in a phasing schedule approved in the PUD
Application.
Approval of the PUD Application, the Preliminary Plan Application, and a Phase I Final Plat
Application, upon terms and conditions acceptable to the Developer, shall be conditions
precedent to the full effectiveness of this Agreement, except as expressly provided otherwise
herein.
3. PUD Application for Property. Developer has heretofore submitted to Garfield
County a PUD Application for the Property for approval of a PUD development plan in the form
of the PUD plan attached hereto as Exhibit C. No later than ten (10) days after the earlier of
(i) approval of a PUD Application upon terms and conditions acceptable to Developer, or (ii)
July 1, 2007, Developer shall deposit the sum of $100,000.00 with the City. Developer shall
then have until December 1, 2008 to obtain approval of its Preliminary Plan Application and if
Developer is not successful in obtaining approval of its Preliminary Plan Application on or
before December 1, 2008, then this Agreement shall automatically terminate and be of no further
force or effect, and the entire deposit shall be refunded to Petitioners; provided, however, that
Developer's right to make connection to the City sewer system shall be extended for an
additional two (2) years beyond December 1, 2008 if Developer pays an additional $50,000.00
on or before December 1, 2008, in which case all payments described in this Paragraph shall

become non-refundable and shall be applied as a credit against the sewer system improvement
fees due under paragraph 6(a), below.
4. Annexation. The annexation of the Property shall be in accordance with the
Colorado Municipal Annexation Act of 1965, C.R.S. § 31-12-101, et seq., as amended.
5. De -Annexation from Special Districts Including Fire Service. Developer shall
petition for exclusion from any taxing districts, including the Glenwood Springs Rural Fire
Protection District, which provide services to the Property that the City is capable of providing,
at such time as the Property is annexed into the City. All costs of de -annexation shall be borne
by Developer.
6. Fees. The parties agree and acknowledge that Developer would likely be able to
develop an undetermined number of lots upon the Property without the need for City sewer
services by utilizing Individual Septic Disposal Systems ("ISDS") or some other form of on site
wastewater treatment system. However, the Property is within the City's regional 201
Wastewater Plan which anticipates that development on the Property will receive City sewer
service and allowing development on the Property to connect to the City sewer service will avoid
the proliferation of ISDS and other wastewater treatment facilities and result in environmental
and economic benefits to all parties. Therefore, the parties agree and acknowledge that it is
appropriate to allow development upon the Property to connect to City sewer service upon the
payment of reasonable impact fees, as follows:
a. Sewer System Improvement Fees. Developer agrees to pay a sewer system
improvement fee for each Lot approved for the Property as set forth in this paragraph.
At the time of recording each Final Plat for development on the Property, Developer
shall pay to the City fifty percent (50%) of the City sewer system improvement fees then
in effect for all of the lots created by such Final Plat, calculated by multiplying the then
applicable per lot fee times the number of lots on such Final Plat. The second fifty
percent (50 %) of sewer system improvement fees due for all Lots created by a Final Plat
shall be paid at the time of issuance of the first Certificate of Occupancy for an
improvement upon a lot within such Final Plat. The Developer shall maintain such
records of lot transfers and construction as may be required by the City's Community
Development Department to assure that all sewer system improvement fees are paid as
required by this paragraph. Developer shall have the right to pre -pay all or a portion of
the system development fees at any time at the rate in effect as of the time of such
payment.
b. Transportation. As part of the subdivision improvements to be made in
connection with the first Final Plat for development on the Property, the Developer shall
complete intersection improvements to one or more of the following intersections: 27th
Street and Midland Avenue; 27'h Street and South Grand Avenue; or Midland Avenue

and Four Mile Road, including design and construction in accordance with plans and
specifications to be approved by the City, up to and including a roundabout at the
intersection of 27th Street and Midland Avenue. The Developer shall be responsible for
all costs associated with any such intersection improvements, including engineering fees,
utility relocation, and legal fees and acquisition costs incurred in connection with any
necessary acquisition of real property. Provided, however, that under no circumstances
shall the developer have to expend more than $900,000.00 to pay for any such
intersection improvements. Prior to approval of the first Final Plat for development on
the Property, the Developer, at its expense, shall work with the City to design
intersection improvements which are acceptable to the City. In connection therewith, the
Developer shall provide the City with a certified engineer's estimate for the total cost of
any intersection improvements approved by the City. If the engineer's estimate for such
cost is more than $900,000.00,or the City request it, then in lieu of constructing such
intersection improvements the Developer shall pay to the City the sum of $900,000.00
at the time of recording the first Final Plat less costs incurred by Developer for
engineering and design of the intersection improvements. Upon such payment the
Developer shall have fully satisfied all of its obligations under this paragraph. The City
agrees that it shall utilize such funds only to make any improvements to the intersections
of 27' Street and Midland Avenue, 27' Street and South Grand or Midland Avenue and
Four Mile Road that it deems appropriate, and for other transportation infrastructure
improvements identified and approved by the City in Resolution No. 2006-20 as it may
be amended prior to the first Final Plat. In the event that the actual cost to the Developer
for intersection improvements made by the Developer is less than $900,000.00, then in
addition to making such improvements Developer shall pay to the City the difference
between $900,000.00 and such actual costs. Such payment shall be made no later than
sixty (60) days after completion of construction of intersection improvements and the
amount thereof shall be based upon a certification of such actual costs by the Developer's
engineer.
c. Parkland Fees. Developer agrees to pay a parkland fee for each Lot
approved for the Property as set forth in this paragraph. At the time of recording each
Final Plat for development on the Property Developer shall pay to the City fifty percent
(50%) of a parkland fee for all of the Lots created by such Final Plat, calculated by
multiplying the per lot parkland improvement fee in the amount of $1,875.0 times the
number of lots on such Final Plat. The second fifty percent (50 %) of parkland
improvement fees due for all Lots created by a Final Plat shall be paid by the Developer
at the time the Developer conveys fifty percent (50 %) of the lots that are created by such
Final Plat. The Developer shall maintain such records of lot transfers as may be
required by the City's Community Development Department to assure that all parkland
improvement fees are paid as required by this paragraph. Developer shall have the right
to pre -pay all or a portion of the parkland improvement fees at any time.

d. Miscellaneous. Developer agrees to pay all actual costs incurred for notice
publication, recording fees, and similar reasonable administrative charges related to the
annexation or this Agreement.
7. Development Plan. The parties agree and acknowledge that Petitioners will
undergo subdivision approval process under the County Land Use Code. Upon approval of each
subdivision Final Plat by Garfield County, Developer shall provide the City with both a mylar
copy and AutoCad drawing file of the subdivision Final Plat.
8. Sewer Service. The City agrees to provide sewer service to the number of lots
in the Reserve at Elk Meadows subdivision approved by Garfield County, not to exceed 200,
plus homeowners association offices and other common facilities. The City shall make sewer
service available to, and reserve sufficient capacity for all lots for which system improvement
fees have been paid or for which Developer has guaranteed future payment by providing a letter
of credit from a commercial lending institution doing business in the State of Colorado or other
form of security acceptable to City Staff.
9. Construction of Sewer Line Extension. The parties acknowledge and agree that
construction of a sewer main line extension completed to enable the City to provide sewer
service to the Property as contemplated by this Agreement as been completed in accordance with
the following: Pre -Annexation Agreement, Springridge II Annexation with the City of
Glenwood Springs, Colorado dated July 25, 2001, as amended by First Amendment dated
February 17, 2003, Second Amendment dated June 10, 2003, and Third Amendment dated June
17, 2004 (collectively, the "Springridge Pre -Annexation Agreement"). As required by the
Springridge Pre -Annexation Agreement, the completed line has the capacity necessary to provide
service to the Property as set forth in this Agreement.
10. Ownership and Maintenance. Subject to the satisfaction of all conditions
precedent contained in this Agreement, the parties agree as follows:
a. Internal Service Lines and Facilities. Developer or its successors shall
own and maintain all sewer lines within the boundaries of the Property in perpetuity;
provided, the parties agree and acknowledge that Developer intends to assign such
interests and duties to a homeowners' association.
b. Main Line Extension. Developer or its successors shall own and maintain
the sewer main line extension and related easements in connection with the developer
identified in the Springridge Pre -Annexation Agreement until the conveyance described
in this Subparagraph. Developer shall convey whatever interest it has in the easements
by quit claim deed and shall execute a bill of sale for the personal property comprising
the sewer main line extension at such time as (i) the City agrees to assume ownership and
control; or (ii) the new regional plant comes online and the operator agrees to assume

ownership and control, whichever first occurs. Maintenance responsibilities shall include
reasonable odor control as necessary. Developer may assign these rights and duties to
a homeowners' association.
11. Cost Recovery. The Springridge II Pre -Annexation Agreement provides for
certain cost recovery for the sewer line extension to the developer of Springridge. Developer
will pay such cost recovery to the developer of Springridge in accordance with the applicable
provisions of the Springridge II Pre -Annexation Agreement, or in accordance with a separate
agreement with the developer of Springridge which would be subject to the review and approval
of the City.
12. Service Fees. The City shall be entitled to charge reasonable monthly service fees
for sewer service within the Property. Developer agrees to meter the amount of sewage
discharged into the sewer main line extension from The Reserve at Elk Meadows and to make
such data available to the City.
13. Unforseen Costs. Developer agrees to indemnify, defend and hold the City
harmless against any costs or liabilities arising out of and directly connected with this
Agreement; provided, however, that in the event of litigation the City agrees to cooperate with
Developer in the defense of any claim and not to refuse reasonable settlement opportunities;
further provided that Developer shall have the right to retain counsel of their choosing to comply
with this Paragraph, or the City may utilize its own counsel at its own expense.
14. City Staff. Developer agrees pay a one time non-refundable fee of $10,000 to
reimburse the City for all of its reasonable expenses for paid staff and consultants relating to the
negotiation, drafting, and execution of this Agreement to be paid within sixty (60) days of
execution of this Agreement.
15. Provisions Exclusive. The City and Petitioners agree and acknowledge that this
Agreement contains all requirements of the Petitioners concerning the provision of sewer service
to the Property, parkland dedications, transportation impact fees, and other matters expressly
addressed under this Agreement. No additional substantive requirements shall be imposed upon
Petitioners with regard to the matters addressed herein.
16. Zoning and Subdivision. Upon annexation, the Property shall be zoned with a
City zone district classification that is no less restrictive than the County zoning in effect as of
the time of Final Plat approval by Garfield County and that permits subdivision of the nature
described herein. If such zoning is not effected, the parties agree that the Property may be de -
annexed in accordance with Paragraph 18, below.
17. De -annexation. The parties agree and stipulate that the express provisions of this
Agreement are a material consideration of the agreement of Petitioners to annex the Property

to the City. Therefore, in the event the City fails to perform under this terms of this Agreement
as stated, the parties stipulate and agree that, pursuant to C.R.S. § 31-12-501, it shall be in the
best interest of the City that the Property be disconnected from the City. In such event, the City
agrees to enact an ordinance effecting such disconnection and will speedily act upon any
application for disconnection submitted by Petitioners. The City further agrees and
acknowledges that such disconnection is authorized by the Charter of the City of Glenwood
Springs and the applicable ordinances enacted by the City and that it shall take no action
amending either its Charter or ordinances that would preclude such disconnection.
18. Election. Petitioners agree that they are voluntarily entering into this Agreement.
Petitioners represent and submit that, to the extent an election would be required pursuant to
C.R.S. § 31-12-112, as amended, to approve the annexation or to impose terms and conditions
upon the Property to be annexed, Developer and Bershenyi own 100 percent of the Property to
be annexed and would vote to approve the annexation and all terms and conditions as set forth
herein. Thus, any election would necessarily result in a majority of the electors' approval to the
annexation and the terms and conditions herein.
19. Assignment. The parties agree and acknowledge that the rights and obligations
of the Petitioners under this Agreement may be assigned by the Petitioners to persons or entities
acquiring title to the Property without the prior consent of the City; provided, however, such
assignee agrees in writing to be bound by the terms and conditions of this Agreement, and the
Petitioners shall give notice to the City of any such conveyance, together with the assignee's
written agreement to be bound by the terms and conditions of this Agreement.
20. Final Agreement. This Agreement supersedes all prior written and oral
agreements and representations of the parties and is the total integrated agreement between the
City and the Petitioners.
21. Modifications. This Agreement shall not be amended except by subsequent
written agreement between the City and the Petitioners.
22. No Representations. It is expressly understood that the City cannot legally be
bound by the representations of any of its officers or agents or their designees except in
accordance with the City Code and the laws of the State of Colorado. Petitioners, when dealing
with the City, act at their own risk as to any representation or undertaking by the City officers
agents or their designees that is subsequently held unlawful by a court of law with competent
jurisdiction.
23. Captions. The captions and paragraph headings in this Agreement are inserted
only for convenience and in no way define, limit, or prescribe the scope or intent of this
Agreement or any part thereof.

24. Binding Effect. This Agreement shall be binding upon and inure to the benefit
of the parties hereto and their respective heirs, successors, and assigns.
25. Severability. If any provision(s) of this Agreement shall be determined to be void
or invalid by a court of competent jurisdiction, then such determination shall not affect any other
provision hereof, all of which other provisions shall remain in full force and effect. It is the
intention of the parties hereto that, if any provision of this Agreement is capable of two
constructions, one of which would render the provision void, and the other of which would
render the provision valid, then the provision shall have the meaning that renders it valid.
26. Governing Law. This Agreement shall be construed, interpreted, and enforced
in accordance with the laws of the State of Colorado. Should any party institute suit or action
for enforcement of any obligation contained herein, it is agreed that the venue of such suit or
action shall be in Garfield County, Colorado.
27. Attorneys' Fees: Survival. Should this Agreement become the subject of litigation
between the City and Petitioners (or any of them), the prevailing party shall be entitled to
recovery of all actual costs in connection therewith, including but not limited to attorneys' fees
and expert witness fees. All rights concerning remedies and/or attorneys' fees shall survive any
termination of this Agreement.
28. Authority. Each person signing this Agreement represents and warrants that he
or she is fully authorized to enter into and execute this Agreement and to bind the party on
whose behalf he or she purports to sign to the terms and conditions hereof.
29. Counterparts. This Agreement may be executed in counterparts, each of which
shall be deemed an original, and all of which, when taken together, shall be deemed one and the
same instrument. This Agreement may be executed by facsimile signature; provided that the
original signature page shall be transmitted to the other party by regular mail within ten (10)
days of such facsimile signature.
30. Notice. All notices required under this Agreement shall be in writing and shall
be sent by hand -delivery, facsimile transmission, or registered or certified mail, return receipt
requested, postage pre -paid, to the addresses of the parties set forth herein. All notices by hand
delivery or facsimile shall be effective upon actual receipt. All notices by mail shall be
considered effective seventy-two (72) hours after deposit in the United States Mail with the
proper address as set forth below. Either party by notice so given may change to address to
which future notices may be sent.

Dear Ron:
This letter represents the findings for potable water, sanitary sewer, irrigation, electric, cable television, gas
and telephone to service the Reserve at Elk Meadows P.U.D. Reserve at Elk Meadows is located in
Garfield County, about 11/2 miles South of Glenwood Springs, Colorado. The proposed development lies
along County Road 117 (Four Mile Road). The project is divided by Four Mile Road.
The planned development consists of 189 single-family lots and a community facility (preservation of
some existing structures). The lots range approximately one quarter acre in size.
Potable Water System
A schematic design of the proposed water system for the Reserve at Elk Meadows P.U.D. is shown on the
enclosed drawing referred to as Schematic Water Plan.
i he potable water source would consist of a series of wells located near Four Mile Road and Four Mile
Creek, which would be pumped to a treatment facility and then delivered to a storage tank(s), which then
gravity pressurizes the system. Refer to Zancanella and Associates' report for legal determination of water
rights, well permits, pump test of wells and water use summary for the Reserve at Elk Meadows.
The project would be served by a water main, which would extend throughout the development. The
system would be designed to meet the Colorado Department of Health (CDPHE) regulations for a
community water system, and provide a reliable water system adequate to meet fire flow requirements and
in-house needs of the subdivision property owners.
The system design is based upon delivering water at a minimum of 40 psi and a maximum of 170 psi to
each lot. Water system capacity is based upon single-family residences (unit) on an average daily use of
100 gallon per person, with 4.5 persons per unit, and a maximum daily use of 900 gpd per unit (2.0 peak
factor). Total usage for the proposed system is summarized as being 199 units, which includes a water
service to the community facility, x 4.5 x 100 equals an Average Daily Demand of 89,550 gallons, or a
maximum demand of 89,550 x 2.0 equals 179,100 gallons. The proposed fire flow is 1,500 gal/min for a
30 -minute duration, or the equivalent of 45,000 gallons of fire storage. See Wildfire Mitigation Plan
prepared by Anchor Point Group.
The project site conditions have a substantial vertical grade change from the lowest lot to the highest lot.
The elevation is approximately 6070 feet at the low lot and 6730 feet at the high lot, for a difference of 660
feet. I will refer to the project as generally three separate development areas as follows: East Meadow,
.outh Meadow and Upper Meadow. East Meadow refers to development East of Four Mile Road. South

Meadow refers to development West of Four Mile Road and South of the Upper Meadow. Upper Meadow
refers to the highest portion of the project and north of the South Meadow. Because of the grade changes
across the project, the water system would have two separate pressure zones. The lower pressure zone
would supply water to the East Meadow and the South Meadow. The upper pressure zone would supply
water to the Upper Meadow.
Lower Pressure Zone
The lower pressure zone serves the East Meadow and the South Meadow for a total unit count of 142.
This system would be made up of the following components. Wells located along the Four Mile Creek
area would then have water delivered to the treatment facility, and then delivered to the lower storage tank,
and next the tank would gravity serve the water mains, which delivers the water to each unit and the fire
hydrants. The lower tank is anticipated to be 126,900 gallons or approximately 130,000 gallons. The fire
hydrants would be placed at approximately 1,000 -foot spacings.
Upper Pressure Zone
The upper pressure zone serves the Upper Meadow for a total unit count of 48. The system would be
made up of the following components. A pump station would be required at the lower tank, which would
deliver approximately 60 gallons per minute of water to the upper tank, and then the tank would gravity
serve the water mains, which delivers the water to each unit and the fire hydrants. The upper tank is
anticipated to be 88,200 gallons or approximately 90,000 gallons. The fire hydrants would be placed at
approximately 1,000 -foot spacings.
Also, a pressure reducing valve (PRV) would need to be installed just above the lower tank if the lower
pressure zone is to be connected to the upper pressure zone.
Sanitary Sewer System
An existing 10" gravity sanitary sewer main exists in Four Mile Road. The 10" sewer main was sized to
serve the Reserve at Elk Meadows, and an 8" sewer main was stubbed to the west that would serve the
South Meadow and the Upper Meadow. Also, an 8" sewer main was stubbed to the east, which would
serve the East Meadow. The sanitary sewer system would be designed and constructed per the City of
Glenwood Springs' specifications.
The South Meadow and the Upper Meadow effluent would be delivered by gravity sewer services and
mains to the existing 10" main. The East Meadow is lower in grade than the existing 8" sewer main stub
and the 10" sewer main in Four Mile Road. The East Meadow effluent would be delivered by gravity
sewer services and mains to two separate sewer lift stations, which then pump the effluent to the existing
sanitary sewer system. A CDPHE site application would be required for both lift stations prior to
construction.

Electric
All proposed electric lines would be placed in underground conduit. The electric service would be
supplied by the City of Glenwood Springs. The City's electric system exists along the Four Mile Road
corridor, and would need to be extended throughout the project along the proposed road system.
Telephone
All proposed telephone lines would be placed in the same trench with the electric lines. Telephone
services would be provided by Qwest. We anticipated that telephone service would be extended from the
existing infrastructure along Four Mile Road.
Cable TV
All proposed Cable TV lines would be placed in the same trench with the electric and telephone lines. The
Cable TV service would be provided by Comcast. We anticipate that Cable TV service would be extended
from the existing infrastructure along Four Mile Road.
Gas
Gas service would be extended from the existing gas main along Four Mile Road. The gas service would
be provided by Kinder Morgan.
Irrigation
The water source for irrigation would consist of water from Four Mile Creek that is delivered by Four Mile
Ditch. Refer to Zancanella and Associates' report for legal determination of water rights.
Four Mile Ditch would deliver the water to an on-site irrigation pond. At the pond, an irrigation pump
station would be installed to deliver water to the lots within the East Meadow and South Meadow and the
irrigated open spaces within the East Meadow and South Meadow.
The pump station would also deliver irrigation water to a tank above the Upper Meadow. The irrigation
tank would then gravity serve the lots and open space within the Upper Meadow. Refer to the enclosed
sheet for schematic irrigation plan.

Based on our field investigation, preliminary design findings and design meetings, we foresee no problems
with the utility services to serve the Reserve at Elk Meadows. Existing infrastructure is located within the
Four Mile Road corridor near the proposed development. The utility infrastructure improvements would
