General Clause 1.Work description The work described on contract i nclude and exclude the foll owing: a) i nclude: - backfil l with the excavated material - leveli ng of the ground fol lowing the backfil l - cl ean up of work area at the end of each work day ( unless heavy rai n ) - Underground util ity identificati on call at 811 b) exclude - removal of contaminated materi al or others as, oversize roc ks, concrete and underground structures - landscaping damaged by work - Spri nkler systems damaged by work - Private underground facil ity l ocator fees - Removal of exc ess material after backfill c) unidentified underground facili ti es - The owner is responsible to have any underground fac ili ties that are not Identified by 811 to be identified by a pri vate loc ator at hi s own expense. - Aspen Foundation Repairs LLC acc ept no responsibi lity on any damage on any unidentified fac ili ties or any direct damage to the house or equipments related to the damage done to any utili ti es not pri orl y i dentified. 2.Plans and estimate All the pl ans, esti mates, work des cription or extras, si gned by the cl ient and a representative of Page 10 of 13 Aspen Foundati on Repairs LLC will be an integral part of this contract. The cli ent mus t provide an engineering plan and assume the cos t when necessary unless it i s part of the contract for Aspen Foundation Repai rs to provide the pl an. 3.Permits and licenses The cli ent has the responsibili ty to make sure that the work to be done in the work description i s in conformity to the munici pal law, county, and state, and to obtain, if needed, the authori zation of the munici pali ty or any other c ompetent authori ty unless it is part of the contract for As pen Foundati on Repairs to provi de the permit. 4.Buil ding site facilities The cli ent mus t provide at all ti mes access to the site, access to water and electrici ty for the duration of the work. 5.Codes and regulations The contractor wi ll perform the work in a reasonable way according to the codes and regulati ons in force. 6.Material substitution In the event that some materi al to be us ed in the execution of the work should not be avai lable in the scheduled time or in satisfactory condition, the contractor may substitute with a material of same quality and val ue with 48 hours noti ce. The cli ent will have the choi ce to approve or not. In that case, the client accepts ahead of ti me, on one hand, al l delay i n the delivery of the work without right or rec ours e against the contractor and on the other hand, ac cept all cos t increase of the material concerned by the non-substitution. 7.Insurance The contractor has adequate public li ability i nsuranc e. 8.Fi re insuranc e The cli ent has the responsibili ty to have the contractor name added to thei r fire i nsurance pol icy in order that any l oss to the contractor in the event of a fire, be payable with appl icable interest. 9.Work modific ations The cli ent will be abl e to ask for modifications to the present des cription of the work l isted, under the condition that a written agreement oc curs between both parties concerning the c ost and details associated with those modificati ons. Page 11 of 13 10.Worksite maintenanc e The contractor wi ll keep reasonabl y c lean the work si te during the work period. At the end of the work period, the contractor wi ll remove al l c onstruction material and cl ean the work area excl uding the ‘1b’ cl ause. 11. Public ity The cli ent authorizes As pen Foundation Repairs LLC to instal l publi city posters on their property. 12.Delay i n the execution of work In the execution of his work, the contrac tor wil l not be made responsible for del ays c aused by the client or caused beyond control . In the i nterpretation of the c ontract (cause beyond control) inc ludes all cli mati c c ondi ti ons (rain and others) and the impossi bili ty to hire quali fied manpower at a reasonable cost. 13.Contractor default The cli ent will be abl e to resign the contractor should the contractor refuse or neglect to respect any of the contract cl auses after the expiration of a written warning giving the contrac tor 7 days to conform to the present conditi on of the contrac t. The c lient wi ll al so be able to claim to the contrac tor the overpaid amount of paid fees exceeding the value of the work done by the contrac tor, all without prej udice or recourse. In the event that the cl ient c ancels the contract without serious reason, the contractor will have the ri ght to 20% of the value of the total c ontract on top of the value of the work already done and the materi al at the time of the canc el lation. 14.Cli ent default The contractor could canc el the c ontract if the client refuses or neglects to apply any clauses in their responsibili ty according to thi s present contract, 7 days after a written warning to conform to the present contract. The contractor wi ll be able to keep all the given payments already rec ei ved from the c lient as compensation without damage or any other recourse. The contractor could as well put the work on hold in case of the cli ent default after informing him of the work cessati on. The cli ent will then have the responsi bility of the work and worksite and will take c harge of all ri sk and l osses. 15.Unforeseen work The cli ent will assume the extra c ost caused by unfores een work not mentioned i n the present contrac t, that has bec ome necessary, as long as the work, the cos t and additional time been approved ahead of time by the client. Page 12 of 13 16.Work and encroachment In the eventuality that the work should take place i n part on the property line of the neighbor, the client will obtain written permiss ion from the owner of the land before the beginning date of the work schedul e. In that case, the damages that could resul t in the neighbor’s bui ldings wil l be on charge of the client at the exception of the contractor negligence. 17.Transfer of cl ai m The cli ent yi el d and transport to Aspen Foundati on Repairs LLC all loans, subventions or other financings, obtai ned for the work accomplished for this contract, for pavement in part or i n ful l of the c ost of the contrac t as well as all extras attached to the c ontract. The presentation of the c ontract to the company moneylender will consis t of val uable transport in favor of Aspen Foundation Repairs LLC. 18.Delay of payment The cli ent consent to pay to Aspen Foundation Repai rs LLC a 15 % addi tional if the remaining amount is not paid at the same day of the delivery of the work plus an addi tional monthl y interest of two percent (2%), on the annual rate of twenty-four perc ent (24%), of unpai d bill s. The cli ent consent to pay to Aspen Foundation Repai rs LLC all the legal fees and expenses for the recovery of unpai d bills. 19.Conflict resolution In the event of c onfli ct or disagreement between the two party ’s, client and c ontractor, the cl ient agrees to choose the way of conflict resolution only through a mediator that i s approved by both party ’s, the client and contractor. The cli ent refuses their rights to bring to court As pen Foundation Repairs LLC or any of its representatives or to us e any other means than a mediator. 20.Responsibility The contractor can not be held responsi ble for damages caused throughout hi s di ligent work execution, notably but wi thout restric ti ng of all damages c aused to landsc aping, trees, fences, asphalt, patio, balc ony, slabs or exterior structures or the bui lding. The contractor can not be held responsi ble for the damages caus ed to the building or personal goods of the c lient at the exception of negligenc e from the contrac tor i n the execution of his work. The cli ent has the obl igation to allow access to the worksite and to remove all objects that they want to protect, inc luding all exterior structures includi ng exterior sheds. Page 13 of 13 21.Warranty Aspen Foundati on Repairs LLC offers a five (5) year warranty on water infiltration on the treated area of the buil ding. Aspen Foundati on Repairs LLC will fix any water infiltration oc curring in the previ ously treated zone without any fees for the cl ient i f maintenance is nec es sary. Although we certify the quality of our work, we c an not give an overall warranty on the state of the entire building. In the event of water i nfil trati on, the c lient wi ll take all the necessary precaution to protect his personal bel ongings and without delay inform Aspen Foundation Repairs LLC. Aspen Foundati on Repairs LLC does not acc ept responsibility of water infiltration c aused by a natural dis as ter suc h as earthquake, tornado or flood from streams, lakes and other that overflow. The warranty on waterproofing can not be applied to damages caused by a struc tural movement of the buil ding, or by water infiltration comi ng through the concrete s lab from hydrostatic pressure or other. Aspen Foundati on Repairs LLC offers a warranty on hi s structural work accomplis hed for the client for a period of five (5) years foll owi ng contract completion. In the event that As pen Foundation Repairs LLC woul d have to execute test and expertis e following a warranty call and that i t turns out that our work was not defic ient, the reasonable expertis e fees will be at the cl ient c harges.
