Drawer 790, Glenwood Springs, Colorado 81602 ("CR Pool'). WITNESSETH WHEREAS: Donald J. Hangs, as' lessor, and Williams Production RMT Company, as lessee, ("Williams") entered into that certain Oil and Gas Lease dated April 26, 2002 (the "Lease"), recorded June 27, 2002 at Reception No. 6060022 in Book 1365 at Page 523, Garfield County, Colorado Real Property Records, a copy of which is attached hereto as Exhibit "A" and incorporated herein. WHEREAS: Donald J. Hangs subsequently transferred his interest to Donald J. Hangs and Donald J. Hangs, Trustee under the Donald J. Hangs Charitable Remainder Unitrust (the "Trust"), dated May 9, 2002 (collectively "Hangs"). WHEREAS: Williams subsequently transferred its interest to Antero Resources Piceance Corporation ("Antero") pursuant to that certain Assignment, Bill of Sale and Conveyance from Williams to Antes dated effective January 1, 2005 and recorded on March 7, 2005 in Book 1668 beginning at Page 34, Garfield County, Colorado Real Property Records, WHEREAS: The Trust subsequently conveyed its interest as the lessor of the Lease and as owner ofthe surface estate to Gypsum Ranch pursuant to that certain Assignment dated September 6, 2005, recorded at Reception No. 681783 in Book 1724 at Page 437, Garfield County, Colorado Real Property Records. WHEREAS: Gypsum Ranch subsequently conveyed its interest as the lessor of the Lease to CR Pool, LLC, pursuant to that certain Assignment dated effective July 1, 2006, recorded at Reception No. 708910 in Book 1852 at Page 792, Garfield County, Colorado Real Property Records. WHEREAS: Antero subsequently transferred its interest to Ursa Piceance LLC ("Ursa") pursuant to that certain Assignment and Bill of Sale from Antero to Ursa dated effective October 1, 2012, and recorded on January 14, 2013 at Reception No. 829916, Garfield County, Colorado Real Property Records. 932597 03/04/2020 04:15:34 PM Page 2 of 10 Jean Alberico, Garfield County, Colorado Rec Fee: $58.00 Doc Fee: $0.00 eRecorded WHEREAS: Gypsum Ranch desires to sell, subdivide, or partition all or a part of the lands covered by the Lease (the "Lands"), and has requested a partial waiver of surface use of certain portions of the Lands subject to the Lease. A waiver is agreeable to Ursa. AGREEMENT NOW. THEREFORE: In consideration of Ten and 00/100 DOLLARS ($10.00) and other good and valuable consideration in hand paid or equivalent, receipt of which is hereby acknowledged, Ursa, as successor lessee, hereby waives the right to use the surface of the lands as described and depicted on Exhibit "B", attached hereto and incorporated herein, for the purposes of exploration and development of oil, gas, and minerals on the Lease. This Agreement relates solely to the surface use and does not in any other way affect or diminish UrWs rights, interests and estate under the Lease. Further, this waiver does not extend or pertain to any other surface of the Lands subject to the Lease, and Ursa shall continue to enjoy all rights and interests with respect to oil, gas, and other minerals in and under the Lands, together with the surface use of all the Lands that are not the subject of this waiver, according to the Lease. It is understood and agreed that this partial waiver of the surface use in and to the portion of the Lands described in Exhibit "B" shall in no wise release or diminish the rights of Ursa, otherwise granted and covered by the Lease and Ursa specifically reserves the right to drill, mine for, and extract minerals from beneath the surface of that portion of the Lands that are the subject of this Waiver, by directional drilling or other methods of operation on adjoining or other Lands in the vicinity. Specifically, it is understood and agreed that Ursa shall not lose access to any gas and/or water lines that run within the parcel boundary. Ursa fiuther reserves the right to use any of the streets and alleyways that may be included in any subdivision of the Lands that is the subject of this waiver, for the purpose of ingress and egress, and for the purpose of laying, constructing, maintaining, and repairing pipelines, electrical transmission lines which may be necessary or required by Ursa in its operation of the Lease. CR Fool, by its execution of this Agreement hereby stipulates that the Lease is valid, subsisting, and in full force and effect, ratifying all of its provisions. The provisions of this Agreement shall inure to and be binding on each of the parties and their respective heirs, successors, assigns, and legal representatives.
