A. Grantor j-s the owner of certaj-n adjudj-cated lrrat.er
rights and the recipient of a rvell permi-t for the construction of
a well on Grantor's property capable of providing in--house water
for Lhree single-family residences, not to exceed a to'ta.L well
flow of 15 gallons per mJ-nute. Grantor does herehry grant t.o
Grantee the right to utilize not more than 5 gallons per.mii.ute
or I/Z of the water derived from said we1l, whichever is less,
for in-house water uses to serve one s.ingle-far.ri1y dwelling co be
Iocated on Lot 2. Said g:ant and right is subject to Grantee's
compliance with the terms and conditions of this Agreement and
may be revoked by Grantor upon a breach hereof. 'Jntil such time
as said well is constructed, Grantor shall keep the perrnit for
said well ca.':rent.
B. The parties agree to share equally all costs ;rnd
expenses of constructing the weIl. The location of the we.]-l
shall- be determined by Grantor provided, however, said l.ocation
shall not unreasonably interfere with any building site sel.ected
by Grantee. The localion of the well sha11 be cletermined by
Grantor primarily baseC upon the likeli-hood of finding water at
said location and other corrsi-deration such as topography and
access to the well site. The well shal1 be constructed upon the
request of either party hereto as more fuIly set forth itt the
following sections of this Agreement which describe the mechanism
for the Implementation of Iniprovements. The parties agree that

the costs to be equally shared under this Ag'reement include
constrircting the vlell- and the development of any access necessary
foi the construction of said well. The installation of pumps ancl
other eguipment to draw water to the rvel]head, electrical
serviCe, water 1ines, and the f uture mailtterrance and repair of
said vrel1 sha1l be shared prora'La as described hereinafter.
Ivlaintenance and Repair of !'fe11.Each party shall
bear the responsibility for attending to the maintenancb, repairs
and replacement of the well and its related improvements. This
responsibility must be shared by all parties to ensure proper
maintenance during the absence of one or more of the par:ties.
In the event of an emergency requiri-ng imrnediate action by either
party hereto in order to protect the water weli, its related
improvements, the property of either party andlor the health and
safety of either party hereto, each party hereby grants to the
other the riqht to undertake such repairs as may be necessary to

cost set f,orth in this paragraph C on a prorata basis determined
by the number of users of the well at the time such repairs are
necessitated. The payment requirements and penalties tor

D. Easements. The parties hereto hereby agree to
convey to each other reciprocal easements for the location of the
well and electrical s'ervice as determined by Grantor and

varied if, in the opinion of Grantor, a changecl alignment will
provide a more desirable roadway giving consideration to costs of
said alignment provided, however, tro alignment shall unreasonably
interfere with Grantee's location of a building site on Granteers

C. Bgpgn!_gl_Costg. The parties agree to pay for all
costs as they alre i'ncurred and in the ratios previousll, set forth
in this :\greement; provided, hor,./ever.. if the costs are incurred
upon the demand of only one party hereto (Demanding Party) and
the other pirt-y (Non-Demanding Party) is unable or unwilling to
pay any such costs when they are incurred, the Demanding Party
may advance all funds necessary for the payment of said --osts.
Tn such event the Non-Demanding Party shall be obligate,l to repay
his share of all such sums that are advanced not later than 60
days from the date said costs are paid by the Demanrllng Party.
Such repayment shall be made together with interest on all sums
at the rare of 2Z per annum over the prime lending rate of the
Chase Manhattan Bank at its principal offiee in New York on the
date said sums were advanced or at the lending rate actually paid
by t.he Demanding Party for such costs if the same are financed,
whichever i-s greater, Said obligation to repay shall be
evi-dence<l by a promissory note executed by the Non-Demancling
Party to the Demandi-ng Party or any lenrler designated by the
Demanding Party and shall provide for default interest at the
rate of 3? per annum over the rate of inte::est on the note and
reasonable attorneysr fees in the event of any action necessary
to enforce the terms of said note. If successive or numerous
ad.vances are ma.de by the Denranding Party, the Non-Demanding Party
shall- be required to execute successive promissory notes as may
be appropr:iate und.er the c j-rcumstances. In ad,dition to the
foregoing, the Demanding Party shaIl have a right to place a lien

terms of this provision shall be in addition to all other rights
and remedies that cranlor may have. Nothing herein shall be
deemeC to provide Grantee with any right of set-off ag'ainst any
s[]:ls owing to Grantor under a purchase money promissory note far
Granteets property.
E" Costs to be Shared Eq ually and Costs to be Shared
Pro Rata. Under the terms of this Agreement, it 1s the parties'
intention that the original cosLs of constructing and installing
the welL and access road to the wellhead shal] be shared equally
between Grantor and Grantee. Said costs shall be due and payable
accord.j-ng to the previous sections of this Agreement. At such
time as G::antor no longer owns Lot 1 and Lot 3, upon the sale of
Grantor's lasi remaining lot, Grantor shalI reimburse to Grantee
an additional 7/6 of the cost incurred by the parties in the
original construction of said welI. In the event Grantor and
Grantee const.ruct the Primary Alignment, t-he costs of said sha1l
be shared equally by Grantor and Grantee. If said Primary
Alignment has been extended to l,ot 3 , upon the sale of Lot 3,
Grantor shall rej-mburse Grantee with an :rdC.itional- 1/ A of the
cost of said Primary Alignment.

responsj-bility c\r liability of any individual party hereto.
B. Attorney,s' Fees. In the event of any lltigation
necessary to enforce any provision of this Agreement, either
party hereto taal' obtain injunctivc relief to enforce the
obligations of any other party hereto and, in addition to any
other award that a court may grant, the prevailing party shall be
entitled to reasonabfe attorneysr fees.
C. Binding Effect.This Agreement shall be binding
upon and inure to the benefit of the heirs, successors and
assigns of the parties hereto
D. Covenant to Run. All terms of this Agreement shal1
l-: deemed covenants running with the land comprised of Grantorls
oroperty and Grantee's property describecl on Exhibits A and B
attached hereto and j-neorpor-ated herein by this reference and
sha1l benefit and liurden each parcel of property, the parties
heretO, the:r heirs, successors and assigns all, according to the
terms of this Agreement.
E. All notices, demands, and communications hereunder shal1
be served or given to the respective parties at thbir respective
addresses set forth hereinafter. Any notice, d.emand or
communication shall be gi-ven by personal delivery or certified
maj-l, pos-tage prepaid thereon, and unless sooner, be deemed
received five days after t-he date of mailing

The soils may have a relativel-y slow percolation rate' but
they should be suitable for leachfields to be used in waste
ilisposal. The access road, as planned, should enter from the
southwestern corner, proceed due north to the rear of the property,
and turn and proceed due east across the back of the parcelt
thereby servicing the three potential lots, which will aIl have
approximately equal road frontage. This access will involve no
road cut, and should have a very gentle gradiant in all portions
of the parcel. Wat,er for the proposed lots is to be obtained
through a water augmentation plan from another part of the Cattle
Creek drainage. The probabiJ-ity of obtalning waLer from the
well to be dritled ie high due to the existence of a good quality
producing well on the adjoining property having similar geologic
characteristics .
fn conclusion, I feel that this is an excellent parcel to
subdivide into three approximately equal lots, provided the
two considerations previously referred to are followed. Both
the County Sanitarian, and an independent soils engineering
firm should be consulted for their input concerning leachfield
development and site specific foundation designs for potentiaL
buildings on the three to-be-divided lots. If you have any
questions, please do not hesitate to contact me.
