CONSENT OF MEMBERS
WINTER PASTT]RE WATER ASSOCIATION
TO ACTION TAKEN WITHOUT A MEETING
PursuanttotheBylawsoftheAssociation,andpursuanttotheprovisionsof C.R.S. S7-127-107,
the undersigned, being all ofthe Members ofthe Winter Pasture Water Association ("Association") take
the following action and consent to the adoption of the following resolutions with the same force and
effect as the unanimous vote of the Members at a meeting scheduled and conducted for the purpose of
taking such action:
WHEREAS, the Association owns and operates the Winter Pasture Well ("We11") for the benefit
of Tracts 21,22,27 and28 in Section 36, Township 5 South, Range 92 West of the 6ft P.M. as shown
on the Antlers Orchard Development Company's Plat No. 1, recorded as Reception No. 37488 in the
Garfield County, Colorado records ("Tracts"); and
WHEREAS, pursuant to Section 3.2 of the Declaration of Shared Domestic Water System
recorded as ReceptionNo. 937944 ofthe Garfield County, Colorado records ("Declaration"), providing
water service from the Well to any additional residences or Accessory Dwelling Units ("ADUs") is
subject to approval by a majority of the Members of the Association; and
WHEREAS, the Members of the Association are desirous of adopting the following resolutions
by consent.
NOW, THEREFORE, BE IT RESOLVED:
1. Each of the Tracts currently served by the Well shall be entitled to water service from
the Well for the following pu{poses: (1) ordinary household putposes inside one (1) single family
dwelling and one (1) ADU; Q) fue protection; (3) the non-commercial watering of up to four (4)
animals; and (4) the inigation of up to 7,500 square feet of gardens and lawns.
2. Alexis Vega, in his capacity as President of the Association, is hereby authorized and
directed to pursue the necessary amendments to Well Permit No. 84079-F and the West Divide Water
Conservancy District Water Allotment Contract No. S191121WPWA(a) ("Allotment Contract") to
allow for the expanded use of the Well to include water service for an ADU on each Tract and to
execute and deliver any and all documents and instruments on behalf of the Association which he deems
appropriate to accomplish the same.
3. The Members hereby agreeto execute an amendmentto the Declarationexpanding water
service from the Well to provide for an ADU on each Tract and see that such amendment is properly
recorded in the Garfield County, Colorado records.
4. The Members hereby agree that all costs associated with accomplishing the foregoing
and the inueased charges associated with the Allotment Contract shall be shared equally among the
Tracts. The Members shall each deposit the sum of $750 with Goluba & Goluba PC upon executi,

hereof for legal fees and costs associated with amending the Declaration, Well Permit and Allotment
Contract. It is understood that these amounts do not include the increased charges associated with the
Allotment Contract.
