Land & Cattlt 'crust, whose address is 555 E, Durant, Ste- 4A, Asper, Colorado 81611 (coilecrively the
"Landowners"), and the Grand BegbackRoad Group, a Colorado nonprofit corporation, whose address is 504
W. Bleeker St, Aspen, CO 81611, (the "Group.:

is hereby acimowledgW, %be parries hereto do grant, caswey, ague, and Covenant as follows:
1.1. Landowners are owners of individual parcels of land (each a "Lot") described in Exhibit
A as follows:
1.1_1. Landowner, Tatnall L Hillman Revocable Trust, is owner of Lots 1-7 as further
described in Exhibit A
1.1.2. Landowner, Perry Park Land & Cattle Trust, is owner of Lot 8 as further
described in Exhibit A;

rcc+arded on October 10, 20W in the Garfield County peal property records atR4;Ggtion No. 776216 (the "Road
Fasctnent"L hereby grant. sell, and convey unto the Group, its saocrssors and Rssigtu, a nonexclusive road-
maimnance easement { YNfeinteoxnx Eascmeut"] over and through the: Read Easement for the purposes of
operating, iustalfm& mnstmctiag, mawaining, improving, and rep ring the access read and any underlying
utilities, and for such other ptrposes as dost:ribed in the Croup's Declarations recorded ou or about the date a
this Maintenance Easement's rxatding is the Garfield County teal property retards (the "Declarations" j, as
may be amended.
13. Landowners, as successors in interest to that certain Agreement to Exchange Real Properties and
Establish Access Easement recorded on January 8, 2020 in the Garfield County real property records at
Reception No. 930415, assign to the Group all road -maintenance obligations described in paragraph 5 of said
agreement-
1.4. In consideration for the grant of all rights and obligations herein, the Landowners shall be
members of the Group_
1.5. The Maintenance Easement granted and conveyed herein, and the rights conferred and the
obligations described herein, shall b!� appurtmuant to, and run with the Lots_ This Easement shall be binding
upon, and shall inure to tho bemlit of, the parties hereto and their respective heirs, assigns, successors, and
personal representatives.
1.6, This Maintenance Easement may be modified only by all record -title owners of the Lots. Any
amendment must be executed by all owners and recorded is the Garfield County real property records.
1.7. Any disputes arising under this Maintenance Easement shall be resolved in the manner specified
in the Declarations.
