Bleeker St., Aspen, CO 81611, and Perry Parlc Land & Cattle Trust, whose address is 555 E. Durant, Ste. 4A, Aspen, Colorado 81611 (collectively the "Landowners'), and the Grand Hogback Road Group, a Colorado nonprofit corporation, whose address is 504 W. Bleeker St, Aspen, CO 81611, (the "Group'.'): NOW THEREFORE, for and in good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the patties hereto do grant, convey, agree, and covenant as follows: 1.1. Landowners are owners of individual parcels of land (each a "Lot") described in Exhibit A as follows: I.I.I. Landowner, Tatuall L Hillman Revocable Trust, is owner of Lots 1-7 as further described in Exhibit A; 1.1.2. Landowner, Perry Park Land & Cattle Trust, is owner of Lot 8 as further described in Exhibit A, 1.2. - Landowners, as successors in interest to that certain 50-foot wide access easement described and recorded on October 10, 2009 in the Garfield County real property records at Reception No. 776216 (the "Road Easement"), hereby grant, sell, and convey unto the Group, its successors and assigns, a nonexclusive road - maintenance easement ("Maintenance Easement") over and through the Road Easement for the purposes of operating, installing, constructing, maintaining, improving, and repairing the access road and any underlying utilities, and for such. other purposes as described in the Group's Declarations recorded on or about the date of this Maintenance Easement's recording in the Garfield County real property records (the "Declarations"), as may be amended. 1.3. Landowners, as successors in interest to that certain Agreement to Exchange Real Properties and Establish Access Easement recorded on January 8, 2020 in the Garfield County real property records at Reception No. 9304I5, assign to the Group all road -maintenance obligations described in paragraph 5 of said agreement. 1.4. In consideration for the grant of all rights and obligations herein, the Landowners shall be members of the Group- I .S. The Maintenance Easement granted and conveyed herein, and the rights conferred and the obligations described herein, shall be appurtenant to, and run with the Lots. This Easement shall be binding upon, and shall inure to the benefit of, the parties hereto and their respective heirs, assigns, successors, and personal representatives. 1.6. This Maintenance Easement may be modified only by all record -title owners of the Lots. Any amendment must be executed by all owners and recorded in the Garfield County real property records. 1.7. Any disputes arising under this Maintenance Easement shall be resolved in the manner specified in the Declarations.
