THIS DEED, Made this -' day or June, 1998, between BFI WASTE SYSTEMS
OF NORTH AMERICA, INC., a Delaware corporation, successor to BROWNING-FERRIS
INDUSTRIES OF COLORADO, INC., a Colorado corporation, Grantor, and RIFLE SKI
CORPORATION, a Colorado corporation, whose legal address is P.O. Box 9, Rifle,
Colorado of the County of Garfield, State of Colorado, Grantee:
WITNESSETH, That the grantor for and in consideration of the sum of Ten Dollars
($10.00) and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents
does grant, bargain, sell, convoy and confirm, unto the Grantee, its successors and assigns
Forever, all the real property, together with improvements, if any, situate, lying and being
in the County of Garfield, State of Colorado described as follows:
A tract of land containing 3.80 acres situated in the SE'/4NE1/4 of Section 11,
Township 6 South, Range 93 West of the Sixth P.M, Garfield County,
Colorado, lying northerly of the northerly right of way line of State Highway
6 and 24 and being more particularly described as follows:
Beginning at a point on said northerly right of way line from which the East
1/4 corner of said Section 11 bears S.63°O1'54" W. 75.49 feet and N. 89243'29"
E. 1016.03 feet, said East '/< corner being a standard monument with an
aluminum cap, P.L.S. #9009; then along said northerly right of way line N.
63201'54" E. 339.81 feet; then departing said northerly right of way line N.
02224'45" E. 487.52 feet; then N. 90200'00" W. 245.19 feet; then S. 06200'21" W.
66.12 Feet; then 230.11 feet along the arc of a curve to tiie right having a
radius of 1000.00 feet, a central angle of 13211'04" and a chord which bears
S. 12235'53" W. 229.60 feet; then S. 19211'25" W. 118.86 feet; then 242.49 feet
along the arc of a curve to the left having a radius of 301.00 feet, a central
angle of 46009'31" and a chord which bears S. 03253'21" E. 235.99 feet; then
S. 26258'06" E. 4.12 feet to the point or beginning.
TOGETHER WITH any interest of the Seller in a non-exclusive right to
utilize Colorado State Highway Access Permit to State Highway 6 under
Colorado Department of Transportation Permit No. 394024 and any non-
exclusive historical access to the property from State Highway 6 and 24.

TOGETHER with an undivided one -fifth (1/5) interest in and to commercial water
well to be constructed under State or Colorado, Division of Water Resources, Permit No.
46041-F, and an easement to install, maintain and utilize a pipeline from the wellhead to
place of use. Such interest and easement is subject to the provisions of a joint use and
pump maintenance agreement between the Grantor and Grantee.
TOGETHER with a non-exclusive right to utilize a Colorado State Highway access
permit to State Highway 6 under Colorado Department or Transportation Permit No.
394024 and any amendments thereto, and together with non-exclusive historical access to
the property from State Highway 6 and 24.
TOGETHER with all afoul singular the hereditan:ei.ts a:ad appurtenances tlheretu
belonging, or in anywise appertaining, and the reversion and reversions, remainder and
romaindem milts, issues and profits thereof, and -all -the -estate, right, title, interest, claim -
and demand whatsoever of the Grantor, either in law or equity, of, in and to the above,
bargained premises, with the hereditaments and appurtenances.

TO HAVE AND TO HOLD the said premises above -bargained and described, with
the appurtenances, unto the Grantee, its successors and assigns forever. And the Grantor,
for itself, its successors and assigns, does covenant, grant, bargain, and agree to and with
the Giautee, its successors or assigns, that at the time of the enscaling and delivery of these
presents, Is well seized of the premises above conveyed, has good, sure, perfect, absolute and
indefeasible estate of inheritance, in law, In fee simple, and has good right, full power and
lawful authority to grant, bargain, sell and convey the same in manner and form as
aforesaid, and that the same are free and clear from all former and other grants, bargains,
sales, liens, taxes, assessments, encumbrances and restrictions of whatever kind or nature
soever, except subject to the 1998 general property taxes, patent reservations, prior mineral
reservations, restrictions, easements and rights of way of record.
The Grantor shall and will WARRANT AND FOREVER DEFEND the above -
bargained premises In the quiet and peaceable pnscesslon nF the Grantee, its successor and
assigns, against all and every person or persons lawfully claiming the whole or any part
thereof. The singular number include the plural, the plural the singular, and the use of any
gender shall- be -applicable -to -all- genders:
above.
