Additional Site Map (attached) has been updated to include location of leach field, utility lines, irrigation ditches, location of well, fence line, and parking area. Ditch on the center of the property labeled “Abandoned Unrecorded Ditch” has not been in use to the owner’s knowledge. Owner has inquired with neighbors and county. There is no formal documentation on the deed or otherwise. Green Electrical Solutions has reached out to the Division of Water Resources who also has no record of this ditch on file. 2. Waiver Justifications for 4-203-A, 4-203-D, 4-203-J, 4-203-J, 4-203-K, and 71101-B2. a. 4-203-A. Professional Qualifications i. GES requests waivers from sections 3, 4, 5, and 6 of article 4-203-A. Sections 1 and 2 are updated from original submission and detailed below. 1. Civil Engineer – GES has included preliminary plans of PV racking and structure that are signed and stamped by a Professional Engineering licensed in Colorado. Final stamped plans for the structure will be secured once permit is approved, in case any changes of the preliminary plans are requested from Garfield County 2. Surveyor – Updated Site plans (attached) have been signed off by a Professional Land Surveyor licensed in Colorado. 3. Geologist – Geological information was procured from the USDA Soil Data Explorer. Due to the small scope of this plan and limited soil disturbances with no hazard zones in the vicinity, GES is requesting waiver from any other Geologist requirements. 4. Wildlife Expert – Due to the relatively small size of this system compared to the field it is located in, GES is requesting a waiver for a wildlife impact report. There is adequate space surrounding the system for wildlife to continue along their natural routes. 5. Water Supply Expert – No water access will be needed for this project and no water resources will be affected by the construction of this system. Vegetation Management Professional – There will be limited soil disturbances from this project. Any areas impacted from foundational digging will be replanted with native grasses after completion of construction. b. 4-203-D. Site Plan i. GES only requests waiver from topographic requirements of article 4- 203-D-4. Location is relatively flat and topographic lines of 100ft intervals are included in landscape view (Appendix B – Figure 6). Updated Site Plan includes location of leach field, utility lines, irrigation ditches, location of well, fences, and parking area. GES is not proposing any easements or rights-of-way. c. 4-203-J. Development Agreement i. Proposed construction plan will be carried out in three weeks from time of commencement. Due to this timeline, GES requests waiver from section 4-203-J. d. 4-203-K. Improvements Agreement i. No public improvements are within the scope of this proposed PV system construction; therefore, section 4-203-K is not applicable to this project. e. 7-1101-B2 i. Proposed PV system is 24.48 kW DC. GES’s proposed plans are generally consistent with this section’s requirements even though they do not apply, as these requirements are listed for accessory systems only. 3. The driveway access point has been updated from our original application. The original land use application stated the driveway had a width of 10ft. This was for the dirt access point off of County Road 112 onto the property, which was later measured at 12’. GES now intends to use the existing driveway which has an entrance width of 19’ 8” that narrows down to 12’. The maximum slope of the driveway up until the parking area is 9 degrees. Figures 1-4 below represent evidence of these findings. 4. Statement of Authority (attached) is now included and signed by both co-trustees in their official capacity and notarized. Land Use Application (attached) now reflects Living Little Trust as the name of involved parties and is signed by both Trustees. Project Description - 1104 County Road 112 Residential PV System Green Electrical Solutions (GES) is proposing the construction of (1) 24.48 KW ground mounted PV system at 1104 County Road 112, Carbondale, CO. Located at this site is a single family home on 5.22 acres with no other notable structures in the vicinity. The PV system is estimated to offset 100% of the electricity used for this site in year 1. In order to achieve a Net-Zero eco-system, the homeowner will also electrify the antiquated heating and hot water systems. The home’s electric usage will then be offset by the proposed solar PV system. Please note that the aforementioned heating and hot water system upgrades are not included in this scope, and will be installed by others. The ground mounted PV system will be approximately 1260 ft² and will stand approximately 11.5’ tall. The foundation will be ballasted with a small footprint and shallow depth, mitigating the need for extensive digging and disturbances. The ballasted foundation will consist of approximately (8) concrete footers. Each footer will be 18” deep x 18” wide x 12’ long as shown in Figure 5 “Typical Ground Mount Foundation.pdf” attachment (Appendix B). GES intends to start and complete construction in the summer, avoiding disturbances in winter months that are more difficult for wildlife. The construction of the PV system will take approximately (3) weeks. Construction will not commence before 8 am or continue after 6 pm. The GES crew will have (2) trucks on site regularly with approximately (3) deliveries in total. An additional crew of (2) will be onsite to excavate for (2) days and backfill for (1) day. Grading and Drainage Plan The proposed PV system will be installed so that the natural grading and drainage of the site is not modified. Once the PV application has been approved, Green Electrical Solutions will supply stamped engineered plans for the ground mount structure and ballasted foundation (see Appendix B - Figure 5 “Typical GM Foundation and Plan View''). This attachment illustrates a typical installation with a ballasted foundation plan, similar to the proposed GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 4 construction in this application. Please note the array tilt on the “Typical GM Foundation and Plan View'' diagram will be adjusted which subsequently changes the height of the array. The adjusted height is detailed on the “West Elevation” attachment in Appendix B - Figure 12. 5. Landscape Plan The proposed site is a 5.22 acre parcel of land located off of County Road 112 in Carbondale, Colorado. The natural landscape consists of native grasses and Boxelder trees. GES will not remove or alter any trees of any size for this project. Any native grasses disturbed by construction will be replanted following the timeline laid out in section 7-208 below. Section 7-303 further discusses GES’s plans on maintaining and preserving the natural landscape. See Appendix B - Figure 6 for topographical and satellite imagery of the proposed site. A waiver has been requested for the rest of the requirements laid out in section 4-203-F, including 2 foot contour lines for topographic map. 6. Impact Analysis Sustainable responsibility is a large part of our mission at Green Electrical Solutions. We strive to preserve the natural environment on every site to its utmost potential. We take extensive measures to keep the impact of the project to a minimum on every jobsite. Details of this site are listed below: 1. All existing adjacent and neighboring properties within 1500’ are zoned either for Rural or Public Lands. 2. The site of construction is gently sloped (below 10 degrees) from north to south. The area is sparsely vegetated and consists mostly of native grasses and Boxelder trees. Site is void of any waterbodies and is not within any designated wildlife protection zones. Owner has carefully chosen a site to avoid Mule Deer grazing zones and turkey habitat, the two primary species prevalent on this site. 3. The two predominant soil types on this property are Empedrado loam and Tridell-Brownsto stony sandy loams. 4. There are no known geological or manmade hazards to consider for this project. 5. Groundwater and aquifer recharge areas, if relevant, would not be affected by this project. There is no effluent or other waste discharged from a PV system. Any short-term effects to native grasses will be mitigated through our replanting program. 7. Low-depth excavation will only occur during the first two (2) days of construction and no heavy-machinery will be on site thereafter. Construction will be limited to hours of operations defined below. 8. Hours of operation will be 8am-6pm to minimize impacts to adjacent land uses. The foundation is composed of 18” wide x 18” deep x 12’ long footers. With the proposed footer/foundation design there is not a need to dig extensive depths, mitigating a portion of the impact when compared to deep excavation techniques. The foundation is situated in parallel with the natural grade and will not alter the natural drainage flow. There shall be no impact to trees and shrubs during construction. The placement and design of the array allow minimum impact on flora and fauna. Any disturbed vegetation will be replaced with comparable seed. 7. Traffic Study Since the scope of the project is small in scale, there will be a limited amount of traffic generated. Two (2) GES trucks will be on site at any time. A third (3rd) truck from external parties will occasionally be visiting the site, such as Holy Cross to execute a power shut down. Large deliveries of equipment and materials will be received at GES shop to further limit traffic and impact. 8. Wastewater Plan No effluent is generated from this system and therefore there is no need for temporary or permanent wastewater infrastructure on site for this proposed project. A porta-potty will be located on site for construction worker use. 9. Water Supply Plan There is no need for permanent water infrastructure on site for this project. 10.Improvement Agreement Waiver Request: There is no need for public improvements at the site. GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 6 11.Development Agreement Waiver Request: The project will only need a single phase of construction to complete. 12.Access Roadway Details No roadways will need to be developed or altered for this project. There is an existing driveway that is approximately 10’ wide with a mild slope (<10 degrees) as well as a gated dirt entrance that will be used to access a portion of the property. The driveway merges with County Road 112 in Carbondale. The size of this driveway is adequate for our vehicles with safe access upon entry and exit. Additionally, our traffic will be of negligible impact and no mitigation will therefore need to take place. 13.Narrative Response to Article 7 Standards (Divisions) 1, 2, and 3: DIVISION 1. General Approval Standards 7-101. Zone District Use Regulations The proposed PV system complies with Article 3, Zoning Rural. There will be no impact on drinking water since the PV system footer is only 18” deep and neither equipment nor materials leach any hazardous chemicals. 7-102. Comprehensive Plan and Intergovernmental Agreements The Land Use Change is in general conformance with the Garfield County comprehensive plan and complies with any applicable intergovernmental agreement. 7-103. Compatibility The nature, scale and intensity of the proposed PV system will have no impact on adjacent land uses. 7-104. Source of Water No water rights or access, present or future, will be needed for the proposed PV system. Therefore, the BOCC’s determination of adequate water supply will not be needed for this project. GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 7 For transparency, there is an existing irrigation ditch on the north side of the property that runs parallel to the property line. This ditch can be seen in Appendix B - Figure 3. The proposed PV system construction will not interfere or alter the existing irrigation ditch and access to this water source is not necessary for the scope of this project. 7-105. Central Water Distribution and Wastewater Systems No water rights or access, present or future, will be needed for the proposed PV system. Additionally, since no wastewater effluent will be generated during construction or use of this land, there will be no need for implementation of any wastewater management infrastructure. 7-106. Public Utilities GES has verified with Holy Cross Energy that the proposed PV system meets local requirements and all relevant public utilities will be adequate for implementation of this project. Holy Cross Energy’s approval will be secured in advance to the commencement of construction as a standard component to a project of this scope in the aforementioned utility’s territory. All utilities will be underground except standard switchgear for the PV system such as inverters, AC disconnect, etc. No damage to trees or shrubs will occur and excavation will be minimized in order to protect the natural landscape and environment. No easements will be needed for this project. A. Adequate public utilities are available to serve this land use B. GES will obtain Holy Cross Energy’s approval as a standard component to a project of this scope in Holy Cross Energy territory. C. All Utilities will be underground except standard switchgear for the PV system. D. No utility or drainage easements will be necessary for the completion of this project. E. The utilities for this project shall be underground and will avoid damage to trees and shrubs without excessive excavation and will be free of physical obstructions. F. No easements necessary, therefore this project will not create any conflicting legal encumbrances 7-107. Access and Roadways The proposed project location has legal and physical access to a safe public right-of-way on County Road 112 in Carbondale. No additional roads will need to be constructed for this project. Additionally, due to minimal traffic and limited foreseeable impact of GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 8 vehicles, no improvements will be necessary to existing roads. This parcel has adequate capacity to handle the proposed traffic of 2-4(maximum) vehicles in a given day on site. A. This parcel has legal and physical access to a public right away. B. This parcel needs no improvements for safe access. C. This parcel access has adequate capacity to handle the traffic 2- 4 vehicles maximum in a given day that will be on site. D. All rights-of-way shall be dedicated to the public. E. The road impact is negligible as this is a small project. F. No roadways, surfaces, curbs and gutters, or sidewalks will be constructed at any time during implementation of this project. 7-108. Use of Land Subject to Natural Hazards There are no identified natural and/or geological hazards at this site. The natural landscape is free of risks pertaining to falling rock, landslides, snow slides, mud flows, radiation, flooding, high water tables, etc. 7-109. Fire Protection A. Adequate fire protection will be provided for this project as required by the appropriate fire protection district. All PV equipment is UL tested and listed to achieve the maximum available safety standards. To add to the safety of the system, the PV system is equipped with rapid shutdown even though rapid shutdown is not required in the 2020 NEC (NFPA 70) for a ground mounted PV system. Rapid shutdown decreases the system to safe voltages within 30 seconds when the system disconnect is in the open position (off position). UL listings are shown for Enphase Energy equipment, LG NeON2 Panels, and Iron Ridge Racking in Appendix B Figure’s 8, 9, and 10, respectively. B. GES will obtain approval from the local fire department before construction commences. DIVISION 2. GENERAL RESOURCE PROTECTION STANDARDS. 7-201. Agricultural Lands There are no agricultural lands adjacent to or in the general vicinity of this site. Neither crop nor livestock operations shall be affected or influenced by the construction and/or GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 9 ongoing use of the proposed PV system. Section 7-201 therefore will not be applicable to this project and no fences will need to be constructed to separate the site from any adjoining agricultural lands. 7-202. Wildlife Habitat Areas Due to the limited scope and small footprint of the proposed project, a waiver has been requested for Article 4-203 in the included permit application form. If approved, this would waive requirements for a wildlife biologist. The owner of this property (Laird Little) is an experienced Biologist and has carefully considered wildlife patterns in the placement of the PV array. Mr. Little has relayed notable wildlife patterns to GES in order to choose a location that will not interfere with their natural routes. Mule deer and turkeys are both present on this property, and typically follow routes on the far north and south ends of the property. Additionally, there are no ground nesting animals in the vicinity that would be distrubed by this construction. A. Visual and sound buffers have been considered and the PV array is located near (3) trees as a visual screen from the uphill perspective. The PV array is also backed towards the edge of the clearing so that it is not standing in the middle of the open field. B. The PV array will not force wildlife to use new migration corridors, and will not expose wildlife to any significant increased predation, interaction with vehicles, intense human activity, or more severe topography or climate. C. Large areas of vegetation utilized by wildlife for food and cover, based upon recommendations by the Colorado Parks and Wildlife will not be disturbed. D. The small area disturbed during construction will be re-seeded with the most appropriate ground cover for the location to reestablish the natural environment. 7-203. Protection of Waterbodies There are no water bodies existing on this site. Therefore, no setbacks will need to be considered in order to achieve compliance with federal and state regulations. 7-204. Drainage and Erosion A. Development will not disturb more than one (1) acre of land, therefore this site is not subject to the CDPHE National Pollutant Discharge Elimination System Permit. The foundation of this PV system will be designed so that it does not impede on natural drainage, rather letting the water flow between footers, please reference Appendix B - Figure 5 “Typical Ground Mount Foundation and Plan View''. Orientation of the footers follows natural topography of the landscape maintaining natural drainages. C. No construction will take place within 100 feet of any waterbody and development will not exceed the limit of 10,000 square feet of impervious surface area disturbance. 7-205. Environmental Quality A. The solar PV system does not cause air quality to be reduced below acceptable levels established by the Colorado Air Pollution Control Division. The PV system does reduce air pollution in Colorado by producing energy from an abundant, sustainable and clean energy source, the sun. B. No hazardous materials will be on-site at any point of construction, maintaining the current standards of any drinking water in the vicinity. 7-206. Wildfire Hazards A. Development will not take place on any land designated as a severe wildfire hazard area. B. The proposed Land Use Change will be developed in a manner that does not increase the potential intensity or duration of a wildfire, or adversely affect wildfire behavior or fuel composition. C. This proposed design is a ground-mount system; therefore, roofing material considerations are not relevant to the scope of this project. 7-207. Natural and Geological Hazards A. Above ground utilities will not be located within any defined hazardous areas. B. No development will occur in any potential avalanche hazard areas. C. No development will occur in any potential landslide hazard areas. D. No development will occur in any potential rockfall hazard areas. E. No development will occur in any potential alluvial fan hazard areas. F. The PV array will be constructed on land below 20 degree grade. An underground wire run is necessary to connect the PV system to site utilities and this excavation will also occur on land below 20 degree grade. The two predominant soil types on this site are Empedrado loam and Tridell-Brownsto stony sandy loams, according to USDA Soil Data Explorer (https://websoilsurvey.sc.egov.usda.gov/App/WebSoilSurvey.aspx). These soil types are classified as having low corrosion to concrete structures (Appendix B - Figure 7). Additionally, these soils do not present any potential risks that would occur in expansive soil types. H. No development will occur in any potential mudflow areas. I. No development will occur over any fault lines. This was cross-referenced with data provided by the USGS geologic map database (https://my.usgs.gov/eerma/data/index/4f4e496be4b07f02db5a0f59). 7-208. Reclamation A. Reclamation applicability applies to all Land Use Change Permits. GES will take the following steps (below) to maintain the nature landscape and return any distrubed land to its natural appearance and structure. Soil disturbances will be limited as much as possible and should only occur where digging is necessary for laying the concrete footers. 1. No grading or abrupt angular transitions will take place at this site. Areas disturbed during development will be restored to natural-appearing landforms that blend in with adjacent undisturbed topography. When the final landform is achieved, the surface shall be stabilized by vegetation. Owner of property will replant native grasses to any distrubed areas in order to achieve 70% or more coverage compared to pre-disturbance levels. 2. There are no noxious weeds identified at the proposed site; therefore, no management plan is necessary for eradication. 3. Reclaimed soil from foundation digging will be kept on property for owner use. The stockpile shall not sit exposed for more than 90 days. 4. No retaining walls will be necessary due to our minimal disturbance plan; there will be no cut slopes. 5. All vegetative residue, branches, limbs, stumps, roots, and any other such flammable-lot clearing debris shall be removed from the lot before construction is completed. 6. All other site debris will also be removed before project completion. 7. The project will be complete within three (3) weeks from the date of commencement and any disturbed native grasses will be re-planted within two GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 12 (2) weeks of project completion. Site debris and vegetative residue will be removed within one (1) week of project completion. DIVISION 3.SITE PLANNING AND DEVELOPMENT STANDARDS. 7-301. Compatible Design A. The site shall be organized in a way that considers the relationship to streets and lots, solar access, parking, pedestrian access, and access to common areas, please reference the attached site map. B. The operations of activities on the site shall be managed to avoid nuisances to adjacent uses relating to hours of operations, parking, service delivery, and location of service areas and docks. 1. Dust, odors, gas, fumes, and glare will not be emitted at levels that are reasonably objectionable to adjacent property. 2. Noise will not exceed State noise standards pursuant to C.R.S., Article 12 of Title 25. 3. Hours of operation will be 8am-6pm to minimize impacts to adjacent land uses. C. Adjacent properties are all located within the same zone district; therefore, no buffering will need to be implemented. Additionally, PV arrays will not face street traffic as to eliminate any glare from the roadway. There are two adjacent properties with residential houses. One property is already buffered with trees around the lot and the second does not directly face arrays from any of the primary vantage points. Notices will be distributed to all neighbors before construction commences in order to give adequate time for voicing potential concerns. D. The external facade of the proposed structure will not detract from any adjacent buildings or uses. 7-302. Off-Street Parking and Loading Standards The proposed PV system will be constructed on the property of a single family dwelling unit; therefore, exempt from this section’s requirements. Off-street parking for three (3) vehicles is shown in Site Plan 1 (Appendix B - Figure 3). This parking area is dedicated to construction of this PV array and has no other conflicting uses. This parking has unobstructed access to CR 112. GES YES! 970-927-VOLT (8658) 204 Park Ave. Unit 1L Basalt Colorado 81621 13 7-303. Landscaping Standards A. General Standards 1. Precautions will be taken to avoid any unnecessary removal or damage to vegetation. Native grasses comprise the majority of vegetation at this site. All portions of the site where existing vegetative cover is damaged or removed, that are not otherwise covered with new improvements, will be successfully revegetated with a mix of native, adaptive, and drought tolerant grasses and/or ground covers. The density of the reestablished vegetation will be adequate to prevent soil erosion and invasion of weeds after (1) growing season. 2. Landscaping will not obstruct fire hydrants or utility boxes and will be installed so that it will not grow into any overhead utility lines. Trees and shrubs will not be planted within 4 feet of existing overhead or underground lines B. This site is not a multi-family dwelling so this section does not apply. C. GES’s goal is to keep any landscaping and replanting of native grasses consistent with the natural landscape and ecosystem. D. All plants used for landscaping shall be compatible with the local climate, soils, drainage, and water conditions of the site. E. Healthy trees, native vegetation, natural or significant rock outcroppings, and other valuable features will be preserved and integrated within planting areas. F. GES will not need to plant trees and shrubs as the only distrubed flora will be native grasses. G. GES will not need to plant trees and shrubs as the only distrubed flora will be native grasses. H. Areas required as landscaping shall not be used for parking, outdoor storage, and similar uses. Snow storage is not within the scope of this project. I. No vegetation over 30 inches will be planted in the Clear Vision Area of this site’s driveway. J. Lighting Standards The proposed PV system will be constructed on the property of a single family dwelling unit; therefore, exempt from this section’s requirements. Additionally, no exterior lighting installations are within the scope of this project. 7-305. Snow Storage Standards The proposed PV system will be constructed on the property of a single family dwelling unit; therefore, exempt from this section’s requirements. 7-306. Trail and Walkway Standards The proposed PV system will be constructed on the property of a single family dwelling unit; therefore, exempt from this section’s requirements. 7-1101. Solar Energy Systems A. Signage- Warning signs in the form of outdoor UV resistant stickers of electrical shock shall be labeled on the edges of the solar module frames around the entire perimeter of the array. B. Solar Energy System, Accessory 2a.) There is no building envelope on the property. Proposed PV array is well within all setbacks on property. 2b.) The approximate height is 11.5’ which is lower than the allowable maximum height of 15’. See Appendix B - Figure 12. 2c.) The total area of the array is approximately 1260 ft² which is substantially smaller than the maximum allowable 10% of the lot's gross area of 5.22 acres. 2d.) Proposed PV system is 24.48 kW DC. DEFINITION OF TERMS The following terms when used in this policy mean: 2. CONTINUATION OF INSURANCE The coverage of this policy shall continue in force as of Date of Policy in favor of an Insured, but only so long as the Insured retains an estate or interest in the Land, or holds an obligation secured by a purchase money Mortgage given by a purchaser from the Insured, or only so long as the Insured shall have liability by reason of warranties in any transfer or conveyance of the Title. This policy shall not continue in force in favor of any purchaser from the Insured of either (i) an estate or interest in the Land, or (ii) an obligation secured by a purchase money Mortgage given to the Insured. 3. NOTICE OF CLAIM TO BE GIVEN BY INSURED CLAIMANT The Insured shall notify the Company promptly in writing (i) in case of any litigation as set forth in Section 5(a) of these Conditions, (ii) in case Knowledge shall come to an Insured hereunder of any claim of title or interest that is adverse to the Title, as insured, and that might cause loss or damage for which the Company may be liable by virtue of this policy, or (iii) if the Title, as insured, is rejected as Unmarketable Title. If the Company is prejudiced by the failure of the Insured Claimant to provide prompt notice, the Company's liability to the Insured Claimant under the policy shall be reduced to the extent of the prejudice. (a) Any law, ordinance, permit, or governmental regulation (including those relating to building and zoning) restricting, regulating, prohibiting or relating to(1) the occupancy, use, or enjoyment of the Land;(i) the character, dimensions, or location of any improvement erected on the Land;(ii) the subdivision of land; or(iii) environmental protection; or the effect of any violation of these laws, ordinances, or governmental regulations. This Exclusion 1(a) does not modify or limit the coverage provided under Covered Risk 5. (b) Any governmental police power. This Exclusion 1(b) does not modify or limit the coverage provided under Covered Risk 6. (iv) Rights of eminent domain. This Exclusion does not modify or limit the coverage provided under Covered Risk 7 or 8.(2) Defects, liens, encumbrances, adverse claims, or other matters(3) created, suffered, assumed, or agreed to by the Insured Claimant;(a) not Known to the Company, not recorded in the Public Records at Date of Policy, but Known to the Insured Claimant and not disclosed in writing to the Company by the Insured Claimant prior to the date the Insured Claimant became an Insured under this policy; (b) resulting in no loss or damage to the Insured Claimant;(c) attaching or created subsequent to Date of Policy (however, this does not modify or limit the coverage provided under Covered Risk 9 and 10); or(d) resulting in loss or damage that would not have been sustained if the Insured Claimant had paid value for the Title.(e) Any claim, by reason of the operation of federal bankruptcy, state insolvency, or similar creditors' rights laws, that the transaction vesting the Title as shown in Schedule A, is (4) a fraudulent conveyance or fraudulent transfer; or(a) a preferential transfer for any reason not stated in Covered Risk 9 of this policy.(b) Any lien on the Title for real estate taxes or assessments imposed by governmental authority and created or attaching between Date of Policy and the date of recording of the deed or other instrument of transfer in the Public Records that vests Title as shown in Schedule A. (ii) "Insured Claimant": An Insured claiming loss or damage.(e) "Knowledge" or "Known": Actual knowledge, not constructive knowledge or notice that may be imputed to an Insured by reason of the Public Records or any other records that impart constructive notice of matters affecting the Title. (f) "Land": The land described in Schedule A, and affixed improvements that by law constitute real property. The term "Land" does not include any property beyond the lines of the area described in Schedule A, nor any right, title, interest, estate, or easement in abutting streets, roads, avenue, alleys, lanes, ways, or waterways, but this does not modify or limit the extent that a right of access to and from the Land is insured by this policy. (g) "Mortgage": Mortgage, deed of trust, trust deed, or other security instrument, including one evidenced by electronic means authorized by law.(h) "Public Records": Records established under state statutes at Date of Policy for the purpose of imparting constructive notice of matters relating to real property to purchasers for value and without Knowledge. With respect to Covered Risk 5(d), "Public Records" shall also include environmental protection liens filed in the records of the clerk of the United States District Court for the district where the Land is located. (i) "Title": The estate or interest described in Schedule A. "Unmarketable Title": Title affected by an alleged or apparent matter that would permit a prospective purchaser or lessee of the Title or lender on the Title to be released from the obligation to purchase, lease, or lend if there is a contractual condition requiring the delivery of marketable title. PROOF OF LOSS In the event the Company is unable to determine the amount of loss or damage, the Company may, at its option, require as a condition of payment that the Insured Claimant furnish a signed proof of loss. The proof of loss must describe the defect, lien, encumbrance, or other matter insured against by this policy that constitutes the basis of loss or damage and shall state, to the extent possible, the basis of calculating the amount of the loss or damage. 5. DEFENSE AND PROSECUTION OF ACTIONS (a) Upon written request by the Insured, and subject to the options contained in Section 7 of these Conditions, the Company, at its own cost and without unreasonable delay, shall provide for the defense of an Insured in litigation in which any third party asserts a claim covered by this policy adverse to the Insured. This obligation is limited to only those stated causes of action alleging matters insured against by this policy. The Company shall have the right to select counsel of its choice (subject to the right of the Insured to object for reasonable cause) to represent the Insured as to those stated causes of action. It shall not be liable for and will not pay the fees of any other counsel. The Company will not pay any fees, costs, or expenses incurred by the Insured in the defense of those causes of action that allege matters not insured against by this policy. (b) The Company shall have the right, in addition to the options contained in Section 7 of these Conditions, at its own cost, to institute and prosecute any action or proceeding or to do any other act that in its opinion may be necessary or desirable to establish the Title, as insured, or to prevent or reduce loss or damage to the Insured. The Company may take any appropriate action under the terms of this policy, whether or not it shall be liable to the Insured. The exercise of these rights shall not be an admission of liability or waiver of any provision of this policy. If the Company exercises its rights under this subsection, it must do so diligently. (c) Whenever the Company brings an action or asserts a defense as required or permitted by this policy, the Company may pursue the litigation to a final determination by a court of competent jurisdiction, and it expressly reserves the right, in its sole discretion, to appeal any adverse judgment or order. 6. DUTY OF INSURED CLAIMANT TO COOPERATE (a) In all cases where this policy permits or requires the Company to prosecute or provide for the defense of any action or proceeding and any appeals, the Insured shall secure to the Company the right to so prosecute or provide defense in the action or proceeding, including the right to use, at its option, the name of the Insured for this purpose. Whenever requested by the Company, the Insured, at the Company's e xpense, shall give the Company all reasonable aid (i) in securing evidence, obtaining witnesses, prosecuting or defending the action or proceeding, or effecting settlement, and (ii) in any other lawful act that in the opinion of the Company may be necessary or desirable to establish the Title or any other matter as insured. If the Company is prejudiced by the failure of the Insured to furnish the re quired cooperation, the Company's obligation to the Insured under the policy shall terminate, including any liability or obligation to defend, prosecute, or continue any litigation, with regard to the matter or matters requiring such cooperation. (b) The Company may reasonably require the Insured Claimant to submit to examination under oath by any authorized representative of the Company and to produce for examination, inspection, and copying, at such reasonable times and places as may be designated by the authorized representative of the Company, all records, in whatever medium maintained, including books, ledgers, checks, memoranda, correspondence, reports, e-mails, disks, tapes, and videos whether bearing a date before or after Date of Policy, that reasonably pertain to the loss or damage. Further, if requested by any authorized representative of the Company, the Insured Claimant shall grant its permission, in writing, for any authorized representative of the Company to examine, inspect, and copy all of these records in the custody or control of a third party that reasonably pertain to the loss or damage. All information designated as confidential by the Insured Claimant provided to the Company pursuant to this Section shall not be disclosed to others unless, in the reasonable judgment of the Company, it is necessary in the administration of the claim. Failure of the Insured Claimant to submit for examination under oath produce any reasonably requested information, or grant permission to secure reasonably necessary information from third parties as required in this subsection, unle ss prohibited by law or governmental regulation, shall terminate any liability of the Company under this policy as to that claim. 7. OPTIONS TO PAY OR OTHERWISE SETTLE CLAIMS; TERMINATION OF LIABILITY In case of a claim under this policy, the Company shall have the following additional options: (a) To Pay or Tender Payment of the Amount of Insurance. To pay or tender payment of the Amount of Insurance under this policy together with any costs, attorneys' fees, and expenses incurred by the Insured Claimant that were authorized by the Company up to the time of payment or tender of payment and that the Company is obligated to pay. Upon the exercise by the Company of this option, all liability and obligations of the Company to the Insured under this policy, other than to make the payment required in the subsection, shall terminate, including any liability or obligation to defend, prosecute, or continue any litigation. (b) To Pay or Otherwise Settle With Parties Other Than the Insured or With the Insured Claimant. 8. DETERMINATION AND EXTENT OF LIABILITY This policy is a contract of indemnity against actual monetary loss or damage sustained or incurred by the Insured Claimant who has suffered loss or damage by reason of matters insured against by this policy. (a) The extent of liability of the Company for loss or damage under this policy shall not exceed the lesser of (b) If the Company pursues its rights under Section 5 of these Conditions and is unsuccessful in establishing the Title, as insured, To pay or otherwise settle with other parties for or in the name of an Insured Claimant any claim insured against under this policy. In addition, the Company will pay any costs, attorneys' fees, and expenses incurred by the Insured Claimant that were authorized by the Company up to the time of payment and that the Company is obligated to pay; or (i) To pay or otherwise settle with the Insured Claimant the loss or damage provided for under this policy, together with any costs, attorneys' fees, and expensed incurred by the Insured Claimant that were authorized by the Company up to the time of payment and that the Company is obligated to pay. Upon the exercise by the Company of either of the options provided for in subsections (b)(i) or (ii), the Company's obligations to the Insured under this policy for the claimed loss or damage, other than the payments required to be made, shall terminate, including any liability or obligation to defend, prosecute, or continue any litigation. (ii) the Amount of Insurance; or(i) the difference between the value of the Title as insured and the value of the Title subject to the risk insured against by this policy.(ii) the Amount of Insurance shall be increased by 10%, and(i) the Insured Claimant shall have the right to have the loss or damage determined either as of the date the claim was made by the Insured Claimant or as of the date it is settled and paid. (ii) 8 Figure 2. Title Commitment (continued) (c) In addition to the extent of liability under (a) and (b), the Company will also pay those costs, attorneys' fees, and expenses incurred in accordance with Sections 5 and 7 of these Conditions. 9. LIMITATION OF LIABILITY (a) If the Company establishes the Title, or removes the alleged defect, lien, or encumbrance, or cures the lack of a right of access to or from the Land, or cures the claim of Unmarketable Title, all as insured, in a reasonably diligent manner by any method, including litigation and the completion of any appeals, it shall have fully performed its obligations with respect to that matter and shall not be liable for any loss or damage caused to the Insured. (b) In the event of any litigation, including litigation by the Company or with the Company's consent, the Company shall have no liability for loss or damage until there has been a final determination by a court of competent jurisdiction, and disposition of all appeals, adverse to the Title, as insured. (c) The Company shall not be liable for loss or damage to the Insured for liability voluntarily assumed by the Insured in settling any claim or suit without the prior written consent of the Company. 10. REDUCTION OF INSURANCE; REDUCTION OR TERMINATION OF LIABILITY All payments under this policy, except payments made for costs, attorneys' fees, and expenses, shall reduce the Amount of Insurance by the amount of the payment. 11. LIABILITY NONCUMULATIVE The Amount of Insurance shall be reduced by any amount the Company pays under any policy insuring a Mortgage to which exception is taken in Schedule B or to which the Insured has agreed, assumed, or taken subject, or which is executed by an Insured after Date of Policy and which is a charge or lien on the Title, and the amount so paid shall be deemed a payment to the Insured under this policy. 12. PAYMENT OF LOSS When liability and the extent of loss or damage have been definitely fixed in accordance with these Conditions, the payment shall be made within 30 days. 13. RIGHTS OF RECOVERY UPON PAYMENT OR SETTLEMENT (a) Whenever the Company shall have settled and paid a claim under this policy, it shall be subrogated and entitled to the rights of the Insured Claimant in the Title and all other rights and remedies in respect to the claim that the Insured Claimant has against any person or property, to the extent of the amount of any loss, costs, attorneys' fees, and expenses paid by the Company. If requested by the Company, the Insured Claimant shall execute documents to evidence the transfer to the Company of these rights and remedies. The Insured Claimant shall permit the Company to sue, compromise, or settle in the name of the Insured Claimant and to use the name of the Insured Claimant in any transaction or litigation involving these rights and remedies. If a payment on account of a claim does not fully cover the loss of the Insured Claimant, the Company shall defer the exercise of its right to recover until after the Insured Claimant shall have recovered its loss. (b) The Company's right of subrogation includes the rights of the Insured to indemnities, guaranties, other policies of insurance, or bonds, notwithstanding any terms or conditions contained in those instruments that address subrogation rights. 14. ARBITRATION Either the Company or the Insured may demand that the claim or controversy shall be submitted to arbitration pursuant to the Title Insurance Arbitration Rules of the American Land Title Association ("Rules"). Except as provided in the Rules, there shall be no joinder or consolidation with claims or controversies of other persons, Arbitrable matters may include, but are not limited to, any controversy or claim between the Company and the Insured arising out of or relating to this policy, any service in connection with its issuance or the breach of a policy provision, or to any other controversy or claim arising out of the transaction giving rise to this policy. All arbitrable matters when the Amount of Insurance is $2,000,000 or less shall be arbitrated at the option of either the Company or the Insured. All arbitrable matters when the Amount of Insurance is in excess of $2,000,000 shall be arbitrated only when agreed to by both the Company and the Insured. Arbitration pursuant to this policy and under the Rules shall be binding upon the parties. Judgment upon the award rendered by the Arbitrator(s) may be entered in any court of competent jurisdiction. 15. LIABILITY LIMITED TO THIS POLICY; POLICY ENTIRE CONTRACT (a) This policy together with all endorsements, if any, attached to it by the Company is the entire policy and contract between the Insured and the Company. In interpreting any provision of this policy, this policy shall be construed as a whole. (b) Any claim or loss or damage that arises out of the status of the Title or by any action asserting such claim shall be restricted to this policy. (c) Any amendment of or endorsement to this policy must be in writing and authenticated by an authorized person, or expressly incorporated by Schedule A of this policy. (d) Each endorsement to this policy issued at any time is made a part of this policy and is subject to all of its terms and provisions. Except as the endorsement expressly states, it does not (i) modify any of the terms and provisions of the policy, (ii) modify any prior endorsement, (iii) extend the Date of Policy, or (iv) increase the Amount of Insurance. 16. SEVERABILITY In the event any provision of this policy, in whole or in part, is held invalid or unenforceable under applicable law, the policy shall be deemed not to include that provision or such part held to be invalid, but all other provisions shall remain in full force and effect. 17. Title Commitment (continued) (a) Choice of Law; The Insured acknowledges the Company has underwritten the risks covered by this policy and determined the premium charged therefor in reliance upon the law affecting interests in real property and applicable to the interpretation, rights, remedies, or enforcement of policies of title insurance of the jurisdiction where the Land is located. Therefore, the court or an arbitrator sha ll apply the law of the jurisdiction where the Land is located to determine the validity of claims against the Title that are adverse to the Insured and to interpret and enforce the terms of this policy. In neither case shall the court or arbitrator apply its conflicts of law principles to determine the applicable law. (b) Choice of Forum; Any litigation or other proceeding brought by the Insured against the Company must be filed only in a state or federal court within the United States of America or its territories having appropriate jurisdiction. 18.
