1.1 NARRATIVE SUMMARY OF PROJECT
The project is installation of approximately 450 kW AC photovoltaic panels (solar)
on the existing processing building at Spring Born Farms on CR 331 south of Silt,
Colorado.
The existing commercial building was originally designed with the intention of
installing solar panels on the roof of the building.
The operations of Spring Born Farm have been temporarily suspended and are
not anticipated to resume during the rooftop installation. Therefore, installation of
the rooftop solar will have minimal impact upon Sp ring Born Farms and the
community.

1.1.1 MISCELLANEOUS INFORMATION
A. Airport – After discussions with Brian Condie, Rifle-Garfield County Airport
Director, applicant contacted Armstrong Engineering regarding FAA Form 7 460.
Applicant consulted with Paul Kastler, P.E. of Armstrong Engineering. Based upon
the analysis conducted by Armstrong Engineering, no Form 7460 is necessary.
See Attachment A hereto this section.
B. Fire District – As stated in section B supra, the installation made the basis of this
permit application is limited to rooftop solar panels and will not include Battery
Electric Storage Systems (BESS). Therefore, no site/facility specific training as
well as appropriate spacing to allow access to fight wildfires are required.
In addition, the building including the clerestory is equipped with appropriate fire
suppression systems. See Attachment B hereto this section.
C. Interconnection Agreements with Utilities – The power generated through the
introduction of the rooftop PV panels is intended to be used for operations on the
subject property and not intended for interconnection with the utility companies.
However, subsequent permit applications are intended for Communi ty Solar
Garden distribution and/or be subject to interconnection agreements with utilities.
D. Major Impact Land Use Change Permit – The Rooftop PV (solar) installation is
approximately 450 kW AC. Further, the installation made the basis of this permit
application will not include Battery Electric Storage Systems (BESS). Therefore,
no Major Impact Land Use Change Permit is required. However, subsequent
permit applications for ground mounted solar panels will be submitted to include
this requirement.
E. Industrial Setbacks – The Rooftop PV (solar) installation is not a “solar yard” as
contemplated since it is mounted on the roof of an existing commercial building.
However, subsequent permit applications for ground mounted PV will ensure that
the 100 ft setback will be maintained.
F. Wildlife Habitat – As the instant permit application pertains solely to rooftop PV
panels, loss of wildlife habitat is inapplicable to the installation. Further, after
discussions with Travis Bybee, District Wildlife Manager for the Rifle South District
of Colorado Parks & Wildlife, subsequent phases of ground mounted solar yards
have been modified to avoid impact upon wildlife habitats and/or migratory
patterns. Such issues will be addressed in subsequent permit applications.

G. Traffic During Construction – The operations of Spring Born Farm have been
temporarily suspended and are not anticipated to resume during the rooftop
installation. Further, all equipment and materials will be stored in the operations
building of the facilities. No construction vehicles will be entering or exiting the
building on a routine basis. Traffic patterns will not be disrupted during the
installation of the rooftop solar panels.
H. Grading and Drainage Plan – The location is currently subject to a grading and
drainage plan. Further, no grading of the property will occur, and the installation
of the rooftop panels will not affect drainage at the location.

I. GENERAL PROJECT DESCRIPTION
The applicant is proposing an approximately 15 mW solar facility located on a 253 acre parcel
that contains a commercial greenhouse facility. The current proposal would be located north
of East/west portions CR 331 and CR 311 on either side of the north/south portion of CR 311.
The proposed solar facility would provide power to the neighboring commercial greenhouse.
Additional power would be sent into either XCEL or Holy Cross’s electric grid. The Applicant
also discussed being a Community Garden Solar Project directing power to neighboring
residents and businesses. Information related to the interconnection and agreements with
local utility companies or similar items will need to be included.
Battery storage (sodium ion) is also proposed.
There have been complaints regarding the greenhouse’s light impacts on neighboring
properties. Staff recommends addressing these concerns since the project will be providing
electricity directly to the greenhouse facility. As such, the application should carefully address
possible glare or other impacts on neighboring properties.
Solar projects over 500 kW are considered Large Solar Energy Systems in the current Land
Use and Development Code. In the Rural zone district, these systems require a Major Impact

Land Use Change Permit. These applications are heard at a public hearing before the
planning commission who provides a recommendation to the Board of County Commissioners
who will hear it at a separate hearing. Both hearings are public and must be noticed through
mailings, postings, and publishing.
Submittal requirements are listed below. Waiver of submittal requirements may be requested
in the application. These requests should respond to the criteria listed in 4-202. Detailed
descriptions of submittal requirements can be found in 4-203. The application will also need
to address Article 7 – Standards. Divisions 1-3 as well as 7-1101.
Colorado River floodplains exist in the area. The application should provide information
related to if there are floodplains on the property. The Grading and Drainage Plan, 4-203.E,
will be particularly important due to the site’s location.
Several submittal requirements, such as traffic, will need to address construction as well as
conditions during normal operations.
Several important wildlife habitats are located on or near the property. The application will
need to address these topics in the impact analysis and in its response to article 7. CPW has
expressed concern about the loss of habitat to solar facilities. The applicant indicated that
they may raise the arrays to allow deer and elk to pass beneath the system. Staff recommends
the applicant reach out to CPW on the project.
Community Development has typically applied 100-foot industrial setbacks to utility scale
solar yards located next to residential uses. Reductions of this setback through Wavier of
Standards can be included in the application. Waiver of standard requests should respond to
the review criteria of Section 4-118. Visual impacts are the primary concern, though the
application should provide information related to any noise or similar nuisance that should be
mitigated.
Fire departments have requested site/facility specific training as well as appropriate spacing
to allow access to fight wildfires. The site is within the Colorado River Fire Protection District.

II. COMPREHENSIVE PLAN
The area is within the Urban Growth Area of Silt. The Silt comprehensive plan map identifies
the area as a combination of Natural Resource Extraction/Future Public Quasi-Public Parks
& Open Space and Recreation Commercial.
III. REGULATORY PROVISIONS APPLICANT IS REQUIRED TO ADDRESS

IV. SUBMITTAL REQUIREMENTS
As a convenience outlined below is a list of information typically required for this type of
application. Table 4-201 outlines the specific application submittal criteria. The following list
can function as a checklist for your submittal.
General Application Materials including the Application Form (signed), payment of
Fees and signed Payment Agreement Form (see attached).
o A narrative describing the request and related information.
o Proof of ownership.
o A Statement of Authority is required if the property is owned by an LLC or
similar entity.
o A Letter of Authorization is required if an owner intends to have a representative
complete the Application and processing.
o Names and mailing addresses of property owners within 200 ft. of the subject
property from Assessor’s Office Records.
o Mineral rights ownership for the subject property including mailing address
and/or statement on mineral rights research (see attached).
o Copy of the Preapplication Summary needs to be submitted with the
Application.
Vicinity Map.
Site Plan.
Grading and Drainage Plan.
Landscape Plan.
Impact Analysis.
Development agreement, if applicable.
Improvement agreement, if applicable.
Traffic Study.
Water Supply/Distribution Plan.
Wastewater Management/Treatment Plan.
Affordable Housing Plan, if applicable.
The Application should demonstrate compliance with Article 7 Standards, as
applicable.
The Application should include a waiver request from submittals, as applicable.
The Application should include any waivers from Article 7 Standards that the applicant
wishes to pursue
Three hard copies and one digital copy (on a USB drive, for example) of the application are
required. Both versions should be split into individual sections.
Community Development Staff is available to meet with the Applicant to provide additional
information and clarification on any of the submittal requirements and waiver requests.

V. REVIEW PROCESS
Staff will review the application for completeness, and when complete, refer it to appropriate
agencies for technical review. Staff will create a report reviewing the application to be
presented before the Planning Commission at a Public Hearing. The Planning Commission’s
recommendation, along with the staff report, will be presented at a separate public hearing to
the Board of County Commissioners for their decision. The Applicant is expected to attend
and present at both hearings.

vested right. The summary is valid for a six-month period, after which an update should be

DISCLAIMER/OTHER LIABILITY
1. This current order specifies expressly no review of any information provided by Principal. Any pertinent review
must be ordered expressly and separately in writing.
2. The current report is based on the documents or information and data received by Principal.
3. Therefore, this report can only be as good as the quality of the information of the Principal permits.
4. For these reasons, no liability whatsoever and no warranty for errors based on untrue information of the
Principal can be assumed despite any applied due diligence. However, any liability toward third parties is
excluded.
5. Contractor (Aerocompact) shall be liable toward Principal only in cases of gross negligence (intent or gross
negligence) except for personal injuries. This applies equally to damages to third parties engaged by Contractor.
6. Principal is only entitled to file a claim for damages within six months from the date the damaged party gained
knowledge of the damage but no later than within two years following the incident on which the claim is based.
7. Principal has the burden of proof, i.e. Principal must show that the damage is caused by Principal.
8. The structural design encompasses the racking (substructure) only and does not include the PV modules for
which approval by the manufacturer for the Aerocompact system in question is recommended.
Anchor point attachments for solar flat roof solutions of Aerocompact are designed for Ultimate Limit States
(strength) only.
For the TR rail system, roof-parallel forces are passed to the roof beams via the fixations of the sandwich panels.
Their load path does not include the fixations of the TR rail system. The sheet thickness of the roof covering must
not be lower than 0.5mm in countries where the Eurocode governs the design of buildings and structures.
Elsewhere, a different minimum for the permissible sheet thickness may apply.
If not edited by the AeroTOOL user specific to the project, the default values for the Effective screw-in depth using
CompactPITCH XW are 67mm with M10 hanger bolts and 100mm with M12 hanger bolts.
Except for the TR rail system, all Aerocompact system solutions are designed assuming a non-flexible, rigid roof
covering.
The structural check of the roof covering and of the roof support structure is out of scope of the present design.
If the structural design includes utilizations exceeding 100%, the overall safety of the structure as required by the
governing code is reduced. In a worst-case scenario, exceeding the permitted utilization of 100% may cause
failure of the fixations of the mounting system.
9. The Supplier is not responsible for the project-related structural soundness of the roof structure and the
professional realization and installation.
10. The technical specifications are an integral part of the product. AEROCOMPACT® shall not be liable for
damages caused by non-compliance with the installation instructions and particularly with the safety information
and from the improper use of the products. The current Terms and Conditions, Warranty Terms and Conditions
and Installation Instructions will be provided on www.aerocompact.com .
11. If the roof gravel is located directly on top of the water-bearing roof membrane, Aerocompact® cannot be
placed on the gravel layer. In this case the gravel must be removed in the area of the Aerocompact® bracket.
12. The required compressive strength of the roof insulation needs to be examined. An approval from the
roof-membrane manufacturer is required.
13. Photovoltaic flat roof systems are not maintenance free. Maintenance, particular the right postion of the ballast
blocks and the building protection pads should be conducted annually. For exceptional high-wind events, we
recommend to do a Maintenance right after the storm event.

4.0 GRADING & DRAINAGE PLAN
Art. 4-203.E.
A. Grading and Drainage Plan – Pursuant to Art. 4-202.A., Applicant requests the
necessity of Grading and Drainage Plan under Art. 4 -203.E, be waived as
unnecessary.
B. The location is currently subject to a grading and drainage plan. Further, no
grading of the property will occur, and the installation of the rooftop panels will not
affect drainage at the location.
5.0 LANDSCAPING PLAN
Art. 4-203.F.
A. The operations of Spring Born Farm have been temporarily suspended and are
not anticipated to resume during the rooftop installation.
B. With respect to agricultural barriers to reduce light emissions from the grow
house, applicant will select a fast-growing variety of coniferous tree with a
beginning height of at least a minimum of 4 feet in height, measured from the top
of the root ball to the top of the tree, as set forth in Article 7 -303.F.4.
C. Applicant will select an evergreen variety of coniferous tree to provide year-round
barrier qualities.
D. Applicant proposes planting such trees along the northern and western sides of
the grow house to reduce light emissions.
E. Applicant will plant such trees when appropriate for the species selected.
6.0 IMPACT ANALYSIS
1. Adjacent Land Use. Existing use of adjacent property and neighboring properties
within 1,500-foot radius.
1. Adjacent and neighboring properties include residential and agricultural.
2. Adjacent and neighboring properties also include oil and gas production as
well as commercial uses.
2. Site Features. A description of site features such as streams, areas subject to
flooding, lakes, high ground water areas, topography, vegetative cover,
climatology, and other features that may aid in the evaluation of the proposed
development.
1. The Site includes a portion of Dry Hollow Creek which flows along the
Western edge of the property. Installation of the Rooftop solar is more than
500’ from the creek and will not impact the creek in any manner.
2. The installation of the Rooftop solar will not impact other features of the
property.
3. Soil Characteristics. A description of soil characteristics of the site that have a
significant influence on the proposed use of the land.
1. The operations building of the grow house was designed with the intent to
install rooftop solar at a future date.
2. The structure and footings of the building were contemplated the existing
soils in the design.
4. Geology and Hazard. A description of the geologic characteristics of the area
including any potential natural or manmade hazards, and a determination of what
effect such factors would have on the proposed use of the land.
1. The installation of the rooftop solar will not impact natural or manmade
hazards.
2. The design contemplates all know hazards.
5. Groundwater and Aquifer Recharge Areas. Evaluation of the relationship of the
subject parcel to Floodplains, the nature of soils and subsoils and their ability to
adequately support waste disposal, the Slope of the land, the effect of sewage
effluents, and the pollution of surface Runoff, stream flow, and groundwater.
6. Environmental Impacts. Determination of the existing environmental conditions
on the parcel to be developed and the effects of development on those conditions,
including:
a. Determination of the long-term and short-term effect on flora and fauna;
1. No impacts on flora or fauna are present.
b. Determination of the effect on designated environmental resources, including
critical wildlife habitat;
1. The instillation of the rooftop solar on an existing commercial building
will have no impact on environmental resources or wildlife habitat.
c. Impacts on wildlife and domestic animals through creation of hazardous
attractions, alteration of existing native vegetation, blockade of migration
routes, use patterns, or other disruptions; and
1. The installation of the rooftop solar will be on an existing commercial
building.
2. No impacts to wildlife are present.
d. Evaluation of any potential radiation hazard that may have been identified by
the State or County Health Departments.
1. None
7. Nuisance. Impacts on adjacent land from generation of vapor, dust, smoke, noise,
glare or vibration, or other emanations.
1. The panels selected for the rooftop installation are non-glare.
2. The non-glare panels were selected for both aircraft operations and
neighboring properties.
3. No other issues of nuisance are present.
4. The landscaping plan will create agricultural barriers to mitigate existing
light emissions from the grow house.
8. Hours of Operation. The Applicant shall submit information on the hours
operation of the proposed use.
1. The installation and operation of the rooftop solar will be during daylight
hours.
8.0 IMPROVEMENT AGREEMENT
Not Applicable.
9.0 TRAFFIC STUDY
Art. 4-203.L.
A. Waiver Request – Pursuant to Art. 4-202.A., Applicant requests the necessity of
a traffic study under Art. 4-203.L. be waived as unnecessary based upon the
information set forth in subsection B, infra.
B. The operations of Spring Born Farm have been temporarily suspended and are
not anticipated to resume during the rooftop installation. Further, all equipment
and materials will be stored in the operations building of the facilities. No
construction vehicles will be entering or exiting the building on a routine basis.
Traffic patterns will not be disrupted during the installation of the rooftop solar
panels.
10.0 WATER SUPPLY AND DISTRIBUTION PLAN.
Art. 4-203.M.
A. Waiver Request – Pursuant to Art. 4-202.A., Applicant requests the necessity of
a Water Supply and Distribution Plan under Art. 4-203.M. be waived as
unnecessary based upon the information set forth in subsection B, infra.
B. The operations of Spring Born Farm have been temporarily suspended and are
not anticipated to resume during the rooftop installation. Further, Spring Born Farm
currently has an existing Water Supply and Distribution Plan. The installation of the
rooftop solar will not affect the use of water on the premises.
11.0 WASTEWATER MANAGEMENT AND TREATMENT PLAN
Art. 4-203.N.
A. Waiver Request – Pursuant to Art. 4-202.A., Applicant requests the necessity of
a Water Supply and Distribution Plan under Art. 4-203.N. be waived as
unnecessary based upon the information set forth in subsection B, infra.
B. The operations of Spring Born Farm have been temporarily suspended and are
not anticipated to resume during the rooftop installation. Further, Spring Born Farm
currently has an existing Wastewater Management and Treatment Plan. The
installation of the rooftop solar will not affect the use of water or produce
wastewater on the premises.
12.0 AFFORDABLE HOUSING PLAN
Not Applicable.
13. COMPLIANCE WITH ARTICLE 7 STANDARDS
A. Compliance – Applicant will require all contractors, project managers, project
superintendents, architects, engineers, and all other supervisory personnel have
reviewed and are familiar with and maintain compliance with all applicable
standards contained in Article 7.
B. 7-303. LANDSCAPING STANDARDS – With respect to agricultural barriers to

I will be filing the statements of authority on Monday with the Clerk and

Item 4: Site Plan
A site plan was submitted with Attachment E.2. at page 2. In addition, the site
plan was submitted in triplicate as page PV-1 “SITE PLAN” of the Silt Farm
Electrical drawings, at page 2.
Item 5: Article 7 Standards, Divisions 1-3 and Section 7-1101.
Section 7-101 – The property is zoned rural. See attached Garfield County
Zoning Map dated 15 Dec 2014 as updated on 5 May 2016.
Pursuant to Garfield County Land Use Code Art. 3, Table 3 -403, a “Solar
Energy System, Small” is permissible after “Administrative Review” on Rural
Zoned properties.
Section 7-102 – The rooftop solar installation on the existing building will be
used primarily for providing electricity to the existing building and/or other
buildings on the property. The rooftop solar installation is not intended to
deliver electricity beyond the property boundaries and not for export into the

electrical grid. Therefore, as the rooftop solar installation supports the existing
conformance with the “Garfield County Comprehensive Plan and complies with
any applicable intergovernmental agreement[s].”
Section 7-103 – “The nature, scale, and intensity of the proposed use are
compatible with adjacent land uses” as the rooftop solar system is flush-
mounted and will support the ongoing operations of the existing agricultural
operations.
Section 7-104 – The rooftop mounted solar system will not require a source of
water beyond the existing agricultural operation.
Section 7-105 – The rooftop mounted solar system will neither require water
nor wastewater distribution systems.
Section 7-106 – The rooftop mounted solar system will eliminate the need for
existing public electrical utilities and not require additional utility easements.
Section 7-107 – The rooftop mounted solar system will not require additional
roadways or access.
Section 7-108 – The rooftop mounted solar system will not affect any natural
hazards nor cause any additional hazards.
Section 7-109 – The rooftop mounted solar system will be an addition to the
existing building which has adequate fire protection. See Attachment to
application 1.1.1.B.
Section 7-201 – The rooftop mounted solar system will not affect agricultural
operations, in fact, the system is intended to enhance ongoing agricultural
operations.
Section 7-202 – The rooftop mounted solar system will not affect wildlife
habitat areas. Applicant consulted with Colorado Parks & Wildlife District
Wildlife Manger for the Rifle South District, Travis Bybee, who confirmed the
rooftop solar will not affect wildlife habitat.

Section 7-203 – The rooftop mounted solar system is well beyond the minimum
35’ TOHWM of any waterbody.
Section 7-204 – The rooftop mounted solar system will not affect drainage
and/or erosion of surrounding area.

nor water quality in the area.
Section 7-206 – The rooftop mounted solar system will not cause wildfire

parking and all unloading will occur on the property as to not affect any public
street.

I looked at your location using the FAA’s OE/AAA Notice Criteria Tool. I placed the latitude/longitude
location as the center of the main building and estimated the height of the structure to be 30’.
Attached is the output from the tool.
Based on this information, the OE/AAA tool shows this not exceeding notice criteria and a 7460
shouldn’t be required for your project.
Please let me know if you have any questions or if you received direction from another source that a
notice to the FAA is required.

Thanks for the quick call this morning. I touched base with our planning team and confirmed there
are no special requirements for off-airport solar projects in the eyes of the FAA.
If you can provide me with the location for the project and the expected structure/panel height, I
can run a quick check on the FAA OE/AAA website to see if a 7460 is needed based on the height and
location of the solar panels. I’ll need the latitude/longitude of the proposed project site, but feel free
to send me a Google Maps screen shot with the location highlighted and I can probably determine
the coordinates.
If you do require a 7460 for the project, then we can discuss a potential scope/fee to complete the
work. Please let me know if you have any questions.

OPINION OF TITLE, OR OTHER REPRESENTATION OF THE STATUS OF TITLE. THE PROCEDURES USED BY THE

COMPANY HAS NO LIABILITY OR OBLIGATION INVOLVING THE CONTENT OF THIS COMMITMENT TO ANY OTHER
PERSON.
COMMITMENT TO ISSUE POLICY
Subject to the Notice; Schedule B, Part I – Requirements; Schedule B, Part II – Exceptions; and the Commitment Conditions,
Commonwealth Land Title Insurance Company, a(n) Florida corporation (the “Company”), commits to issue the Policy
according to the terms and provisions of this Commitment. This Commitment is effective as of the Commitment Date shown
in Schedule A for each Policy described in Schedule A, only when the Company has entered in Schedule A both the
specified dollar amount as the Proposed Amount of Insurance and the name of the Proposed Insured.
If all of the Schedule B, Part I – Requirements have not been met within 180 days after the Commitment Date, this
Commitment terminates and the Company’s liability and obligation end.
COMMITMENT CONDITIONS
1.DEFINITIONS
a. “Discriminatory Covenant”: Any covenant, condition, restriction, or limitation that is unenforceable under
applicable law because it illegally discriminates against a class of individuals based on personal characteristics
such as race, color, religion, sex, sexual orientation, gender identity, familial status, disability, national origin,
or other legally protected class.
b. “Knowledge” or “Known”: Actual knowledge or actual notice, but not constructive notice imparted by the Public
Records.
c. “Land”: The land described in Item 5 of Schedule A and improvements located on that land that by State law
constitute real property. The term “Land” does not include any property beyond that described in Schedule A,
nor any right, title, interest, estate, or easement in any abutting street, road, avenue, alley, lane, right-of-way,
body of water, or waterway, but does not modify or limit the extent that a right of access to and from the Land
is to be insured by the Policy.
d. “Mortgage”: A mortgage, deed of trust, trust deed, security deed, or other real property security instrument,
including one evidenced by electronic means authorized by law.
e. “Policy”: Each contract of title insurance, in a form adopted by the American Land Title Association, issued or
to be issued by the Company pursuant to this Commitment.
f. “Proposed Amount of Insurance”: Each dollar amount specified in Schedule A as the Proposed Amount of
Insurance of each Policy to be issued pursuant to this Commitment.
g. “Proposed Insured”: Each person identified in Schedule A as the Proposed Insured of each Policy to be issued
pursuant to this Commitment.

h. “Public Records”: The recording or filing system established under State statutes in effect at the Commitment
Date under which a document must be recorded or filed to impart constructive notice of matters relating to the
Title to a purchaser for value without Knowledge. The term “Public Records” does not include any other
recording or filing system, including any pertaining to environmental remediation or protection, planning,
permitting, zoning, licensing, building, health, public safety, or national security matters.
i. “State”: The state or commonwealth of the United States within whose exterior boundaries the Land is located.
The term “State” also includes the District of Columbia, the Commonwealth of Puerto Rico, the U.S. Virgin
Islands, and Guam.
j. “Title”: The estate or interest in the Land identified in Item 3 of Schedule A.
2.If all of the Schedule B, Part I – Requirements have not been met within the time period specified in the Commitment
to Issue Policy, this Commitment terminates and the Company’s liability and obligation end.
3.The Company’s liability and obligation is limited by and this Commitment is not valid without:
a. the Notice;
b. the Commitment to Issue Policy;
c. the Commitment Conditions;
d. Schedule A;
e. Schedule B, Part I – Requirements;
f. Schedule B, Part II – Exceptions; and
g. a counter-signature by the Company or its issuing agent that may be in electronic form.
4.COMPANY’S RIGHT TO AMEND
The Company may amend this Commitment at any time. If the Company amends this Commitment to add a defect,
lien, encumbrance, adverse claim, or other matter recorded in the Public Records prior to the Commitment Date, any
liability of the Company is limited by Commitment Condition 5. The Company is not liable for any other amendment
to this Commitment.
5.LIMITATIONS OF LIABILITY
a. The Company’s liability under Commitment Condition 4 is limited to the Proposed Insured’s actual expense
incurred in the interval between the Company’s delivery to the Proposed Insured of the Commitment and the
delivery of the amended Commitment, resulting from the Proposed Insured’s good faith reliance to:
i. comply with the Schedule B, Part I – Requirements;
ii. eliminate, with the Company’s written consent, any Schedule B, Part II – Exceptions; or
iii. acquire the Title or create the Mortgage covered by this Commitment.
b. The Company is not liable under Commitment Condition 5.a. if the Proposed Insured requested the amendment
or had Knowledge of the matter and did not notify the Company about it in writing.
c. The Company is only liable under Commitment Condition 4 if the Proposed Insured would not have incurred
the expense had the Commitment included the added matter when the Commitment was first delivered to the
Proposed Insured.
d. The Company’s liability does not exceed the lesser of the Proposed Insured’s actual expense incurred in good
faith and described in Commitment Condition 5.a. or the Proposed Amount of Insurance.
e. The Company is not liable for the content of the Transaction Identification Data, if any.
f. The Company is not obligated to issue the Policy referred to in this Commitment unless all of the Schedule B,
Part I – Requirements have been met to the satisfaction of the Company.
g. The Company’s liability is further limited by the terms and provisions of the Policy to be issued to the Proposed
Insured.
6.LIABILITY OF THE COMPANY MUST BE BASED ON THIS COMMITMENT; CHOICE OF LAW AND CHOICE OF
FORUM
a. Only a Proposed Insured identified in Schedule A, and no other person, may make a claim under this
Commitment.

b. Any claim must be based in contract under the State law of the State where the Land is located and is restricted
to the terms and provisions of this Commitment. Any litigation or other proceeding brought by the Proposed
Insured against the Company must be filed only in a State or federal court having jurisdiction.
c. This Commitment, as last revised, is the exclusive and entire agreement between the parties with respect to
the subject matter of this Commitment and supersedes all prior commitment negotiations, representations, and
proposals of any kind, whether written or oral, express or implied, relating to the subject matter of this
Commitment.
d. The deletion or modification of any Schedule B, Part II – Exception does not constitute an agreement or
obligation to provide coverage beyond the terms and provisions of this Commitment or the Policy.
e. Any amendment or endorsement to this Commitment must be in writing and authenticated by a person
authorized by the Company.
f. When the Policy is issued, all liability and obligation under this Commitment will end and the Company’s only
liability will be under the Policy.
7.IF THIS COMMITMENT IS ISSUED BY AN ISSUING AGENT
The issuing agent is the Company’s agent only for the limited purpose of issuing title insurance commitments and
policies. The issuing agent is not the Company’s agent for closing, settlement, escrow, or any other purpose.
8.PRO-FORMA POLICY
The Company may provide, at the request of a Proposed Insured, a pro-forma policy illustrating the coverage that the
Company may provide. A pro-forma policy neither reflects the status of Title at the time that the pro-forma policy is
delivered to a Proposed Insured, nor is it a commitment to insure.
9.CLAIMS PROCEDURES
This Commitment incorporates by reference all Conditions for making a claim in the Policy to be issued to the
Proposed Insured. Commitment Condition 9 does not modify the limitations of liability in Commitment Conditions 5
and 6.
10.CLASS ACTION
ALL CLAIMS AND DISPUTES ARISING OUT OF OR RELATING TO THIS COMMITMENT, INCLUDING ANY
SERVICE OR OTHER MATTER IN CONNECTION WITH ISSUING THIS COMMITMENT, ANY BREACH OF A
COMMITMENT PROVISION, OR ANY OTHER CLAIM OR DISPUTE ARISING OUT OF OR RELATING TO THE
TRANSACTION GIVING RISE TO THIS COMMITMENT, MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY. NO
PARTY MAY SERVE AS PLAINTIFF, CLASS MEMBER, OR PARTICIPANT IN ANY CLASS OR REPRESENTATIVE
PROCEEDING. ANY POLICY ISSUED PURSUANT TO THIS COMMITMENT WILL CONTAIN A CLASS ACTION
CONDITION.
11.ARBITRATION
The Policy contains an arbitration clause. All arbitrable matters when the Proposed Amount of Insurance is $2,000,000
or less may be arbitrated at the election of either the Company or the Proposed Insured as the exclusive remedy of
the parties. A Proposed Insured may review a copy of the arbitration rules at http://www.alta.org/arbitration.

Commitment who will obtain an interest in the Land or who will make a loan on the Land. The Company may then

SCHEDULE B, PART II – Exceptions
Some historical land records contain Discriminatory Covenants that are illegal and unenforceable by law. This
Commitment and the Policy treat any Discriminatory Covenant in a document referenced in Schedule B as if each
Discriminatory Covenant is redacted, repudiated, removed, and not republished or recirculated. Only the remaining
provisions of the document will be excepted from coverage.
The Policy will not insure against loss or damage resulting from the terms and conditions of any lease or easement identified
in Schedule A, and will include the following Exceptions unless cleared to the satisfaction of the Company:
1. Rights or claims of parties in possession, not shown by the public records.
2. Easements, or claims of easements, not shown by the public records.
3. Discrepancies, conflicts in boundary lines, shortage of area, encroachments, and any facts which a correct survey
